एनएसईआईएल उपनियम 1. परिभाषा

परिभाषा अध्याय में निम्नलिखित को जोड़ना हैः अधिकृत व्यक्ति-कोई भी पर्सन, पार्टनरशिप फर्म, एलएलपी या निकाय उद्यम-जिसे स्टॉक ब्रोकर द्वारा नियुक्त किया जाता है (कारोबारी सदस्य सहित) और जो स्टॉक ब्रोकर के एक एजेंट के रूप में एक स्टॉक एक्सचेंज के कारोबार मंच को उपलब्ध करवाता है।

2. अध्याय V-कारोबार खण्ड

वर्तमान प्रावधान

(2)(i) एक कारोबारी सदस्य उन सब-ब्रोकर्स के साथ कारोबार नहीं करेगा जो सेबी से पंजीकृत नहीं हैं या इसके पंजीकृत कार्यालय, शाखा कार्यालयों और इसके पंजीकृत सब-ब्रोकर के कार्यालयों के अलावा किसी अन्य कार्यालय में इसके ट्रेडिंग टर्मिनल के संचालन को अनुमति नहीं देगा। संशोधित प्रावधान हटा दिया गया है 3. अध्याय XI- मध्यस्थता i. परिभाषा

निम्नलिखित संशोधन प्रस्तावित है वर्तमान प्रावधान स्वीकार्य दावा मूल्य का अर्थ होगा वह दावा मूल्य जो कंस्टिटूएंट को स्वीकार्य होती है जिसे निवेशक शिकायत निवारण समीति द्वारा या पैनल द्वारा सुनिश्चित किया जाता है और जिसे निर्देशों या आदेश में दर्ज किया जाता है।

संशोधित प्रावधान स्वीकार्य दावा मूल्य का अर्थ होगा वह दावा मूल्य जो कंस्टिटूएंट को स्वीकार्य होता है जिसे निवेशक शिकायत निवारण समीति या पैनल द्वारा सुनिश्चित किया जाता है और जिसे निर्देशों या आदेश में दर्ज किया जाता है।

ii. सब-ब्रोकर शब्दों के स्थान पर नीचे दिए गए बोल्ड अक्षरों के साथ बदलना प्रस्तावित हैः

(1) (A) कारोबारी सदस्यों और अधिकृत व्यक्तियों व अधिकृत व्यक्तियों और अधिकृत व्यक्तियों के क्लाइंट के बीच सौदों, अनुबंधों और लेनदेन के कारण या उनसे संबंधित सभी दावे, मतभेद या विवाद, जो एक्सचेंज के उपनियमों, नियमों और विनियमों पर निर्भर हैं, या इनके समान किसी संदर्भ में या इनके अनुसार या उनकी वैद्यता, रचना, व्याख्या, इसके पूर्ण करने या इसके पक्षों के अधिकारों, अनिवार्यताओं और देनदारियों के संबंध में हैं और जिनमें कोई भी ऐसा प्रश्न शामिल हो सकता है, इस प्रकार के सौदे, लेनदेनों और अनुबंधों को इन उपनियमों और विनियमों के प्रावधानों के अनुसार मध्यस्थता के लिए लाया जाएगा; बशर्ते कि अधिकृत व्यक्तियों और अधिकृत व्यक्तियों के क्लाइंट के बीच विवादों में कारोबारी सदस्य को एक अनिवार्य पक्ष के रूप में शामिल किया जाना चाहिए। 13 (B)ऊपर दिए गए उपनियम 13A के अंतर्गत आने वाले मामलों के अलावा, मध्यस्थता का निर्णय कारोबारी सदस्य और/या इसके अधिकृत व्यक्तियों के विरुध और कंस्टिटूएंट के पक्ष में पारित हो जाता है, तो एक्सचेंज इसके पास रखे कारोबारी सदस्य के जमाओं या अन्य धन में से ब्याज सहित, डेबिट की तिथि तक यदि कोई है, पुरस्कारी को देय राशि को कारोबारी सदस्य और/या इसके अधिकृत व्यक्तियों के प्रति-दावों का निपटारा करने के बाद डेबिट कर सकता है जिसकी अनुमति निर्णय में होती है, यदि कोई है, और कथित राशि को एक अलग खाते में रख सकता है जिसका संचालन नीचे दिए गए उपनियम 13C के अनुसार करना है। लेकिन बशर्ते कि, जहां निर्णय सिक्युरिटीज की डिलिवरी के लिए होता है, तो एक्सचेंज इस प्रकार की सिक्युरिटीज के एक्सचेंज में निर्णय की तिथि को कीमत या प्राधिकरण द्वारा उचित समझे जाने वाली किसी अन्य तिथि को इस प्रकार की सिक्युरिटीज के मूल्य की गणना के लिए कारण बताते हुए क्लोजिंग कीमत पर विचार कर सकता है।

Any person having any observations on the proposed amendments to Byelaws can send the same in writing to the undersigned at Exchange Plaza, Sixth Floor, 'A' wing, Plot C-1, Block G, Bandra - Kurla Complex, Bandra (East), Mumbai - 400 051 within fifteen days from the date of this publication in the Gazette. The observations received after the aforementioned date will not be considered when the proposed amendments will be taken for consideration.

NSEIL Byelaws

1. Definition

The following be added to Chapter on Definition:

Authorised Person- Any person - individual, partnership firm, LLP or body corporate—who is appointed as such by a stock broker (including trading member) and who provides access to trading platform of a stock exchange as an agent of the stock broker.

2. Chapter V-Trading Segments

2(i) A trading member shall not deal with sub-brokers who are not registered with SEBI nor allow operation of its trading terminal at any office other than its registered office, branch offices and the offices of its registered sub-brokers.

Amended Provision

i. Definition

The following amendment is proposed

Existing Provision

Admissible Claim Value shall mean the claim value admissible to the Constituent as ascertained by the Investor Grievance Redressal Committee or Panel and recorded in the directions or order.

Amended Provision

Admissible Claim Value shall mean the claim value admissible to the Constituent as ascertained by the Grievance Redressal Committee or Panel and recorded in the directions or order.

ii. The word sub-broker is proposed to be substituted as given under (words in bold):

(1)(A)- All claims, differences or disputes between the Trading Members and authorised persons and between authorised persons and Clients of authorised persons arising out of or in relation to dealings, contracts and transactions made subject to the Byelaws, Rules and Regulations of the Exchange or with reference to anything incidental thereto or in pursuance thereof or relating to their validity, construction, interpretation, fulfilment or the rights, obligations and liabilities of the parties thereto and including any question of whether such dealings, transactions and contracts have been entered into shall be submitted to arbitration in accordance with the provisions of these Byelaws and Regulations; Provided in disputes between authorised persons and clients of authorised persons, the Trading Member should be added as a necessary party.

(13)(B)- For cases, other than cases falling under the purview of Byelaw 13A above, where the arbitration award is passed against the Trading Member and/or its authorised persons and in favour of a Constituent, the Exchange may debit from the deposits or other monies of the Trading Member lying with the Exchange, the amount of award payable to the awardee together with interest payable, if any, till the date of debit after setting off the counter claim of the Trading Member and /or its authorised persons allowed under the award, if any, and keep aside the said amount in a separate account to be dealt with in such manner as mentioned in Byelaw 13C below:

Provided however, where the award is for the delivery of securities, the Exchange may consider the closing price of such securities on the Exchange as on the date of the award or such other date the relevant authority may specify to be reasonable, stating reasons for arriving at the value of such securities and award amount.
