अध्यायः XIVः व्यक्तिगत रूप से पृथक कोलेट्रल सुविधा-ट्राई पार्टी रेपो
1) इस अध्याय पर लागू परिभाषाएं
क) "कोलेट्रल" का अर्थ है नकद या नकद रहित जमा जैसा कि उचित प्राधिकार द्वारा समय समय पर निर्दिष्ट किया जाता है जो मार्जिन को पूरा करने के लिए या देनादारियों का निपटारा करने के लिए या उचित प्राधिकार द्वारा निर्दिष्ट अन्य देनदारियों या बकाया का निपटारा करने के लिए क्लीयरिंग कॉर्पोरेशन में जमा किए जा सकते हैं।
ख) "सुविधा" का अर्थ है ऋण खण्ड की ट्राई-पार्टी रेपो मार्केट में सौदों के लिए कंस्टिटूएंट द्वारा कोलेट्रल के जमा की सुविधा के लिए क्लीयरिंग कॉर्पोरेशन द्वारा प्रदान व्यक्गित रूप से पृथम सुविधा।
ग) "कंस्टिटूएंट" का अर्थ है इस प्रकार का कंस्टिटूएंट जिसे अध्याय 1 के अनुच्छेद 9 के अंतर्गत परिभाषित किया गया है जो समय समय पर उचित प्राधिकार द्वारा निर्दिष्ट किए गए अनुसार योग्यता मापदण्ड के अधीन सुविधा को प्राप्त करने के लिए क्लीयरिंग सदस्य के साथ पंजीकृत होता है।
2) व्यक्तिगत रूप से पृथम कोलेट्रल सुविधा
क) क्लीयरिंग कॉर्पोरेशन समय समय पर क्लीयरिंग कॉर्पोरेशन द्वारा निर्दिष्ट किए गए अनुसार क्लीयरिंग कॉर्पोरेशन की नियमावली, उपनियमावली और विनियमावली के अधीन क्लीयरिंग सदस्यों द्वारा किए गए सौदों के लिए प्रत्यक्ष रूप से या क्लयीरिंग सदस्यों के माध्यम से क्लीयरिंग कॉर्पोरेशन में कंस्टिटूएंट द्वारा कोलेट्रल जमा कराने के लिए सुविधा प्रदान करता है।
ख) इस उपनियमावली में किसी भी अन्य उपनियम में कुछ भी प्रावधान होने के बावजूद, उचित प्राधिकार सुविधा के अंतर्गत क्लीयरिंग सदस्य द्वारा कोलेट्रल जमा के लिए सुविधा प्रदान कर सकता है जो इस अध्याय में उपनियमों पर निर्भर है और क्लीयरिंग कॉर्पोरेशन द्वारा समय समय पर निर्दिष्ट नियम एवं शर्तों पर निर्भर है।
ग) सुविधा के अंतर्गत, समय समय पर क्लीयरिंग कॉर्पोरेशन द्वारा निर्दिष्ट किए गए अनुसार कंस्टिटूएंट द्वारा क्लीयरिंग कॉर्पोरेशन में प्रत्यक्ष रूप से या क्लीयरिंग सदस्य के माध्यम से कोलेट्रल जमा किया जा सकता है। इस प्रकार का कोलेट्रल प्रदान करने वाला क्लीयरिंग सदस्य क्लीयरिंग कॉर्पोरेशन को कंस्टिटूएंट का विवरण प्रदान करेगा।
घ) उचित प्राधिकार कंस्टिटूएंट द्वारा प्रत्यक्ष रूप से या क्लीयरिंग सदस्य के माध्यम से इस प्रकार के कोलेट्रल की निकासी की अनुमति दे सकता है, जैसा कि क्लीयरिंग सदस्य द्वारा समय समय पर निर्दिष्ट किया जाता है, जो कंस्टिटूएंट द्वारा बकाया देनदारियों को पूरा करने और उचित प्राधिकार द्वारा निर्दिष्ट अन्य नियम एवं शर्तों के अधीन है।
ड़) क्लीयरिंग कॉर्पोरेशन इस प्रकार के कंस्टिटूएंट द्वारा किए गए सौदों से उत्पन्न मार्जिन या सेटलमेंट देनदारियों के लिए या किसी अन्य देनदारी या बकाया के लिए कोलेट्रल पर विचार करेगा और कंस्टिटूएंट के अलावा क्लीयरिंग सदस्य की किसी अन्य देनदारी के लिए कोलेट्रल पर विचार नहीं करेगा।
च) इस सुविधा को प्राप्त करने वाले कंस्टिटूएंट के सौदों का निपटारा समय समय पर उचित प्राधिकार द्वारा निर्धारित विधि के अनुसार क्लीयरिंग सदस्य के अन्य सौदों से अलग किया जाएगा।
छ) कंस्टिटूएंट के क्लीयरिंग सदस्य द्वारा चूक करने की दशा में, कंस्टिटूएंट द्वारा जमा कोलेट्रल का निपटारा नीचे दी गई किसी एक या अधिक विधियों से किया जाएगाः
1) उचित प्राधिकार निर्धारित कर सकता है कि क्या कंस्टिटूएंट ने मार्जिन या निपटारा देनदारी या किए गए सौदों से उत्पन्न अन्य देनदारियों या बकाया की भरपाई कर दी है, जो क्लीयरिंग कॉर्पोरेशन के नियमों, उपनियमों और विनियमों के अधीन है और तदनुसार वह कोलेट्रल का उपयोग इस प्रकार की बकाया देनदारियों को पूरा करने के लिए कर सकता है।
46 THE GAZETTE OF INDIA, JANUARY 2, 2020 (PAUSA 12, 1942) [PART IV2) उचित प्राधिकार समय समय पर निर्दिष्ट विधि के अनुसार कंस्टिटूएंट द्वारा जमा कोलेट्रल को एक गैर-चूककर्ता सदस्य को हस्तांतरित कर सकता है।
ज) क्लीयरिंग कॉर्पोरेशन देनदारियों के साथ साथ जमा किए गए कोलेट्रल के संबंध में सूचना या क्लीयरिंग कॉर्पोरेशन द्वारा समय समय निर्धारित इस प्रकार की अन्य सूचना को कंस्टिटूएंट को प्रदान कर सकता है।
3) ग्रहणाधिकार
समय समय पर क्लीयरिंग कॉर्पोरेशन को प्रदान कोलेट्रल, चाहे नकद के रूप में हो या बैंक गारंटी, प्रतिभूति के रूप में या अन्यथा किसी रूप में, इस प्रकार के कंस्टिटूएंट द्वारा क्लीयरिंग कॉर्पोरेशन को देय किसी भी राधि के लिए प्रथम और प्रमुख ग्रहणाधिकार के अधीन होगा और क्लीयरिंग सदस्य द्वारा इस प्रकार के कंस्टिटूएंट के विरुध इस प्रकार के कंस्टिटूएंट के सौदों, बाध्यताओं और देनदारियों को पूरा करने के सभी अन्य दावों के अधीन होगा, जो क्लीयरिंग कॉर्पोरेशन के उपनियमों, नियमों और विनियमों के अधीन किसी भी सौदे से संबंधित या उससे उत्पन्न हो सकते हैं। क्लीयरिंग कॉर्पोरेशन को इस प्रकार के बकाया और दावों के लिए इस प्रकार के कोलेट्रल को कंस्टिटूएंट के विरुध अन्य दावों की छूट में, इस प्रकार के कंस्टिटूएंट या कंस्टिटूएंट के क्लीयरिंग सदस्य को संदर्भित किए बिना, समयोजित और विनियोजित करने का अधिकार होगा।
4) कमी के लिए कोलेट्रल का उपयोग
इन उपनियमों और विनियमों के अंतर्गत किसी भी सौदे को पूर्ण करने के लिए क्लीयरिंग सदस्य की देनदारी के साथ बिना किसी पक्षपात के, सेटलमेंट लेग में कंस्टिूएंट के राशियों का भुगतान करने विफल रहने की दशा में, क्लीयरिंग कॉर्पोरेशन अपने विवेक पर कंस्टिटूएंट द्वारा दिए जाने वाले आगे के आदेशों को अस्वीकार करने के लिए कंस्टिटूएंट के लिए सीमा को पुनःनिर्धारित करके शून्य कर सकता है। क्लीयरिंग कॉर्पोरेशन अपने विवेक पर संबंधित कंस्टिटूएंट के कोलेट्रल को लिक्विडेट कर सकता है और यदि लिक्विडेट की गई कोलेट्रल का मूल्य कमी के मूल्य को पूरा करने के लिए पर्याप्त नहीं है तो संबंधित कंस्टिटूएंट का क्लीयरिंग सदस्य लिक्वीडेशन के मूल्य और कमी के मूल्य के बीच अंतर को पूरा करने के साथ साथ लागू शुल्कों, यदि कोई है, के भुगतान के लिए जिम्मेदार होगा।
5) अंतिम निपटारा

6) क्लीयरिंग कॉर्पोरेशन का अधिकार
क्लीयरिंग और निपटान कार्यों को पूरा करने से उत्पन्न कंस्टिटूएंट के बकाया को कंस्टिूएंट के कोलेट्रल से प्राप्त का क्लीयरिंग कॉर्पोरेशन का अधिकार उस कंस्टिूएंट के विरुध अन्य देनदारी या दावे पर प्राथमिक होगा।
7) अनुबंध की गोपनीयता
सामान्य तौर पर इन उपनियमों में और विशेष रूप से अध्याय VI के उपनियम 11 के अंतर्गत अनुबंध की गोपनीयता के संबंध में या अध्याय VII के उपनियम 3 के अंतर्गत सौदे के पक्षों के संबंध में कुछ भी प्रावधान होने के बावजूद, सुविधा के अंतर्गत क्लीयरिंग कॉर्पोरेशन के साथ एक कंस्टिटूएंट द्वारा कोलेट्रल को जमा करने में सहायता प्रदान करने के लिए, कंस्टिटूएंट को क्लीयरिंग कॉर्पोरेशन में प्रत्यक्ष रूप से या कंस्टिटूएंट के क्लीयरिंग सदस्य के माध्यम से कोलेट्रल जमा करने की अनुमति दी जा सकती है।
8. बंद करना
एक कंस्टिटूएंट के सौदों की डिलिवरी, भुगतान और निपटान के संबंध में किसी भी प्रावधान की अनुपालना करने में विफल रहने पर या उन नियम एवं शर्तों को पूरा करने में विफल रहने पर जिनके अधीन सौदा किया गया है, या अन्य परिस्थितियों में जिन्हें उचित प्राधिकार समय समय पर निर्दिष्ट कर सकता है, क्लीयरिंग कॉर्पोरेशन क्लीयरिंग और निपटान के लिए दाखिल सौदों को बंद कर सकता है। सौदे को क्लीयरिंग कॉर्पोरेशन द्वारा समय समय पर उचित प्राधिकार द्वारा निर्दिष्ट समय के अंदर निर्धारित नियम एवं शर्तों के अधीन बंद किया जा सकता है।
9. एकमात्र क्लीयरिंग सदस्य सौदे का पक्ष
सामान्य रूप से अध्याय VII के प्रावधानों और विशेष रूप से अध्याय VII के उपनियम 3 और 5 के साथ बिना किसी पक्षपात के, यद्यपि क्लीयरिंग कॉर्पोरेशन अपने स्वयं के क्लीयरिंग सदस्य के अतिरिक्त किसी अन्य व्यक्ति को सौदों के लिए पक्षों के रूप में मान्यता नहीं देता, लेकिन व्यक्तिगत रूप से पृथक कोलेट्रल सुविधा के सीमित उद्देश्य के लिए क्लीयरिंग कॉर्पोरेशन कंस्टिटूएंट द्वारा रखे गए कोलेट्रल को कंस्टिटूएंट की देनदारी के लिए मान्यता प्रदान करेगा।
10. क्लीयरिंग सदस्य केवल मार्जिन के लिए जिम्मेदार
क) अध्याय VII के प्रावधानों के साथ पक्षपात के बिना, यद्यपि केवल क्लीयरिंग सदस्य उक्त अध्याय के अंतर्गत मार्जिन के संबंध में प्रावधानों की अनुपालना के लिए जिम्मेदार हैं, लेकिन व्यक्तिगत रूप से पृथक कोलेट्रल सुविधा के सीमित उद्देश्य के लिए, क्लीयरिंग कॉर्पोरेशन मार्जिन की बाध्यता की तरफ कंस्टिटूएंट द्वारा रखे गए कोलेट्रल को इस प्रकार के कंस्टिटूएंट के संबंध में उक्त अध्याय के अंतर्गत क्लीयरिंग सदस्य द्वारा उसकी मार्जिन देनदरियों की पर्याप्त अनुपालना के रूप में मान्यता प्रदान करेगा। लेकिन इसPART IV] THE GAZETTE OF INDIA, JANUARY 2, 2020 (PAUSA 12, 1942) 47 प्रकार के कंस्टिटूएंट के अपनी मार्जिन की आवश्यकताओं को पूरा करने में विफल रहने पर, क्लीयरिंग सदस्य इस प्रकार की कंस्टिटूएंट की मार्जिन आवश्यकताओं को पूरा करने के लिए निरंतर जिम्मेदार रहेगा।
ख) क्लीयरिंग कॉर्पोरेशन समय समय पर कंस्टिटूएंट के लिए मार्जिन आवश्यकताओं को निर्दिष्ट करेगा जिसमें जोखिम आधारित कलन विधियों के माध्यम से ओपन पॉजिशन्स पर प्रारंभिक मार्जिन शामिल है। कंस्टिटूएंट क्लीयरिंग कॉर्पोरेशन द्वारा निर्धारित मार्जिन को क्लीयरिंग कॉर्पोरेशन में प्रत्यक्ष रूप से या क्लीयरिंग सदस्य के माध्यम से निर्धारित समय के अंदर प्रदान करेगा और उसे बनाए रखेगा। प्रत्येक कंस्टिटूएंट के पास समय समय पर क्लीयरिंग कॉर्पोरेशन द्वरा निर्धारित स्तर पर और निर्धारित अवधि के लिए मार्जिन को बनाए रखने की निरंतर जिम्मेदारी होगी। क्लीयरिंग कॉर्पोरेशन क्लीयरिंग सदस्य द्वारा अपने स्वयं के खाते में और कंस्टिटूएंट की तरफ से जमा मार्जिन को उचित ढंग से पृथक करेगा।
11. धन का जमा करना और उसकी अदायगी
क्लीयरिंग कॉर्पोरेशन कंस्टिटूएंट स्तर पर शुद्ध आधार पर सुविधा के अंतर्गत सौदों को क्लीयर करेगा। क्लीयरिंग सदस्य स्तर पर सौदों को क्लीयरिंग सदस्य के सभी कंस्टिटूएंट की व्यक्तिगत शुद्ध पोजिशन्स के आधार पर सकल किया जाएगा। क्लीयरिंग सदस्य के पास निपटान की तिथि को धन की जमा और अदायगी दोनों देनदारियां हो सकती हैं। जमा/भुगतान को इस संबंध में क्लीयरिंग कॉर्पोरेशन द्वारा निर्धारित निपटान विधि के अनुसार क्लीयरिंग सदस्य को जमा/भुगतान किया जाएगा। क्लीयरिंग कॉर्पोरेशन क्लीयरिंग सदस्य से प्राप्त निर्देशों के आधार पर कंस्टिटूएंट के लिए राशि के प्रत्यक्ष हस्तांतरण में सुविधा प्रदान कर सकता है।
क्लीयरिंग कॉर्पोरेशन वर्तमान विधियों के अनुसार सेटलमेंट को निर्धारित क्लीयरिंग बैंक में या आरबीआई में कर सकता है।
12. क्लीयरिंग सदस्य की देनदारियां
उक्त प्रावधान केवल सुविधा के अंतर्गत कंस्टिटूएंट द्वारा कोलेट्रल को जमा करने में सहायता प्रदान करने के लिए हैं और किसी भी तरह वे उपनियमों और विनियमों के अंतर्गत क्लीयरिंग सदस्य की देनदारियों के साथ पक्षपात और उन्हें प्रभावित नहीं करते

NSE CLEARING LIMITED
CHAPTER XIV : INDIVIDUALLY SEGREGATED COLLATERAL FACILITY –
TRI-PARTY REPO
1) Definitions applicable to this Chapter
a) "Collateral" means such deposits whether in cash or non-cash as specified by the relevant authority from time to time which may be deposited with the Clearing Corporation for meeting margin or settlement obligations or any other obligations or dues as specified by the relevant authority.
b) "Facility" shall mean the Individually Segregated Collateral Facility provided by the Clearing Corporation for facilitating the deposit of Collaterals by Constituents for deals in the Tri-Party Repo Market of Debt segment.
c) Constituent" shall mean such constituent as defined under clause 9 of Chapter 1 who registers with the Clearing Member to avail the Facility subject to such eligibility criteria as may be specified by the relevant authority from time to time.
2) Individually Segregated Collateral Facility
a) The Clearing Corporation provides the Facility for the purpose of facilitating the deposit of Collaterals by Constituents with the Clearing Corporation either directly or through the Clearing Member for the deals made by them subject to Rules, Byelaws and Regulations of the Clearing Corporation as specified by the Clearing Corporation from time to time.
b) Notwithstanding anything contained in any other Byelaw in these Byelaws, the relevant authority may facilitate48 THE GAZETTE OF INDIA, JANUARY 2, 2020 (PAUSA 12, 1942) [PART IV the deposit of Collateral by Constituents of Clearing Member under the Facility subject to the Byelaws in this Chapter and such other terms and conditions as prescribed from time to time by the Clearing Corporation.
c) Under the Facility, Collateral may be deposited by the Constituent with the Clearing Corporation either directly or through its Clearing Member as specified by the Clearing Corporation from time to time. The Clearing Member shall provide the details of the Constituent providing such Collateral to the Clearing Corporation.
d) The relevant authority may permit withdrawal of such Collateral by the Constituent either directly or through the Clearing Member as specified by the Clearing Corporation from time to time, subject to the fulfilment of all outstanding obligations by the Constituent and such other terms and conditions as may be prescribed by the relevant authority.
e) The Clearing Corporation shall consider the Collateral deposited towards the margin or settlement obligations or any other obligations or dues of the constituent arising out of the deals entered into by such Constituent and shall not consider the Collateral towards any obligation of the Clearing Member other than that of the Constituent.
f) The settlement of deals of Constituents availing the Facility shall be carried out separately from the settlement of other deals of the Clearing Member in accordance with the procedures as prescribed by the relevant authority from time to time.
g) In the event of a default by the Clearing Member of a Constituent, the Collateral deposited by the Constituent may be dealt with in any one or more ways as below:
i) The relevant authority may determine if the Constituent has fulfilled margin or settlement obligations or any other obligations or dues arising out of the deals made subject to the Rules, Byelaws and Regulations of the Clearing Corporation and accordingly utilize the Collateral towards meeting such outstanding obligations.
ii) The relevant authority may transfer the Collateral deposited by the Constituent to a non-defaulting Clearing Member in accordance with the procedure prescribed by the relevant authority from time to time.
h) The Clearing Corporation may provide information to the Constituent with respect to the Collateral deposited along with obligations or such other information as prescribed by the Clearing Corporation from time to time.
3) Lien
The Collateral provided by the Constituents from time to time, whether in the form of cash, bank guarantee, securities or otherwise, with the Clearing Corporation, shall be subject to a first and paramount lien for any sum due to the Clearing Corporation by such Constituent and all other claims against such Constituent by the Clearing Member for due fulfilment of engagements, obligations and liabilities of such Constituent arising out of or incidental to any dealings made subject to the Byelaws, Rules and Regulations of the Clearing Corporation. The Clearing Corporation shall be entitled to adjust or appropriate such Collateral for such dues and claims, to the exclusion of the other claims against the Constituent, without any reference to such Constituent or the Clearing Member of the Constituent.
4) Collateral Utilization for Shortage
Without prejudice to the liability of the Clearing Member for due fulfillment of any deal under these byelaws and regulations, in the event of failure of the Constituent to pay-in funds on a settlement leg, the Clearing Corporation may at its sole discretion reset the limit for the Constituent to zero so as to reject any further order placed by the Constituent. The Clearing Corporation may at its discretion liquidate the collateral of the concerned Constituent and if the liquidated value of the collateral is insufficient to cover the shortfall value then the Clearing Member of the concerned Constituent shall be liable for fulfillment of the difference between the liquidation value and shortfall value along with other applicable charges, if any.
5) Settlement Finality
When a settlement has become final and irrevocable, the right of the Clearing Corporation to appropriate any Collaterals contributed by the Constituent towards its settlement or other obligations in accordance with these Byelaws shall take priority over any other liability of or claim against the said Constituent.
6) Right of Clearing Corporation
The right of Clearing Corporation to recover the dues from the Constituent, arising from the discharge of its Clearing and settlement functions, from the Collaterals of the Constituents, shall have priority over any other liability of or claim against the Constituents.
7) Privity of Contract
Notwithstanding anything contained in these Byelaws in general, and in particular with respect to privity of contract under Byelaw 11 of Chapter VI or parties to a deal under Byelaw 3 of Chapter VII, in order to facilitate the deposit ofPART IV] THE GAZETTE OF INDIA, JANUARY 2, 2020 (PAUSA 12, 1942) 49 Collateral by a Constituent with the Clearing Corporation under the Facility, the Constituent may be permitted to deposit the Collateral with the Clearing Corporation either directly or through the Clearing Member of the Constituent.
8) Close Out
A deal admitted for Clearing and settlement may be closed out by the Clearing Corporation on failure of a Constituent to comply with any of the provisions relating to delivery, payment and settlement of deals or on any failure to fulfil the terms and conditions subject to which the deal has been made, or such other circumstances as the relevant authority may specify from time to time. The deal may be closed out by the Clearing Corporation in such manner, within such time frame and subject to such conditions and procedures as the relevant authority may prescribe from time to time.
9) Clearing Member Only Parties to Deals
Without prejudice to the provisions of Chapter VII in general and Byelaws 3 and 5 of Chapter VII in particular, even though the Clearing Corporation does not recognize as parties to deals any persons other than its own Clearing Members, for the limited purpose of Individually Segregated Collateral Facility, the Clearing Corporation shall recognize the Collateral placed by the Constituent towards the obligation of the Constituent.
10) Clearing Member Only Liable For Margins
a) Without prejudice to the provisions of Chapter VIII, even though only Clearing Members are responsible for complying with the provisions related to margins under the said chapter, for the limited purpose of Individually Segregated Collateral Facility, the Clearing Corporation shall recognize the Collateral placed by the Constituent towards the margin obligation of the Constituent as sufficient compliance by the Clearing Member of its margin obligations under the said chapter with respect to such Constituent. However in case of failure by such Constituent, to meet its margin requirements, the Clearing Member shall continue to be responsible for meeting the margin requirements of such Constituents.
b) The Clearing Corporation shall from time to time specify margin requirements for the Constituents including initial margin on open positions through risk based algorithms. The Constituents shall furnish and maintain such margins with the Clearing Corporation either directly or through the Clearing Member in such form and within such time as specified by the Clearing Corporation. Every Constituent has a continuing obligation to maintain margins at the level and for the period stipulated by the Clearing Corporation from time to time. The Clearing Corporation shall segregate in such manner as it may deem fit the margins deposited by the Clearing Member on its own account and on behalf of Constituents.
11) Pay-in and Pay-out of Funds
The Clearing Corporation shall clear deals under the facility on a netted basis at the Constituent level. At the Clearing Member level, the deals would be grossed based on individual netted positions of all Constituents of the Clearing Member. The Clearing Member may have both pay-in and pay-out of funds settlement obligation on a settlement date. The pay-in/pay-out would be paid to/ received from the Clearing Member, in accordance with the laid down settlement procedures by the Clearing Corporation in this regard. The Clearing Corporation may also facilitate direct transfer of funds for the Constituents based on the instruction received from Clearing Member.
The Clearing Corporation would carry out funds settlement as per the existing procedures either at the designated clearing banks or at RBI.
12) Obligations of Clearing Member
The above provisions are only to facilitate the deposit of Collateral by the Constituent under the Facility and are without prejudice to and do not in any way affect the obligations of the Clearing Member under these Byelaws and Regulations in any manner whatsoever.
