आर्टिकल नं. 3 (1)(डी) को निम्नलिखित द्वारा प्रतिस्थापित किया जाना प्रस्तावित हैः

''समाशोधन सदस्य'' से अभिप्रेत, किसी मान्यताप्राप्त समाशोधन निगम में समाशोधन अधिकार रखने वाला एक व्यक्ति तथा इसमें भारतीय प्रतिभूति और विनिमय बोर्ड स्टॉक ब्रोकर्स एंड सब ब्रोकर्स विनियम, 1992 के विनियम 2 के उप विनियम (1) के क्लॉज (एइ) में परिभाषित समाशोधन सदस्य शामिल हैं.

निम्नलिखित आर्टिकल नं. 3 (1)(इ) को हटाया जाना प्रस्तावित है :

''समाशोधन गृह'' से अभिप्रेत वह है जो समाशोधन गृह के सदस्यों के लिए, सदस्यों के बीच संविदाओं के समाशोधन के लिए तथा सदस्यों को किसी संविदा के संबंध में सदस्यों को कोमोडिटीज सुपुर्द करने तथा से कोमोडिटीज प्राप्त करने तथा उस प्रयोजन के लिए आवश्यक या उचित

सभी कार्य करने के लिए, एक कॉमन एजेंट के रूप में कार्य करता है, समाशोधन गृह के कार्य एक्सचेंज द्वारा या एक्सचेंज ने इस प्रयोजन के लिए पहचान की गयी किसी अन्य एजेंसी द्वारा किये जा सकते हैं.

निम्नलिखित आर्टिकल नं. 3 (1)(इए) निम्नानुसार जोडा जाना प्रस्तावित हैः

''समाशोधन निगम'' से अभिप्रेत एक हस्ती जो प्रतिभूतियों या अन्य लिखतों या उत्पादों, जिसमें डील किया जाता है या एक्सचेंज प्लेटफॉर्म पर विक्रित किये जाते है, में टे्रड्‌स के समाशोधन तथा निपटान गतिविधि को करने स्थापित किया गया है तथा इसमें समाशोधन गृह शामिल है.

आर्टिकल नं. 3 (1)(जी) को निम्नानुसार संशोधित किया जाना प्रस्तावित हैः

''दि कंपनी'' से अभिप्रेत ''नैशनल कोमोडिटी एंड डेरिवेटिव्ज एक्सचेंज लिमिटेड या ''दि एक्सचेंज'' है.

निम्नलिखित आर्टिकल नं. 3 (1)(जे) को हटाया जाना प्रस्तावित है :

''एक्सचेंज'' से अभिप्रेत एक कोमोडिटी डेरिवेटिव्ज एक्सचेंज जो डिम्युटयुलाइज किया गया है, जिसका एक इलेक्ट्रॉनिक ट्रेडिंग प्लेटफॉर्म है तथा जिसे, समय समय पर केंद्र सरकार द्वारा अधिसूचित किये अनुसार,

सभी कोमोडिटज पर डेरिवेटिव्ज मे खरीद, बिक्री या डिलिंग करने के कारोबार में सहायता देने, निगमित या नियंत्रित करना अनुमत किया गया हो.

आर्टिकल नं. 3 (1)(एमबी) निम्नानुसार जोडा जाना प्रस्तावित है :

''मान्यताप्राप्त स्टॉक एक्सचेंज'' से अभिप्रेत, एक स्टॉक एक्सचेंज, जो प्रतिभूति संविदाएं विनियम अधिनियम 1956 (1956 का 42) की धारा 4 के अंतर्गत सेबी द्वारा मान्यताप्राप्त हो.

''शेअरधारक निदेशक'' से अभिप्रेत, निदेशक, जो शेयरधारकों के हित का प्रतिनिधित्व करता है, और ऐसे शेयरधारकों द्वारा चयनित या नामित किया गया हो, जो ट्रेडिंग सदस्य या समाशोधन सदस्य, जैसा भी मामला हो, या उनके सहायक तथा एजेंट, न हों.

आर्टिकल नं. 3 (1)(पीडी) के निम्नानुसार संशोधित किया जाना प्रस्तावित है :

''पब्लिक'' में कोई सदस्य या पब्लिक का एक समूह शामिल हो परंतु इसमें कोई ट्रेडिंग सदस्य या समाशोधन सदस्य या उनके सहायक एवं एजेंट शामिल नहीं होंगे.

आर्टिकल नं. 3 (1)(पीइ) निम्नानुसार जोडा जाना प्रस्तावित है :

''सार्वजनिक वित्तीय संस्था'' का वही अभिप्रेत होगा, जो उसे कंपनी अधिनियम, 2013 की धारा 2 के उप-धारा (72) में निर्दिष्ट किया गया है.

आर्टिकल नं. 3 (1)(एससी) को निम्नानुसार संशोधित किया जाना प्रस्तावित है :

''एसईसीसी'' से अभिप्रेत संविदाएं (विनियम)(स्टॉक एक्सचेंज तथा समाशोधन निगम) विनियम, 2018 तथा इसमें, कोई सांविधिक आशोधन या उसका पुनरुअधिनियम, फिलहाल लागू जारी परिपत्रों तथा दिशानिर्देशें को शामिल किया गया है.

आर्टिकल नं. 48ए को निम्नानुसार संशोधित किया जाना प्रस्तावित है :

शेयरों को प्राप्त करने या धारण करने के लिए पात्रता

48ए. (1) इन आर्टिकल्स में जो भी निहित हो उसके बावजूद, कोई भी व्यक्ति, प्रत्यक्ष या अप्रत्यक्ष रूप से, किसी भी इक्विटी शेयर को या एक्सचेंज के वोटिंग अधिकार प्राप्त या धारण नहीं करेंगा, जबतक कि, सेबी द्वारा निर्धारित मापदंड के अनुसार वह फिट एवं प्रॉपर व्यक्ति न हो.

(2) कोई भी व्यक्त्,ि जो प्रत्यक्ष या अप्रत्यक्ष रूप से, अकेले या संगठित होकर काम करने वाले व्यक्तियों के साथ एक्सचेंज के इक्विटी शेयर्स या वोटिंग अधिकार अधिग्रहित करता है, जो उन्हें पांच प्रतिशत के दो प्रतिशत की रेंज में वोटिंग अधिकार का उपयोग करने का अधिकार देता है, वह ऐसे अधिग्रहण से पंद्रह दिनों के अंदर सेबी से अनुमोदन की मांग करेंगे.

(3) आर्टिकल 48 बी के उप-आर्टिकल (2) तथा (3) के अंर्तगत पांच प्रतिशत से अधिक पेड अप इक्विटी शेयर पूंजी प्राप्त कर धारण करने के लिए पात्र एक व्यक्ति, एक्सचेंज की पांच प्रतिशत से अधिक पेड अप इक्विटी शेयर पूंजी तभी प्राप्त कर धारण कर सकता है, यदि उसने सेबी से पूर्व अनुमोदन लिया हो.

(4) हटाया गया.

(5) यदि उपर के उप आर्टिकल 2 के अंर्तगत सेबी द्वारा किसी व्यक्ति को अनुमोदन मंजूर नहीं किया जाता तो, ऐसे व्यक्ति, सेबी द्वारा निर्देश दिये अनुसार या एसईसीसी के अनुसार, अपनी शेयरधारिता को तुरंत एक्सचेंज में डिवेस्ट कर देगा.

(6) एक्सचेंज में दो प्रतिशत से अधिक की पेड अप इक्विटी शेयर पूंजी धारण करनेवाला व्यक्ति प्रत्येक वित्तीय वर्ष के अंत से पंद्रह दिन के अंदर एक्सचेंज को इस आशय का घोषणापत्र देगा कि, वह सेबी द्वारा निर्धारित फिट एंड प्रॉपर मापदंड का पालन कर रहा है.

(7) लागू कानून के तहत, 'फिट एंड प्रॉपर' व्यक्ति नहीं रह जाता या सेबी द्वारा ऐसा घोषित किया जाता है तो, ऐसा व्यक्ति, अपनी शेयरधारिता को तुरंत एक्सचेंज में डिवेस्ट कर देगा. डिवेस्टमेंट, सेबी द्वारा निर्देश दिये अनुसार या एसईसीसी की शर्तों के अनुसार होगा.

इन आर्टिकल्स के प्रयोजन के लिए, एक व्यक्ति को, एसईसीसी (लागू तथा समय समय पर संशोधित तथा उसके किसी रि-एनेक्टमेंट सहित) के अंर्तगत निर्धारित मापदंड के अनुसार 'फिट एंड प्रॉपर व्यक्ति' माना जायेगा.

प्रश्न उठने पर कि, कोई व्यक्ति फिट एंड प्रॉपर है या नही, इस संबंध में सेबी का निर्णय अंतिम होगा.

आर्टिकल नं. 48 बी निम्नानुसार संशोधित किया जाना प्र्रस्तावित है :

शेयरधारिता

48 बी(1) कम से कम एक्सचेंज की इक्यावन प्रतिशत पेड अप इक्विटी शेयर पूंजी पब्लिक द्वारा धारित होगी.

(2) भारत में निवास करने वाला कोई भी व्यक्ति किसी भी समय, प्रत्यक्ष या अप्रत्यक्ष रूप से अकेले या संगठित होकर कार्य करनेवाले व्यक्तियों के साथ, एक्सचेंज की पांच प्रतिशत से अधिक पेड अप इक्विटी शेयर पूंजी धारण नहीं करेगाः

बशर्तें कि--

(i) वह एक स्टॉक एक्सचेंज हो;

(ii) एक डिपॉजिटरी हो;

(iii) एक बैंकिंग कंपनी हो;

(iv) एक बीमा कंपनी हो;

(v) एस सार्वजनिक वित्तीय संस्था हो,

उनके द्वारा, प्रत्यक्ष या अप्रत्यक्ष रूप से अकेले या संगठित होकर कार्य करनेवाले व्यक्तियों के साथ, एक्सचेंज की पंद्रह प्रतिशत से अधिक पेड अप इक्विटी शेयर पूंजी प्राप्त या धारण की जा सकती है.

(3) भारत के बाहर निवास करने वाला कोई भी व्यक्ति, प्रत्यक्ष या अप्रत्यक्ष रूप से अकेले या संगठित होकर कार्य करनेवाले व्यक्तियों के साथ, एक्सचेंज की पांच प्रतिशत से अधिक पेड अप इक्विटी शेयर पूंजी धारण नहीं करेगा :

बशर्तें कि --

(i) वह एक विदेशी स्टॉक एक्सचेंज हो;

(ii) एक विदेशी डिपॉजिटरी हो;

(iii) एक विदेशी बैंकिंग कंपनी हो;

(iv) एक विदेशी बीमा कंपनी हो;

(v) एक विदेशी कोमोडिटी डेरिवेटिव्ज एक्सचेंज हो तथा

(vi) केंद्रीय सरकार द्वारा अनुमोदित एक द्विपक्षीय या बहुपक्षीय वित्तीय संस्था हो,

उनके द्वारा, प्रत्यक्ष या अप्रत्यक्ष रूप से अकेले या संगठित होकर कार्य करनेवाले व्यक्तियों के साथ, एक्सचेंज की पंद्रह प्रतिशत से अधिक पेड अप इक्विटी शेयर पूंजी प्राप्त या धारण की जा सकती है.

(4) केंद्र सरकार द्वारा अन्यथा समय समय पर निर्धारित सीमाओं के तहत, भारत के बाहर रहनेवाले सभी व्यक्तियों की संयुक्त पेड अप इक्विटी शेयर पूंजी, किसी भी समय, एक्सचेंज की कुल पेड अप इक्विटी शेयर पूंजी के, उनपचास प्रतिशत से अधिक नहीं होगी.

(5) कोई भी समाशोधन निगम, एक्सचेंज में किसी भी प्रकार का अधिकार, साझेदारी या इंटरेस्ट नहीं धारण करेगा.

(6) एक्सचेंज द्वारा, इस संबंध में सेबी द्वारा जारी अपेक्षाओं तथा दिशानिर्देशों के पालन किये जाने का अनुश्रवण तथा हर समय अनुपालन सुनिश्चित किया जायेगा.

(7)(i) किसी भी व्यक्ति की एक्सचेंज में शेयरधारिता या वोटिंग अधिकार इन आर्टिकल्स में निर्धारित की गयी सीमाओं से अधिक नहीं होंगे.

(ii) इसके अलावा, इन आर्टिकल्स में विर्निदिष्ट शेयरधारिता में, स्वयं का प्रत्यक्ष या अप्रत्यक्ष रूप से नियंत्रित कोई लिखत शामिल है जो भविष्य की किसी तारीख पर इक्विटी पर अधिकार का हकदार होने के लिए प्रावधान करता है, बशर्तें कि, ऐसे लिखतों से, इन आर्टिकल्स में विर्निदिष्ट शेयरधारिता की सीमा से अधिक उदभवित कोई इक्विटी या इक्विटी पर अधिकार, को समय समय पर सेबी द्वारा निर्धारित समय सीमा के अंदर तक कम कर दिया जायेगा.

(8) एससीआरए के प्रावधानों, नियमों तथा एसईसीसी विनियमों के प्रति बिना किसी पूर्वाग्रह के, एक्सचेंज द्वारा, प्रत्येक तिमाही की समाप्ति से पंद्रह दिनों के अंदर, सेबी द्वारा निर्धारित प्रारूप में, निम्न को शामिल करते हुए, तिमाही आधार पर शेयरधारिता पध्दति सेबी को डिस्क्लोज की जायेगी :-

(ए) दस बडे शेयरधारकों के नंबर तथा उनके द्वारा रखे गये शेयर्स के प्रतिशत के साथ उनके नाम;

(ब) एसईसीसी विनियमों के विनियम 17 तथा 18 के अंतर्गत आनेवाले शेयरधारकों के नाम, जिन्होंने उस तिमाही में शेयर्स प्राप्त किये होें.

एक्सचेंज द्वारा, सभी समय लागू अपेक्षाओंका अनुश्रवण तथा का अनुपालन सुनिश्चित किया जायेगा.

(9) अन्य लागू कानूनों की अपेक्षाओं के अतिरिक्त, एक्सचेंज द्वारा, सभी बहियों, रजिस्टरों, इश्यु या आठ वर्षों की अवधि के लिए उनकी प्रतिभूतियों के अंतरण से संबंधित अन्य रिकॉर्डो तथा दस्तावेजों का रखरखाव और परिरक्षण किया जायेगा.

आर्टिकल नं. 70 (1ए) निम्नानुसार संशोधित किया जाना प्रस्तावित है :

70 (1ए) एक कंपनी या एक निवेशकर्ता, इलेक्ट्रॉनिक स्वरूप में डिपॉजिटरी के साथ (शेयर्स सहित) प्रतिभूतियों को जारी करने, में डील करने, धारण करने के विकल्प का उपयोग कर सकता है तथा उसके संबंध में सर्टिफिकेट को डिमॅटिरिअलाइज किया जायेगा, जिस मामले में, संबंधित पक्षों के अधिकार एवं वचनबध्दताए तथा उससे जुडे या प्रासंगिक मामले, समय समय पर संशोधित किये अनुसार डिपॉजिटरीज अधिनियम, 1996 के प्रावधानों या उसके किसी सांविधिक संशोधन या उसके रि-एनेक्टमेंट द्वारा नियंत्रित किये जायेंगे, उसके निमित्त कंपनी द्वारा, इलेक्ट्रॉनिक मिडिया के किसी स्वरूप सहित कानून द्वारा अनुमत किसी मिडिया में डिमॅटिरलाइज्ड स्वरूप में शेयरों के धारक सदस्यों के ब्यौरों के साथ, अधिनियम तथा डिपॉजिटरी अधिनियम, 1996 के सभी लागू प्रावधानों के अनुरूप सदस्यों का रजिस्टर तथा इडेक्स रखा जायेगा, कंपनी, किसी राज्य या भारत के बाहर देष में राज्य या देश के निवासी सदस्यों का शाखा रजिस्टर रखने की हकदार होगी.

आर्टिकल नं. 70(2) हटाया जाना प्रस्तावित है :

कंपनी द्वारा प्रतिभूति प्रस्ताव में अंशदान करने वाले प्रत्येक व्यक्ति को प्रतिभूति सर्टिफिकेट प्राप्त करने या डिपॉजिटरी के साथ प्रतिभूतियों को

रखने का विकल्प होगा. ऐसा व्यक्ति, जो कि, प्रतिभूतियॉं का हिताधिकारी स्वामी है, वह किसी भी समय डिपॉजिटरी से बाहर जा सकता है, यदि किसी प्रतिभूति के संबंध में डिपॉजिटरी अधिनियम द्वारा उपलब्ध कराये गये तरीके से कानून द्वारा अनुमत किया जाय, तथा कंपनी हिताधिकारी स्वामी को तरीके से तथा निर्धारित समय के अंदर अपेक्षित प्रतिभूति का सर्टिफिकेट जारी कर दे.

आर्टिकल नंत्र 79(5) निम्नानुसार संशोधित किया जाना प्रस्तावित है :

केवल वही व्यक्ति जिसका नाम किसी शेयर के संयुक्त धारक के रूप में सदस्यों के रजिस्टर में पहला होगा, वही ऐसे शेयर की सुपुर्दगी या दस्तावेज (जिससे तात्पर्य, ऐसे व्यक्तियों को कंपनी से आर्टिकल 201 में उल्लिखित सभी दस्तावेजों तथा दिया गया कोई नोटिस या सर्व किया गया दस्तावेत को शामिल माना जाये) को प्राप्त करने का हकदार होगा, तथा सभी संयुक्त धारकों पर तामील (सर्विस) माना जाय.

आर्टिकल नं. 126ए निम्नानुसार संशोधित किया जाना प्रस्तावित हैः

बोर्ड के निदेशकों का संगठन

126ए. बोर्ड में निम्न शामिल होंगे-

(i) सार्वजनिक हित निदेशक;

(ii) शेयाधारक निदेशक; और

(iii) प्रबंध निदेशक,

इन आर्टिकल्स में निहित बातों के विपरीत जो भी कहा गया हो, उसके बावजूद, बोर्ड के गठन, निदेशकों की नियुक्ति के तरीके से संबंधित सामान्य अपेक्षाएं, प्रमुख प्रबंधकीय कार्मिक, निदेशकों तथा प्रमुख प्रबंधकीय कार्मिक के लिए, 'आचार संहिता' तथा कंपनी के अभिशासन से संबंधित अन्य प्रासंगिक तथा परिणामस्वरूप मामलों का पालन किया जायेगा.

निदेशकों के चयन का तरीका, नियुक्ति, कार्यअवधि, त्यागपत्र, वेकेषन आदि, कंपनी अधिनियम, 2013, एसईसीसी, सेबी द्वारा जारी निर्देशों, समय समय पर जारी परिपत्रों द्वारा नियंत्रित किये जायेंगे.

1.1 सार्वजनिक हित निदेशकों की संख्या एक्सचेंज में शेयरधारक निदेशकों की संख्या से कम नही होगी.

1.2 प्रबंध निदेशक, शेयरधारक निदेशकों की श्रेणी में शामिल किया जायेगा, प्रबंध निदेशक के अतिरिक्त, एक्सचेंज का कोई भी कर्मचारी बोर्ड के निदेशकों के पद पर नियुक्त किया जा सकता है, तथा ऐसा निदेशक, शेयरधारक निदेशक माना जायेगा, बोर्ड के निदेशकों की बैठक में कोरम के गठन के लिए, एक बैठक में सार्वजनिक हित निदेशकों की संख्या शेयरधारक निदेशकों की संख्या से कम नहीं होगी.

1.3 निदेशक के रूप में नियुक्त किया जानेवाले व्यक्ति को सेबी द्वारा निर्धारित 'फिट एंड प्रॉपर' मापदंड को संतोशजनक रूप से पूरा करना होगा.

आर्टिकल नं. 126बी निम्नानुसार संशोधित किया जाना प्रस्तावित हैः

सार्वजनिक हित निदेशक

126बी. 1.1 एक्सचेंज के बोर्ड के निदेशकों में सार्वजनिक हित निदेशक सेबी द्वारा नामित किया जायेगा. सार्वजनिक हित निदेशक तीन वर्ष की अवधि के लिए नामित किया जायेगा, जिसकी अवधि को, सेबी द्वारा निर्धारित तरीके से निष्पादन की समीक्षा के तहत, अगले तीन वर्षों की अवधि तक बढ़ाया जा सकता है, मान्यताप्राप्त स्टॉक एक्सचेंज या मान्यताप्राप्त समाशोधन निगम में अवधि (यों) की समाप्ति के पश्चात, एक वर्ष की कूलिंग ऑफ अवधि के बाद ही, सार्वजनिक हित निदेशक दूसरे मान्यताप्राप्त स्टॉक एक्सचेंज या मान्यताप्राप्त समाशोधन निगम या

डिपॉजिटरी में अगली तीन वर्षों की अवधि के लिए नामित किया जा सकता है, यदि सार्वजनिक हित निदेशक की भूमिका, उसके कार्यभार या पोजिशन के प्रतिकूल होने पर कोई मामला उदभवित होता है, तो सेबी का निर्णय अंमित होगा. सार्वजनिक हित निदेशक को, कंपनी अधिनियम, 2013 में निर्धारित किये अनुसार सिटिंग फीस का ही भुगतान किया जायेगा.

1.2 एक्सचेंज के अनुमोदन के पश्चात सार्वजनिक हित निदेशकों के नाम सेबी को अग्रेषित किया जायेंगे, शेयरधाधारकों का अनुमोदन आवश्यक नहीं होगा. प्रत्येक ऐसी रिक्त के सामने, एक्सचेंज के ब्रॉड बेसिंग बोर्ड के प्रयोजन के लिए, सार्वजनिक हित निदेशक की नियुक्ति सहित, सार्वजनिक हित निदेशक की नियुक्ति तथाPART IV] THE GAZETTE OF INDIA, FEBRUARY 13, 2021 (MAGHA 24, 1942) 323 मौजूदा सार्वजनिक हित निदेशक की कार्यअवधि बढ़ाने के लिए आवेदन करते समय, एक्सचेंज द्वारा कम से कम दो नाम प्रस्तुत किय जायेंगे.

1.3 एक्सचेंज द्वारा सुनिश्चित किया जायेगा कि, सार्वजनिक हित निदेशक विविध कार्यक्षेत्रों से चुने जायेंगे. एक व्यक्ति विशेष को सार्वजनिक हित निदेशक के रूप में प्रस्तावित करते समय, एक्सचेंज, निम्नलिखित तथ्यों को भी विचारार्थ लेगाः

ए) कानून, वित्त, अकाउंटिंग, अर्थशास्त्र, प्रबंधन, प्रशासन या वित्तीय बाजार से संबद्ध अन्य किसी क्षेत्र में शैक्षणिक योग्यता.

बी) कम से कम एक व्यक्ति ऐसा शामिल किया जाय, जिसकी वित्त/अकाउंट्‌स क्षेत्र की पृष्ठभूमि हो उसे अधिमानतः लेखापरीक्षा समिति में शामिल किया जाय.

सी) वर्तमान में नामी संगठनों में विश्वास और जिम्मेदार पद पर कार्यरत हो या ऐसे व्यक्ति जो ऐसे पदों पर से सेवा निवृत्त हुए हों.

डी) स्टॉक एक्सचेंजों की वाणिज्यिक संविदाओं और वित्तिय मामलों में स्थितियों में रुचि रखनेवाले व्यक्तियों को वर्जित रखा जाय. इसके अलावा, व्यक्ति जो बाजार में नियमित टे्रडर्स/सटोरिय हैं या एक्सचेंज की प्रमोटर हस्ति के बोर्ड में निदेशक हैं, उन्हें भी वर्जित रखा जाय.

1.4 सार्वजनिक हित निदेशक, एक ही समय में कंपनी की सब्सिडिअरी के बोर्ड पर या अन्य किसी स्टॉक एक्सचेंज/समाशोधन निगम/डिपॉजिटरी या उनकी सब्सिडिअरी के बोर्ड पर नहीं होगा.

1.5 सार्वजनिक हित निदेशक संबध्द कानूनों, आचार संहिता, नीति संहिता आदि का पालन करेगा और एक्सचेंज को एक वचनपत्र प्रस्तुत करेंगे कि, वे अपनी भूमिका, जिम्मेदारी और वचनबध्दताओं को जानते हैं. एक्सचेंज द्वारा हर वर्ष सार्वजनिक हित निदेशक को सात दिनों का प्रशिक्षण उपलब्ध करायेगा.

1.6. सार्वजनिक हित निदेशक की कार्यअवधि को बढ़ाने या नये सार्वजनिक हित निदेशक की नियुक्ति के मामले में, एक्सचेंज द्वारा, अवधि की समाप्ति से दो माह पहले सेबी को आवेदन किया जायेगा, निर्धारित अन्य अपेक्षाओं के अतिरिक्त, सार्वजनिक हित निदेशक की कार्य अवधि के बढ़ाने के लिए आवेदन के साथ, उनकी विभिन्न अनिवार्य समितियों की बैठकों तथा स्टॉक एक्सचेंज के बोर्ड के निदेशकों में उनकी उपस्थिति, निष्पादन समीक्षा तथा अवधि बढ़ाने के कारणों का ब्यौरा होगा.

1.7 सार्वजनिक हित निदेशक रोटेशन द्वारा सेवानिवृत्ति के तहत नहीं होगा.

1.8 वर्तमान सार्वजनिक हित निदेशक उस पद पर तब तक रहेगा, जब तक उनकी जगह पर नया सार्वजनिक हित निदेशक नियुक्त न हो.

1.9. एक व्यक्ति सभी मान्यताप्राप्त स्टॉक एक्सचेंजें/ मान्यताप्राप्त समाशोधन निगमों /डिपॉजिटरियों में अधिकतम तीन टर्म के लिए, अधिकतम पचहत्तर वर्षों की आयु सीमा के तहत नामित किया जायेगा.

2.0.सार्वजनिक हित निदेशक एक ही समय में कंपनी की पांच समितियों से अधिकपर सदस्य के रूप में कार्य नहीं करेगा, समितियों की अधिकतम संख्या, जिसमें सार्वजनिक हित निदेशक सदस्य हो सकता है, की सीमा केवल एसईसीसी के अंर्तगत निर्धारित सांविधिक समितियों पर ही लागू हो सकती है.

2.1 एक सार्वजनिक हित निदेशक, उनके द्वारा, किसी टे्रेडिंग सदस्य या समाशोधन सदस्य या उनके सहायकों औंर एजेंट्‌स को प्रत्यक्ष या अप्रत्यक्ष रूप से उपलब्ध करायी गयी सेवा के परिणामस्वरूप उदभवित होने वाली आपसी मतभेद की स्थिती के बारे में बोर्ड को अवगत करायेगा.

2.2 कोई भी सार्वजनिक हित निदेशक, शेयरधारक निदेशक नहीं बन सकता जब तक कि, सार्वजनिक हित निदेशक बनने की समाप्ति के पश्चात तीन वर्ष की कूलिंग-ऑफ अवधि न हो.

2.3. मान्यताप्राप्त स्टॉक एक्सचेंज/मान्यताप्राप्त समाशोधन निगम के बोर्ड पर का कोई भी सार्वजनिक हित निदेशक, उस मान्यताप्राप्त स्टॉक एक्सचेंज/मान्यताप्राप्त समाशोधन निगम, जैसा भी मामला हो, की सहायक कंपनी के बोर्ड पर निदेशक नहीं बनेगा, जब तक कि, सार्वजनिक हित निदेशक बनने की समाप्ति के पश्चात तीन वर्ष की कूलिंग-ऑफ अवधि न हो.

आर्टिकल नं. 126 सी निम्नानुसार संशोधित किया जाना प्रस्तावित हैः

126सी (1) चाहे वे किसी भी स्टॉक एक्सचेंज/ समाशोधन निगम के सदस्य हों, कोई भी ट्रेडिंग सदस्य या समाशोधन सदस्य, एक्सचेंज के बोर्ड के निदेशकों में नहीं होंगे.

(2) कोई भी विदेशी पोर्टफोलिओ निवेशकार्ता का एक्सचेंज के बोर्ड के निदेशकों में किसी प्रकार का प्रतिनिधीत्व नहीं होगा.

आर्टिकल नं. 126 इ निम्नानुसार संशोधित किया जाना प्रस्तावित हैः

निदेशकों तथा प्रमुख प्रबंधकीय कार्मिक के लिए आचारसंहिता

126 इ 1.1 कंपनी का प्रत्येक निदेशक एसइसीसी के शेडयुल ।। के भाग ए के अंतर्गत निर्दिष्ट आचार संहिता का पालन करगा.

1.2 कंपनी का प्रत्येक निदेशक एसइसीसी के शेडयुल।। के भाग बी के अंर्तगत विनिर्दिष्ट नीति संहिता का पालन करेगा.

1.3 कंपनी का प्रत्येक निदेशक, एसइसीसी के विनियम 20 के अंर्तगत विर्निष्ट 'फिट एंड प्रॉपर' व्यक्ति होगा.

आर्टिकल नं. 128 1.3, 1.7 तथा 1.9 निम्नानुसार संशोधित किया जाना प्रस्तावित हैः

प्रबंध निदेशक

128. 1.3 प्रबंध निदेशक की नियुक्ति की कार्यअवधि पांच वर्ष से अधिक की नहीं होगी. प्रबंध निदेशक की कार्य अवधि की समाप्ति के पश्चात, एक्सचेंज द्वारा, निर्धारित नियुक्ति की प्रक्रिया के अनुरूप प्रबंध निदेशक की नियुक्ति की जायेगी, एक्सचेंज द्वारा, एक व्यक्ति की, अधिकतम पैंसठ वर्ष की आयु सीमा के तहत, अधिकतम प्रत्येक पांच वर्ष

की दो कार्य अवधियों के लिए प्रबंध निदेशक की नियुक्ति की जा सकती है.

1.1 एक्सचेंज की नामांकन तथा पारिश्रमिक समिति, सीईओ/प्रबंध निदेशक/कार्यकारी निदेशक, जैसा भी मामला हो, के चयन के लिए जिम्मदार होगी. पूंजी बाजार/वित्त/प्रबंधन के क्षेत्र में शैक्षणिक योग्यता तथा पर्याप्त अनुभव रखनेवाले व्यक्तियों में से, कम से कम एक राष्ट्रीय दैनिक के सभी संस्करणों में खुले विज्ञापन के जरिए, प्रबंध निदेशक का चयन किया जायेगा. एक्सचेंज द्वारा, वर्तमान प्रबंध निदेशक के अंमित कार्य दिन से दो माह पूर्व नये नाम सेबी को अग्रेषित किये जायेंगे.

1.9 प्रबंध निदेशक की नियुक्ति के लिए सेबी से अनुमोदन की मांग करते समय, सेबी से प्रबंध निदेशक के मुआवजे के लिए अनुमोदन मांगा जायेगा तथा प्रबंधक निदेशक के मुआवजे की शर्तें तथा निबंधनों को सेबी के पूर्व अनुमोदन के बिना परिवर्तित नहीं किया जायेगा. एक्सचेंज के प्रबंधक निदेशक का मुआवजा, सेबी द्वारा निधारित निम्नलिखित मुआवजे संबंधित मापदंडों के अनुरूप होगाः

ए) वेरिएबल पे कोम्पोनेन्ट कुल वेतन के एक तिहाई से अधिक नहीं होगा.

बी) तीन वर्षों के पश्चात वेरिएबी पे के 50% का भुगतान डिफर्ड आधार पर किया जायेगा.

सी) प्रमुख प्रबंधकीय कार्मिक के लिए, एक्सचेंज में ईएसओपी तथा अन्य इक्विटी संबंध लिखत, मुआवजे का एक हिस्सा नहीं बनायेंगे.

डी) मुआवजे में मालुस तथा क्लॉबॅक व्यवस्थाएं होंगी.

उक्त के अलावा, निम्नलिखित को भी विचारार्थ लिया जायेगा :

• वित्तीय स्थिति/एक्सचेंज की हेल्थ,

• समान ओहदों में कर्मचारियों को देय मुआवजे के औसत स्तर,

• शॉट टर्म पर अत्यधिक जोखिम लेने के लिए इन्सेंटिव के संबंध में कोई प्रावधान निहित नहीं होना चाहिए,

• राजस्व, एक्सचेंज का शुद्ध लाभ,

• इंडस्ट्री मानकों से तुलनीय,

• प्रबंध निदेशक की भूमिका एवं जिम्मेदारियां,

• आवधिक समीक्षा.

आर्टिकल नं. 153 को निम्नानुसार संशोधित किया जाना प्रस्तावित हैः

बोर्ड की बैठक पर प्रश्न, कैसे तय किया जाता है

153. बोर्ड के निदेशकों को बैठक में एक संकल्प पर वोटिंग तभी वैध होगा जब, ऐसे संकल्प पर जिन सार्वजनिक हित निदेशकों ने वोट किया हो उनकी संख्या, ऐसे संकल्प पर जिन शेयरधारक निदेशकों ने वोट किया हो उनकी संख्या के बराबर या उससे अधिक हो, बोर्ड के निदेशकों की बैठक में वोट डालना बैठक केPART IV] THE GAZETTE OF INDIA, FEBRUARY 13, 2021 (MAGHA 24, 1942) 325 अध्यक्ष के साथ होगा (चाहे अध्यक्ष इन आर्टिकल्स के नैतिक आधार पर नियुक्त किया गया हो या ऐसी बैठक की अध्यक्षता करने वाला निदेशक हो).

आर्टिकल नं. 154 निम्नानुसार संशोधित किया जाना प्रस्तावित हैः

कोरम तथा अधिकारों का उपयोग करने की योग्यता/क्षमता

154. कंपनी के बोर्ड के निदेशकों की बैठक के लिए कोरम उसकी कुल संख्या का एक तिहाई होगी (उस एक तिहाई में निहित कोई फ्रेक्शन अगले एक तक राउंड ऑफ कर दिया गया हो) या दो निदेशक, जो भी अधिक हो और, विडियों कॉन्फरेंसिंग या अन्य ऑडियो विजुअल माध्यम से निदेशकों की प्रतिभागिता को भी कोरम के प्रयोजन के लिए गिनती में लिया जायेगा; बशर्ते कि, जहां एक बैठक में, इच्छुक निदेशकों की संख्या

कुल संख्या के दो-तिहाई के बराबर या अधिक हो, शेष निदेशकों, अर्थात, बैठक में उपस्थित अनिच्छुक निदेशकों की संख्या दो से कम न हों, ऐसे समय में बैठक का कोरम होगा. इसके अलावा, बोर्ड के निदेशकों की बैठक के लिए, कोरम के गठन के लिए सार्वजनिक हित निदेशकों की संख्या शेयरधारक निदेशकोंकी संख्या से कम नहीं होनी चाहिए, तथापि, अध्यक्ष की एक्सप्रेस अनुमति से प्रतिबंधित आइटम्स के संबंध में इलेक्ट्रॉनिक माध्यम से भाग लेने वाला कोई भे निदेशक, न तो वोट करने का हकदार होगा न ही ऐसी प्रतिबंधित आइटम्स के संबंध में कोरम के प्रयोजन के लिए उसकी मिनती की जायेगी.

कोरम पूरी बैठक के दौरान उपस्थित रहेगा. कोरम न केवल बैठक के आरंभ में बल्कि कारोबार के लेनदेन के समय भी उपस्थित रहेगा.

इस आर्टिकल के प्रयोजन के लिए :-

(1) ''कुल संख्या'' से अभिप्रेत, बैठक के समय निदेशकों की संख्या, जिनका स्थान रिक्त हो, को घटाने क पश्चात, अधिनियम के अनुरूप, निर्धारित किये अनुसार कंपनी के निदेशकों की कुल संख्या;

(2) ''इच्छुक निदेशक'' से अभिप्रेत, किसी मामले पर चर्चा या वोट करते समय, किसी निदेशक की उपस्थिती, आट्रिकल 136 के या किसी अन्य प्रावधान के कारण, बोर्ड की बैठक में कोरम के गठन के लिए गिनती में न ली जाय.

आर्टिकल नं. 156 ए निम्नानुसार संशोधित किया जाना प्रस्तावित है :

बोर्ड समितियां

156ए. कंपनी अधिनियम, 2013, एसईसीसी तथा समय समय पर जारी परिपत्रों के अंतर्गत अधिदेश (मेंडेट) के रूप में, एक्सचेंज के कार्यकलापों

पर प्रभावी नज़र रखना सुनिश्चित किये जाने के लिए, कंपनी द्वारा समितियों का गठन किया जायेगा. इसके अलावा, सूचीबध्द कंपनियों के लिए अधिदेशित समितियां आवश्यक परिवर्तनों सहित एक्सचेंज के लिए भी लागू होंगी. एक्सचेंज द्वारा, सांविधिक समितियों के लिए, बैठकों की आवधिकता, कोरम आदि के लिए नीति तैयार की जायेगी, समितियों के संयोजन, संदर्भांर्तगत शर्तें, आवधिकता तथा कोरम अपेक्षाएं, समय समय पर सेबी द्वारा जारी परिपत्रों तथा एसईसीसी की अपेक्षाओं तथा अन्य लागू किसी भी कानून के संरेखण में बोर्ड द्वारा निश्चित/ निर्धारित की जायेगी. सार्वजनिक हित निदेशकों की समिति के मामले में, सभी सार्वजनिक हित निदेशक उपस्थित होंगे.

समितियों में नियुक्त स्वतंत्र बाहरी व्यक्तिः हितों से मतभेद न होनेवाले, अच्छी प्रतिष्ठा वाले सत्यनिष्ठ व्यक्तियों में से स्वतंत्र बाहरी व्यक्ति होंगे, समिति को सौंपे गये कार्यक्षेत्र में वे पारंगत /विशेषज्ञ होंगे. उनका एक्सचेंज और उसके सदस्यों के साथ कोई संबंध नहीं होगा. स्वतंत्र बाहरी व्यक्तियोंके लिए, नियुक्ति, कार्य अवधि, आचार संहिता आदि के लिए, एक्सचेंज द्वारा दिशानिर्देश तैयार किये जायेंगे. कार्यअवधि की समाप्ति पर, सेबी द्वारा स्वतंत्र बाहरी व्यक्तियों के लिए निर्धारित किये गये तरीके से निष्पादन समीक्षा के तहत, कार्यअवधि को बढ़ाने के लिए मंजूरी दी जा सकेगी, एक्सचेंज की समिति में, स्वतंत्र बाहरी व्यक्ति की अधिकतम कार्यअवधि सीमा, एसईसीसी के अंतर्गत सार्वजनिक हित निदेशकों के लिए निर्धारित कार्यअवधि सीमा के समान ही होगी.

Subject to SEBI's approval, it is proposed to make the following amendments in the Articles of Association of National Commodity & Derivatives Exchange Limited. The proposed amendments are published as per Rule 18 of Securities Contracts (Regulation) Rules, 1957 for information/public comments/criticism. Any person having any comments/observations on the proposed amendments to the Articles of Association may send the same to the Exchange at [email protected] within fifteen days from the date of publication. The observation received after the said fifteenth day will not be considered. The draft will be taken into consideration immediately after expiry of fifteen days.

PROPOSED (DRAFT) AMENDMENT TO THE ARTICLES OF ASSOCIATION OF THE NATIONAL COMMODITY & DERIVATIVES EXCHANGE LIMITED

The Article no. 3(1) (d) is proposed to be substituted with the following:

"Clearing Member" means a person having clearing rights in any recognized clearing corporation and includes a clearing member as defined in clause (ae) of sub-regulation (1) of Regulation 2 of the Securities and Exchange Board of India (Stock Brokers and Sub- Brokers) Regulations, 1992.

The following Article no. 3(1) (e) is proposed to be deleted:

"Clearing House" is one which acts as the common agent of the members of the Clearing House for clearing contracts between members and for delivering commodities to and receiving commodities from members in connection with any of the contracts and to do all the things necessary or proper for carrying out the foregoing purposes. The functions of the Clearing House may be performed by the Exchange or any other agency identified by the Exchange for this purpose.

The Article no. 3(1) (ea) is proposed to be inserted as under:

"clearing corporation" means an entity that is established to undertake the activity of clearing and settlement of trades in securities or other instruments or products that are dealt with or traded on the Exchange and includes a clearing house.

The Article no. 3(1) (g) is proposed to be amended as under:

"The Company" means "National Commodity & Derivatives Exchange Limited or "the Exchange".

The following Article no. 3(1) (j) is proposed to be deleted:

"Exchange" means a commodity derivatives exchange that is demutualized, has an electronic trading platform and is permitted to assist, regulate or control the business of buying, selling or dealing in derivatives on all commodities as notified by the Central Government from time to time.

The Article no. 3(1) (mb) is proposed to be inserted as under:

"recognised stock exchange" means a stock exchange which is recognized by SEBI under section 4 of the Securities Contracts (Regulation) Act, 1956 (42 of 1956).

The Article no. 3(1) (mc) is proposed to be inserted as under:

"shareholder director" means a director who represents the interest of shareholders, and elected or nominated by such shareholders who are not trading members or clearing members, as the case may be, or their associates and agents The Article no. 3(1) (pd) is proposed to be amended as under:

"public" includes any member or section of the public but does not include any trading member or clearing member or their associates and agents.

The Article no. 3(1) (pe) is proposed to be inserted as under:

"public financial institution" shall have the same meaning as assigned to it in sub-section (72) of section 2 of the Companies Act, 2013.

The Article no. 3(1) (sc) is proposed to be amended as under:

"SECC" means Securities Contracts (Regulation) (Stock Exchanges and Clearing Corporations) Regulations, 2018 and includes any statutory modification or re-enactment thereof, Circulars and Guidelines issued, for the time being in force.

The Article no. 48A is proposed to be amended as under:

ELIGIBILITY FOR ACQUIRING OR HOLDING SHARES

48A. (1) Notwithstanding anything contained in these Articles, no person shall, directly or indirectly, acquire or hold any equity shares or voting rights of the Exchange unless he is a fit and proper person, as per criteria prescribed by SEBI.

(2) Any person who, directly or indirectly, either individually or together with persons acting in concert, acquires equity shares or voting rights of the Exchange that entitles the person(s) so acquiring to exercise any voting rights in the range of two percent to five percent, shall seek approval of SEBI within fifteen days of such acquisition.

(3) A person eligible to acquire or hold more than five per cent of the paid up equity share capital under sub-Article (2) and (3) of Article 48B, may acquire or hold more than five percent of the paid up equity share capital of the Exchange, only if, he has obtained prior approval of SEBI.

(4) DELETED.

(5) If approval under sub-Article (2) above is not granted by SEBI to any person, such person shall forthwith divest his shareholding in the Exchange as directed by SEBI or in terms of SECC.

(6) Any person holding two per cent or more of the paid up equity share capital in the Exchange shall file a declaration with the Exchange within fifteen days from the end of every financial year that he complies with the fit and proper criteria prescribed by SEBI.

(7) Subject to applicable law, in the event of any person ceasing to be a 'fit and proper person' or being declared so, by SEBI, such person shall forthwith divest his shareholding in the Exchange. The divestment shall be in terms of SECC or as directed by SEBI.

For the purposes of these Articles, a person shall be deemed to be a fit and proper person, as per the criteria prescribed under the SECC (as applicable and amended from time to time and includes any re-enactment thereof).

The question arising as to whether a person is a fit and proper person, the decision of SEBI in this behalf shall be final.

The Article no. 48B is proposed to be amended as under:

SHAREHOLDING

48B (1) At least fifty one percent of the paid up equity share capital of the Exchange shall be held by public.

(2) No person resident in India shall at any time, directly or indirectly, either individually or together with persons acting in concert, acquire or hold more than five per cent of the paid up equity share capital in the Exchange:

Provided that—

(i) a stock exchange;

(ii) a depository;

(iii) a banking company;

(iv) an insurance company; and

(v) a public financial institution,

may acquire or hold, either directly or indirectly, either individually or together with persons acting in concert, upto fifteen per cent. of the paid up equity share capital of the Exchange.

(3) No person resident outside India, directly or indirectly, either individually or together with persons acting in concert, shall acquire or hold more than five percent of the paid up equity share capital in the Exchange

Provided that—

(i) a foreign stock exchange;

(ii) a foreign depository;

(iii) a foreign banking company;

(iv) a foreign insurance company;

(iv) a foreign commodity derivatives exchange and

(v) a bilateral or multilateral financial institution approved by the Central Government,

may acquire or hold, either directly or indirectly, either individually or together with persons acting in concert, up to fifteen per cent of the paid up equity share capital of the Exchange.

(4) Subject to the limits as otherwise prescribed by the Central Government from time to time, the combined holding of all persons resident outside India in the paid up equity share capital of the Exchange shall not exceed, at any time, forty-nine per cent of its total paid up equity share capital.

(5) No clearing corporation shall hold any right, stake or interest of whatsoever nature, in the Exchange.

(6) The Exchange shall monitor and at all times ensure compliance with the requirements and guidelines in this regard, issued by SEBI.

(7) (i) The shareholding or voting rights of any person in the Exchange shall not exceed the limits specified in these Articles.

(ii) Further, the shareholding as specified in these Articles shall include any instrument owned or controlled, directly or indirectly, that provides for entitlement to equity or rights over equity at any future date.

Provided that any equity or rights over equity, arising from such instruments in excess of limit of shareholding specified in these Articles, shall be reduced to the specified limit within the timeline as may prescribed by SEBI from time to time.

(8) Without prejudice to the provisions of the SCRA, rules and SECC regulations, the Exchange shall disclose to SEBI, in the format specified by the SEBI, shareholding pattern on a quarterly basis within fifteen days from the end of each quarter, including therein the following: —

(a) the names of the ten largest shareholders along with the number and percentage of shares held by them;

(b) the names of the shareholders falling under regulations 17 and 18 of SECC Regulations who had acquired shares in that quarter.

The Exchange shall monitor and ensure compliance with the foregoing requirements at all times.

(9) In addition to the requirements under other laws in force, the Exchange shall maintain and preserve all the books, registers, other documents and records relating to the issue or transfer of its securities for a period of not less than eight years.

The Article no. 70 (1A) is proposed to be amended as under:

70 ( 1A ) The Company or an investor may exercise an option to issue, deal in, hold the securities (including shares) with a Depository in electronic form and the certificates in respect thereof shall be dematerialised, in which event the rights and obligations of the parties concerned and matters connected therewith or incidental thereof, shall be governed by the provisions of the Depositories Act, 1996 as amended from time to time or any statutory modification thereto or re-enactment thereof. The Company shall cause to be kept a register and index of Members in accordance with all applicable provisions of the Act and the Depositories Act, 1996 with the details of Members holding Shares in dematerialised form in any media as permitted by Law including any form of electronic media. The Company shall be entitled to keep in any State or Country outside India a branch Register of Members resident in that state or country.

The Article no. 70 (2) is proposed to be deleted:

Every person subscribing to securities offer by the Company shall have the option to receive security certificate or to hold the securities with a depository. Such a person who is the beneficial owner of the securities can at any time opt out of a depository, if permitted by the law in respect of any security in the manner provided by the Depositories Act, and the Company shall, in the manner and within the time prescribed, issue to the beneficial owner the required Certificate of Securities.

The Article no. 79 (5) is proposed to be amended as under:

Only the person whose name stands first in Register of Members as one of the joint holders of any share shall be entitled to delivery of such share or to receive document (which expression shall be deemed to include all documents mentioned in Article 201 from the Company and any notice given to or document served on such person shall be deemed service on all the joint holders.

The Article no. 126A is proposed to be amended as under:

Composition of Board of Directors

126A.The Board shall include -

(i) Public Interest directors;

(ii) Shareholder directors; and

(iii) Managing Director.

Notwithstanding anything to the contrary contained in these Articles, SECC, directives issued by SEBI, Circulars issued from time to time with regard to composition of the Board, general requirements related to manner of appointment ofPART IV] THE GAZETTE OF INDIA, FEBRUARY 13, 2021 (MAGHA 24, 1942) 329 directors, key management personnel, 'code of conduct for Directors and key management personnel' and other incidental and consequential matters relating to governance of the Company shall be complied with.

The manner of election, appointment, tenure, resignation, vacation etc. of Directors shall be governed by the Companies Act, 2013, SECC, directives issued by SEBI, Circulars issued from time to time.

1.1 The number of public interest directors shall not be lesser than the number of shareholder directors in the Exchange.

1.2 The Managing Director shall be included in the category of shareholder directors. Any employee of the Exchange may be appointed on the Board of Directors in addition to the Managing Director, and such director shall be deemed to be a shareholder director. The number of public interest directors in a meeting shall not be less than the number of shareholder directors to constitute the quorum for the meeting of the Board of Directors.

1.3 The persons to be appointed as Directors should satisfy the criteria of "fit and proper person" as prescribed by SEBI.

The Article no. 126B is proposed to be amended as under:

Public Interest Directors

126B. 1.1 The public interest directors on the Board of Directors of the Exchange shall be nominated by the SEBI. Public interest directors shall be nominated for a term of three years, extendable by another term of three years, subject to performance review in the manner as may be specified by SEBI. After the expiry of term(s) at recognised stock exchange or recognised clearing corporation, a public interest director may be nominated for a further term of three years in another recognised stock exchange or recognised clearing corporation or depository, only after a cooling-off period of one year. If any issue arises as to whether an assignment or position of a public interest director is in conflict with his role, SEBI's decision shall be final. Public interest directors shall be paid only sitting fees as specified in the Companies Act 2013.

1.2 The names of public interest directors shall be forwarded to SEBI after the approval of the Board of the Exchange. The shareholders approval shall not be necessary. A minimum of two names shall be submitted by the Exchange at the time of making request for appointment of public interest director and extension of the term of existing public interest director, including appointment of public interest director for the purpose of broad basing Board of the Exchange, against each such vacancy.

1.3 The Exchange shall ensure that public interest directors are selected from diverse field of work. While deciding to propose a particular person as a public interest director, the Exchange shall also take into account the following factors:

a) Qualification in the area of law, finance, accounting, economics, management, administration or any other area relevant to the financial markets.

b) Atleast one person may be inducted having experience and background in finance/accounts who may preferably be inducted in the audit committee.

c) Persons currently holding positions of trust and responsibility in reputed organisations or person who have retired from such positions.

d) Persons who are likely to have interested positions in commercial contracts and financial affairs of stock exchanges, may be excluded. Also, persons who are regular traders/speculators in the market or are director in the board of the promoter entity of the Exchange shall be excluded.

1.4 Public interest directors shall not be simultaneously on the Board of subsidiary of the Company or on the Board of any other stock exchange/clearing corporation/ depository or their subsidiary.

1.5 Public interest directors shall peruse the relevant laws, code of conduct, code of ethics, etc. and submit an undertaking to the Exchange that they are aware of their role, responsibilities and obligations. The Exchange shall also provide at least seven days of training to every public interest director each year.

1.6 In case of extension of the term of the public interest director or appointment of a new public interest director, the Exchange shall apply to SEBI two months prior to the expiry of the term. In addition to the other requirements prescribed, the application for extension of term of the public interest director shall be accompanied with, his attendance details on meetings of various mandatory committees and on the Board of Directors of the stock exchange, performance review and the reasons for extension of the term.

1.7 The public interest director shall not be subject to retirement by rotation.

1.8 The existing public interest director shall continue holding the post, till a new public interest director is appointed in his place.

1.9 A person may be nominated as a public interest director for a maximum of three terms across recognised stock exchanges/recognised clearing corporations / depositories, subject to a maximum age limit of seventy five years.

2.0 A public interest director shall not act simultaneously as a member on more than five committees of the Company. The limitation on maximum number of committees that a public interest director can be member of shall be applicable only to statutory committees prescribed by SEBI under SECC.

2.1 A public interest director shall keep the Board apprised of any conflict of interest, which may arise as a result of the public interest director providing services, either directly or indirectly, to any trading member or clearing member or their associates and agents.

2.2 No public interest director shall become a shareholder director unless there is a cooling-off period of three years after ceasing to be a public interest director.

2.3 No public interest director on the board of a recognized stock exchange or a recognized clearing corporation, shall become a director on the board of subsidiary of that recognized stock exchange or recognized clearing corporation, as the case may be, unless there is a cooling-off period of three years after ceasing to be a public interest director.

The Article no. 126C is proposed to be amended as under:

126C (1) No trading member or clearing member, or their associates and agents, irrespective of the stock exchange / clearing corporation of which they are members, shall be on the Board of Directors of the Exchange.

(2) No foreign portfolio investor shall have any representation in the Board of Directors of the Exchange.

The Article no. 126E is proposed to be amended as under:

Code of Conduct for Directors and Key Management Personnel

126E 1.1.Every director of the Company shall abide by the Code of Conduct as specified under Part A of Schedule II of the SECC.

1.2 Every director of the Company shall abide by the Code of Ethics as specified under Part B of Schedule II of the SECC.

1.3 Every director of the Company shall be a 'Fit & Proper' person as specified under Regulation 20 of the SECC.

The Article no. 128.1.3, 1.7 and 1.9 are proposed to be amended as under:

Managing Director

128.1.3 The appointment of the managing director shall be for a term not exceeding five years. After completion of the term of the managing director, the Exchange shall, in accordance with the prescribed appointment process, appoint the managing director. A person may be appointed as the managing director by the Exchange for a maximum of two terms not exceeding five years each, subject to a maximum age limit of sixty five years.

1.7 The Nomination and Remuneration Committee of the Exchange shall be responsible for the selection of the CEO/Managing Director/Executive Director, as the case may be. The managing director shall be selected through open advertisement in all editions of atleast one national daily from amongst persons qualified in the fields of capital market/ finance/management and possessing sufficient experience. The Exchange shall forward the new names to SEBI two months prior to the last working day of the existing Managing Director.

1.9 At the time of seeking approval of SEBI for the appointment of the managing director, the Exchange shall seek approval for the compensation of the managing director from SEBI and the terms and conditions of the compensation of the managing director shall not be changed without prior approval of SEBI. The compensation of the Managing Director of an Exchange shall be in accordance with the following compensation norms stipulated by SEBI:

a) The variable pay component shall not exceed one-third of total pay.

b) 50% of the variable pay shall be paid on a deferred basis after three years.

c) ESOPs and other equity linked instruments in the Exchange shall not form part of the compensation for the key management personnel.

d) The compensation policy shall have malus and clawback arrangements.

Apart from the above, the following shall also be taken into consideration:

• financial condition / health of the Exchange, • average levels of compensation payable to employees in similar ranks, • should not contain any provisions regarding incentives to take excessive risks over the short term, • revenues, net profit of the Exchange, • comparable to the industry standards, • role and responsibilities of the managing director, • periodic reviewPART IV] THE GAZETTE OF INDIA, FEBRUARY 13, 2021 (MAGHA 24, 1942) 331 The Article no. 153 is proposed to be amended as under:

Question at a Board meeting, how decided

153.The voting on a resolution in the meeting of the Board of Directors shall be valid only when the number of public interest directors who have cast their vote on such resolution is equal or more than the number of shareholder directors who have cast their vote on such resolution. The casting vote in the meetings of the Board of Directors shall be with the Chairman of the meeting (whether the Chairman appointed by virtue of these Articles or the Director presiding at such meeting).

The Article no. 154 is proposed to be amended as under:

Quorum and its competence to exercise powers

154.The quorum for meeting of the Board of Directors of the Company shall be one-third of its total strength (any fraction contained in that one-third being rounded off to the next one) or two Directors whichever is higher and the participation of the directors by video conferencing or by other audio visual means shall also be counted for the purpose of quorum; provided that where at any meeting, the number of interested Directors exceeds or is equal to two-thirds of the total strength, the number of the remaining Directors, that is to say, the number of the Directors who are not interested, present at the meeting being not less than two, shall be the quorum during such time. Further, the number of public interest directors shall not be less than the number of shareholder directors to constitute the quorum for the meeting of the Board of Directors.

Any Director participating through Electronic Mode in respect of restricted items with the express permission of Chairman shall however, neither be entitled to vote nor be counted for the purpose of Quorum in respect of such restricted items.

Quorum shall be present throughout the Meeting. Quorum shall be present not only at the time of commencement of the Meeting but also while transacting business.

For the purpose of this Article:-

(1) "total strength" means the total strength of the Directors of the Company as determined in pursuance of the Act, after deducting there from the number of the Directors, if any, whose place may be vacant at the time;

(2) "interested Director" means any Director whose presence cannot by reason of Article 136 or any other provision in the Act count for the purpose of forming a quorum at a meeting of the Board, at the time of the discussion or vote on any matter.

The Article no. 156A is proposed to be amended as under:

Board Committees

156A. The Company shall constitute Committees as to ensure effective oversight of the functioning of the Exchange as mandated under the Companies Act, 2013, SECC and Circulars issued from time to time. Additionally, the Committees that are mandated for listed companies shall apply mutatis mutandis to Exchange. The Exchange shall lay down the policy for the frequency of meetings, quorum, etc., for the statutory committees. The composition, terms of reference, frequency and quorum requirements of the Committees may be decided by the Board in line with the requirements of SECC and circulars issued by SEBI from time to time, and any other applicable law. In the case of public interest directors' committee, all public interest directors shall be present.

Independent external persons appointed to committees: The independent external persons shall be from amongst the persons of integrity, having a sound reputation and not having any conflicts of interests. They shall be specialists in the field of work assigned to the committee. They shall not be associated with the Exchange and its members. The Exchange shall frame the guidelines for appointment, tenure, code of conduct, etc., of independent external persons. Extension of the tenure may be granted at the expiry of the tenure, subject to performance review in the manner prescribed by SEBI for the public interest directors. The maximum tenure limit of independent external persons in a Committee of the Exchange shall be at par with that of public interest directors as prescribed under SECC.
