New Delhi , the 8th February 1972
8.O. 125 ( E ) / IDRA / 18E / 72 .-- Whereas the Central Government has , by its noti- fied Order in the late Ministry of Commerce No. S.O. 3981 , dated the 22nd December 1965 , and as subsequently modified by its notified Orders in the Ministry of Foreign Trade Nos . S.O. 3495 , dated the 24th October , 1970 , and S.O. 1256 , dated the 17th March , 1971 , issued under section 18A of the Industries ( Development and Regula- tion ) Act , 1951 , ( 65 of 1951 ) authorised Shri A. N. Singh to take over the manage- ment of the whole of the industrial undertaking called the Muir Mills Company Limited , Kanpur ( hereinafter in this notification referred to as the 'Industrial undertaking ' ) for the period specified therein ;
Now, therefore , in exercise of the powers conferred by sub - section ( 2 ) of section 18E of the said Act , the Central Government hereby specifies in the Schedule annexed hereto , the exceptions , restrictions and limitations , subject to which the

Companies Act , 1956 ( 1 of 1956 ) shall continue to apply to the industrial under- taking in the same manner as is applied thereto before the issue of the notified Order under section 18A of the Industries ( Development and Regulation ) Act , 1951.
SCHEDULE
Provision of the Companies Act , 1951 Exceptions , restrictions and limitations ,. subject to which the provisions men- tioned in column ( 1 ) shall apply to the undertaking .

This clause shall not apply in relation to the borrowing of money by the Authorised Controller for the purpose of running the mill .

These sub - sections shall not apply in relation to the appointment of sole selling agents requiring approval of the company in general meeting.

का ० प्रा ० 125 ( अ ) / माई ० डी ० प्रार ० ए० / 18 £/ 72 .--प्रयतः उद्योग ( विकास तथा विनियमन ) अधिनियम , 1951 ( 1951 का 65 ) को धारा 18 क के अधीन जारी किये गये भूतपूर्व वाणिज्य मंत्रालय के अधिसूचित श्रादेश सं ० का ० प्रा ० 3981 , दिनांक 22 दिसम्बर , 1965 के द्वारा जिसमें बाद में विदेश व्यापार मंत्रालय के अधिसूचित श्रादेण , सं ० का ० श्रा ० 3495 , दिनाक 24 अक्तूबर , 1970 तथा का ० प्रा ० 1256 , दिनांक 17 मार्च , 1971 द्वारा संशोधन कर दिया गया , केन्द्रीय सरकार ने श्री ए ० एन ० सिंह को म्योर मिल्स कम्पनी लिमिटेड , कानपुर नामक सम्पूर्णी प्रौद्योगिक उपक्रम ( जिसे इसमें इसके पश्चात् इस अधिसूचना में 'प्रौद्योगिक उपक्रम ' कहा गया है ) का प्रबन्ध उसमें निर्दिष्ट कालावधि के लिए ग्रहण करने के लिए प्राधिकृत किया था;
श्रतः प्रष उक्त अधिनियम की धारा 18 ङ की उपधारा ( 2 ) द्वारा प्रदत शक्तियों का प्रयोग करते हुए केन्द्रीय सरकार एद्वारा इससे संलग्न अनुसूची में उन उपवादों, निर्बंधनों और परिसीमाओं को निदिष्ट करती है जिसके अध्यधीन रहते हुए कम्पनी अधिनियम 1956 ( 1956 का 1 ) प्रौधोगिक उपक्रम पर उसी रूप में लागू रहेगा जिस रूप में वह उद्योग ( विकास तथा विनियमन ) अधिनियमा की धारा 18 क के अधीन अधिसूचित आदेश के जारी होने से पहले उस पर होता था ।

कम्पनी अधिनियम 1951 वे अपवाद , पंजन और परिसीमाए जिनके मध्यधीन रहते हए स्तम्भ ( 1 ) में वर्णित उपवध उपक्रम पर लागू होंगे । के उपबंध
293 (1 ) (घ) मिल को चलाने के प्रयोजन के लिए प्राधिकृत नियंत्रक द्वारा धन उधार लेने के संबंध में यह खण्ड लागू नहीं होगा ।
292 ( 2 ) तथा ( 2क ) एक मात्र विक्रेता अभिकलाओं की नियक्ति के लिए साधारण बैठक में कम्पनी के अनुमोदन की आवश्यकता के विषय मे ये उपधाराएं लागू नहीं होंगी।
