New Delhi , the 23rd December 1972
G.S.R. 494 ( E ) . In exercise of the powers conferred by Sub - section ( 2 ) of section 8 of the Indian Iron and Steel Company ( Taking Over of Management) Act , 1972 ( 50 of 1972 ) , the Central Government hereby specifies the following excep- tions , restrictions and limitations subject to which the Companies Act , 1956 ( 1 of 1956 ) shall apply to the Indian Iron and Steel Company , namely :-
Section 175 , in so far as it relates to the election of the Chairman for a general meeting of the shareholders of the company , shall apply with the following modifi- cations , namely:
( 1) in sub - section ( 1 ) , for the words " the members personally present at the meeting shall elect one of themselves to be the chairman thereof on a show of hands " , the words " the Central Government shall , by notifi- cation in the Official Gazette , nominate a person to be the chairman of the meeting . " shall be substituted;
( ii) sub - section ( 2 ) and ( 3 ) shall not apply .

सा० का ० नि ० 494 ( अ ) -इन्डियन आयरन एण्ड स्टील कम्पनी ( प्रबन्ध अधिग्रहण ) अधिनियम , 1972 ( 1972 का 50 ) की धारा 8 की उपधारा ( 2 ) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए केन्द्रीय सरकार एतद् द्वारा निम्नलिखित अपवाद , निर्वन्धन और परिसीमाएं निश्चित करतो हैं, जिनके अधीन कम्पनी अधिनियम 1956 ( 1956 का 1 ) इण्डियन आयरन एण्ड स्टील कम्पनी को लागू होगा , अर्थात : --
धारा 175 , जहां तक कम्पनी के अंशधारियों के साधारण अधिवेशन के लिए अध्यक्ष के चुनाव का संबंध है, निम्नलिखित उपातंरण के साथ लागू होगी , अर्थात्:-
( i ) उप- धारा ( 1 ) में " अधिवेशन में उपस्थित सदस्य अपने में से एक को हाथ उठाकर उस अधिवेशन का अध्यक्ष चुनेंगे " शब्दों के स्थान पर " केन्द्रीय सरकार राजपत्त्र में अधिसूचना द्वारा एक व्यक्ति को अधिवेशन का अध्यक्ष नामित करेगी" शब्द रखे जायें ।
( ii ) उपधाराएं ( 2 ) और ( 3 ) लागू नहीं होंगी ।

G.S.R. 495 ( E ) .- In exercise of the powers conferred by section 175 of the Com- panies Act , 1956 ( 1 of 1956 ) , read with the notification of the Government of India in the Ministry of Steel and Mines , Department of Steel No. Ind . II -7 ( 114 ) / 72 GSR 494 ( E ) , dated 23rd December , 1972 , the Central Government hereby nominates Shri Arabinda Ray , Custodian , Indian Iron and Steel Co. , Ltd. , as the Chairman of the annual general meeting of the Indian Iron and Steel Company Limited to be held on the 29th December , 1972 .

शक्तियों का प्रयोग करते हुए केन्द्रीय सरकार एतद्वारा इण्डियन आयरन एण्ड स्टील कम्पनी लिमि- टेड के अभिरक्षक श्री अरविन्द रे को इण्डियन आयरन एण्ड स्टील कम्पनी लिमिटेड के 29 दिसम्बर , 1972 को होने वाले वार्षिक साधारण अधिवेशन का अध्यक्ष नियुक्त करती है ।
