ORDER
New Delhi . the 5th August 1975
S.O. 422 (E ) . Whercas M/ s . Engel India Machines and Tools Limited , Calcutta , owning the industrial undertaking known as M/ s . Engel India Machines and Tools Limited, in the State of West Bengal ( hereinafter in this Order referred to as the said industrial undertaking ) , is being wound up by the Calcutta High Court and the business of the Company is not being continued;
And whereas the Central Government , after obtaining permission from that High Court under sub- section (2 ) of Section 15A of the Industries ( Development and Regulation) Act, 1951 (65 of 1951 ) ( horcinafter in this Order referred to as the said Act) , had caused an investigation to be made by a body of persons into the possibility of running or re- starting the said industrial undertaking :
And whereas the Central Government being of the opinion that there are possibilities of running or re -starting the said industrial undertakings made an application under sub- section ( 1 ) of Section 18FA of the said Actto the Calcutta High Court praying for permission to appoint any person or body of persons to take over the management of the said industrial undertaking and that the said High Court has , by its Order dated the 27th May , 1974 , granted the said permission :

Now, therefore , in exercise of the powers conferred by sub -section (2) of Section 18FA of the said Act , and of all other powers hereunto enabling the Central Government hereby authorises a body of persons consisting of

1. Shri C. R. Guha Majumdar . I.A.S. , Secretary to the Government of West Bengal , Closed and Sick Industries Department , Writers ' Buildings , Calcutta - 1 .

2. Shri T. R. Gupta , 1 , Ballygunge Park Road, Calcutta - 19 .
3. Shri S. K. Chatterjee , 134 , Motilal Nehru Road , Calcutta - 29.
(hereinafter referred to as the authorised body ) to take over the management of the whole of the said industrial undertaking namely, Messrs Engel India Machines and Tools Limited subject to the following terms and conditions , namely :
1. The authorised body shall comply with all directions issued from time to time by the Central Government;
2. The authorised body shall hold office for five years from the date of publication in the Official Gazette of this Order;
3. The Central Government may terminate the appointment of the authorised body earlier if it considers necessary to do so .
This Order shall have effect for a period of five years commencing from the date of its publication in the Official Gazette .

का० प्रा० 422 ( अ ) पश्चिमी बंगाल राज्य में , मैसर्स एंजिल इण्डिया मशीन्स एण्ड टूल्स लिमिटेड नामक श्रीद्योगिक उपक्रम ( जिसे इस आदेश में इसके पश्चात् उक्त औद्योगिक उपक्रम कहा गया है ) के स्वामी मेसर्स एंजिल इण्डिया मशीन्स एण्ड टूल्स लिमिटेड , कलकत्ता का कलकत्त। उच्च न्यायालय द्वारा परिसमापन किया जा रहा है और कम्पनी का कारवार चालू नहीं रखा जा रहा है ;
और केंद्र य सरकार ने, उद्योग ( विकास योग विनियमन ) अधिनियम , 1951 ( 1951 का 65 ) ( जिसे इस आदेश में इसके पश्चात् उक्त अधिनियम कहा गया है ) की धारा 15क की उप धारा ( 2 ) के अधीन उस उच्च न्यायालय से अनुशा प्राप्त करने के पश्चात् उक्त औद्योगिक उपक्रम को चलाने या पुनः श्रारम्भ करने की सःभावना के बारे में व्यक्तियों के एक निकाय द्वारा अन्वेषण कगया था ;
और केन्द्रीय सरकार ने , अपनी यह राय होने पर कि उक्त श्रौद्योगिक उपक्रम को चलाने या पुनः आरम्भ करने की सम्भावनाएं हैं. उक्त अधिनियम की धारा 18 चक की उप -धारा ( 1 ) के अधीन कलकसा उच्च न्यायालय को एक आवेदन किया था, जिसमें यह प्रार्थना की गई थी कि उक्त श्रौद्योगिक उपक्रम का प्रबन्ध ग्रहण करने के लिए किसी व्यक्ति को या व्यक्तियों के निकाय को नियुक्त करने की अनशा THE GAZETTE OF INDIA EXTRAORDINARY

प्रदान की जाए । उक्त उच्च न्यायालय ने अपने तारीख 27 मई, 1974 के आदेश द्वारा उक्त अनश। प्रदान कर दी है :
अतः अत्र, उक्त अधिनियम की धारा 18 चक की उप- धारा ( 2 ) द्वारा प्रदत्त शक्तियों और इम निमित्त उसे समर्थ बनाने वाली अन्य सभी शक्तियों का प्रयोग करते हुए , केन्द्रीय सरकार , व्यक्तियों के एक निकाय को , जिसमें निम्नलिखित होंगे ( जिसे इसमें इसके पश्चात् प्राधिकृत निकाय कहा गया है ) , उक्त सम्पूर्ण औद्योगिक उपक्रम , अर्थात् मैसर्स एंजिल इण्डिया मशीन्स एण्ड टूल्स लिमिटेड का निम्नलिखित निबन्धनों और शर्तों पर प्रबन्ध ग्रहण करने के लिए प्राधिकृत करती है:-

निबन्धन और शत :--
1. प्राधिकृत निकाय केन्द्रीय सरकार दवारा ममय -समय पर जारी किए गए सभी निदेशों का अनुपालन करेगा ;
2. प्राधिकृत निकाय इस आदेश के राजपत्र में प्रकाणन की तारीख से पांच वर्ष तक पदधारण करेगा :
3. केन्द्रीय सरकार प्राधिकृत निकाय के नियुक्ति काल को इससे पूर्व भी समाप्त कर सकेगी , यदि वह ऐसा करना आवश्यक ममझे ;
यह आदेश राजपत्त्र में उसके प्रकाशन की तारीख से ग्रारम्भ होने वाली पांच वर्ष की अधि तक प्रभावी रहेगा ।
