S.O. 375 ( E ) Whereas the Central Government is of opinion that it is neces- sary to appoint a Commission of Inquiry for the purpose of making an inquiry into a definite matter of public importance namely , the need for ascertaining as to whether , in order to show any undue favour , or to cause any undue pecuniary or other benefit to accrue , to one or more of the following Maruti concerns-
( 1) Messrs Maruti Jamited , a company formed and registered under the Companies Act , 1956 ( 1 of 1956) and having its registered office at Palam-Gurgaon Road , Gurgaor ( Haryana ) ;
( 11 ) Messrs Maruti Heavy Vehicles ( Private ) Limited , a company formed and registered under the Companies Act , 1950 ( 1 of 1956 ) and having its registereded office at 138 - B . New Colony, Gurgaon ( formerly , Palam- Gurgaon Road , Gurgaon ) ,
( 111 ) Messrs Maruti Technical Services ( Private ) Limited , a company formed and registered under the Companies Act , 1956 ( 1 of 1956 ) and having 1ts registered office at E - 49 , Kirti Nagar , New Delhi ,
( IV ) any other body corporate or firm which is in the same group or is under the same management as the companies aforesaid or is inter - connected with one or more of the said companies ,
there was any abuse of power or position or contravention of law or normal official procedure by, or with the connivature of, any person in authority , or any other

person related to , or associated with , such person in authority , or any other high official or other public servant in relation to all or any of the matters specified in the Annexure to this notification ,
Now , therefore , in exercise of the powers conferred by section 3 of the Com- missions of Inquiry Act , 1952 ( 60 of 1952 ) , the Central Government hereby appoints a Commission of Inquiry consisting of a single member , namely , Justice D. S. Mathur , a retired Chief Justice of the High Court of Allahabad .
2. The terms of reference of the Commission shall be as follows .-
(a) to inquire into the matters specified in the Annexure to this notification in relation to the companies and firms specifled in the foregoing para- graph to ascertain whether , in order to show any undue favour , or to cause any undue pecuniary or other benefit to accrue , to one or more Marutu concerns , there was any abuse of power or position or contra- vention of law or normal official procedure by, or on the part of , any person in authority , or any other person related to , or associated with , such person in authority , or any other high official or public servant in relation to all or any of the matter specified in the Annexure to this notification , and if so , the facts and circumstances relatingto , or per- taining to , such abuse of power , position or contravention , the extent of involvement of , or improper pecuniary benefit derived by , any person aforesaid , and the extent of undue favour shown by such person to one or more of the said companies or firms and the undue financial or other benefit accruing to such companies or firms by reason , or in conse- quence , of such favour , and
(b) to inquire into any other matter which arises from or is connected with or incidental to any act , omission or transaction referred to in the Annexure aforesaid
3. The headquarters of the Commission shall be al Delhi .
4. The Commission will complete its inquiry and report to the Central Govern- ment on or before the 31st day of December 1977 , and may also submit such interim report or reports concerning such matter or matters , referred to in the An- nexure , as it may think fit
5. And whereas the Central Government is of opinion that having regard to the nature of the inquinquiry to be made and other circumstances of the case that all the provisions of sub - section ( 2 ) , sub - section ( 3 ) , sub - section (4 ) and sub - section ( 5) of section 5 of the Commissions of Inquiry Act , 1952 ( 60 of 1952 ) , should be made applicable to the Commission , the Central Government hereby directs in exercise of the powers conferred by sub - section ( 1 ) of the said section 5 , that all the provi- sions of the said sub- sections ( 2 ) ( 3 ) , ( 4) and ( 5 ) of that section shall apply to the Commission
ANNEXURE
1 All matters pertaining to the initiation , processing and clearing of the Maruti small car project including
(a) the comparative merit of the Maruti car project vis - a - vis other claimants for a licence to manufacture a small car ,
(b ) the preference , if any , shown to the sald maruti car project and , in case there was any such preference , the reasons for the preference shown and its justifiability
2 All matters relating to the proper testing and clearance , by the appropriate authority , of the prototype Maruti car and its parts and components
3. All matters pertaining to the propriety and the legality of acquisition or allotment of land in Gurgaon district in the State of Haryana, including
(a) the propriety of allowing the location of the complex of buildings of Maruti Limited at its present site .
(b) the circumstances relating to and the manner of the dispossession of the erstwhile occupants / owners of the land , and
(c) the nature and adequacy of the compensation paid or payable to them
4. All matters pertaining to the propriety of the methods by which these con- cerns raised capital , working capital and other financial resources , and the manner in which these financial resources were utilised .

5. All matters pertaining to the manner and method of selecting and appointing dealers and sales agents including the stipulation and collection of money from such dealers and agents and the accounting custody and utilisation of the money so collected
6 All matters pertaining to the agreements entered into by any of the said concerns with any other Maruti concern , or with any other individual , firm , or body corporate, the extent to which these agreements resulted in diverting funds from one to the other for the pecuniary benefit of these concerns or the persons connected with the affairs of these concerns , the justifiability of such agreements and the extent of performance and proper implementation of these agreements .
7 All matters pertaining generally to the negotiation , conclusion and execution of contracts and agreements between the said Maruti concerns and ( a ) departments of the Central or State Governments , ( b ) public sector undertakings , ( c ) statutory corporations , ( d ) Government companies , and ( e ) local bodies , including generally the terms of such contracts and agreements , the reasonableness thereof , the measure of freedom that the aforesaid contracting parties hadin entering into such contracts and agreements , the competitive character of such contracts and agree- ments , the extent of adherence to the normal formalities in the matter of entering Into such contracts and agreements , the extent of the extra financial burden that the other parties to the contract had to bear under such contracts and agreements , the quality of the performance of the contracts by the said Maruti concerns and the standard and utility of the goods and services supplied under such contracts and agreements , as well as covering particularly all aspects of such contracts and agreements between the said Maruti concerns , either as principals or agents , and the aforesaid contracting parties relating to the supply of mounted cranes , trucks , road rollers and aircraft , and the building of bus bodies
8 In relation to the contracts and agreements mentioned in item 7 , all matters which pertain to or suggest undue influence ,fluence , coercion , mis - representation exercised , used or made by the Maruti concerns or by any of their Directors , Managing Direc tor, officers , associates or any person or persons , either connected directly or in- directly with the said concerns or acting on the instructions , instance or guidance of any such Director , Managing Director , officer , associate or any other person .
9 The nature , magnitude , justifiability , propriety and legality of the financial and other benefits that accrued to all or any of the said Maruti concerns or to any person connected in any manner directly or indirectly with the said concerns or his friends , relatives or dependents , arising out of the contracts and agreements mentioned in item 7 , as well as all matters relevant to the determination of res- ponsibility for entering into these contracts
10 All facts and circumstances relating to allotment of controlled commodities and materials , like steel and cement , to the said concerns and their utilisation or disposal otherwise
11 All matters relating to the securing of accommodation , loans or other assis- tance from nationalised banks and other financial institutions by the said Maruti concerns , including thethe eligibility of the said concerns to obtain the financial assıs- tance sought for , the standard of care with which the applications were considered and the measure of conformity to the policies , practices , rules and directives for the time being in force in regard to grant of such assistance
12 All matters pertaining to foreign collaboration agreements , contracts with foreign parties and all foreign exchange transactions entered into by all or some or any of the said Maruti concerns , including the capacity and execution capabı- lities of the Indian collaborating party to the agreement , the merits and fairness of such agreements , the modus operandi of securing such agreements and the degree of conformity to law , prescribed conditions , policies , practices , rules and regulations in relation to the entering into and / or approval of these said agreements, contracts and transactions
13 All matters in relation to items 1 to 12 pertaining to the role and part of any Director or Managing Director of the said Maruti concerns , or any friend or asso- ciate of such Director or Managing Director , and all the facts and the circumstances relating to cases where any direct or indirect advantage was taken of any relation- ship or connection of any such Director or Managing Director with any Minister or other public servant as well as the role of any persons who directly or indirect- ly aided or assisted in the taking of such an advantage .

का० प्रा० 375 ( श्र ) . केन्द्रीय सरकार की राय है कि सार्वजनिक महत्व के एक विशेष मामले की जाच करने के प्रयोजन के लिए एक जाच आयोग नियुक्त करना श्रवण्यक है । वह मामला है यह पता लगाने की आवश्यकता कि क्या निम्नलिखित मात्रति समुत्थान अर्थात्:-
(i ) मैसर्स मारुति लिमिटेड, जो कम्पनी श्रधिनियम , 1956 ( 1956 का 1) के अधीन बनाई गई और रजिस्ट्रीकृत कम्पनी है और जिसका रजिस्ट्रीकृत कार्यालय पालम -गुड़गाव रोड, गुडगांव ( हरियाणा ) है ;
( ii) मैसर्स मारुति हैवी वैहिकल्स प्राइवेट लिमिटेड, जो कम्पनी अधिनियम, 1956 ( 1956 का 1 ) के अधीन बनाई गई और रजिस्ट्रीकृत कम्पनी है मौर जिसका रजिस्ट्रीकृत कार्यालय 138 -बी, न्यू कालोनी गुडगांव ( पहले पालम-गुडगाव रोड , गुडगाव ) है ;
( iii ) मैसर्स मारुति टैक्निकल सर्विसेज प्राइवेट लिमिटेड , जो कम्पनी श्रधिनियम , 1956 ( 1956 का 1 ) के अधीन बनाई गई और रजिस्ट्रीकृत कम्पनी है और जिसका रजिस्ट्रीकृत कार्यालय ई -49 , कीर्ति नगर, नई दिल्ली है ;
( iv) कोई अन्य निगमित निकाय या फर्म, जो पूर्वोक्त कम्पनियों के ही ग्रुप की ही है या उसी प्रबन्ध के अधीन है या उक्त कम्पनियो मे से एक या अधिक से आपस में जुडी हुई है ,
में से एक या अधिक के साथ कोई असम्यक पक्षपात करने के लिए या उन्हे असम्यक धन सम्बन्धी या अन्य फायवे पहुंचाने के लिए किसी प्राधिकारवान व्यक्ति या ऐसे प्राधिकारवान व्यक्ति से सम्बन्धित या सहयुक्त किसी अन्य व्यक्ति या किसी अन्य उच्च पदाधिकारी या अन्य लोकसेवक द्वारा या उसकी मौनानुकूलता से इम अधिसूचना के उपाबन्ध में विनिर्दिष्ट सभी या किन्हीं मामलों में कोई शक्ति या हैसियत का बुरुपयोग या विधि अथवा प्रसामान्य शासकीय प्रक्रिया का उल्लंघन किया गया था ;
श्रत . जांच आयोग अधिनियम , 1952 ( 1962 का 60) की धारा 3 द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए केन्द्रीय सरकार , इस अधिसूचना द्वारा एक जाच आयोग नियुक्त करती है जिसमें एक सदस्य होंगे अर्थात् श्री डी ० एम ० माथुर, भारत के इलाहाबाद उच्च म्यायालय के सेवानिवृत्त न्यायाधीश ।
2. श्रयोग के निर्देश के निबन्धन निम्नलिखित होंगे , अर्थात्: -
(क) पूर्वगामी पैरा में विनिर्दिष्ट कम्पनियो और फर्मों के सम्बन्ध में इस अधिसूचना के उपाबन्ध में विनिर्दिष्ट विषयों की यह पता लगाने के लिए जांच करना कि क्या इन मारुति समुत्थानों में से एक या अधिक के साथ कोई श्रसम्यक पक्षपात करने के लिए या उन्हे असम्यक धन सम्बन्धी या अन्य फायदे पहुंचाने के लिए किसी प्राधिकारवान व्यक्ति द्वारा या ऐसे प्राधिकारवान व्यक्ति से सम्बन्धित या सहयुक्त किसी अन्य व्यक्ति द्वारा या किसी अन्य भारत का असाधारण राजपत्र

उच्च पदाधिकारी या अन्य लोकसेवक द्वारा इम अधिसूचना के उपाबन्ध में विनिर्दिष्ट मभी या किन्ही मामलो मे कोई शक्ति या हैसियत का दुरूपयोग या विधि अथवा प्रमामान्य शासकीय प्रक्रिया का उल्लघन किया गया था और यदि ऐसा हुआ है तो ऐसी शक्ति या हैसियत के दुरूपयोग या उल्लघन के बारे में या उनसे सम्बद्ध तथ्य और परिस्थितिया , पूर्वोक्त किसी व्यक्ति द्वारा अन्तर्लित होने का या अनुचित धन सम्बन्धी फायदा पाने का विस्तार और ऐसे व्यक्ति द्वारा पूर्वोक्त कम्पनियो या फर्मों में से एक या अधिक के साथ किए गए असम्यक पक्षपात का विस्तार और ऐसे पक्षपात के कारण या उसके परिणामस्वरूप ऐसी कम्पनियो या फर्मों को होने वाले असम्यक धन सम्बन्धी या अन्य फायदे ।
(ख ) किसी ऐमे मामले की जाच करना जो पूर्वोक्न उपाबन्ध मे निर्दिष्ट किसी कार्य , लोप या सव्यवहार से उत्पन्न होता है या सम्बन्धित है या उमक। आनुषगिक है ।
3. आयोग का मुख्यालय दिल्ली में होगा ।
4. श्रयोग अपनी जाच पूरी करके 31 दिसम्बर , 1977 को या उससे पहले केन्द्रीय सरकार को रिपोर्ट देगा और आयोग उपाबन्ध मे निर्दिष्ट ऐसे मामले या ऐसे मामलो के सम्बन्ध में ऐमी अन्तरिम रिपोर्ट या रिपोर्ट दे सकेगा जो वह ठीक समझे ।
5. आयोग द्वारा की जाने वाली जांच के स्वरूप और मामले की अन्य परिस्थितियों 'हो ध्यान में रखते हुए केन्द्रीय सरकार की यह राय है कि जाच आयोग अधिनियम , 1952 (1952 का 60 ) की धारा 5 की उपधारा ( 2 ) , उपधारा ( 3 ) उपधारा ( 4) और उपधारा ( 5 ) के सत्त उपबन्ध आयोग को लागू किए जाने चाहिए । अत केन्द्रीय सरकार धारा 5 की उपधारा ( 1 ) द्वारा दी गई शक्तियो का प्रयोग करते हुए इसके द्वारा यह निदेश देती है कि उक्त धारा की उपधारा ( 2 ) , उपधारा ( 3 ) उपधारा ( 4 ) और उपधारा ( 5 ) के सब उपबन्ध आयोग को लागू होगे ।
उपायम्ष
1. मारुति छोटी कार परियोजना के प्रारम्भ, उस पर कार्यवाही के दौरान और मंजूरी मिलने से सम्बन्धित सभी मामले जिनके अन्तर्गत निम्नलिखित भी है ; अर्थात्:--
( क) छोटी कार के विनिर्माण के लाइसेस के अन्य दाबेदारों की तुलना मे मारुति कार परियोजना का तुलनात्मक गुणागुण,
( ख ) उक्त मारुति कार परियोजना को क्या कोई अधिमान दिया गया , हा तो अधिमान देने के कारण और उनका औचित्य ।
2. समुचित प्राधिकारी द्वारा मारुति कार और उसके भाग तथा पुर्जों का उचित परीक्षण और उन्हें मंजूरी देने से सम्बन्धित सभी मामले जिनके अन्तर्गत इस प्रक्रिया में इस परियोजना के प्रति किया गया असभ्यक पक्षपात भी है ।

3. हरियाणा राज्य के गुडगांव जिले में भूमि के अर्जन या आवंटन के औचित्य और बैधता से सम्बन्धित सभी मामले जिसके अन्तर्गत निम्नलिखित भी है , अर्थात्: --
(क) मारुति लिमिटेड के भवन समूह का अपने वर्तमान स्थल पर अवस्थिति की मजूरी का औचित्य ,
(ख ) भूमि के उस समय के अधिभोगी या स्वामियों को बेदखल करने से सम्बन्धित परिस्थितियों और बेदखल करने की रीति, और
(ग) उन्हें सदेय या संदत्त प्रतिकर की प्रकृति और पर्याप्तता ।
4. उस प्रक्रिया के औचित्य से सम्बन्धित सभी मामले जिससे इन समुत्थानों में पूजी, कार्यकारी पूजी और अन्य वित्तीय साधन जमा किए और वह रीति जिससे इन वित्तीय साधनो का प्रयोग किया गया ।
5. व्यवहारी और विक्रय अभिकर्ता चुनने और नियुक्त करने के ढग और रीति से संबंधित सभी मामले जिसके अन्तर्गत ऐसे व्यवहारी और अभिकर्ताओं से धन की शर्त और सग्रहण भी है तथा इस प्रकार संग्रहीत धन का लेखा, श्रभिरक्षा और उपयोग ।
6. मारुति समुत्थानो में से किसी के द्वारा किसी अन्य मारुति समुत्थान या किसी अन्य व्यक्ति , फर्म या निगमित निकाय के साथ किए गए करार से सबंधित सभी मामले , वह विस्तार जिस तक ऐसे करारो का परिणाम एक से दूसरे को इन समुत्थानो के या उन समुत्थानों के कार्यकलापों से सम्बद्ध व्यक्तियो के फायदे के लिए निधियो का पथातर करना था, ऐसे करागे का औचित्य और ऐसे करारो का अनुपालन या उचित क्रिया वयन की मात्ना ।
7. उक्त मारुति समुत्थानो और ( क ) केंन्द्रीय या राज्य सरकारो के विभागों के ( ख ) पब्लिक सैक्टर उपक्रमो के ( ग ) कानूनी निगमो के ( घ ) सरकारी कम्पनियो के और ( ड ) स्थानीय निकायो के बीच सविदाओ या करारों की बातचीत , उनके अंतिम रूप दिए जाने और उनके निष्पादन से साधारणतः सबधित सभी मामले जिसके अन्तर्गत उनकी युक्तियुक्तता , पूर्वोक्त सविदाकारी पक्षकारो को ऐसे सविदाओ और करारो को करने की स्वतंत्रता की मात्रा , ऐसे सविदा और करारों मे स्पर्धा थी या नही, ऐसे सविधा या करारों को करने के मामले मे प्रसामान्य औपचारिकताए कहा तक मानी गई , ऐसी संविदा और करारो के अन्य पक्षकारो को कितना अतिरिक्त वित्तीय भार सहन करना पडा, उक्त मारुति समुत्थानों द्वारा सविदाओ के अनुपालन की क्वालिटी और ऐसी सविधाओ और करारो के अधीन प्रदाय किए गए मामले और सेवाश्रो का स्तर , और उपयोगिता ।
साथ ही साथ इसके अन्तर्गत विशिष्टतया व सब मामले है जो मालिक या श्रभिकर्ता के रूप में उक्त मारुति समुत्थानों और पूर्वोक्त सविदाकारी पक्षकारो के बीच माउटेड क्रेन , ट्रक, रोड रोलर और वायुयान तथा बस बाडियो के बनाने के सबध में की गई संविदाओ और करारो के सभी पहलुओ को छूते हैं ।
8. बिन्दु 7 में लिखित संविधानो और करारो के सबध में सभी मामले जो उक्त मारुति समुस्थानो द्वारा या उनके किसी निदेशक , प्रबन्ध निदेशकफ , अधिकारी या सहयुक्त द्वारा या किसी अन्य व्यक्ति या व्यक्तियों द्वारा जो उक्त समुस्थानो से प्रत्यक्ष या अप्रत्यक्ष 2021 भाग II-खं . 3 ( ii )
भारत का असाधारण राजपत्र
रूप से सम्बद्ध किसी व्यक्ति या व्यक्तियो द्वारा अथवा ऐसे निदेशक, प्रबन्ध निदेशक, अधिकारी , सहयुक्त या किसी अन्य व्यक्ति के अनुदेश , प्रेरणा या मार्गदर्शन में काम करने वाले किसी व्यक्ति या व्यक्तियों द्वारा किए असम्यक प्रभाव , प्रपीड़न या मिथ्या व्यपदेशन से सम्बद्ध है या जिनसे ऐसा होने का आभास होता है ।
9. उक्त सभी या किन्ही मारुति समुत्थानो या उक्त समुत्थानो से प्रत्यक्ष या अप्रत्यक्ष रूप से सम्बद्ध किसी व्यक्ति या उसके मित्र, नातेदार या आश्रितो को बिन्दु 7 में उर्जा लखित संविदाओ और करारो से होने वाली वित्तीय और अन्य फायदो की प्रकृति, परिमाण औचित्य, न्यायोचितता और बैधता और साथ ही ऐनी सविदाओ को करने के उत्तरदायित्व का अवधारण करने से सबंधित सभी मामले ।
10. उक्त समुत्थानो को इस्पात और सीमेंट जैसी नियत्रित वस्तो के आवटन और उनके उपयोग या अन्यथा व्ययन से संबधित सभी तथ्य और परिस्थितियां ।
11. उक्त मारुति समुत्थानों द्वारा राष्ट्रीयकृत बँको और अन्य वित्तीय संस्थानो से सौकर्य , उधार या अन्य सहायता प्राप्त करने से संबंधित सभी मामले जिसके अन्तर्गत उक्त समुत्थानो की चाही गई वित्तीय सहायता प्राप्त करने की पात्रता, आवेदनो पर विचार करने में सावधानी का स्तर और ऐसी सहायता देने के बारे में तत्समय प्रवृत्त नीतियो, प्रणालियो, नियमो और निदेशो के पालन की मात्रा है ।
12. उक्त मारुति समुत्थानो मे से सभी या किन्ही द्वारा किए गए विदेशी सहयोग करार , विदेशी पक्षकारों से की गई संविदाए और विदेशी मुद्रा के सद्व्यवहार से सबधित सभी मामले जिसके अन्तर्गत करार के भारतीय सहयोगी पक्षकार की क्षमता और निष्पादन की समर्थता , ऐसे करारो के गुणागुण और ऋजुता, ऐसे करारो को करन का ढंग और ऐसे करारों, संविदाओ और संव्यवहारो को करने या उनके अनुमोदन से सबधित विधि , विहित शर्तों , नीतियो , प्रणालियो , नियमों और विनियमो के पालन की मात्रा ।
13 ऊपर के बिन्दु 1 से 12 के संबंध में उक्त मारुति समत्थानां के किसी निदेशक या प्रबन्ध निदेशक या ऐसे निदेशक या प्रबन्ध निदेशक के किसी मित्र या नातेदार या आश्रित की भूमिका और भाग से सबधित सभी भामले और उन मामलो से सबधित सभी तथ्य और परिस्थितियां जहा ऐसे निदेशक या प्रबंध निदेशक के किसी मंत्री या अन्य लोकसेवक से नातेदारी या सबध का प्रत्यक्ष या अप्रत्यक्ष फायदा उठाया गया था साथ ही साथ ऐसे व्यक्तियो की भूमि का जिन्होने प्रत्यक्ष या अप्रत्यक्ष रूप से ऐसे फायदे उठाने में मदद या महायता दी थी ।
