का० प्रा० 286 ( प्र) / 18 फक/प्राई० डी० आर ० ए० / ४० -भारत सरकार के उद्योग मंत्रालय (श्रौद्योगिक विकास विभाग ) के श्रादेश सं ० एस ० ओ० 293 (अ)/ 18- एए/उ ०वि०वि० भ०/ 78, विनांक 1 मई, 1978 द्वारा एल्यू मिनियम कारपोरेशन ग्राफ इंडिया लिमिटेड , कलकत्ता के आसनमोल के ममीप जे० के ० नगर में स्थित औद्योगिक उपक्रम का प्रवन्ध, उद्योग (विकास और विनियमन ) अधिनियम, 1951 ( 1951 का 65 ) की धारा 13 कक की उपधारा ( 1 ) के अधीन 30 अप्रैल , 1979 तक (जिसमें यह दिन भी शामिल है) एक वर्ष की अवधि के लिए ग्रहण किया गया था और भारत एल्यूमिनियम कम्पनी लिमिटेड को उक्त श्रौद्योगिक उपक्रम का प्रबन्ध ग्रहण करने के लिए प्राधिकृत किया गया था;

और, भारत गरकार के उद्योग मंत्रायत्र ( औद्योगिक विकास विभाग ) के दिनांक 25 अप्रैल , 1979 के एम ० ओ० 224 (थ) मंख्यक आदेश द्वारा उक्त श्रादेश एक वर्ष की और अवधि के लिए दिनाक 20 अप्रैल, 1980 तक बढ़ा दिया गया था ;

और, भारत मरकार की राय है कि लोकहिन में यह ममीचीन है कि उक्त औद्योगिक उपक्रम को छः महीनों की और अधि के लिए दिनाक 31 अक्तूबर , 1980 तक भारत एल्यूमिनियम कम्पनी लिमिटेड के प्रयन्ध- तंत्र के अधीन बना रहना चाहिए ;

अतः , अब केन्द्रीय सरकार उक्त अधिनियम की धारा 18कक की उपधारा ( 2 ) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए निदेश देती है कि ऊपर उल्लिखित आवेश 31 अक्तूबर, 1980 तक , इसमें यह विन भी शामिल है , छः महीनों की और अवधि के लिए प्रभावी बना रहेगा ।

ORDER

New Delhi , the 29th April, 1980

S.O. 286 ( E )/18AA/IDRA/80.-Whercas by the Order of the Government of India in the Ministry of Industry (De partment of Industrial Development ) No. S.O. 293 (E) / 18AA/ IDRA/ 78 , dated the 1st May , 1978 , the management of the Industrial Undertaking located at Jaykaynagar near Asansol belonging to the Aluminium Corporation of India Limited , Calcutta, was taken over under sub- section ( 1 ) of section 18AA of the Industries (Development and Regulation ) Act , 1951 ( 65 of 1951 ) , for a period of one year upto and in- clusive of the 30th April , 1979 and the Bharat Aluminium Company Limited was authorised to take over the manage- ment of the said industrial undertaking ;

And whercas by the order of the Government of India in the Ministry of Industry ( Department of Industrial De- velopment ) No. S.Q. 224 ( E) , dated the 25th April , 1979 , the duration of the said Order was extended for a further period of one year upto 30th April , 1980.

And, whereas the Central Government is of opinion that it is expedient in the public interest that the said industrial undertaking should continue under the management of the Bharat Aluminium Company Limited for a further period of six months upto and inclusive of 31st October , 1980 .

Now, therefore , in exercise of the powers conferred by sub- section (2) of section 18AA of the said Act, the

Central Government hereby directs that the Order mentioned above shall continue to have effect for a further period of six months upto and inclusive of the 31st October 1980 .

का० जी० 287 ( प्र)/ 18 एफ० बी० आई० डी० आर ० ए०/ 80.-भारत सरकार के उद्योग मंत्रालय ( औद्योगिक विकास विभाग ) के दिनांक 2 मई 1978 के आदेश संख्या का ०ग्रा ० 302 ( अ)/ 18 एफ०बी ०/ आई ० डी ० आर० ए०/ 78 ( जिसे इसमें इसके पश्चात् उक्त आदेश कहा गया है ) द्वारा केन्द्रीय सरकार ने उद्योग ( विकास और विनियमन) अधिनियम 1951 (1951 का 65) की धारा 18 च ख की उप-धाग ( i) के खण्ड ( ख) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए यह घोषणा की थी कि उक्त आदेश के जारी होने की तारीख के ठीक पूर्व प्रवृत्त ऐसे सभी संवि- दाओं , सम्पत्ति के हस्तांतरण पत्नों, करारों, ममझौतों, पंचाटों, स्थायी श्रादेशों या अन्य लिखतों, जिनका एल्यूमिनियम कारपोरेशन आफ इंडिया लिमिटेड, कलकत्ता का आसनसोल के नमीप जे ० के ० नगर स्थित औद्योगिक उपक्रम , एक पक्षकार है , या जो उक्त श्रौद्योगिक उपक्रम पर लागू हो सकते हों , का प्रवर्तन एक वर्ष की अवधि के लिए निलम्बित रहेगा और उक्त तारीख के पूर्व उनके अधीन प्रोद्भूत या उद्धृत होने याले सभी अधिकार, विशेषाधिकार, बाध्यताएं और दायित्त्य एक वर्ष की अवधि के लिए निलम्बित रहेंगे ;

और , भारत सरकार के उद्योग मंत्रालय (श्रौद्योगिक विकास विभाग) के विनांक 25 अप्रैल , 1979 के का०आ० 225 ( भ)/ 18 एफ ० बी०/ आई०- डी० आर ० ए ०/ 79 संख्यक आदेश द्वारा उक्त श्रादेश एक वर्ष की और अवधि के लिए दिनांक 1 मई, 1980 तक बढ़ा दिया गया था;

और, केन्द्रीय सरकार इस बारे में सन्तुष्ट हो गई है कि उक्त आदेश की अवधि 31 अक्तूबर , 1980 तक, जिसमें यह दिन भी शामिल है, और बढ़ा दी जाए ।

श्रतः अब उद्योग (विकास और विनियमन ) अधिनियम , 1951 (1951का 65) की धारा 18 च च की उप-धारा ( 2 ) के साथ पठित उप-धारा ( 1 ) द्वारा प्रवत्त शक्तियों का प्रयोग करते हुए , केन्द्रीय सरकार उक्त आदेश , की अवधि 31 अक्तूबर, 1980 तक, जिसमें यह दिन भी शामिल है , बढ़ाती है ।

ORDER

S.O. 287 (E )/ 18FB/IDRA/ 80.---Whereas by the Order of the Ciovernment of India in the Ministry of Industry (Depart- ment of Industrial Development ) No. S. O. 302 (E ) 18FB | IDRA/ 78 , dated the 2nd May, 1978 ( hereinafter referred to as the said Order ) , the Central Government , in exercise of the powers conferred by clause (b ) of sub- section ( i ) of Sec- tlon 18FB of the Industries ( Development and Regulation ) Act, 1951 (65 of 1951 ) , had declared that the operation of all contracts , assurances of property, agreements , settle- ments , awards , standing orders or other instruments in force immediately before the date of issue of the said order to which the industrial undertaking located at Jaykaynagar near Asansol and belonging to the Aluminium Corporation India Limited, Calcutta is a party or which may be appli- cable to the said industrial undertaking, shall remain suspen- ded for a period of one year and that all rights , privileges , obligations and liabilities accruing or arising thereunder be- fore the said date shall remain suspended for a period of of one year ;

And, whereas by the Order of the Government of India in the Ministry of Industry (Department of Industrial Develop- ment) No. S.O. 225 (E) / 18FB / IDRA/ 79 dated the 25th April, 1979, the duration of the said order was extended for a fur- ther period of one year upto the 1st May, 1980.

And, whereas the Central Government is satisfied that the duration of the said Order should be extended for a further perlod upto, and inclusive of, the 31st October, 1980;

Now, therefore , in exercise of the powers conferred by sub-section ( 1 ) read with sub- section (2) of section 18FB of the Industries ( Development and Regulation ) Act, 1951 (65

of 1951) , the Central Government hereby extends the dura- tion of the said order up to and inclusive of the 31st October, 1980.

का० आ० 288/ ( 18 )/ आई० डी० आर ० ए० / ४०. केन्द्रीय सरकार ने, उद्योग (विकास और विनियमन) अधिनियम , 1951 ( 1951 का 65) की धारा 18 क के अधीन जारी किए गए भारत सरकार के उद्योग मंत्रालय ( भ्रौद्योगिक विकास विभाग ) के अधिसूचित श्रादेश सं ० का ०आ ० 157( अ) / 18क/आई ० डी० आर ० ए ०/ 79 -तारीख 27 मार्च , 1979 द्वारा पश्चिमी बंगाल सरकार के बंद और रुग्ण उद्योग विभाग के सचिव को, मैंसर्स लिली बिस्कुट कम्पनी ( प्राइवेट लिमिटेड और मैमर्स लिली बारली मिल्म ( प्राइवेट ) लिमिटेड , नामों से ज्ञान दोनों कलकत्ता में अवस्थित श्रऔद्योगिक उपक्रमों का ( जिन्हें इसमें श्रागे उक्त भौद्योगिक उपक्रम कहा गया है ) प्रबन्ध उक्त आदेश में विनिर्दिष्ट भवधि के लिए ग्रहण करने के लिए प्राधिकृत किया है;

श्रतः केन्द्रीय सरकार , उक्त अधिनियम की धारा 185 की उप -धारा ( 2) द्वारा प्रश्त्त शक्तियों का प्रयोग करते हुए , इससे उपाबद्ध अनुसूची में ऐसे अपवादों, निर्बन्धनों और परिसीमाओं को विनिर्दिष्ट करती है जिनके अधीन रहते हुए कम्पनी अधिनियम, 1956 ( 1956 का 1) उक्त श्रौद्यो- गिक उपक्रमों को उसी रीति से लागू होता रहेगा जैसे वह उन्हें धारा ISक के अधीन उक्त प्रधिसूचित आदेश के जारी किए जाने के पूर्व लागू था । छूट की अवधि उस समय समाप्त हो आएगी जब उक्त औद्योगिक उपक्रमों का प्रबन्ध करना केन्द्रीय सरकार द्वारा उद्योग ( विकास और विनियमन) अधिनियम, 1951 ( 1951 का 65) के उपबन्ध के अधीन बन्द कर दिया जाता है ।

अनुसूची

कंपनी अधिनियम , ऐसे अपवाद निर्वन्धन और परिसीमाएं जिनके अधीन 1956 के उपबन्ध रहते हुए स्तम्भ ( 1 ) में वर्णित उपबन्ध उपक्रमों को लागू होंगे ।

धारा 166 इस धारा के उपबन्ध उक्त उपक्रमों को लागू नहीं होंगे । तथापि वे अपनी कानूनी विवरणियों भौर तुलनपत्न कम्पनी के रजिस्ट्रार के पास फाइल करेंगे । यह छूट कंपनी अधिनियम , 1956 की धारा 159 ( 1) उपबन्धों को प्रभावित नहीं करेगी । के

धारा 169 इस धारा के उपबन्ध उक्त श्रौद्योगिक उपक्रमों को लागू नहीं होंगे ।

धारा 210( 1) इम उपधारा के उपबन्ध उक्त मौद्योगिक उपक्रमों को लागू नही होगे । तथापि वे अपनी कानूनी विवणियों और तुलनपत्त्र कंपनी के रजिस्ट्रार को फाइल करेगे । यह छूट, कंपनी अधिनियम , 1956 की धारा 159 ( 1 ) के उपबन्धों को प्रभावित नहीं करेगी ।

धारा 217 इस धारा के उपबन्ध उक्त प्रौद्योगिक उपक्रमों को लागू नही होंगे ।

धारा 219 इस धारा के उपबन्ध उक्त उपक्रमों को लागू नहीं होंगे ।

धाग 224 इस धारा के उपबंध उक्त भौद्योगिक उपक्रमों को इस शर्त के अधीन रहते हुए लागू नहीं होंगे कि लेखा- परीक्षक केन्द्रीय सरकार द्वारा नियुक्त किए जाएंगे ।

धारा 225 इस धारा के उपबन्ध उक्त भौद्योगिक उपक्रमों को इस शर्त के अधीन रहते हुए लागू नहीं होंगे कि लेखापरीक्षक केन्द्रीय सरकार द्वारा नियुक्त किया जाएगा ।

धारा 294 इस धारा के उपबन्ध उक्त प्रौद्योगिक उपक्रमों को लागू नहीं होंगे ।

S.O. 288/18 (E )/IDRA/80.-Whereas by the notified order of the Government of India in the Ministry of Industry (Depart- ment of Industrial Development) No. S. O. 157( E) / 18A/IDRA/79 , dated the 27th March , 1979 , issued under section 18A of the Industries (Development and Regulation ) Act , 1951 (65 of 1951 ) , the Central Government has authorised the Secretary to the Government of West Bengal in the Department of Sick and Closed Industries , Calcutta to take over the management of the industrial undertakings known as Messrs Lily Biscuit Com- pany Private Limited and Messrs Lily Barley Mills (Private ) Limited , both located at Calcutta ( hereinafter referred to as the said industrial undertakings ) for the period specified therein .

Now, therefore , in exercise of the powers confcired by sub- section (2) of section 18E of the said Act , the Central Govern- ment , hercby specifics , in the Schedule annexed thereto the exceptions , restrictions , and limitations subject to which the com- panics Act , 1956 ( 1 of 1956 ) , shall continue to apply to the said industrial undertakings in the same manner as it applied there- to before the issue of the said notified order undersection 1 8A . The period of exemption shall terminate when the said industrial undertakings cease to be managed by the Central Government under the provisions of the industrics (Develop- ment and Regulation) Act , 1951 (65 of 1951) .

SCHEDULE

Provisions of the Com- panics Act , 1956

Exceptions , restrictions and limitations subject to which the provisions mentioned in column (1) shall apply to the under- takings .

Section 166 Provisions of this section shall not apply to the said undertakings . They shall however , file their statutory returns and balance sheets with the Registrar of Companies . The exemption will not affect the provisions of section 159 ( 1 ) of the Companies Act , 1956 .

Section 169 Provisions of this section shall not apply to the said industrial undertakings .

Section 210( 1) Provisions of this sub - section shall not ap- ply to the said industrial undertakings . They shall , however , file their statutory returns and balance sheets with the Registrar of Companies . The exemption will not affect the provisions of section 159( 1 ) of the Companies Act , 1956.

Section 217

Provisions of this section shall not apply to the said industrial undertakings .

Section 219

Provisions of this section shall not applyto the said undertakings .

Section 224

Provisions of this section shall not apply to the said industrial undertakings sub- ject to the condition that the auditor shall be appointed by the Central Gove- rnment .

Section 225 Provisions of this section shall not apply to the said industrial undertakings sub- ject to the condition that the auditor shall be appointed by the Central Govc- rnment .

Section 294

Provisions of this section shall not apply to the said industrial undertakings .
