सा० का ० ति ० 380 (थ ) केन्द्रीय सरकार, कम्पनी अधिनियम, 1956 (1956 का 1 ) की धारा 642 के साथ पठिन धारा 58 क द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए और भारतीय रिजर्व बैंक से परामर्श कारके कम्पनी ( निक्षेपों का प्रतिग्रहण ) नियम, 1975 का और संशोधन करने के लिए निम्नलिखित नियम बताती है, अर्थात्--
1. (1) इन नियमों का संक्षिप्त नाम कम्पनी (निक्षेपों का प्रति- ग्रहण ) तृतीय संशोधन नियम, 1980 है ।
(2) इन नियमों में जैसा उपबंधित है उसके सिवाय ये राजपत्न में प्रकाशन की तारीख को प्रवृत्त होंगे ।
2. कम्पनी (निक्षेपों का प्रतिग्रहण ) नियम, 1975 के (जिसे इस में इसके पश्चात् उक्त नियम कहा गया है ) नियम 3 के उप- नियम (1 ) के परन्तुक में
(क) "उप-धारा ( 2 ) के खुण्ड (i) में निर्दिष्ट ऐसे निक्षेप का" शब्दों के स्थान पर "उप नियम (2 ) के खण्ड (i ) में निविष्ट ऐसे निक्षेप का" शब्द, अंक और कोष्ठक रखे जाएंगे ;
(ब) 1 अप्रैल, 1981 से "उप नियम (2 ) के खण्ड (i ) में निर्दिष्ट ऐसे निक्षेप का" शब्दों, अंकों भौर कोष्ठकों के स्थान पर "निक्षेप " शब्द रखा जाएगा,
3. उक्त नियमों से उपाबद्ध प्ररून में--
(i ) भाग क में--
(क) मव i और ii के स्थान पर निम्नलिखित मद i ौर ii रखी जाएगी, अर्थातः--
"(1 ) नियम के उप नियम ( 2 ) के खण्ड ( i ) में निर्दिष्ट प्रकार के निक्षेप
(क ) पूर्ववर्ती प्रवन्ध अभिकर्ताओं या सचिवों और कोषनालों द्वारा गारन्टीकृत निक्षेत्र , जो ऋणों के रूप में प्राप्त किए गए हों?
(ख) अप्रतिभूत डिवेंचर
(ग ) ऐसे निक्षेप जिसमें शेयरधारकों से ( जिसमें प्राइवेट लिमिटेड कम्पनी के शेयरधारक नहीं हैं ) प्राप्त भ्रप्रतिभूत ऋण सम्मि लित हैं किन्तु निवेशकों से प्राप्त ऋणों को छोड़कर
(घ ) ऐसे निक्षेप जिनमें निवेशकों द्वारा अपनी दैवैयक्तिक हैसियत में गारन्टीकृत ऋण सम्मिलित है ।
(क) योग (क +खगघ )
(ii ) नियम 3 के उपनियम ( 2 ) के खण्ड ( ii ) में निविष्ट प्रकार के निक्षेप--
(च) नियत निक्षेप
(छ) कोई अन्य निक्षेप
(ज) योग (च+ छ)

(ख) इस प्रकार रखी गई मव i और ii के स्थान पर , 1 अप्रैल , 1981 से निम्नलिखित मद । और मव ii रखी जाएंगी अर्थातः
"ⅰ . नियम 3 के उप नियम ( 1 ) के प्रथम परस्नूक में निविष्ट प्रकार के निक्षेप ।
ii. नियम 3 के उप- नियम ( 2 ) में निविष्ट प्रकार का निक्षेप । "
(2) भाग ख में--
(क) मत्र 1 में
(i) 'नियम 3 ( 1 ) के यम परन्तुक के अन्तर्गत निक्षेप" शब्दों, अंकों और कोष्रों के स्थान पर " नियम 3 के उप-नियम ( 2 ) के स्वार (1 ) के श्रानगंग निक्षेप" शब्द, अंक और कोलक रखे जाएंगे ;
(ii ) इस प्रकार रखे गए "नियम 3 के उप-नियम (2 ) के खण्ड ( i ) के अन्तर्गत निक्षेप " शब्दों, अंकों और कोष्ठकों के स्थान पर , 1 अप्रैल, 1981 से " नियम 3 के उप- नियम ( 1 ) के प्रथम परन्तुक के अन्तर्गत निक्षेप" शब्द, अंक और कोष्ठका रखे जाएंगे ;
(ख) मद ii में--
(i ) "नियम 3 (2 ) के अन्तर्गत निक्षेप" शब्दों, अंकों और कोष्ठकों के स्थान पर " नियम 3 के उप- नियम ( 2 ) के खण्ड ( ii ) के अन्तर्गत निक्षेप " शब्द, अंक और कोष्ठक रखे जाएंगे ;
(ii ) इम प्रकार रखे गए " नियम 3 के उप- नियम (2 ) के खण्ड (ii ) के अन्तर्गत निक्षेप " शब्दों, अंकों और कोष्ठकों के स्थान पर, 1 अप्रैल, 1981 से "नियम 3 के उप- नियम (2 ) के अधीन निक्षेप " शब्द, अंक और कोष्ठक रखे जाएंगे ।
(3) भाग में
क) मद 1 में-
(i) "नियम 3 (1 ) के प्रथम परन्तुक के अन्तर्गत निक्षेप" शब्दों, अंकों और कोष्ठकों के स्थान पर, " नियम 3 के उपनियम ( 2 ) के खण्ड (1 ) के अन्तर्गत निक्षेप" शब्द, अंक और कोष्टक रखे जाएंगे ;
(ii ) इम प्रकार रखे गए " नियम 3 के उप -नियम (2 ) के खण्ड (i ) के अन्तर्गत निक्षेप " शब्दो, अंधों और कोष्ठकों के स्थान पर, 1 अप्रैल, 1981 से "नियम 3 के उप- नियम ( 1 ) के प्रथम परन्तुक के अन्तर्गत निक्षेप" शब्द, अंक और कोष्ठक रखे जाएंगे ।
(ख) मव ii में--
(i ) "मियम 3 ( 2 ) के अन्तर्गत निक्षेप " शब्दों, अंकों और कोष्ठकों के स्थान पर "नियम 3 के उप-नियम (2 ) के खण्ड ( ii ) के अन्तर्गत निक्षेप " शब्द, अंक और कोष्ठक रखे जाएंगे ।
(ii ) इस प्रकार रखे गए "नियम 3 के उप-नियम ( 2 ) के खण्ड (ii ) के अन्तर्गत निक्षेप" शब्दों, अंकों और कोष्ठकों के स्थान पर , 1 अप्रैल , 1981 से "नियम 3 के उप- नियम ( 2 ) के अन्तर्गत निक्षेप " शब्द, अंक और कोष्ठक रखे जाएंगे ।
( 1) प्रवन्धक का प्रमाण-पत्र में-
(का) "नियम 3 ( 1 ) के प्रथम परन्तुक्क में निर्दिष्ट प्रकार के निक्षेप" शब्दों, अंकों और कोष्ठकों के स्थान पर, "नियम 3 के उप-

नियम (2) के खण्ड ( 1 ) में निविष्ट प्रकार के निक्षेप" शब्द, ग्रंक और कोष्ठक रखे जाएंगे ;
(ख) इस प्रकार रखे गए " नियम 3 के उपनियम ( 2 ) के खण्ड (i) में निविष्ट प्रकार के निक्षेप" शब्दों, अंकों और कोष्ठकों के स्थान पर, 1 अप्रैल, 1981 से " नियम 3 के उपनियम ( 1 ) के प्रथम परन्तुक में निर्दिष्ट प्रकार के निक्षेप " शब्द , अंक और कोष्ठक रखे जाएंगे ;
(ग) "नियम 3 ( 2 ) में निर्दिष्ट प्रकार के निक्षेप" शब्दों, अंकों और कोष्ठकों के स्थान पर , " नियम 3 के उपनियम (2 ) के खण्ड ( ii) में निर्दिष्ट प्रकार के निक्षेप " शब्द, अंक श्रीर कोष्ठक रखे जाएंगे
(घ) इम प्रकार रखे गए " नियम 3 के उपनियम ( 3 ) के खण्ड (ii ) में निदिष्ट प्रकार के निक्षेप " शब्दों, अंकों और कोष्ठकों के स्थान पर, 1 अप्रैल, 1981 से "नियम 3 के उपनियम (2 ) में निविष्ट प्रकार के निक्षेप" शब्द , अंक और कोष्ठक रखे जाएंगे ।

(Department of Company Affairs) NOTIFICATION New Delhi , the 24th June , 1980
G.S.R. 380 (E) .--In exercise of the powers conferred by section 58A read with section 642 of the Companies Act . 1956 ( 1 of 1956 ) , the Central Government , in consultation with the Reserve Bank of India , hereby makes the following rules further to amend the Companies ( Acceptance of Depo- sits) Rules , 1975 , namely :--
1. ( 1) These rules may be called the Companies ( Acсер- tance of Deposits ) Third Amendment Rules , 1980 .
(2) Same as otherwise provided in these rules , they shall come into force on the date of their publication in the Official Gazetic.
2. In the Companies (Acceptance of Deposits ) Rules , 1975, (hereinafter referred to as the said rules ) , in rule 3 , in the proviso to sub- ruie ( 1 )
( a) for the word " deposits " between the words " renew" and "for repayment " , the words, figures and brac- kets " such deposits as are referred to in clause ( i) of sub - rule ( 2) " shall be substituted;
(b) with effect from the 1st day of April , 1981 , for the words , figures and brackets " such deposits as are referred to in clause ( i ) of sub - tule ( 2 ) " the word "deposits" shall be substituted.
3. In the Form annexed to the said rules-
( i ) in Part A-
(a) For the Items I and II , the following Items I and 11 shall , respectively , be substituted , namely :-
"I. Deposits of the kind referred to in clause ( i) of sub- rule ( 2) of rule 3-
(a) deposits received in the form of loans gua- ranteed by the former managing agents or secretaries and treasurers ,
(b ) unsecured debenture ( s ) .
( c) deposits including unsecured loans received from share -holders ( not being share -helders of prt- vate limited company ) but excluding those received from directors .

(d) deposits including unsecured loans guaranteed by directors in their personal capacity-
(e) Total ( a + bcd )
11. Deposits of the kind referred to in clause ( ii ) of sub - rule ( 2 ) of ile 3 .
(f) fixed deposits .
(g) any other deposits .
(h) Total ( f + g ) -
(b) With effect from the 1st day of April , 1981 , for Items I and II , as so substituted , the following Items I and II shall , respectively , be substituted, namely :-
'J -- Deposits of the kind referred to in the first proviso to sub - rule ( 1 ) of rule 3 .
Il- Deposits of the kind referred to in sub -rule (2) of rule 3. "
(2) in Part B-
(a) In item I-
(i ) for the words , figures and bracket "Deposits covered by the first proviso to Rule 3 ( 1 ) , " the words , figures and brackets " Deposits covered by clause ( 1 ) of sub - rule ( 2 ) of rule 3 , " shall be substituted ;
( ii) With effect from the 1st day of April , 1981. for the words , figures and brackets " deposits co- vered by clause ( i ) sub - rule (2 ) of rule 3. " , as so substituted, the words figures and bracket "Deposits covered by the first proviso to sub- rule (1 ) of rule 3." shall be substituted .
(b) In item II-
( i) for the words , figures and bracket " Deposits covered by rule 3( 2 ) " the words , figures and brackets "Deposits covered by clause ( ii ) of sub- rule ( 2) of rule 3. " shall be substituted;
(in) With effect from the 1st day of April , 1981 , for the words , figures and brackets "Deposits co- vered by clause ( ii ) of sub - rule ( 2 ) of rule 3. " , as so substituted, the words , figures and brac- ket "Deposits covered by sub -rule ( 2) of rule 3" shall be substituted,
(3 ) In Part C
(a) in item I-
(i ) for the words , figures and brackets "Deposits covered by the first proviso to rule 3 ( 1 ) " , the words, figures and brackets " Deposits covered by clause ( i ) of sub - rule ( 2 ) of rule 3. " shall be substituted;
( ii ) With effect from the 1st day of April , 1981 , for the words , figures and brackets " Deposits co- vered by clause ( i ) of sub- rule ( 2 ) of rule 3." , as so substituted, the words , figures and bracket "Deposits covered by the first proviso to sub- rule ( 1 ) of rule 3 " shall be substituted .
(b) In item II-
(i) for the words , figures and brackets " Deposits covered by rule 3( 2) " , the words , figures and brackets "Deposits covered by clause ( ii) ot sub - rule (2 ) of rule 3." shall be substituted ;
( ii) With effect from the Ist day of April , 1981 , for the words , figures and brackets "Deposits covered by caluse ( ii ) of sub - rule ( 2 ) of rule 3."." , as so substituted , the words , figures and bracket "Deposits covered by sub - rule (2 ) of rule 3. " shall be substituted.
(4) In the Manager's certificate-
(a) for the words , figures and brackets "Deposits of the kinds referred to in the first proviso to rule 3( 1)" , the words , ligures and brackets " Deposits of the kinds referred to in clause ( i ) of sub - rule ( 2) of rule 3. " shall be substituted ;
(b) with effect from the 1st day of April . 1981 , for the words, figures and brackets "Deposits of the kinds referred to in clause ( i ) of sub.rule ( 2 ) of rule 3. " , as so substituted , the words , figures and brackets "Deposits of the kinds referred to in the first proviso to sub - sule ( 1) of rule 3." shall be substituted ;
(c) for the words , figures and brackets "Deposits of the kinds referred to in rule 3 ( 2 ) " , the words , figures and brackets " Deposits of the kinds referr- ed to in clause ( ii ) of sub - rule ( 2 ) of rule 3. " shall be substituted ;
(d) with effect from the 1st day of April , 1981 , for the words , figures and brackets " Deposits of the kinds referred to in clanse fin) of sub - rule ( 2 ) of rule 3. " , as so substituted , the words , figures and brackets "Deposits of the kinds referred to in sub-rule ( 2 ) of rule 3. " shall be substituted.
