(२) अध्यक्ष, समर्थ रघुवीर सहकारी पतसंस्था लि., मुंबई वर्ाषिक सर्वसाधारण सभा दिनांक ११ ऑगस्ट २०१९, ठराव क्रमांक १३ व संचालक मंडळ सभा दिनांक १४ जुलै २०१९.

(३) अध्यक्ष, धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई यांचेकडील वर्ाषिक सर्वसाधारण सभा दिनांक ३ ऑगस्ट २०१९ चा ठराव क्रमांक ०११ व संचालक मंडळ सभा दिनांक १० जून २०१९.

(४) अध्यक्ष, समर्थ रघुवीर सहकारी पतसंस्था लि., मुंबई यांनी दैनिक मुंबई मित्र या वर्तमानपत्रात दिनांक २१ सप्टेंबर २०१९ विलिनीकरणाबाबत महाराष्ट्र सहकारी संस्था नियम, १९६१ नियम १६ अन्वये नमुना "ग" मध्ये दिलेली नोटीस.

(५) अध्यक्ष, धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई यांनी दैनिक मुंबई मित्र या वर्तमानपत्रात दिनांक २१ सप्टेंबर २०१९ विलिनीकरणाबाबत महाराष्ट्र सहकारी संस्था नियम, १९६१ नियम १६ अन्वये नमुना "ग" मध्ये दिलेली नोटीस.

(६) महाराष्ट्र सहकारी संस्था अधिनियम, १९६० चे कलम १७ व १८ तसेच महाराष्ट्र सहकारी संस्था नियम, १९६१ चे नियम १६ व १७.

आदेश

क्रमांक पतसंस्था/सआ-५/धनलक्ष्मी सह. पत व समर्थ रघुवीर सह. पत/विलिनिकरण/१९/२९०९.----महाराष्ट्र सहकारी संस्था अधिनियम, १९६० चे कलम १७ (१) व महाराष्ट्र सहकारी संस्था नियम, १९६१ चे नियम १६ नुसार मला प्राप्त झालेल्या अधिकारानुसार मी, डॉ. पी. एल. खंडागळे, अपर निबंधक, सहकारी संस्था, (पतसंस्था) महाराष्ट्र राज्य, पुणे धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई नोंदणी क्रमांक बी.ओ.एम./डब्ल्यु.आर./आर.एस.आर./(सीआर)/एनसी/एसआर/१८३९ सन ९४ या संस्थेची संपूर्ण देयता व मालमत्ता, समर्थ रघुवीर सहकारी पतसंस्था लि., मुंबई नोंदणी क्रमांक बी.ओ.एम./डब्ल्यु.पी./आर.एस.आर./सीआर/११२५, दिनांक १६ डिसेंबर ८७ सन १९८७ या नोंदणीकृत संस्थेमध्य सोबतच्या परिशिष्टामध्ये नमूद केलेल्या अटी व शर्तीस अधीन राहून हस्तांतरीत करण्यास मंजूरी प्रदान करून विलिनिकरण करीत आहे.

उक्त आदेशामुळे धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेचे समर्थ रघुवीर सहकारी पतसंस्था लि., मुंबई या संस्थेमध्येे विलिनीकरण झाल्यामुळे महाराष्ट्र सहकारी संस्था अधिनियम, १९६० चे कलम २१ नुसार या कार्यालयाच्या पातळीवर धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेची नोंदणी रद्द करण्यात येऊन संस्थेचे 'ड' रजिस्टरवरील नाव कमी करण्यात येत आहे.

संपत्ती हस्तांतरण अधिनियम, १९८२ किंवा भारतीय नोंदणी अधिनियम, १९०८ यात काहीही अंतभर्ुत असले तरी, विलिनिकरणाशी संबंधित असलेल्या संस्थांचा ठराव प्रत्येक बाबतीत, मुळ संस्थेची किंवा विलिनिकरण केलेल्या संस्थांची मत्ता व दायित्वे नव्या संस्थेत किंवा यथास्थिती रुपांतरीत किंवा विलिनिकरण संस्थेमध्ये विहित होण्याबाबतचे पुरेसे अभिहस्तांतरण पत्र असेल.

भाग एक (म.उ.वि.)--१२ महाराष्ट्र शासन राजपत्र, भाग एक--मध्य उप-विभाग, गुुरुवार ते बुधवार, ऑक्टोबर १५-२१, २०२०/आशि्वन २३-२९, शके १९४२ संस्थांचे एकत्रीकरण केल्यामुळे, एकत्रीकरण केलेल्या संस्थांचे कोणतेही हक्क किंवा बंधन यावर परिणाम होणार नाही, एकत्रीकरण संस्थांकडून किंवा संस्थांविरूद्ध जी न्यायिक कार्यवाही चालू ठेवण्यात किंवा सुरु करण्यात आली असेल अशी कोणतीही न्यायिक कार्यवाही सदोष, ठरणार नाही, न्यायिक कार्यवाही एकत्रीकरण संस्थेस किंवा संस्थेविरुद्ध चालू ठेवता येईल.

सदरचा आदेश आज दिनांक ८ नोव्हेंबर २०१९ रोजी माझे सही व शिक्क्यानिशी पारित करीत आहे.

परिशिष्ठ

अटी व शर्ती :—

(१) धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेचे समर्थ रघुवीर पतसंस्था लि., मुंबई या संस्थेत विलिनिकरणाच्या दिवसापासून हस्तांतरण करण्यात येईल.

(२) विलीनीकरणाच्या दिवसापासून धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेच्या ताळेबंदपत्रकात दाखविल्याप्रमाणे शेअर्स (भाग), रक्कम सहकार कायद्यानुसार जर तोटा असेल तर सदर शेअर्स (भाग) रक्कम झालेल्या तोटा रक्कमेतून वजा करणे आवश्यक आहे. धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेच्या सभासदांच्या शेअर्स (भाग) रक्कम समर्थ रघुवीर सहकारी पतसंस्था लि., मुंबई या संस्थेत अनामत खाते म्हणून जमा करण्यात येईल.

(३) विलीनीकरणानंतर धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेच्या ठेवी दोन्ही संस्थांच्या ठरावामध्ये नमुद केल्याप्रमाणे देय राहतील. तसेच ज्या ठेवीदारांना त्यांच्या ठेवी लोक समर्थ रघुवीर सहकारी पतसंस्था लि., मुंबई संस्थेमध्ये ठेवायच्या असतील तर अशा ठेवीवर या पतसंस्थेच्या इतर ठेवीदारांना देण्यात येणाया व्याजदरानुसार व्याज आकारणी करण्यात येईल. मात्र धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेचे संचालक, नातेवाईक, दैनिक बचत प्रतिनिधी यांच्या जमा असलेल्या रक्कमा संपूर्ण कर्ज वसूल होईपयर्ंत राखून ठेवल्या जातील. तसेच धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेने सर्व प्रकारच्या ठेवीवर दिलेली कर्जे वसूल होईपयर्ंत सदरच्या ठेवी परत केल्या जाणार नाहीत.

(४) विलीनीकरणानंतर धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेत असणारी़ सर्व बचत खाती, मुदत ठेवी, चालू खाती, मासिक ठेवी व इतर ठेवीची खाती धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेच्या पुस्तकामध्ये वर्गीकरणात उघडण्यात येतील.

(५) धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेच्या सभासदांची येणे कर्जेवसुली करण्याची जबाबदारी समर्थ रघुवीर सहकारी पतसंस्था लि., मुंबई या संस्थेची राहील. धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेकडून कर्ज घेतल्याच्या दिनांकाच्या कराराप्रमाणे असेल तो व्याजदर सर्व कर्जदारांना मान्य असेल तसेच थकीत कर्जापोटी होणारे दंडव्याज, वसुलीखर्च, लवाद दावा खर्च व इतर होणारे खर्च भरणे कर्जदारावर बंधनकारक राहील.

(६) विलीनीकरणाच्या दिनांकास धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेची बँकांमधील शिल्लक, रोख शिल्लक व इतर येणी ही समर्थ रघुवीर सहकारी पतसंस्था लि., मुंबई या संस्थेकडे वर्ग करण्यात येईल. तिचा विनियोग कसा करावा याचा अधिकार समर्थ रघुवीर सहकारी पतसंस्था लि., मुंबई या संस्थेकडे राहील.

(७) विलीनीकरणाच्या दिनांकापूर्वी धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेने ठेवलेल्या ठेवी, केलेली करारपत्रे, बंधपत्रे, कुलमुखत्यारपत्रे आणि इतर सर्व प्रकारची कागदपत्रे विलिनिकरणानंतर परिणामकारक राहतील.

(८) विलीनीकरणानंतर धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेऐवजी समर्थ रघुवीर सहकारी पतसंस्था लि., मुंबई या नावाने सर्व व्यवहार व कामकाज पाहील. याबाबत धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेचे सर्व संचालक, कर्मचारी, अल्पबचत प्रतिनिधी व हितसंबंधी कोणताही आक्षेप घेणार नाही.

(९) धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेच्या कर्मचायांना विलीनीकरणानंतर समर्थ रघुवीर सहकारी पतसंस्था लि., मुंबई या संस्थेत काम करण्याची इच्छा असल्यास सामावून घेणे बंधनकारक राहील. सदर कर्मचायाची दिनांक १ नोव्हेंबर १९९३ पासून झालेली सेवेची ज्येष्ठता व शैक्षणिक पात्रता विचारात घेऊन वेतननिश्चिती करण्यात यावी.

(१०) विलीनीकरणापूर्वी धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेत काही दोष, अफरातफर असल्यास त्यास समर्थ रघुवीर सहकारी पतसंस्था लि., मुंबई ही संस्था जबाबदार असणार नाही.

(११) धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेकडील चल व अचल मालमत्तेचे दायित्व समर्थ रघुवीर सहकारी पतसंस्था लि., मुंबई या संस्थेकडे वर्ग करण्यात येईल.

(१२) विलीनीकरणानंतर धनलक्षी सहकारी पतसंस्था लि., मुंबई या संस्थेच्या विलीनीकरणापूर्वीच्या बदल्यात समर्थ रघुवीर सहकारी पतसंस्था लि., मुंबई या संस्थेने कार्यालयाच्या दिनांक ८ मार्च २०१९ चे परिपत्रकानुसार प्रस्ताव सादर केल्यानंतर प्रोत्साहनपर शाखा देण्यात येईल.

(१३) धनलक्ष्मी सहकारी पतसंस्था लि., मुंबई या संस्थेचे कामकाज व ठेवीदारांच्या ठेवी देण्याबाबतचे कामकाज समर्थ रघुवीर सहकारी पतसंस्था लि., मुंबई पतसंस्थेमार्फत करण्यात यावे.

(४) अध्यक्ष, माळशेज नागरी सहकारी पतसंस्था मर्या., ठाणे यांनी दैनिक पुण्य नगरी या वर्तमान पत्रात दिनांक २५ सप्टेंबर २०१९ विलिनीकरणाबाबत महाराष्ट्र सहकारी संस्था नियम, १९६१ नियम १६ अन्वये नमुना "ग" मध्ये दिलेली नोटीस.

(५) अध्यक्ष, मुंबई जिल्हा महिला विकास सहकारी पतसंस्था मर्या., मुंबई यांनी दैनिक पुण्य नगरी या वर्तमान पत्रात दिनांक २५ सप्टेंबर २०१९ विलिनीकरणाबाबत महाराष्ट्र सहकारी संस्था नियम, १९६१ नियम १६ अन्वये नमुना "ग" मध्ये दिलेली नोटीस.

(६) महाराष्ट्र सहकारी संस्था अधिनियम, १९६० चे कलम १७ व १८ तसेच महाराष्ट्र सहकारी संस्था नियम, १९६१ चे नियम १६ व १७.

आदेश

क्रमांक पतसंस्था/सआ.-५/माळशेज ना.सह. व मुंबई जि. महिला सह./विलीनीकरण/१९/२९७५.----महाराष्ट्र सहकारी संस्था अधिनियम, १९६० चे कलम १७ (१) व महाराष्ट्र सहकारी संस्था नियम १९६१ चे नियम १६ नुसार मला प्राप्त झालेल्या अधिकारानुसार मी, डॉ. पी. एल. खंडागळे, अपर निबंधक, सहकारी संस्था (पतसंस्था), महाराष्ट्र राज्य, पुणे, मुंबई जिल्हा महिला विकास सहकारी पतसंस्था मर्या., मुंबई नोंदणी क्रमांक एम.यू.एम(आय)डब्ल्यू.ई./आर.एस.आर./(सीआर)/१०२/सन २००१ या संस्थेची संपूर्ण देयता व मालमत्ता, माळशेज नागरी सहकारी पतसंस्था मर्या., ठाणे नोंदणी क्रमांक टी.एन.ए./टी.एन.ए./आर.एस.आर./सीआर/१३७४ सन २००२ या नोंदणीकृत संस्थेमध्ये सोबतच्या परिशिष्टामध्ये नमूद केलेल्या अटी व शर्तीस अधीन राहून हस्तांतरित करण्यास मंजुरी प्रदान करून विलीनीकरण करीत आहे.

उक्त आदेशामुळे मुंबई जिल्हा महिला विकास सहकारी पतसंस्था मर्या., मुंबई या संस्थेचे माळशेज नागरी सहकारी पतसंस्था मर्या., ठाणे या संस्थेमध्ये विलिनीकरण झाल्यामुळे महाराष्ट्र सहकारी संस्था अधिनियम, १९६० चे कलम २१ नुसार या कार्यालयाच्या पातळीवर मुंबई जिल्हा महिला विकास सहकारी पतसंस्था मर्या., मुंबई या संस्थेची नोंदणी रद्द करण्यात येऊन संस्थेचे 'ड' रजिस्टरवरील नाव कमी करण्यात येत आहे.

संपत्ती हस्तांतरण अधिनियम, १९८२ किंवा भारतीय नोंदणी अधिनियम, १९०८ यात काहीही अंतभर्ूत असले तरी, विलिनीकरणाशी संबंधित असलेल्या संस्थांचा ठराव प्रत्येक बाबतीत, मूळ संस्थेची किंवा विलिनीकरण केलेल्या संस्थांची मत्ता व दायित्वे नव्या संस्थेत किंवा यथास्थिती रुपांतरित किंवा विलीनीकरण संस्थेमध्ये निहित होण्याबाबतचे पुरेसे अभिहस्तांतरण पत्र असेल.

संस्थांचे एकत्रीकरण केल्यामुळे, एकत्रीकरण केलेल्या संस्थांचे कोणतेही हक्क किंवा बंधन यावर परिणाम होणार नाही, एकत्रीकरण संस्थांकडून किंवा संस्थांविरुद्ध जी न्यायिक कार्यवाही चालू ठेवण्यात किंवा सुरू करण्यात आली असेल अशी कोणतीही न्यायिक कार्यवाही सदोष ठरणार नाही. न्यायिक कार्यवाही एकत्रीकरण संस्थेस किंवा संस्थेविरुद्ध चालू ठेवता येईल.

सदरचा आदेश आज दिनांक १८ नोव्हेंबर २०१९ रोजी माझे सही व शिक्क्यानिशी पारित करीत आहे.

परिशिष्ट

अटी व शर्ती :—

(१) मुंबई जिल्हा महिला विकास सहकारी पतसंस्था मर्या., मुंबई या संस्थेचे माळशेज नागरी सहकारी पतसंस्था मर्या., ठाणे या संस्थेत विलिनीकरणाच्या दिवसापासून हस्तांतरण करण्यात येईल.

(२) विलिनीकरणाच्या दिवसापासून मुंबई जिल्हा महिला विकास सहकारी पतसंस्था मर्या., मुंबई या संस्थेच्या ताळेबंदपत्रकात दाखविल्याप्रमाणे शेअर्स (भाग), रक्कम सहकार कायद्यानुसार जर तोटा असेल तर सदर शेअर्स (भाग) रक्कम झालेल्या तोटा रकमेतून वजा करणे आवश्यक आहे. मुंबई जिल्हा महिला विकास सहकारी पतसंस्था मर्या., मुंबई या संस्थेच्या सभासदांच्या शेअर्स (भाग) रक्कम माळशेज नागरी सहकारी पतसंस्था मर्या., ठाणे या संस्थेत अनामत खाते म्हणून जमा करण्यात येईल.

(३) विलीनीकरणानंतर मुंबई जिल्हा महिला विकास सहकारी पतसंस्था मर्या., मुंबई या संस्थेच्या ठेवी दोन्ही संस्थांच्या ठरावामध्ये नमूद केल्याप्रमाणे देय राहतील. तसेच ज्या ठेवीदारांना त्यांच्या ठेवी माळशेज नागरी सहकारी पतसंस्था मर्या., ठाणे संस्थेमध्ये ठेवायच्या असतील तर अशा ठेवीवर या पतसंस्थेच्या इतर ठेवीदारांना देण्यात येणाया व्याज दरानुसार व्याज आकारणी करण्यात येईल. मात्र मुंबई जिल्हा महिला विकास सहकारी पतसंस्था मर्या., मुंबई या संस्थेचे संचालक, नातेवाईक, देनिक बचत प्रतिनिधी यांच्या जमा असलेल्या रक्कमा संपूर्ण कर्ज वसूल होईपयर्ंत राखून ठेवल्या जातील. तसेच मुंबई जिल्हा महिला विकास सहकारी पतसंस्था मर्या., मुंबई या संस्थेने सर्व प्रकारच्या ठेवीवर दिलेली कर्जे वसूल होईपर्यत सदरच्या ठेवी परत केल्या जाणार नाहीत.

(४) विलीनीकरणानंतर मुंबई जिल्हा महिला विकास सहकारी पतसंस्था मर्या., मुंबई या संस्थेत असणारी़ सर्व बचत खाती, मुदत ठेवी, चालू खाती, मासिक ठेवी व इतर ठेवीची खाती माळशेज नागरी सहकारी पतसंस्था मर्या., ठाणे या संस्थेच्या पुस्तकामध्ये वर्गीकरणात उघडण्यात येतील.

(५) मुंबई जिल्हा महिला विकास सहकारी पतसंस्था मर्या., मुंबई या संस्थेच्या सभासदांची येणे कर्जे वसुली करण्याची जबाबदारी माळशेज नागरी सहकारी पतसंस्था मर्या., ठाणे या संस्थेची राहील. मुंबई जिल्हा महिला विकास सहकारी पतसंस्था मर्या., मुंबई या संस्थेकडून कर्ज घेतल्याच्या दिनांकाच्या कराराप्रमाणे असेल तो व्याजदर सर्व कर्जदारांना मान्य असेल तसेच थकीत कर्जापोटी होणारे दंडव्याज, वसुलीखर्च, लवाद दावा खर्च व इतर होणारे खर्च भरणे कर्जदारावर बंधनकारक राहील.

(६) विलीनीकरणाच्या दिनांकास मुंबई जिल्हा महिला विकास सहकारी पतसंस्था मर्या., मुंबई या संस्थेची बँकांमधील शिल्लक, रोख शिल्लक व इतर येणी ही माळशेज नागरी सहकारी पतसंस्था मर्या., ठाणे या संस्थेकडे वर्ग करण्यात येईल. तिचा विनियोग कसा करावा याचा अधिकार माळशेज नागरी सहकारी पतसंस्था मर्या., ठाणे या संस्थेकडे राहील.

(७) विलीनीकरणाच्या दिनांकापूर्वी मुंबई जिल्हा महिला विकास सहकारी पतसंस्था मर्या., मुंबई या संस्थेने ठेवलेल्या ठेवी, केलेली करारपत्रे, बंधपत्रे, कुलमुखत्यारपत्रे आणि इतर सर्व प्रकारची कागदपत्रे विलिनीकरणानंतर परिणामकारक राहतील.

(८) विलीनीकरणानंतर मुंबई जिल्हा महिला विकास सहकारी पतसंस्था मर्या., मुंबई या संस्थे ऐवजी माळशेज नागरी सहकारी पतसंस्था मर्या., ठाणे या नावाने सर्व व्यवहार व कामकाज पाहील. याबाबत मुंबई जिल्हा महिला विकास सहकारी पतसंस्था मर्या., मुंबई या संस्थेचे सर्व संचालक, कर्मचारी, अल्पबचत प्रतिनिधी व हितसंबंधी कोणताही आक्षेप घेणार नाही.
