प्रस्तावना

ज्याअर्थी, मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या. मुंबई ही संस्था महाराष्ट्र सहकारी संस्था अधिनियम १९६० अंतर्गत नोंदणी क्रमांक बी.ओ.एम./आर.एस.आर/९७७/९१७९ नुसार नोंदविण्यात आलेली सहकारी पतसंस्था आहे आणि सदर संस्थेचे बृहन्मुंबई, ठाणे, रायगड, पुणे, सातारा शहर कार्यक्षेत्र असल्याने सदर संस्था वैधानिक दृष्टया सहकार आयुक्त व निबंधक, सहकारी संस्था पुणे या कार्यालयाच्या अधिकार कक्षेत आहे. आणि ;

ज्याअर्थी, चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई ही महाराष्ट्र सहकारी संस्था अधिनियम १९६० अंतर्गत नोंदणी क्रमांक बी.ओ.डब्ल्यु/डब्ल्यु.पी/आर.एस.आर./सी.आर./११५५/१९९१ नुसार नोंदविण्यात आलेली सहकारी पतसंस्था आहे. या संस्थेचे कार्यक्षेत्र बृहन्मुंबई या जिल्ह्यपुरते मर्यादित असल्याने सदर संस्था वैधानिक दृष्टया सहकार आयुक्त व निबंधक, सहकारी संस्था पुणे या कार्यालयाच्या अधिकार कक्षेत आहे. आणि ;

ज्याअर्थी, चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई सदर संस्थेचे कार्यक्षेत्र राज्यस्तरीय आहे. संस्थेच्या शाखा नाही. चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेचे संचालक व्यवसायीक असल्यामुळे व काही संचालक हे वयोमानामुळे संस्थेच्या कामकाजामध्ये सक्रिय राहू शकत नाही. त्याचप्रमाणे सभासदाकडून देखील पुढे येऊन संस्थेच्या संचालक मंडळामध्ये सहभागी होण्यास कोणीही इच्छुक नाहीत. संस्थेचे कामकाज यापुढे चालू ठेवणे संस्थेच्या संचालक मंडळास दिवसेंदिवस अडचणीचे होत आहे. त्यामुळे सदर संस्था र्आथिक सक्षम असणाया संस्थेमध्ये विलिनीकरण करण्याचा संस्थेच्या संचालक मंडळाने सारासार विचार करून मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या., मुंबईमध्ये विलीनीकरण करणेबाबत संचालक मंडळाच्या सभेत आणि विशेष सर्वसाधारण सभेमध्ये ठराव पारीत केला आहे. आणि ;

ज्याअर्थी, चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई ही संस्था मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या. मुंबई या पतसंस्थेत विलिनीकरण करणेबाबत चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई विशेष सर्वसाधारण सभा दिनांक १३ फेब्रुवारी २०२० ठराव क्र. २ सभेत ठराव सर्वानुमते मंजूर करण्यात आला आहे. आणि ;

ज्याअर्थी, मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या., मुंबई या पतसंस्थेच्या विशेष सर्वसाधारण सभा दिनांक १७ फेब्रुवारी २०२० ठराव क्र. ०२ नुसार चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई ही संस्था विलिनीकरण करून घेण्यास मंजुरी देण्यात आलेली आहे. आणि ;

ज्याअर्थी, मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या., मुंबई व द चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या दोन्ही संस्थांनी महाराष्ट्र सहकारी संस्था अधिनियम, १९६० चे कलम १७ व नियम, १९६१ चे नियम १६ मधील तरतुदीनुसार नमुना ""ग"" नोटीस संस्थेच्या सभासदांसाठी दिनांक ६ मार्च २०२० रोजी पुण्य नगरी या वृत्तपत्रामध्ये प्रसिद्ध केलेली असून सदर विलिनीकरणामुळे ज्यांच्या हितसंबंधांवर परिणाम होईल अशा इसमास हरकती दाखल करण्याकरिता एक महिन्याची मुदत देण्यात आली होती. तथापि, दिलेल्या मुदतीत संस्थेच्या कोणत्याही सभासद, धनको, ऋणको अगर हितसंबंधीताने कोणत्याही हरकती दाखल केलेल्या नाहीत, असे संस्थेने दिनांक १५ जून २०२० रोजीचे पत्राद्वारे कळविले आहे. आणि ;

ज्याअर्थी, मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या., मुंबई या संस्थेने दिनांक १७ फेब्रुवारी २०२० चे ठरावामध्ये तसेच चॉईस को-ऑप. क्रेडिच सोसायटी लि., मुंबई ही संस्था विलिन करून घेण्यास संमती देऊन, तशी मान्यता दिलेली आहे ;

त्याअर्थी, चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई संस्थेचे विलिनीकरण मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या., मुंबई या संस्थेत सभासदांचे व ठेवीदारांचे हिताचे दृष्टीने करणेबाबत महाराष्ट्र सहकारी संस्था अधिनियम, १९६० कलम १७ व महाराष्ट्र सहकारी संस्था नियम, १९६१ नियम १६ नुसार खालीलप्रमाणे आदेश पारित करीत आहे.

आदेश

क्रमांक ना. पत/स.आ. ५/विलिनिकरण/मुंबई विडी तंबाखू व्यापारी सह-चॉईस को/२०/१०८२.-----महाराष्ट्र सहकारी संस्था अधिनियम, १९६० चे कलम १७ (१) व महाराष्ट्र सहकारी संस्था नियम, १९६१ चे नियम १६ नुसार मला प्राप्त झालेल्या अधिकारानुसार मी, डॉ. पी. एल. खंडागळे, अपर निबंधक, सहकारी संस्था (पतसंस्था), महाराष्ट्र र ाज्य, पुणे चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई नोंदणी क्र. बी.ओ.डब्ल्यु/डब्ल्यु.पी./आर.एस.आर./सी.आर./११५५/१९९१, या संस्थेची संपूर्ण देयता व मालमत्ता, मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या. मुंबई नोंदणी क्रमांक बी.ओ.एम/आर.एस.आर/९७७/९१७९, या नोंदणीकृत संस्थेमध्ये सोबतच्या परिशिष्टामध्ये नमूद केलेल्या अटी व शर्तीस अधीन राहून हस्तांतरीत करण्यास मंजुरी प्रदान करून विलिनीकरण करीत आहे.

उक्त आदेशामुळे चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेचे मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या., मुंबई या संस्थेमध्ये विलिनीकरण झाल्यामुळे महाराष्ट्र सहकारी संस्था अधिनियम, १९६० चे कलम २१ नुसार या कार्यालयाच्या पातळीवर चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेची नोंदणी रद्द करण्यात येऊन संस्थेचे ""ड"" रजिस्टरवरील नाव कमी करण्यात येत आहे. चे कलम २१ नुसार या कार्यालयाच्या पातळीवर चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेची नोंदणी रद्द करण्यात येऊन संस्थेचे ""ड"" रजिस्टरवरील नाव कमी करण्यात येत आहे.

संपत्ती हस्तांतरण अधिनियम, १९८२ किंवा भारतीय नोंदणी अधिनियम, १९०८ यात काहीही अंतभर्ूत असले तरी, विलीनीकरणाशी संबंधित असलेल्या संस्थांचा ठराव प्रत्येक बाबतीत, मुळ संस्थेची किंवा विलिनीकरण केलेल्या संस्थांची मत्ता व दायित्वे नव्या संस्थेत किंवा यथास्थिती रूपांतरीत किंवा विलीनीकरण संस्थेमध्ये निहीत होण्याबाबतचे पुरेसे अभिहस्तांतरण पत्र असेल.

संस्थांचे एकत्रीकरण केल्यामुळे, एकत्रीकरण केलेल्या संस्थांचे कोणतेही हक्क किंवा बंधन यावर परिणाम होणार नाही, एकत्रीकरण संस्थांकडून किंवा संस्थांविरूद्ध जी न्यायिक कार्यवाही चालू ठेवण्यात किंवा सुरू करण्यात आली असेल अशी कोणतीही न्यायिक कार्यवाही सदोष ठरणार नाही, न्यायिक कार्यवाही एकत्रीकरण संस्थेस किंवा संस्थेविरूद्ध चालू ठेवता येईल.

परिशिष्ट

अटी व शर्ती :---

(१) चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेचे मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या. मुंबई या संस्थेत विलिनीकरणाच्या दिवसापासून हस्तांतरण करण्यात येईल.

(२) विलिनीकरणाच्या दिवसापासून चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेच्या ताळेबंदपत्रकात दाखविल्याप्रमाणे शेअर्र्स (भाग), रक्कम सहकार कायद्यानुसार जर तोटा असेल तर सदर शेअर्स (भाग) रक्कम झालेल्या तोटा रकमेतून वजा करणे आवश्यक आहे. चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेच्या सभासदांच्या शेअर्स (भाग) रक्कम मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या., मुंबई या संस्थेत अनामत खाते म्हणून जमा करण्यात येईल.

(३) विलिनीकरणानंतर चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेच्या ठेवी दोन्ही संस्थांच्या ठरावामध्ये नमूद केल्याप्रमाणे देय राहतील. तसेच ज्या ठेवीदारांना त्यांच्या ठेवी मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या. मुंबई संस्थेमध्ये ठेवायच्या असतील तर अशा ठेवीवर या पतसंस्थेच्या इतर ठेवीदारांना देण्यात येणाया व्याज दरानुसार व्याज आकारणी करण्यात येईल. मात्र चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेचे संचालक, नातेवाईक, दैनिक बचत प्रतिनिधी यांच्या जमा असलेल्या रकमा संपूर्ण कर्ज वसूल होईपयर्ंत राखून ठेवल्या जातील. तसेच चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेने सर्वप्रकारच्या ठेवीवर दिलेली कर्जे वसूल होईपयर्ंत सदरच्या ठेवी परत केल्या जाणार नाहीत.

भाग एक (म.उ.वि.)--१अ४ महाराष्ट्र शासन राजपत्र, भाग एक--मध्य उप-विभाग, गुुरुवार ते बुधवार, नोव्हेंबर २६-डिसेंबर २, २०२०/अग्र. ५-११, शके १९४२ (४) विलिनीकरणानंतर चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेत असणारी सर्व बचत खाती, मुदत ठेवी, चालू खाती, मासिक ठेवी व इतर ठेवीची खाती मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या., मुंबई या संस्थेच्या पुस्तकामध्ये वर्गी करणात उघडण्यात येतील.

(५) चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेच्या सभासदांची येणे कर्जे वसुली करण्याची जबाबदारी मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या. मुंबई या संस्थेची राहील. चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेकडून कर्ज घेतल्याच्या दिनांकाच्या कराराप्रमाणे असेल तो व्याजदर सर्व कर्जदाराना मान्य असेल तसेच थकीत कर्जापोटी होणारे दंडव्याज, वसुलीखर्च, लवाद दावा खर्च व इतर होणारे खर्च भरणे कर्जदारावर बंधनकारक राहील.

(६) विलिनीकरणाच्या दिनांकास चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेची बँकांमधील शिल्लक, रोख शिल्लक व इतर येणी ही मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या., मुंबई या संस्थेकडे वर्ग करण्यात येईल. तिचा विनियोग कसा करावा याचा अधिकार मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या., मुंबई या संस्थेकडे राहील.

(८) विलिनीकरणाच्या दिनांकापूर्वी चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेने ठेवलेल्या ठेवी, केलेली करारपत्रे, बंधपत्रे, कुलमुखत्यारपत्रे आणि इतर सर्व प्रकारची कागदपत्रे विलिनीकरणानंतर परिणामकारक राहतील.

(९) विलिनीकरणानंतर चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थे ऐवजी मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या., मुंबई या नावाने सर्व व्यवहार व कामकाज पाहील. याबाबत चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेचे सर्व संचालक, कर्मचारी, अल्पबचत प्रतिनिधी व हितसंबंधी कोणताही आक्षेप घेणार नाही.

(१०) चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेच्या कर्मचायांना विलिनीकरणानंतर मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या., मुंबई या संस्थेत काम करण्याची इच्छा असल्यास सामावून घेणे बंधनकारक राहील. सदर कर्मचायाची दिनांक १ नोव्हेंबर १९९३ पासून झालेली सेवेची ज्येष्ठता व शैक्षणिक पात्रता विचारात घेवून वेतन निश्चिती करण्यात यावी.

(११) विलिनीकरणापूर्वी चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेत काही दोष, अफरातफर असल्यास त्यास मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या., मुंबई ही संस्था जबाबदार असणार नाही.

(१२) चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेकडील चल व अचल मालमत्तेचे दायित्व मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या., मुंबई या संस्थेकडे वर्ग करण्यात येईल.

(१३) विलिनीकरणानंतर चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेच्या आयरोली व कल्याण या शाखा त्याच ठिकाणी सुरू ठेवण्यास व संस्थेच्या विलिनीकरणापूर्वीच्या बदल्यात मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या., मुंबई या संस्थेस या कार्यालयाच्या दिनांक ८ मार्च २०१९ चे परिपत्रकानुसार एक प्रोत्साहनपर शाखा मागणीप्रस्ताव सादर केले नंतर उघडण्यास परवानगी देण्यात येईल.

(१४) चॉईस को-ऑप. क्रेडिट सोसायटी लि., मुंबई या संस्थेचे कामकाज व ठेवीदारांच्या ठेवी देण्याबाबतचे कामकाज मुंबई विडी तंबाखू व्यापारी सहकारी पतपेढी मर्या., मुंबई पतसंस्थेमार्फत करण्यात यावे.

उक्त आदेश आज दिनांक २३ जून २०२० रोजी माझे सही व शिक्क्यानिशी पारित करीत आहे.
