—– MEMORANDUM OF ASSOCIATION

In exercise of the powers conferred under section 12 of Societies Registration Act, 1860 (Central Act 21 of 1860), the Goa Energy Development Agency registered under No. 16/Goa/1995, and in supersession of all the earlier amendments hereby notifies the following Memorandum of Association.
| 1 | Name | : | The name of the Society shall be "GOA ENERGY DEVELOPMENT AGENCY" (GEDA). |
| 2. | Registered Office | : | REGISTERED OFFICE address of the Society shall be Goa Energy Development Agency, 5th Floor, Goa IDC Building, Patto, Panaji- Goa 403001. |
| 3. | Aims and Objectives | : (i) | To identify the beneficiaries and their problems with regards to renewable energy requirement in the State of Goa. |
| (ii) | To draw up model plans for the investments, executions of energy programmes, production, installation and other related activities to be undertaken by the beneficiaries for seeking a solution to their problems. | ||
| (iii) | To execute various plans of new and renewable sources of energy and pilot projects for the benefit of all persons particularly those who are below the poverty line, and others, in the rural and urban areas of the State of Goa, either directly or with the assistance and co-operation of various existing agencies engaged in this field whether private or public or co-operative, Industrial Development Corporation, Municipal Councils, Block Panchayat Samities, Co- operative Banks, Departments of Government of Goa, Central Government, etc. |
| (iv) | To organise and arrange supplies, installation and commissioning of renewable energy systems/equipments and devices like Solar Cookers, Solar Water Heating Systems, Industrial Solar Water Heating Systems, Solar Dryers, Solar Photovoltaic roof top/ground mounted systems, Solar Stills, Solar Chilling Plants, Solar Photo Voltaic Pumps, small wind mills, Energy Saving Equipments/gadgets, Bio-gas Plants, Bio-gas based power plant, Biomass briquetting plant, solar concentrators for cooking, heating, laundry applications, small hydro and promotion of electric vehicles etc. | ||||
| (v) | To arrange and organise construction and commissioning of community and individual Bio-gas Plants and installation of systems through organizations/contractors/Government Depart- ments, etc. | ||||
| (vi) | To arrange and organise awareness & demonstration programme to educate public about the uses and working of different types of renewable energy systems and devices. | ||||
| (vii) | To provide assistance in renewable energy equipments/gadgets and installations for the development of Agriculture, Fisheries, Dairy Industries, Hotels, Educational Institutions, Hospitals, Industrial Households through the use of different new and renewable energy systems, equipment and devices. | ||||
| (viii) | To convene, organize or assist seminars, meetings, conferences, etc. on new and renewable energy and related subjects and to maintain libraries, reading rooms, etc. and undertake documentation in the aforesaid subjects. | ||||
| (ix) | The income of the society shall be utilized only for the achievement of the above objects of the society and no portion thereof shall be distributed amongst members. | ||||
| (x) | Research and Development of Bio-gas, Biomass, Biomass Briquetting, Biomass Energy and ethanol from Biomass and their installations. | ||||
| (xi) | Implementation of Integrated Rural Energy programme, New and Renewable Energy and all Central Government Schemes under the Ministry of New and Renewable Energy. | ||||
| (xii) | All projects undertaken by the State Government under New and Renewable Energy and programmes through Public/Private Partnership (PPP) mode. | ||||
| (xiii) | Implementation of Tidal energy, Geo Thermal Energy, Wind Energy and small/mini/micro hydro projects. | ||||
| (xiv) | Research and Development of other New and Renewable Energy programmes. | ||||
| 4. | The addresses, occupations and designations of the present members of the General body to whom the affairs and management of the society have been entrusted as required under section 2 of S. R. Act of 1860 as extended to the State of Goa are here as under: | ||||

RULES & REGULATIONS
1/107/GEDA/2022-23/994
In exercise of the powers conferred under section 12 of Societies Registration Act, 1860 (Central Act 21 of 1860), the Goa Energy Development Agency registered under No. 16/Goa/1995, and in supersession of all the earlier amendments hereby makes the following Rules and Regulations.
| 1. | Name | : | The name of the Society shall be "GOA ENERGY DEVELOPMENT AGENCY" (GEDA). |
| 2. | Address | : | ADDRESS: The Registered Office address of the Society shall be Goa Energy Development Agency, 5th Floor, Goa-IDC Building, Patto, Panaji-Goa 403001. |
| 3. | Membership | : | Subject to the approval of the Governing Body and Chairman(GEDA) any person (shall mean and include individuals, firms, companies or other corporated or uncorporated bodies) engaged in energy systems may become a member provided he believes in the aims and objects of the society, by signing an application form and paying membership fee of rupee one as admission fee. |
| 4. | Subscription | : | There shall be annual subscription of Rupee one |
| 5. | Refusal and Expulsion | : | The Governing body may refuse any person (as explained above) for the membership, provided reasons for refusal shall be communicated to the person concerned. The Governing body of this society may expel any member from the society on the following grounds: (i) If the member works against the aims and objects of the society. (ii) If the member tenders his resignation (iii) If the member fails to attend three meetings of general body and governing body and fails to pay the membership fee for three consecutive years. The reasons of expulsion be communicated to every member. Every such expelled member shall have a right to appeal before the general body which may or may not be accepted. |
| 6. | General Body | : 1) | There shall be a general body of the society consisting of all the members. The meeting of the general body shall be held after every one year with 1/3 quorum. No quorum shall be required in the adjourned meetings. An emergent meeting of the general body may also be summoned on the written request of 3/5 members. |
| 2) Notice of general body or special body meeting shall be given seven days earlier by a circular. | |||
| 3) | The decisions of the general body or special body meetings shall be by majority of votes and in case of equality of votes, the chairman shall exercise a casting vote. | ||
| 7. | Governing Body | : | There shall be a Governing body of the society to look after and to manage the day to day affairs of the society. It shall consist of minimum 3 and maximum 7 members including the office bearers. The meetings of the governing body shall be held after every one month with 2/3 quorum. An emergent meeting of the governing body may also be summoned on the written request. |
| Following business shall be transacted by way of circulation of files among the members of Governing body: | |||
| a) | To take steps for installation of renewable Energy projects in EPC,RESCO mode and BOOT basis etc. | ||
| b) | To take decisions for providing grants/subsidies to the beneficiaries who purchase Renewable Energy Systems/gadgets from their own resources. | ||
| c) | To take decisions for providing grants/subsidies to the deserving production units/institutions who are engaged in developing technologies of energy systems and research etc. | ||
| d) | To give such assistance by way of subsidies to users of various energy systems including grants as may be deemed necessary for furthering the use of new devices to be undertaken and supported by the Society. | ||
| e) | To organize processing, manufacturing and marketing activities of different energy items of the producers on marginal profit basis. | ||
| f) | To draw, accept, make, endorse, discount and negotiate with the Government of Goa and other promissory notes, bills of exchange, cheques or other negotiable instruments. | ||
| g) | To invest the funds or the money entrusted to the society upon such security or in any such manner, as may, from time to time and to sell or transfer such investments. | ||
| h) | To purchase, take on lease, accept as gift, donations, grants, subsidies construct, or otherwise acquire, any loan or property, wherever suitable which may be necessary or useful for the society. | ||
| i) | To employ directly or indirectly, by grants to other institutions, persons, to further the programme to be undertaken/proposed to be taken by the society. | ||
| j) | To set up or establish any special service for furthering the economic interest of the society and beneficiaries. | ||
| k) | To sell, lease, exchange or otherwise transfer of or any portion of the properties of the society. | ||
| l) | To do all other such things as may be deemed necessary by the society and may be incidental or conducive to the attainment of its objectives. | ||
| m) | The structure of the Governing Body shall be as under: | ||
| (i) Chief Secretary, Vice-Chairman (GEDA) (ii) Secretary NRE, Member(GEDA) (iii) Member Secretary (GEDA) | |||
| 8. | Election of Members of the Governing Body | : | "8 Nomination of the Member Secretary of GEDA |
| i) Member Secretary shall be nominated by Government of the Rank of Grade A Officer and Engineer having relevant experience in the field of Renewable Energy." | |||
| 9. | Office Bearers and their Duties | : | CHAIRMAN |
| Hon'ble Chief Minister, Government of Goa shall be the Chairman of the Society and shall preside at all the meetings. In his absence the Vice Chairman shall preside at every meeting of the General Body and in the absence of both, members present may authorize one of them (other than the Member Secretary) to preside over the meetings. | |||
| b) MEMBER SECRETARY | |||
| i) He shall represent the society in all public and private and public offices. | |||
| (ii) He shall keep all type of records of society including the register of members containing there in the name and addresses, etc. | |||
| (iii) He shall under take all type of correspondences on behalf of the society. | |||
| (iv) He shall convene the meeting of general body and shall also inform every member regarding time, date and place of the meeting through a seven days earlier notice in writing. | |||
| (v) He shall have the powers subject to the approval of the General Body to make rules regarding the recruitments of additional staff for the purpose of strengthening of GEDA and provide promotional avenues for them as per the needs and workload of the Agency. | |||
| (vi) He shall deposit all money or funds of the Society in an "account/accounts" to be opened with any Nationalised bank or any other bank notified by Finance Department, Government of Goa in the name of the Agency. | |||
| (vii) He shall also keep or cause to keep a true and correct account of the funds of the Agency. | |||
| (viii) He shall have power to receive donations, grants, fees and other money due and payable on behalf of the Agency and deposit the same in the account of the Agency's bank. | |||
| (ix) He shall keep the accounts in such manner as the governing Body may direct. | |||
| (x) | If nominated on deputation he shall draw salary one scale above the scale being drawn from the parent Department. | ||
| (xi) | He shall be authorized to sign all cheques on behalf of GEDA. | ||
| (xii) | He is authorized to sign for routine day to day activities of GEDA. | ||
| (xiii) | All expenditure of petty expenses, office expenses, salaries and all other expenses below Rs. 15.00 lakhs incurred for day to day for smooth working of Agency shall be with the approval of Member Secretary GEDA. | ||
| (xiv) | He shall be authorized to invite E-tenders and carry out empanelment procedures with the approval of Chairman (GEDA). | ||
| (xv) | He shall be authorized to appoint an auditor for the Society for auditing accounts of the society. | ||
| 10. | Source of Income | : (i) | Grants-in-aid from the Government of Goa, Government of India and any other institution shall be source of income of the society. |
| (ii) | Levy of 5% service charges on total amount of procurements of solar energy systems from all State Government Departments, PSU's and Autonomous bodies to GEDA as per circular No. 3-1/NCSE/Plan/ /2018-19/RE Procurements/11 dated 05/02/2019. | ||
| (iii) | Implementation of Revenue sharing Renewable Energy Projects including Electric Vehicle Charging Stations, hire of Electric Vehicles etc. | ||
| 11. | Audit | : | The accounts of the society shall be audited annually by competent auditors appointed by the Member Secretary. The auditors shall have detailed check of the register and accounts and submit the report to the Member Secretary within 15 days of submission of records to them. |
| 12. | Expenditure | : (i) | Strict discipline shall be ensured in utilization of money. |
| (ii) | All expenditure of petty expenses, office expenses, salaries and all other expenses below Rs.15.00 lakhs incurred for day to day for smooth working of Agency shall be with the approval of Member Secretary GEDA. | ||
| (iii) | All payment shall be supported by proper vouchers or certification by the concerned officer who has made the payment. | ||
| (iv) | All expenditure above 15.00 lakhs shall be with the approval of Governing Body and Chairman GEDA. | ||
| 13. | Bank Operation | : | The funds of the society shall be kept in any Nationalized Bank or any other bank notified by Finance Department, Government of Goa. The Bank Account shall be operated by the Member Secretary. |
| 14. | Financial Year | : | The financial year of the Society shall be from 1st April to 31st March. |
| 15. | Annual List | Every year a list of Governing body office bearers and members shall be filed in the office of the Registrar of the Society, Goa, as required under Section 4 of S.R. Act of 1860. | |
| 16. | Legal Proceedings | The Society may sue or be sued in the name of its Chairman as required in Section 6 of S.R. Act of 1860. | |
| 17. | Amendment | Subject to the approval of Government of Goa any amendment in the Memorandum or Rules of this Society shall be carried out in accordance with procedure laid down under Section 12 and 12A of S.R. Act of 1860. | |
| 18. | Dissolution | Subject to the approval of Government of Goa this Society may be dissolved in accordance with procedure laid down under Sections 13 and 14 of S.R. Act of 1860. |
All the provisions of S.R. Act of 1860 as extended to the State of Goa apply to this society.
