सं0 प्र0-2/बोर्ड पुर्न0 सं0-31/2008 (खंड-I)-4893-17—विद्युत अधिनियम, 2003 की धारा 131,133 एवं अन्य लागू उपबंधों द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए, राज्य सरकार इसके द्वारा अन्तरिती को बिहार राज्य विद्युत बोर्ड की सम्पत्तियों, हितों, अधिकारों, आस्तियों, दायित्वों, बाध्यताओं, कार्यवाहियों एवं कार्मिकों के अन्तरण को उपबंधित करने एवं प्रभावी बनाने के लिए तथा इसके आकस्मिक एवं अनुषंगी विषयों के लिए निम्नलिखित स्कीम बनाती है। 1. संक्षिप्त नाम, विस्तार एवं प्रारम्भः-

1.1 यह स्कीम बिहार राज्य विद्युत सुधार अन्तरण स्कीम, 2012 कहलाएगी। 1.2 इस स्कीम का विस्तार सम्पूर्ण बिहार राज्य एवं बिहार राज्य के बाहर बिहार राज्य विद्‌युत बोर्ड की अवस्थित सम्पत्तियों, हितों, अधिकारों, आस्तियोेंं, दायित्वों, बाध्यताओं, कार्यवाहियों एवं कार्मिकों पर भी लागू होगा।

1.3 यह स्कीम दिनांक 01.11.2012 के प्रभाव से प्रवृत्त होगी। 2. परिभाषाएं : इस स्कीम में जब तक संदर्भ में अन्यथा अपेक्षित न होः-

(क) "अधिनियम" से अभिप्रेत है विद्युत अधिनियम, 2003 (अधि. 36 वर्ष 2003) और उसके पश्चात्‌वर्त्ती संशोधनों;

(ख) "परिसम्पत्तियाँ" से अभिप्रेत है सभी परिसम्पत्तियाँ एवं सम्पत्तियाँ, साथ ही विद्युत व्यवस्था, प्लांट, मशीनरी, भूमि, भवन, कार्यालय, भंडार, फर्नीचर, जुड़नार, सवारी, आवासीय क्वार्टर एवं अतिथिगृहों एवं सुख-सुविधा तथा उससे संबंधित एवं संलग्न अधिष्ठानों और अन्य चल-अचल परिसम्पत्तियाँ, हस्तगत रोकड़, बैंक में नकद, विनिवेश, पुस्त-विकलन-मूर्त्त एवं अमूर्त्त, वास्तविक एवं अवास्तविक परिसम्पत्तियाँ, लाभ, लाइसेंस, सहमति, प्राधिकारी, निबंधन, पेटेन्ट, ट्रेडमार्क और हर प्रकार, स्वरूप और विवरण की, जो भी हो, शक्तियां, विशेषाधिकार, स्वतंत्रता, सुविधाधिकार, फायदे, लाभ एवं अनुमोदन, संविदा, डीड, स्कीमों, बांड, एकरारनामा और अन्य उपकरण एवं हित, चाहे जैसे भी स्वरूप का हो और जहॉं कही भी अवस्थित हो तथा साथ ही आकस्मिक परिसम्पत्तियां, जो विनिर्दिष्ट उपक्रमों के संबंध में अन्तरण की प्रभावी तिथि के पूर्व कार्यान्वयन के संबंध में उठे;

(ग) ''बोर्ड'' से अभिप्रेत है विद्युत (आपूर्त्ति) अधिनियम, 1948 (अधि. 54 वर्ष 1948) की धारा-5 के अधीन मूलतः गठित एवं बिहार पुनर्गठन अधिनियम, 2000 की धारा-62 के अधीन पुनर्गठित बिहार राज्य विद्युत बोर्ड,

(घ) ''कम्पनी'' से अभिप्रेत है कम्पनी अधिनियम,1956 के अधीन निगमित कम्पनी। (ड.) ''साउथ बिहार पावर डिस्ट्रीब्यूशन कम्पनी लिमिटेड'', "नार्थ बिहार पावर डिस्ट्रीब्यूशन कम्पनी लिमिटेड'' सामूहिक से अभिप्रेत है वह वितरण कम्पनियॉं, जिनमें बोर्ड के वितरण उपक्रमों को इस स्कीम के अनुसार अन्तरित किये जाएंगे;

(च) ''बिहार स्टेट पावर जेनरेशन कम्पनी लिमिटेड'' से अभिप्रेत है वह उत्पादन कम्पनी, जिनमें बोर्ड के उत्पादन उपक्रमों को इस स्कीम के अनुसार अन्तरित किये जाएंगे;

(छ) ''बिहार स्टेट पावर ट्रान्समिशन कम्पनी लिमिटेड'' से अभिप्रेत है वह संचरण कम्पनी, जिनमें बोर्ड के संचरण उपक्रमों को इस स्कीम के अनुसार अन्तरित किये जाएंगे;

(ज) ''बिहार स्टेट पावर (होल्डिंग) कम्पनी लिमिटेड'' से अभिप्रेत है वह कम्पनी, जो नव निगमित पुनर्गठित चार कम्पनियों, अर्थात्‌ बिहार स्टेट पावर जेनरेशन कम्पनी लिमिटेड, बिहार स्टेट पावर ट्रान्समिशन कम्पनी लिमिटेड, साउथ बिहार पावर डिस्ट्रीब्यूशन कम्पनी लिमिटेड और नार्थ बिहार पावर डिस्ट्रीब्यूशन कम्पनी लिमिटेड के सभी श्ेायरों को स्वीकार करेगी ;

(झ) ''प्रभावी तिथि'' से अभिप्रेत है इस अधिनियम एवं इस स्कीम के अनुसार विभिन्न उपक्रमों या उपक्रमों के अभिन्न भाग बोर्ड की सम्पत्तियों, हितोें, अधिकारों, परिसम्पत्तियों एवं दायित्चों, कार्यवाहियों या कार्मिकों को सुसंगत अंतरिती को प्रभावी अन्तरण के लिए उपर्युक्त कंडिका 1.3 में राज्य सरकार द्वारा अधिसूचित तिथि ;

(ञ) ''दायित्वों'' में सभी दायित्व, ऋण, कर्त्तव्य, बाध्यताएं और अन्य बकायों, साथ ही कानूनी दायित्वों एवं सरकारी उगाही, चाहे जिस प्रकार की हो और आकस्मिक दायित्व शामिल है जो इस स्कीम के अन्तर्गत अन्तरित उपक्रमों (इसके आगे परिभाषित) के संबंध में अन्तरण की प्रभावी तिथि के पूर्व कार्यान्वयन के बारे में उत्पन्न हो;

(ट) ''कार्मिक'' से अभिप्रेत है बोर्ड का कामगार, कर्मचारी, स्टाफ एवं पदाधिकारी, चाहे उन्हें जिस नाम से पुकारा जाएगा और इसमें बोर्ड में भरती के लिए प्रशिक्षणार्थी, यदि कोई, शामिल है और वे जो बोर्ड से अन्य संगठनों या संस्थानों में प्रतिनियुक्ति पर है, किन्तु बोर्ड में अन्य संगठनों या संस्थानों से प्रतिनियुक्ति पर के कार्मिकों को पृथक रखा जाएगा ;

(ठ) "कार्यवाहियाँ" से अभिप्रेत है वैसी कार्यवाहियाँ चाहे जिस स्वरूप की हों और इनमें वाद, अपील, परिवाद, अर्जी, आवेदन, अनुरंजनात्मक, माध्यस्थम (आरबीट्रेशन), चाहे सिविल हो या आपराधिक अथवा अन्यथा, जिसमें बोर्ड पक्षकारों में से एक है ;

(ड) "अनुसूची" से अभिप्रेत है इस स्कीम से संलग्न अनुसूचियाँ ; (ढ़) "राज्य" से अभिप्रेत है बिहार राज्य ; (ण) "राज्य सरकार" से अभिप्रेत है बिहार सरकार ; (त) "अन्तरिती" से अभिप्रेत है बिहार स्टेट पावर (होल्डिंग) कंपनी लि, बिहार स्टेट पावर जेनरेशन कम्पनी लिमिटेड, बिहार स्टेट पावर ट्रान्समिशन कम्पनी लिमिटेड, साउथ बिहार पावर डिस्ट्रीब्यूशन कम्पनी लिमिटेड, नार्थ बिहार पावर डिस्ट्रीब्यूशन कम्पनी लिमिटेड यथास्थिति। (थ) "उपक्रम" से अभिप्रेत है बोर्ड के उपक्रमों के भाग के रूप में विनिर्दिष्ट सीमा तक एवं रीति में संपत्तियों, हितों, अधिकारों, दायित्वों, बाध्यताओं, कार्यवाहियों एवं कार्मिक के कृत्यों, कारोबार और समूह अथवा समूहों का होना और ऐसी अन्य संपत्तियाँ, हितों, अधिकारों, परिसम्पत्तियाँ, दायित्व, बाध्यताएं और कार्यवाहियां तथा जहाँ संदर्भ की गुंजाइश हो वहाँ कृत्यों को सुसंगत स्कीम में यथाविनिर्दिष्ट कार्मिक शामिल होंगे ;

(द) वैसे शब्द एवं अभिव्यक्ति, जिनका इस्तेमाल स्कीम में किया जाता है और अधिनियम में भी परिभाषित हैं, किन्तु इस स्कीम में विशिष्ट रूप से परिभाषित नहीं है, उनका वही अभिप्राय होगा जैसा कि अधिनियम में उन्हें निर्धारित किया गया है।

3. बोर्ड के उपक्रमों का वर्गीकरण :

3.1 बोर्ड के उपक्रमों का वर्गीकरण निम्न अनुसूचियों में इस प्रकार किया गया है :

(क) अनुसूची "क" में यथाव्यक्त संचरण उपक्रम ; (ख) अनुसूची "ख" में यथाव्यक्त उत्पादन उपक्रम ; (ग) अनुसूची "ग" में यथाव्यक्त वितरण उपक्रम ; (घ) अनुसूची "घ" में यथाव्यक्त होल्डिंग उपक्रम ; (ङ) अनुसूची "ङ" में यथाव्यक्त अवशिष्ट परिसंपत्तियां एवं दायित्व ; (च) अनुसूची "च" में यथाव्यक्त कार्मिकों का अन्तरण ;

3.2 यदि उपर्युक्त उप-खण्ड के अधीन उपक्रमों की परिसंपत्तियां बोर्ड द्वारा गृहीत किसी वित्तीय सहायता या बाध्यताओं के लिए तृतीय पक्षों के पक्ष में सुरक्षा दस्तावेंजों या व्यवस्थाओं के अध्यधीन है और उनके संबंध में दायित्वों का वर्गीकरण विभिन्न उपक्रमों में किया जाना है तो राज्य सरकार, उक्त प्रयोजनार्थ आदेश निर्गत कर, विभिन्न उपक्रमों के बीच ऐसी संपत्तियों, परिसम्पत्तियों और अधिकारों द्वारा सुरक्षित दायित्वों के संविभाजन की व्यवस्था करेगी और ऐसे संविभाजन पर सुरक्षा संविभाजित दायित्व की सीमा तक लागू होगी।

4. राज्य को परिसंपत्तियों, दायित्वों, आदि का अन्तरण :-

4.1 राज्य सरकार के निर्णय के आलोक में, अनुसूची "क" से "ङ" तक में यथाविनिर्दिष्ट बोर्ड की परिसंपत्तियां, सभी हित, अधिकार और दायित्व, इस अधिनियम एवं इस स्कीम में विनिर्दिष्ट शर्त्तो एवं बंधेजों के अध्यधीन, राज्य सरकार या बोर्ड अथवा किसी व्यक्ति द्वारा कोई आगे कार्य अथवा बात सम्पन्न किए बिना, इस स्कीम के अधीन राज्य सरकार को अन्तरित हो जाएगा अथवा निहित होगा। 4.2 अनुसूची "ङ" में विनिर्दिष्ट परिसम्पत्तियां एवं दायित्व अनुसूची "क" से "घ" में यथावर्गीकृत प्रस्तावित उत्तराधिकारी कम्पनियों को अंतरित होनेवाली परिसंपत्तियों एवं दायित्वों का अभिन्न भाग नहीं होगा, किन्तु, राज्य सरकार द्वारा प्रतिधारित अवशिष्ट परिसंपत्तियों एवं दायित्वों का अभिन्न भाग होंगे। तथापि, बोर्ड से प्राप्त होनेवाले बकाया राज्य सरकार के उधार एव उसपर ब्याज को, बोर्ड और राज्य सरकार के बीच अंतिम सामंजन होने तक, बोर्ड से यथा प्राप्त होनेवाले के रूप में दिखाया जाते रहेगा।

4.3 उपर्युक्त उप-खण्ड 4.1 में वर्णित कोई बात कार्मिक और कार्मिक से संबंधित विषयों, वेतन, मजदूरी, उपदान, पेंशन, भविष्यनिधि, क्षतिपूर्ति, आवधिक (टर्मिनल) और सेवा-निवृत्ति लाभ जैसे कानूनी देयों सहित, के संबंध में अधिकारों, जिम्मेदारियों, दायित्वों और बाध्यताओं के बारे में लागू नहीं होगी और इस स्कीम के अधीन शर्त्त 6 में उपबंधित रीति से उन्हें निपटाया जाएगा।

5. राज्य द्वारा उपक्रम का अन्तरण :

5.1 इसकी अनुसूची "क" में यथाव्यक्त संचरण उपक्रमों के अभिन्न भाग के कृत्य, कारोबार एवं उपक्रम इस अधिनियम एवं इस स्कीम में विनिर्दिष्ट शर्त्तो एवं बंधेजों के अध्यधीन, राज्य सरकार या बोर्ड अथवा किसी व्यक्ति द्वारा कोई आगे कार्य अथवा बात सम्पन्न किए बिना, प्रभावी तिथि को और से बिहार स्टेट पावर ट्रान्समिशन कम्पनी लि0 में अन्तरित हो जाएंगे अथवा निहित हो जाएंगे। 5.2 इसकी अनुसूची "ख" में यथा व्यक्त उत्पादन उपक्रमों के अभिन्न भाग के कृत्य, कारोबार एवं उपक्रम इस अधिनियम एवं इस स्कीम में विनिर्दिष्ट शर्त्तों एवं बंधेजों के अध्यधीन, राज्य सरकार या बोर्ड अथवा किसी व्यक्ति द्वारा कोई आगे कार्य अथवा बात सम्पन्न किए बिना, प्रभावी तिथि को और से बिहार स्टेट पावर जेनरेशन कम्पनी लि0में अन्तरित हो जाएंगे अथवा निहित हो जाएंगे।

5.3 इसकी अनुसूची "ग" में यथाव्यक्त वितरण उपक्रमों के अभिन्न भाग के कृत्य, कारोबार एवं उपक्रम इस अधिनियम एवं इस स्कीम में विनिर्दिष्ट शर्त्तों एवं बंधेजों के अध्यधीन, राज्य सरकार या बोर्ड अथवा किसी व्यक्ति द्वारा कोई आगे कार्य या बात संपन्न किए बिना, प्रभावी तिथि को और से साउथ बिहार पावर डिस्ट्रीब्यूशन कम्पनी लि0, नार्थ बिहार पावर डिस्ट्रीब्यूशन कम्पनी लि0 में अन्तरित हो जाएंगे अथवा निहित हो जाएंगे।

5.4 इसकी अनुसूची "घ" में यथाव्यक्त होल्डिंग उपक्रमों के अभिन्न भाग के कृत्य, कारोबार एवं उपक्रम इस अधिनियम एवं इस स्कीम में विनिर्दिष्ट शर्त्तों एवं बंधेजों के अध्यधीन, राज्य सरकार या बोर्ड अथवा किसी व्यक्ति द्वारा कोई आगे कार्य या बात संपन्न किए बिना, प्रभावी तिथि को और से बिहार स्टेट पावर (होल्डिग) कंपनी लि0 में अन्तरित हो जाएंगे अथवा निहित हो जाएंगे। 5.5 उपर्युक्त उप-खण्डों 5.1 से 5.4 तक की शर्त्तों में कृत्यों, कारोबार एवं उपक्रमों के ऐसे अन्तरण एवं निहित होने पर और अन्यथा उपबंधित को छोड़कर, संबंधित अन्तरिती संबंधित उपक्रमों से संबंधित जिस किसी प्रकार से संबंधित सभी कृत्यों, संविदाओं, अधिकारों, डीडों, स्कीमों, बाँडो, एकरानामों, कार्यवाहियों और अन्य उपकरणों, जो इन्हें अन्तरित किए गए एवं जिनका बोर्ड एक पक्ष के रूप में था, अन्तरण की तिथि को अस्तित्व में होने अथवा प्रभावी होने के समय, के लिए जिम्मेदार होगा और तत्समय प्रवृत्त होगा तथा संबंधित अन्तरिती के विरूद्ध अथवा पक्ष में प्रभावी होगा और प्रभावी रूप से इस प्रकार प्रवृत्त होगा मानो संबंधित अन्तरिती बोर्ड के बदले में उसका एक पक्ष हो। 5.6 इस स्कीम में यथाविनिर्दिष्ट उपक्रमों के अन्तरण एवं निहित होने के लिए विचार करने में, सुसंगत अन्तरिती को वित्तीय एवं आरम्भ तुलन-पत्र (ओपनिंग बैलेंस शीट) होगा और वह, जैसाकि राज्य सरकार आदेश द्वारा (क्रमशः अनुसूची "क" से "घ" के भाग-II में यथाविनिर्दिष्ट) अधिसूचित करे, शेयर और/या/अन्य उपकरण निर्गत करेगा।

5.7 राज्य सरकार, प्रयोजन के लिए आदेश निर्गत कर, इस स्कीम के खण्ड-9 में उल्लिखित औपबंधिक अवधि के दौरान किसी भी समय में अनुसूचियों में विनिर्दिष्ट शर्त्तों एवं बंधेजों में संशोधन, हेरफेर, उपान्तरण, परिवर्धन, विलोप या अन्यथा परिवर्त्तन कर सकेगी।4 (cid:18)बहार गजट (असाधारण), 1 नवम ्बर 2012 5.8 संबंधित अन्तरिती को अनुसूची क, ख, ग एवं घ के अभिन्न भाग की परिसंपत्तियों एवं दायित्वों का अन्तरण मूल्य पुस्त मूल्यों पर लिया गया है। तथापि, भू-परिसंपत्तियों को प्रभावी तिथि को सरकारी मूल्य के आधार पर पुनः मूल्यांकित किया जाएगा और भवन, उपकरण तथा मशीनरी जैसी अन्य नियत परिसंपत्तियों को उनके मूल्य ह्रास पुस्त मूल्य पर मूल्यांकित किया जाएगा। नियत परिसंपत्तियों का पुर्नमूल्यांकन कार्य अंतिम अन्तरण स्कीम की अधिसूचना के पहले कर लिया जाएगा, किन्तु संबंधित उत्तराधिकारी कंपनी की प्रथम वार्षिक साधारण बैठक के बाद किसी भी दशा में नहीं। पुर्नमूल्यांकन का प्रभाव राज्य सरकार के साम्य अंशदान में प्रतिबिम्बित होगा।

6. कार्मिकों का अन्तरण :

6.1 कार्मिकों का स्थानान्तरण अधिनियम की धारा -133 और अन्य लागू उपबंधों में अन्तर्विष्ट शर्त्तों एवं बंधेजों के अध्यधीन होगा।

6.2 बोर्ड के कार्मिक, जो मुख्यालय स्थित सहित वितरण, उत्पादन, संचरण और सामान्य सेवाओं में कार्यरत है, वे प्रभावी तिथि को, होल्डिंग कंपनी में स्थानान्तरित हो जाएंगे।

6.3 उप-खंड 6.2 के अध्यधीन, प्रभावी तिथि को कार्मिक निम्न के अनुसार होल्डिंग कंपनी से आगे स्थानान्तरित होंगे :

1) बोर्ड के संचरण कार्य एवं क्रिया-कलापों में कार्यरत सभी कार्मिक बिहार स्टेट पावर ट्रान्समिशन कंपनी लि0 में स्थानान्तरित समझे जाएंगेे।

2) बोर्ड के उत्पादन कार्य एवं क्रिया-कलापों में कार्यरत सभी कार्मिक बिहार स्टेट पावर जेनरेशन कंपनी लि0 में स्थानान्तरित समझे जाएंगे।

3) बोर्ड के वितरण कार्य एवं क्रिया-कलापों में कार्यरत सभी कार्मिक साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 और नार्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 में स्थानान्तरित समझे जाएंगे।

6.4 संचरण, उत्पादन, वितरण और सामान्य सेवाओं के कर्मचारी-समूह के स्थानान्तरण के लिए विस्तृत स्कीम और शर्त्तें एवं बंधेज अनुसूची "च" में वर्णित है।

6.5 ऐसे स्थानान्तरण पर और अधिनियम के उपबंधों के अध्यधीन एवं इस स्कीम के अन्य उपबंधों के अनुसार, कार्मिक संचरण, उत्पादन एवं वितरण कंपनियों की सेवाओं के, यथास्थिति, भाग होंगे, किन्तु प्रभावी तिथि को बोर्ड में मौजूदा स्थिति में उनका पद (रैंक), वेतनमान और परस्पर वरीयता होल्डिंग कम्पनियों में बरकरार रहेगा और सेवानिवृत्ति लाभ एवं अन्य सुविधाएं प्रभावी तिथि पर बोर्ड में हैं, किसी भी स्थिति में कम नहीं किया जाएगा।

6.6 उपर्युक्त कंडिका 6.2 एवं 6.3 के अनुसार होल्डिंग कंपनी में और आगे संचरण, उत्पादन एवं वितरण कंपनियों में स्थानान्तरित होने पर कार्मिक के स्थानान्तरण के औपबंधिक स्वरूप में होने पर भी, कार्मिक यथास्थिति, संचरण, उत्पादन और वितरण कंपनियों द्वारा समय-समय पर उन्हें सौंपे गए कृत्यों एवं कार्यों का निष्पादन करेंगे तथा संचरण, उत्पादन और वितरण कंपनियों को इस स्कीम के अनुसार उन्हें ऐसे स्थानान्तरित कार्मिकों पर सभी प्रशासनिक एवं अनुशासनिक नियंत्रण करने की शक्ति होगी।

6.7 कार्मिकों का स्थानान्तरण निम्नलिखित शर्त्तों के अध्यधीन होंगे, यथा -

(क) प्रभावी तिथि को मौजूदा बोर्ड द्वारा विरमित नियमों एवं विनियमों द्वारा कार्मिक शासित होंगे।

(ख) प्रभावी तिथि को कार्मिकों के संबंध में लागू सेवाओं की शर्त्तें एवं बंधेज उक्त प्रभावी तिथि से तुरंत पूर्व उन पर लागू उन शर्त्तों एवं बंधेजों की अपेक्षा किसी भी तरह से कम अनुकूल नहीं होंगे। तदनुसार, प्रभावी तिथि को लागू वेतन, भत्ते और आर्थिक लाभ तथा सेवांत लाभ का संरक्षण किया जाएगा तथा उनमें किसी तरह प्रतिकूल परिवर्त्तन नहीं किया जाएगा। (ग) सभी दृष्टिकोण से ऐसे सभी कार्मिकों की निरन्तर सेवाएं होंगी । (घ) उक्त प्रभावी तिथि से पूर्व की गई सेवा का सभी लाभों को पूर्णतः मान्यता दी जाएगी और ध्यान में रखा जाएगा। सभी प्रयोजनों के लिए, साथ ही सेवान्त लाभों के भुगतान के संबंध में भी।

(ङ) किसी अन्य आदेश के बारे में जो कार्मिकों की सेवा शर्त्तों से संबंधित वरीयता अथवा अन्य मामलों के बारे में उक्त प्रभावी तिथी को लंबित कार्यवाहियों के संदर्भ में न्यायालय द्वारा पारित हो।

(च) इस स्कीम के अध्यधीन, कार्मिक की सेवा बोर्ड से समाप्त हो जाएगी और इस स्कीम के अन्तर्गत न होने पर किसी प्रकार का सेवा लाभ न होगा, न ही दावा किया जाएगा। 6.8 अधिनियम एवं स्कीम के अध्यधीन, होल्डिंग कंपनी को इस स्कीम के अधीन अनुषंगी कंपनियों में स्थानान्तरित कार्मिकों की शर्त्तों को लागू करने संबंधी विनियमों को विरचित करने का हक होगा और ऐसे समय तक बोर्ड की वर्त्तमान /(उपान्तरण के लिए यथा सुझाव) सेवा नियमावली/ विनियमावली यथोचित परिवत्र्तन सहित लागू होगी।5 (cid:18)बहार गजट (असाधारण), 1 नव+बर 2012 6.9 कंडिका 6.7 के अध्यधीन सभी वैधानिक एवं अन्य स्कीमों तथा नियोजन से संबंधित विषयों, भविष्य निधि, उपादान निधि, पेंशन, अवकाश नगदीकरण और किसी अन्य बार्धक्य निवृति निधि या कार्मिकों के लाभ के लिए अन्य सृजित/मौजूदा विशेष निधि सहित, के संबंध में, होल्डिंग कंपनी, ऐसे सभी मामलों में किसी, और सभी प्रयोजनों और सभी अधिकारों, शक्तियों एवं बाध्यताओं, हेतु बोर्ड के लिए प्रतिस्थापित होगी, और वे सभी होल्डिंग कंपनी के होंगे तथा कार्मिकों की सेवाएं इस उप-खण्ड के लागू होने के प्रयोजनार्थ निरन्तर होने के रूप में समझी जाएगी।

6.10 होल्डिंग कंपनी बिहार स्टेट पावर (होल्डिंग) कंपनी लि0, बिहार स्टेट पावर जेनरेशन कंपनी लि0, बिहार स्टेट पावर ट्रान्समिशन कंपनी लि0, साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 और नार्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 के साथ विचार-विमर्श कर, कार्मिकों की उपयुक्तता, योग्यता-क्षमता और अनुभव तथा रिक्तियों की संख्या एवं स्वरूप और अन्य सुसंग तथ्यों पर ध्यान देते हुए अनुषंगी कंपनियों में कार्मिकों के स्थानान्तरण एवं स्थायी समावेश के बारे में निर्णय लेगी और स्कीम के खण्ड 9 में विनिर्दिष्ट उपक्रमों के अन्तरण की औपबंधिक अवधि के अन्तर्गत ऐसे स्थायी समावेश करने के लिए समुचित आदेश निर्गत करेगी।

6.11 उपर्युक्त उप-खण्ड 6.10 के प्रयोजनार्थ, होल्डिंग कंपनी निम्न के बारे में इस स्कीम की अनुसूची - च में यथा विनिर्दिष्ट एक समिति का गठन करेगी - (क) कार्मिकों से अभ्यावेदन प्राप्त करने, जो अनुसूची - च की शर्त्तों के अनुसार अनुषंगी कंपनियों में अपने स्थानान्तरण एवं समावेश के संबंध में शिकायतेें रख सकेंगे और (ख) ऐसे स्थानान्तरण एवं समावेश पर ऐसे समय के अन्तर्गत अनुशंसा करेगी जैसाकि सरकार उस प्रयोजनार्थ विनिर्दिष्ट करे।

6.12 प्रयोजनार्थ नियुक्त समिति की अनुशंसा पर विचार करने के उपरांत अनुषंगी कम्पनियों में कार्मिकों के स्थानान्तरण एवं स्थायी समावेश पर होल्ंिडग कम्पनी निर्णय लेगी और कर्मिकों के ऐसे स्थानान्तरण एवं स्थायी समावेश के लिए आदेश निर्गत करेगी।

6.13 उपर्युक्त उप- खंड- 6-10 की शर्त्तों के अनुसार अंतिम रूप देने एवं आदेश निर्गत होने के बाद, कार्मिक सम्बद्ध अनुषंगी कम्पनी की सेवाओं के अभिन्न भाग हो जाएंगे, आदेश के अनुसार पद, वेतनमान या वरीयता इस प्रयोजनार्थ निर्गत किया जाएगा, बिना किसी कार्य, विलेख अथवा कार्य राज्य सरकार या होल्डिंग कम्पनी या कार्मिक अथवा किसी अन्य व्यक्ति द्वारा किए बिना। 6.14 बोर्ड के मौजूदा पेंशनभोगियों के दायित्व (31.03.2011 को जीवनांकिक मूल्यांकन पर आधारित) राज्य सरकार के दायित्व होंगे। आगे, प्रभावी तिथि को मौजूदा कर्मचारियों के रिटायरल देयताओं के संबंध में, जीवनांकिक मूल्यांकन पर यथा अभिनिर्धारित, दायित्व उस सीमा तक के कोषरहित है, वे भी राज्य सरकार के दायित्व होंगे। निबंधित बीमांकिक द्वारा किए गए जीवनांकिक मूल्यांकन के अनुसार कुल सेवान्तक लाभ दायित्वों का शुद्ध वर्त्तमान मूल्य 4613/- करोड़ रुपये (प्रति वर्ष 8 प्रतिशत की दर से डिस्काउन्टेड) है जिसमें से कोषरहित दायित्व दिनांक 31.03.2011 को लगभग 4438 करोड़ रुपये है।

6.15 कर्मचारियों के वेतनादि के संबंध में बोर्ड द्वारा सृजित कोषरहित दायित्वों का, जोकि राज्य सरकार के नीति निर्देशों से आच्छादित हो, को राज्य सरकार द्वारा वहन किया जाएगा। प्रभावी तिथि तक के कोषरहित दायित्व को राज्य सरकार के नीति निर्देशों से आच्छादित माना जाएगा। प्रशासी विभाग तत्संबंधी विस्तृत विवरण बोर्ड/होल्डिंग कंपनी से प्राप्त कर समीक्षोपरान्त सरकार के निर्णय हेतु उपस्थापित करेगा, तदनुसार इस बिन्दु पर ट्रान्सफर स्कीम अंतिम माना जाएगा। उपर्युक्त कोषरहित सेवान्तक लाभ दायित्व का निर्धारण बीमांकिक द्वारा मुद्रा-स्फीति, वेतन पुनरीक्षण, आदि के प्रभाव को देखते हुए वार्षिक आधार पर किया जाता है। प्रभावी तिथि के बाद, उत्तरवत्र्ती अवधियों में सेवा के कारण दायित्व का वहन संबंधित उत्तराधिकारी कंपनी द्वारा किया जाएगा। सेवांतक लाभों का संवितरण होल्डिंग कंपनी के प्रशासित मास्टर ट्रस्ट के माध्यम किया जाएगा। राज्य सरकार द्वारा अंशदान प्रत्येक वर्ष दो किश्त में अग्रिम रूप में किया जाएगा अर्थात 31 मई और 30 नवम्बर को तथा उत्तराधिकारी कंपनी मासिक आधार पर अगले माह के 7 तारीख से संवितरित करेगी। ऐसी अधिसूचना मास्टर ट्रस्ट की स्थापना एवं समुचित निधि होने तक उस पर होनेवाले भुगतानों के लिए राज्य सरकार और अंतरिती संयुक्त रूप से एवं अलग-अलग दायी होंगे।

6.16 इस खण्ड-6 शर्त्त के प्रयोजन के लिए :

(1) मौजूदा पेंशनभोगी" से अभिप्रेत है सभी पेंशनभोगी बोर्ड से स्थानान्तरण की प्रभावी तिथि को पेंशन के लिए पात्र है और लागू स्कीम के अनुसार पेंशनभोगी के पारिवारिक सदस्य इसमें शामिल है,

(2) "सेवान्त लाभ" से अभिप्रेत है उपादान, पेंशन, महंगाई भत्ता और अन्य लागू राहत, चिकित्सा लाभ और अन्य लागू लाभ, साथ ही बोर्ड में पूर्व प्रचलित परम्परा के अनुसार उपर्युक्त लाभों में समुचित पुनरीक्षण का अधिकार।6 (cid:18)बहार गजट (असाधारण), 1 नवम ्बर 2012 6.17 बोर्ड से कार्मिक के स्थानान्तरण की प्रभावी तिथि से पहले कार्मिक के विरूद्ध लंबित अनुशासनिक कार्यवाहियों सहित सभी कार्यवाहियाँ अन्तरिती को अथवा ऐसे अंतरिती से अन्य अन्तरिती को स्थानान्तरित पर, यथास्थिति, अथवा जो स्थानान्तरण की तिथि से पहले कार्यकरण-कार्यलोप संबंधी कदाचार, च्युति अथवा कार्य से संबंधित को समाप्त नहीं किया जाएगा तथा उन्हें सेवा नियमावली के साथ लागू प्रावधान में सम्बद्ध अन्तरिती द्वारा जारी रखा जाएगा।

6.18 अंतरिती के यहाँ स्थानान्तरित कार्मिक के साथ संबंद्ध अन्तरिती के बीच एकरार होगा कि बकाये उधार, अग्रिम तथा अन्य राशि को चुकाया जाएगा तथा बोर्ड के साथ किए गए बाध्यताओं को उनके द्वारा पूरा किया जाएगा जो बोर्ड के साथ हुए एकरारनामा में अन्तर्विष्ट उन्हीं शर्त्तों एवं बंधेजों के अनुसार अंतरिती के लाभ की दृष्टि से स्थानान्तरण की प्रभावी तिथि को अधूरा रह गया था। 6.19 स्कीम में अन्तर्विष्ट कोई भी ऐसी बात प्रभावी तिथि को बोर्ड को प्रतिनियुक्ति पर राज्य सरकार अथवा अन्य संगठन के कार्मिक के साथ लागू नहीं होगी, किन्तु ऐसे कार्मिक को संबंद्ध अन्तरिती के यहाँ प्रतिनियुक्ति पर बनाये रखा जाएगा जिनकी सेवाएं "जो जहाँ है" के आधार पर स्थानान्तरण के अगले आदेश तक जारी रहेंगी।

6.20 बोर्ड के अधिकारियों एवं कर्मचारियों की सेवा पुनर्गठन के पश्चात्‌ निरन्तर रहेगी। उनकी सेवा शर्त्तें वर्त्तमान सेवा शर्त्तों से न्यूनतर नहीं होंगी और यदि किसी मामले में अन्तरिती कंपनियां किसी सेवाशर्त्तों को पूरा नहीं करती है तो राज्य सरकार इसकी गारंटी देती है तथा होल्डिंग कंपनी के माध्यम से उनको सुनिश्चित करेगी। परन्तु, यह प्रावधान पुनर्गठन की प्रभावी तिथि के बाद अंतरिती कंपनियों में नियुक्त होने वाले नये कार्मिक पर लागू नहीं होगी।

7. तीसरे पक्षों के अधिकारों एवं बाध्यताएं की सीमितता ।-इस अधिनियम एवं इस स्कीम के अनुसार अन्तरण के प्रभावी होने पर सभी व्यक्तियों के अधिकार एवं बाध्यताएं उस अन्तरिती तक सीमित हो जाएंगी जिन्हें उन्हें सौंपा गया है और बोर्ड के साथ उस व्यक्ति के किसी संलेख, अभिलेख, साधन, एकरारनामा अथवा व्यवस्था में कुछ निहित रहने पर भी व्यक्ति राज्य सरकार या बोर्ड या जिस अन्तरिती को उसे सौंपा गया है, उसके अतिरिक्त किसी अन्य अन्तरिती पर कोई अधिकार या हित का दावा नहीं करेगा।

8. लंबित वाद, कार्यवाहियां, आदि :

8.1 सभी कार्यवाहियां, जिस प्रकार की हों या बोर्ड के विरूद्ध हो, प्रभावी तिथि को लंबित हो, तो इस स्कीम के अधीन अन्तरण के कारण से मंद अथवा अवरूद्ध नहीं होंगी अथवा किसी प्रकार से प्रतिकूल रूप से प्रभावित नहीं होंगी तथा कार्यवाहियां जारी रहेंगी, आगे बढ़ायी जाएगी, प्रबलित की जाएंगी, उस अंतरिती के विरूद्ध, जिनको इस स्कीम के अनुसार और उसके अधीन निर्गत आदेश से सौंपी गई हैं।

8.2 उपर्युक्त उप-खण्ड 8.1 के अन्तर्गत की कार्यवाही उसी रीति से और उसी सीमा तक जारी रहेगी मानो बोर्ड द्वारा या बोर्ड के विरूद्ध यह जारी रहता, अभियोजित होता अथवा प्रबलित होता, यदि इस स्कीम में विनिर्दिष्ट स्थानान्तरण न किए गए होते।

9. प्रथमतः औपबंधिक रूप में संपत्ति, अधिकार, परिसंपत्ति, दायित्व और कार्यवाही का वर्गीकरण एवं अन्तरण :

9.1 राज्य सरकार द्वारा दिए गए किसी आदेश में जब तक कि अन्यथा विनिर्दिष्ट न हो, इस स्कीम के अधीन कार्मिक सहित उपक्रमों का वर्गीकरण एवं अन्तरण प्रभावी तिथि से एक वर्ष की अवधि के लिए औपबंधिक होगा।

9.2 प्रभावी तिथि से एक वर्ष की अवधि के अन्तर्गत किसी भी समय में, राज्य सरकार, अधिसूचना निर्गत कर स्थानान्तरण की शर्त्तों एवं बंधेजों में संशोधन, परिवर्त्तन, उपान्तरण, परिवर्द्धन, कमी, विलोप या अन्यथा परिवर्त्तन कर सकेगी, साथ ही स्थानान्तरण में शामिल मदों को भी तथा ऐसी संपत्तियों, हितों, अधिकारों, परिसंपत्तियों, दायित्वों, कार्मिकों और कार्यवाहियों का अन्तरण कर सकेगी, और एक अन्तरिती के उपक्रम के अभिन्न भाग को किसी अन्य अंतरिती या बोर्ड को अथवा राज्य सरकार को ऐसी रीति से एवं ऐसी शर्त्तों और बंधेजों पर जैसाकि राज्य सरकार समुचित समझे।

9.3 प्रभावी तिथि से एक वर्ष की अवधि की समाप्ति पर तथा राज्य सरकार द्वारा दिए गए किसी निदेश के अध्यधीन, इस स्कीम के अनुसार उपक्रमों, संपत्तियों, हितों, अधिकारों, परिसंपत्तियों, दायित्वों, कार्मिकों और कार्यवाहियों का अन्तरण अंतिम होगा।

10. विधि के अनुसरण द्वारा अन्तरण ।-इस स्कीम के अधीन अन्तरण, इस स्कीम के प्रकाशन और इस स्कीम की शर्त्तों के अन्तर्गत निर्गत आदेशों द्वारा सरकार की कार्यवाही के अनुसरण में संचालित एवं प्रभावी होगा और इस स्कीम की शर्त्तों एवं बंधेजों के अध्यधीन, राज्य सरकार, बोर्ड, अन्तरिती या किसी अन्य व्यक्ति द्वारा किए गए कार्य, विलेख या बात के बिना ही।7 (cid:18)बहार गजट (असाधारण), 1 नव+बर 2012 11. राज्य सरकार का निर्णय अंतिम होगा :

11.1 यदि इस अधिनियम के उपबंधों के अध्यधीन इस स्कीम के अधीन अन्तरण के संबंध में कोई संदेह, विवाद, भिन्नता अथवा मामला उठेगा तो उन पर राज्य सरकार का निर्णय अंतिम होगा और सभी पक्षों को बाध्यकारी होगा।

11.2 राज्य सरकार, शासकीय गजट में आदेश प्रकाशित कर, इस स्कीम में संशोधन करेगी और इस स्कीम के अधीन अन्तरणों के कार्यान्वयन में हुई कठिनाईयों को दूर करने के लिए आवश्यकता पड़ने पर, अधिनियम के उपबंध के साथ अनुकूलता नहीं होने पर, उपबंध करेगी।

12. शुल्क में छूट।-इस स्कीम के अधीन अन्तरण एवं इसके कार्यान्वयन में, राज्य सरकार और इसके सभी स्थानीय निकायों के करों, शुल्कों, उगाही में छूट के संबंध में राज्य सरकार अलग से आवश्यकतानुसार निर्णय लेगी। आदेश :- आदेश दिया जाता है कि इस अधिसूचना को बिहार राजपत्र के असाधारण अंक में सर्वसाधारण की जानकारी हेतु प्रकाशित किया जाय।

भाग-1

संचरण उपक्रम में, बिहार राज्य विद्युत बोर्ड की विद्युत संचरण संबंधी सभी परिसंपत्तियों, दायित्व एवं कार्यवाहियाँं, निम्नलिखित सहित, किन्तु उनमें सीमित नहीं, होंगी :-

I संचरण परिसंपत्तियाँ ।-सभी संचरण लाईनों में सभी संयुक्त एवं संबंद्ध उपकरण के साथ विभिन्न क्षमताओं के ग्रिड उप-स्टेशनों के साथ दोहरी सर्किट टावरों पर दोहरे सर्किट/एकल सर्किट पर 33 कि0वाट से ऊपर के बोल्टेज पर विद्युत शक्ति ढ़ोने की क्षमता होगी, साथ ही उप-स्टेशनों में स्टेप-अप, स्टैप-डाउन ट्रांसफारमर, सर्किट ब्रेकर, स्वीच-गियर सेट होंगे, मीटर की व्यवस्था और पावर लाईन कम्युनिकेशन प्रणाली के साथ अन्य सुरक्षात्मक यंत्र (डिभाइस) होंगे, एलाइड नियंत्रक कक्ष, भार प्रेषण केन्द्र, भूमि (रास्ते के अधिकार के साथ), भवन, सड़क और अतिरिक्त परिसंपत्तियां होंगी जो राज्य क्षेत्र के अन्तर्गत एवं बाहर में हों, साथ ही निर्माणाधीन ऐसी परिसंपत्तियां एवं अर्जित, अन्तरित परिसंपत्तियां अथवा जिनका अधिकार अन्तरण, बिक्री, पट्‌टे और अन्यथा द्वारा बोर्ड के साथ निहित हो, किन्तु ऐसे निर्माण या अधिष्ठान जो कानूनी ढ़ंग से अन्य द्वारा गृहीत या व्यवहृत हों, को छोड़कर।

उपर्युक्त के अतिरिक्त, ग्रिड उप-स्टेशनों, जो संचरण का अभिन्न भाग हैं, से संबंधित निर्गम खण्ड संचरण प्रणाली का भाग होगा तथा अन्य अनुसूची में अन्तर्विष्ट किसी बात के होते हुए भी वितरण उपक्रमों का अभिन्न भाग नहीं होगा।

II सामान्य परिसंपत्तियाँ ।-निम्नलिखित, यदि वे केवल अथवा मुख्यतः ऊपर उल्लिखित संचरण प्रणाली की संपत्तियों या प्रोजेक्टों अथवा क्रिया-कलापों से संबंधित हैं और उन संचरण प्रणाली, संपत्तियां अथवा प्रोजेक्टों से संबंद्ध है :

(क) विशिष्ट औजार एवं उपकरण, सामग्री हाथ से संचालित उपकरण, अर्थ मूवर्स, बुलडोजर्स, कंकरीट मिश्रक, क्रैन, ट्रेल्र्स, भारी एवं हल्के वाहन, फर्नीचर, जुड़नार, कार्यालय उपकरण, एयर कन्डीशनर्स, रेफ्रीजरेटर्स, कम्प्यूटर एवं सिगनल प्रणाली, पार्ट-पुुर्जे, उपभोज्य, कच्चा माल, भूमि एवं सिविल कार्य अधिष्ठापन, साथ ही सड़क, भवन, स्टॉफ क्वार्टर, विश्रामगृह, संपत्तियां एवं संरचनाएं तथा उनके संबंद्ध भवन, स्कूल, दवाखाना, जांच प्रयोगशालाएं एवं उपकरण, प्रशिक्षण केन्द्र, वर्कशॉप, चालू कार्य, मशीनरी एवं उपकरण मरम्मती के लिए प्रेषित, कतरन और अप्रचलित।

(ख) सभी स्वतंत्र एवं अकेला विश्रामगृह, जो बोर्ड के किसी उप-स्टेशन/अधिष्ठापन का भाग न हो, किन्तु 33 किलो बोल्ट से ऊपर के बोल्टेज क्लास के संचरण परियोजना के भाग के रूप में स्थापित हो।

(ग) कार्यालय स्थापना, भवन, भूमि और अन्य परिसंपत्तियां जो इस अनुसूची में अन्यत्र न हों और जो प्रभावी तिथि को संचरण उपक्रमों के क्रिया-कलापों के लिए सर्वाधिक कब्जे में हों, इस्तेमाल में हों। III विविध :-

(क) संविदा, एकरारनामा, हित और व्यवस्थाएं उस सीमा तक जहाँ वे उपर्युक्त कंडिका I एवं II में निर्दिष्ट संचरण क्रिया-कलापों या उपक्रमों अथवा परिसंपत्तियों से संयुक्त अथवा संबंद्ध हों। (ख) सुरक्षित और असुरक्षित ऋण, चालू दायित्व एवं अन्य दायित्व उस सीमा तक, जहाँ वे उपर्युक्त कंडिका I एवं II में और अनुसूची "क" के भाग II में निर्दिष्ट संचरण क्रिया-कलापों, या उपक्रमों अथवा परिसंपत्तियों से संयुक्त अथवा संबंद्ध हों।

(ग) नकद एवं बैंक शेष, अन्य चालू परिसंपत्तियां, अन्य परिसंपत्तियां, उस सीमा तक, जहाँ वे उपर्युक्त कंडिका I एवं II में और अनुसूची "क" के भाग II में निर्दिष्ट संचरण क्रिया-कलापों, या उपक्रमों अथवा परिसंपत्तियों से संयुक्त अथवा संबंद्ध हों।

(घ) आकस्मिक दायित्व उस सीमा तक जहाँ वे परिचित हों तथा उपर्युक्त कंडिका I एवं II में निर्दिष्ट संचरण क्रिया-कलापों या उपक्रम अथवा परिसंपत्तियों से संयुक्त अथवा संबंध हों। (ङ) कार्यवाहियाँ, उस सीमा तक जहाँ वे उपर्युक्त कंडिका I एवं II में निर्दिष्ट संचरण क्रिया-कलापों या उपक्रम या परिसंपत्तियों से संयुक्त अथवा संबंद्ध हों।

(च) एतद्‌ अधीन परिसंपत्तियाँ एवं दायित्वों का अन्तरण मूल्य प्रभावी तिथि को परिसंपत्तियों एवं दायित्वों के पुस्त-मूल्य पर आधारित है।

IV सामान्य :-

(क) संचरण उपक्रमों की परिसंपत्तियाँ एवं दायित्व बिहार स्टेट पावर ट्रान्समिशन कंपनी लि0 में निहित हो जाएंगे।

नोट -

1. उपर्युक्त प्रारंभिक तुलन पत्र, बिहार राज्य विद्युत बोर्ड के दिनांक 31 मार्च, 2011 को यथा विद्यमान तुलन पत्र के आधार पर औपबंधिक रूप से, तैयार किया गया है। विविध मदों में अंकित राशि मान्यकरण, सत्यापन एवं अद्ययतिकरण का विषय है एवं इन्हें ट्रान्सफर स्कीम की कंडिका 9 में अंकित औपबंधिक अवधि तक पूर्ण कर लिया जाएगा।

2. समता पूंजी के उपर्युक्त दर्शित मूल्य तक शेयर का निर्गमन बिहार स्टेट पावर (होल्ंिडग) कंपनी लि0 को अन्तरण की प्रभावी तिथि को सम मूल्य पर की जाएगी।

भाग-III

बिहार स्टेट पावर ट्रान्समिशन कम्पनी लि0।-बिहार स्टेट पावर ट्रान्समिशन कम्पनी लि0 के कृत्यों एवं कर्त्तव्यों, एतद्‌ अधीन मूल रूप से कंपनी के पर्षद सीमानियम एवं पर्षद अन्र्तनियम के प्रावधानों यथाविरचित अथवा समय-समय पर यथापरिवर्तित, के अनुसार निर्दिष्ट होंगे।

बिहार स्टेट पावर ट्रान्समिशन कम्पनी लि0 के मुख्य कृत्य एवं कर्त्तव्य :-

(क) कंपनी का मुख्यतः कारोबार विद्युत संचरण होगा और इसमें विद्युत अधिनियम, 2003 के (बोर्ड का पुनर्गठन) भाग - XIII के उपबंधों (और उसके अधीन अधिसूचित अन्तरण स्कीमों) और इस संदर्भ में निर्गत संकल्पों, परिपत्रों, अध्यादेशों तथा अधिसूचनाओं के अधीन बोर्ड के पुनर्गठन के बारे में बिहार सरकार के निर्णय के अनुसार संचरण के कारोबार के लिए आवश्यक बिहार राज्य विद्युत बोर्ड ("बोर्ड") की संचरण परिसंपत्तियाँ, संपत्ति में हित, अधिकार एवं दायित्व निहित होंगे। कंपनी, विद्युत अधिनियम, 2003 की धारा 14 के उपबंधों के अधीन, संचरण लाइसेंस के रूप में कार्य करेगी तथा कंपनी राज्य संचरण उपयोगी के रूप में भी कार्य करेगी, यदि विद्युत अधिनियम, 2003 की धारा 39 के उपबंधों के अधीन राज्य सरकार के द्वारा अधिसूचित हो।

(ख) बिहार राज्य में राज्य के भीतर संचरण के संबंध में योजना एवं समन्वय क्रिया-कलापों की जिम्मेदारी लेगी ताकि संचरण चार्जों के भुगतान करने पर संचरण में खुला पहुंच चलायेगी तथा ऐसे अन्य कार्य करेगी जैसाकि कानून के अनुसार कंपनी को सौंपा जाएगा अथवा अन्यथा सरकार अथवा सरकारी प्राधिकारी द्वारा विद्युत प्रणाली के कार्यचालन के संबंध में सौंपे जाएंगे तथा विद्युत अधिनियम, 2003 के उपबंधों के अनुसार उत्पादन स्टेशन से भार केन्द्रों तक विद्युत के सुचारू रूप से जारी रहने और अपने संचरण प्रणाली को विभेदकारी खुला पहुंच उपबंध करने के लिए राज्य के भीतर संचरण लाईनों के दक्षतापूर्ण, समन्वयकारी और आर्थिक प्रणाली को सुनिश्चित करना।

(ग) प्लान, अर्जित, विकास, स्थापित, निर्माण, ग्रहण करना, खड़ा करना, रखना, संचालित, चालू करना, प्रबंध करना, किराया, पट्‌टा, खरीदना, बिक्री, अनुरक्षण, बढ़ाना, बदलना, कार्य एवं उपयोग, मरम्मत, आधुनिक, विद्युत संचरण लाईन और /या विभिन्न बोल्टाज लाईनों द्वारा शुद्ध निर्माण कार्य तथा संयुक्त उप-स्टेशन, केबुल सहित, वायर, एकुमुलेटर प्लांट, मोटर, मीटर, एपारेटस, कम्प्यूटर और सामग्री संचरण से जुड़े, एंसीलरी, सेवाएं, टेलिकम्युनिकेशन और टेलि मिटरींग उपकरण करना। (घ) भार प्रेषण कार्य

(ङ) सी आर आई टी एल कार्य

भाग-I

उत्पादन उपक्रम में, बिहार राज्य विद्युत बोर्ड की विद्युत उत्पादन संबंधी सभी परिसंपत्तियों, दायित्व एवं कार्यवाहियाँं, निम्नलिखित सहित, किन्तु उनमें सीमित नहीं, होंगी :-

I उत्पादन परिसंपत्तियां।-बरौनी थर्मल पावर स्टेशन (बी टी पी एस) 320 मेगावाट उत्पादन स्टेशन सात उत्पादन इकाईयों सहित एवं सभी संयुक्त एवं संबंद्ध उपकरण सहित जैसे जेनेरेटर, टरबाइन्स, बायलर, कन्डेन्सर, एलेक्ट्रोस्टैटिक प्रेसिपीटेटर, कन्ट्रोल्स एवं इन्टालेसन्स, रेलवे साइडिंग, कोयला हथालन प्रणाली, राख हथालन प्रणाली, ऐस पॉन्ड, अपरिष्कृत जलापूर्ति एवं अभिक्रिया (ट्रीटमेंट) प्रणाली, डी एम जल प्लांट, मध्यम ईधन तेल भंडारण सुविधाएँ और इसके हथालन प्रणाली, स्वीच यार्ड, साथ ही स्टेप अप ट्रांसफारमर, सेवा ट्रांसफारमर, सहायक यूनिट ट्रान्सफारमर, सर्किट ब्रेकर, एच टी एवं एल टी स्वीच गेयर, नियंत्रण एवं संरक्षण प्रणाली, ओभर हेड क्रैन, चिमनी, भंडार, स्पेयर पाटर््‌स, कन्ज्यूमेबलस, कच्ची सामग्री, आदि और चालू प्रोजेक्ट से संबंधित प्रगामी पूंजीगत परियोजनाओं तथा विद्युत परियोजना के निर्माण कार्य के लिए संयुक्त उद्यम में निवेश।

II सामान्य परिसंपत्तियाँ ।-निम्नलिखित, यदि वे केवल अथवा मुख्यतः ऊपर कंडिका I में निर्दिष्ट उत्पादन स्टेशन या परियोजना अथवा उन उत्पादन स्टेशनों या परियोजनाओं के क्रिया-कलापों से संबंद्ध है :

(क) विशिष्ट औजार एवं उपकरण, मेटेरियल हैंडलिंग इक्यूपमेंट, अर्थ मूवर्स, बुलडोजर्स, कंकरीट मिश्रक, क्रैन, ट्रेल्र्स, भारी एवं हल्के वाहन, फर्नीचर, जुड़नार, कार्यालय उपकरण, एयर कंडीनर्स, रेफ्रीजेरेटर्स, कम्प्यूटर एवं सिगनल प्रणाली, पार्ट-पुर्जे, कन्ज्यूमेबल्स, कच्चा माल, भूमि एवं सिविल कार्य अधिष्ठापन जल आपूर्ति चैनल सहित, बैराजेज, केनाल सड़क, भवन, स्टॉफ क्वार्टर, विश्राम गृह, संपत्तियाँ एवं संरचनाएं तथा उनके संबंद्ध भवन, स्कूल, दवाखाना, जांच प्रयोगशालाएं एवं उपकरण, प्रशिक्षण केन्द्र, वर्कशॉप, चालू कार्य, मरम्मती के लिए प्रेषित मशीनरी एवं उपकरण, कतरन और अप्रचलित।

(ख) सभी स्वतंत्र एवं अकेला विश्रामगृह, जो बोर्ड के किसी उप-स्टेशन/अधिष्ठापन का भाग न हो। (ग) कार्यालय, स्थापना और अन्य भवन एवं भूमि, जो इस अनुसूची में अन्यत्र न हो और जो प्रभावी तिथि को उत्पादन उपक्रमों के क्रिया-कलापों के लिए सर्वाधिक कब्जे में हों, इस्तेमाल में हों। III विविध :-

(क) संविदा, एकरारनामा, हित और व्यवस्था उस सीमा तक जहाँ वे उपर्युक्त कंडिका I में निर्दिष्ट उत्पादन क्रिया-कलापों या उपक्रमों अथवा परिसंपत्तियों से संयुक्त अथवा संबंद्ध हों। (ख) सुरक्षित और असुरक्षित ऋण, चालू दायित्व एवं अन्य दायित्व उस सीमा तक, जहाँ वे उपर्युक्त कंडिका I एवं II में और अनुसूची "ख" के भाग II में निर्दिष्ट उत्पादन क्रिया-कलापों, या उपक्रमों अथवा परिसंपत्तियों से संयुक्त अथवा संबंद्ध हों।

(ग) नकद एवं बैंक शेष, अन्य चालू परिसंपत्तियां, अन्य परिसंपत्तियां, उस सीमा तक, जहाँ वे उपर्युक्त कंडिका I एवं II में या अनुसूची "ख" के भाग II में निर्दिष्ट उत्पादन क्रिया-कलापों, या उपक्रमों अथवा परिसंपत्तियों से संयुक्त अथवा संबंद्ध हों।

(घ) आकस्मिक दायित्व उस सीमा तक जहाँ वे परिचित हों तथा उपर्युक्त कंडिका I में निर्दिष्ट उत्पादन क्रिया-कलापों या उपक्रम अथवा परिसंपत्तियों से संयुक्त अथवा संबंद्ध हों। (ङ) कार्यवाहियाँ, उस सीमा तक जहाँ वे उपर्युक्त कंडिका I में निर्दिष्ट उत्पादन क्रिया-कलापों या उपक्रम या परिसंपत्तियों से संयुक्त अथवा संबंद्ध हों।

(च) एतद्‌ अधीन परिसंपत्तियों एवं दायित्वों का अन्तरण मूल्य प्रभावी तिथि को परिसंपत्तियों एवं दायित्वों के पुस्त-मूल्य पर आधारित है।

IV सामान्य :-

(क) उत्पादन उपक्रमों की परिसंपत्तियाँ एवं दायित्व बिहार स्टेट पावर जेनरेशन कंपनी लि0 में निहित हो जाएंगे।

(ख) ऊपर में उल्लिखित अन्तरण के विचारण में, उत्पादन कंपनी (बिहार स्टेट पावर जेनरेशन कंपनी लि0) को अन्तरित बोर्ड के उत्पादन उपक्रम की परिसंपत्तियों एवं दायित्वों को सम्मिलित करने के बाद बिहार स्टेट पावर (होल्डिंग) कंपनी लि0 के नाम इक्विटी शेयर निर्गत करेगी।12 (cid:18)बहार गजट (असाधारण), 1 नवम ्बर 2012 अनुसूची "ख" उत्पादन उपक्रम

भाग-II

नोट -

बिहार स्टेट पावर जेनरेशन कंपनी लि0 के कृत्य एवं कर्त्तव्य।-बिहार स्टेट पावर जेनरेशन कम्पनी लि0 के कृत्यों एवं कर्त्तव्यों, एतद्‌ अधीन मूल रूप से कंपनी के पर्षद सीमानियम एवं पर्षद अन्र्तनियम के प्रावधानों यथाविरचित अथवा समय-समय पर यथापरिवर्तित, के अनुसार निर्दिष्ट होंगे।

बिहार स्टेट पावर जेनरेशन कम्पनी लि0 के मुख्य कृत्य एवं कर्त्तव्य इस प्रकार हैं :- (क) विद्युत उत्पादन एवं वितरण के प्रयोजनार्थ अर्जित करना, स्थापित करना, निर्माण करना, ग्रहण करना, खड़ा करना, बिछाना, संचालित करना, जारी रखना, प्रबंध करना, किराए पर लेना, पट्‌टा, खरीद, बिक्री, अनुरक्षण, बढ़ाना, परिवर्तन करना, रिनोभेट करना, आधुनिकीकरण, विद्युत उत्पादन स्टेशनों के कार्य एवं उपयोग, परियोजना युक्त लाईनों और उनसे संबंधित सभी चीजोेंं को विद्युत उत्पादन एवं वितरण के मद्दे उपयोग करना, साथ ही पावर स्टेशनों, सिविल कार्य वितरण केन्द्रों, केबुल, वायर, लाइन, एकुमुलेटर्स, प्लांट, मोटर, मीटर एपारेट्‌स सामग्री और उनसे संबंधित प्रोडक्शन, उत्पादन, उपयोग, भण्डारण, मापी एवं संबंद्ध संचरण लाईनें।

(ख) कारोबार के संचालन के लिए, यदि वैसा अपेक्षित हो, विद्युत शक्ति की खरीद, लगाना, प्रदर्शित करना, उत्पादन करना, ट्रेडिंग, विनिर्माण कार्य अथवा अन्यथा विद्युत शक्ति से संबंधित कार्य एवं समन्वय करना, विद्युत के उत्पादन, वितरण एवं व्यापार में लगे हुए अन्य कंपनियों एवं संस्थानों, सबडियरी, एसोसिएटस, एफिलियेटस सहित, के क्रिया-कलापों, विद्युत उत्पादन स्टेशन, एसोसिएट लाइन और विद्युत शक्ति के उत्पादन, जेनरेशन, उपयोग, भंडारण और नापी, वितरण एवं आपूर्ति से संबंधित सभी विषयों पर सहायता एवं सुझाव देना।

(ग) बिहार राज्य में और अन्यत्र विद्युत सब संचरण लाइनों और /या नेट कार्य आद्‌योपान्त, उच्च बोल्टेज, मध्यम बोल्टेज और निम्न बोल्टेज लाइन तथा संबंद्ध उप-स्टेशनों, वितरण केन्द्रों, केबुल, वायर, एकुमुलेटर प्लांट, मोटर, मीटर, एपारेटस, कम्प्यूटर एवं सामग्री, वितरण, अनुषंगी सेवाएं, विद्युत ऊर्जा की आपूर्ति, टेली कम्युनिकेशन और टेले-मेटेरिंग उपकरण सहित अर्जित करना, स्थापित करना, निर्माण करना, ग्रहण करना, खड़ा करना, बिछाना, संचालित करना, जारी रखना, प्रबंध करना, किराए पर लेना, पट्‌टा, खरीद, बिक्री, अनुरक्षण, बढ़ाना, परिवर्त्तन करना, मरम्मत करना, आधुनिकीकरण, कार्य एवं उपयोग करना। विद्युत उत्पादन, संचरण एवं वितरण व्यापार में लगे हुए अन्य कंपनियों एवं संस्थानों, सबडियरी, एसोसिएटस, एफिलियेटस सहित, के क्रिया-कलापों, विद्युत उत्पादन स्टेशन एवं एसोसिएटेड सुविधा के निर्माण, संचालन एवं अनुरक्षण से संबंधित सभी विषयों पर सहायता एवं सुझाव देना।

(घ) छानबीन, संभावना, विकास, उपयोग, संचालन, प्रशासन, प्रबंधन, नियंत्रण, सज्जित, भुगतान या खर्च के प्रति सहयोग, माइन्स रिजर्व का अनुरक्षण एवं विकास, खुली एवं जमीन के नीचे दोनों माइन्स, कैरीज एवं संचालन, प्रशासन और प्रबंधन लाभकारी, मिनिरल ड्रेसिंग केन्द्रीकरण और रिफायनिंग प्लांट्‌स, और कार्य की संविदा, अनुरक्षण एवं विकास तथा इन कार्य संचालन के लिए संबंधित सभी प्रकार की सुविधाएं और उस प्रयोजन लीज पर लेना, बदले में, मिश्रण, अन्तरण, लाइसेंस, छूट, संविदा तथा खरीद करना अथवा अन्यथा सभी प्रकार के परम्परागत /अथवा गैर-परम्परागत ऊर्जा के स्रोतों को प्राप्त करना, कोयला, लिगनाईट और अन्य खनिज, गैस और हाइड्रों कार्बन का डिपोजिट एवं उनके सहउत्पाद सहित किसी व्यक्ति या व्यक्यिों, निगम, कंपनी, सरकार/सरकारों या स्थानीय निकाय से कंपनी के मुख्य प्रयोजन की उपलब्धि के लिए प्राप्त करना तथा साथ ही ईधन की अधिप्राप्ति एवं अपने विभिन्न कार्य-स्थलों तक ढ़ुलाई के लिए कोल इंडिया लि0, रेलवे आदि जैसे निकायों के साथ एकरारनामा करना और प्रभावी तिथि को लंबित किसी विषय/विवाद का निपटारा करना।

(ङ) पावर परियोजनाओं के निर्माण के लिए संयुक्त उद्यम करना। (च) होल्डिंग कंपनी द्वारा सौंपे गए कोई अन्य कार्य।14 (cid:18)बहार गजट (असाधारण), 1 नवम ्बर 2012 अनुसूची "ग" वितरण उपक्रम

भाग-I

वितरण उपक्रम में सामान्यतः, बिहार राज्य विद्युत बोर्ड की बिहार राज्य में अवस्थित विद्युत वितरण संबंधी सभी परिसंपत्तियाँ, दायित्वों एवं कार्यवाहियाँं, निम्नलिखित सहित, किन्तु उनमें सीमित नहीं, होंगी :-

I वितरण परिसंपत्तियाँ ।-सभी 33 के0भी0, 11 के0भी0, एल टी (एकल फेज 2 वायर से 3 फेज 4 वायर) लाईन्स (उपरला लाईन, एरियल गुच्छा केबुल विभिन्न प्रकार के सर्पोट्‌स पर और जमीन के अन्दर के केबुल) विभिन्न आकारों के कन्डक्टरों सहित एवं 33 के0भी0 सब-स्टेशन तथा स्टेप अप/स्टेप डाउन पावर ट्रांसफारमरर्स एवं वितरण ट्रान्सफारमरर्स, ब्रेकर्स, कैपेसिटर बैंक, संरक्षक एवं मीटरिंग डिभाइसेस और नियंत्रण कक्ष, बुस्टर्स, वायलेस प्रणाली, जांच-प्रयोगशालाएं, स्काडा और ए एम आर प्रणाली, भूमि (राइट ऑफ वे सहित), भवन, सड़क, डिजल जेनरेटिंग सेट अथवा अन्य परम्परागत और गैर-परम्परागत जेनेरेटिंग यूनिट, सर्विस कनेक्कशन और उपभोक्ता के परिसरों के अन्दर अधिष्ठापन, स्ट्रीट रोशनी एवं बोर्ड द्वारा गृहीत या पट्‌टे पर ली गई सिगनल प्रणाली, किन्तु प्राइवेट व्यक्तियों अथवा स्थानीय प्राधिकारों द्वारा गृहीत फिटिंग, जुड़नार और अधिष्ठापनों को छोड़कर, प्रभावी तिथि को निर्माणाधीन उपर्युक्त परिसंपत्तियों में से किसी के सहित।

II सामान्य परिसंपत्तियाँ।-निम्नलिखित, यदि वे केवल अथवा मुख्यतः ऊपर दर्शाये गए वितरण प्रणालियों, परिसंपत्तियों या परियोजनओं या उस वितरण प्रणाली, परिसंपत्तियां या परियोजनाओं से संबंधित क्रिया-कलापों से संबंद्ध है :

(क) विशिष्ट औजार एवं उपकरण, सामग्री हथालन उपकरण, अर्थ मूवर्स, बुलडोजर्स, कंकरीट मिश्रक, क्रैन, ट्रेलर, भारी एवं हल्के वाहन, फर्नीचर, जुड़नार, कार्यालय उपकरण, एयरकन्डीशनरर्स, कम्प्रेशरर्स, रेफ्रीरेजरर्स, कम्प्यूटर और सिगनल प्रणाली, स्पेयरर्स, कन्ज्यूमेबल, कच्चा माल, भूमि एवं सिविल कार्य अधिष्ठापन सड़क सहित, भवन, स्टाफ क्वार्टर, विश्राम गृह, संपत्ति एवं संरचनाएं और उनसे संबंद्ध भवन, स्कूल, दवाखाना, जांच प्रयोगशालाएं एवं उपकरण, प्रशिक्षण केन्द्र, वर्कशॉप, चालू कार्य, मरम्मती के लिए भेजे गए मशीनरी और उपकरण, कतरन और अप्रचलित।

(ख) सभी स्वतंत्र एवं अकेला विश्राम गृह, जो बोर्ड के किसी सब-स्टेशन या अधिष्ठापन का भाग नहीं है। (ग) इस अनुसूची में नहीं आए कार्यालय स्थापना, भवन, भूमि और सभी अन्य परिसंपत्तियाँ, जो प्रभावी तिथि को वितरण उपक्रम के क्रिया-कलापों के लिए सर्वाधिक कब्जे में हो, इस्तेमाल में हों। III विविध :-

(क) संविदा, एकरारनामा, हित और व्यवस्था पावर खरीद एकरारनामा सहित उस सीमा तक जो उपर्युक्त कंडिका I एवं II में निर्दिष्ट वितरण क्रिया-कलाप या उपक्रम या परिसंपत्तियाँ से संयुक्त या संबंद्ध हों।

(ख) सुरक्षित और असुरक्षित ऋण, चालू दायित्व और अन्य दायित्व उस सीमा तक, जो उपर्युक्त कंडिका I एवं II में और अनुसूची "ग" के भाग II में निर्दिष्ट वितरण क्रिया-कलापों या उपक्रमों या परिसंपत्तियों से संयुक्त अथवा संबद्ध हों।

(ग) नकद एवं बैंक शेष, अन्य चालू परिसम्पत्तियाँ, अन्य परिसंपत्तियाँ, उस सीमा तक, जो उपर्युक्त कंडिका I एवं II में और अनुसूची "ग" के भाग II में निर्दिष्ट वितरण क्रिया-कलापों या उपक्रमों या परिसंपत्तियों से संयुक्त अथवा संबद्ध हों।

(घ) प्रभावी तिथि को राज्य सरकार एवं अर्द्ध राज्य सरकारी संस्थानों पर बकाये डी0पी0एस0 की राशि नई वितरण कंपनियों को देय नहीं होगी और उसका समायोजन राज्य सरकार को बोर्ड द्वारा देय सूद और ऋण की राशि से किया जाएगा।

(ङ) आकस्मिक दायित्व, उस सीमा तक, उपर्युक्त कंडिका I एवं II में निर्दिष्ट वितरण क्रिया-कलापों या उपक्रमों या परिसम्पत्तियों से मान्य होंगे तथा संयुक्त या संबद्ध होंगे।

(च) कार्यवाहियाँ, उस सीमा तक, उपुर्यक्त कंडिका I एवं II में निर्दिष्ट वितरण क्रिया-कलापों या उपक्रमों अथवा परिसंपत्तियों से संयुक्त अथवा सम्बद्ध होंगी।

(छ) एतद्‌ अधीन परिसम्पत्तियों एवं दायित्वों का अन्तरण मूल्य प्रभावी तिथि को परिसम्पत्तियों एवं दायित्वों के पुस्त-मूल्य पर आधारित होगा।

IV सामान्य :-

(क) वितरण कंपनियों के निजी क्षेत्राधिकार में परिसम्पत्तियों के अवस्थानों के आधार पर बिहार राज्य में आपूर्ति क्षेत्र में वितरण उपक्रम की परिसंपत्तियाँ दो वितरण कंपनियों में निहित होंगी - यथा साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लिमिटेड और नार्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लिमिटेड ।

(ख) उपर्युक्त उल्लिखित अन्तरण के विचारण में, वितरण कंपनियाँ ( साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लिमिटेड और नार्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लिमिटेड ) वितरण कंपनियों में अंतरित बोर्ड के वितरण उपक्रमों की परिसंपत्तियों या दायित्वों के हिसाब में लेने के बाद बिहार स्टेट पावर (होल्डिंग) कंपनी लि0 के नाम इक्विटी शेयर निर्गत करेंगी।15 (cid:18)बहार गजट (असाधारण), 1 नव+बर 2012 अनुसूची "ग" वितरण उपक्रम

भाग-II अनुसूची "ग" के इस भाग में प्रत्येक डिस्ट्रीब्यूशन कंपनियों (साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लिमिटेड एवं नार्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लिमिटेड) के कुल परिसंपत्तियों एवं दायित्वों को पृथक दर्शाया गया है। अ. साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लिमिटेड में निहित कुल परिसंपत्तियाँ एवं दायित्व 1 अप्रैल, 2011 को यथा विद्यमान तुलन पत्र

नोट -

अनुसूची "ग" के इस भाग में प्रत्येक डिस्ट्रीब्यूशन कंपनियों (साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लिमिटेड एवं नार्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लिमिटेड) के कृत्यों एवं कर्त्तव्यों को पृथक दर्शाया गया है।

अ. साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लिमिटेड के कृत्य एवं कर्त्तव्य ।-साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लिमिटेड के कृत्यों एवं कर्त्तव्यों, एतद्‌ अधीन मूल रूप से कंपनी के पर्षद सीमानियम एवं पर्षद अन्र्तनियम के प्रावधानों यथाविरचित अथवा समय-समय पर यथापरिवर्तित, के अनुसार निर्दिष्ट होंगे। दक्षिण बिहार क्षेत्र में साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लिमिटेड के मुख्य कृत्य एवं कर्त्तव्य इस प्रकार हैं :-

(क) विद्युत अधिनियम, 2003 और/या रेगुलेटर के निर्देशों के आलोक में सभी उपभोक्ताओं को बोल्टाज, व्यवस्था, आपूर्ति, हृीलिंग, खरीद, बिक्री, आयात, निर्यात और विद्युत व्यापार के निरपेक्ष संपन्न करना, वितरण में खुला पहुँच प्रारम्भ करना।

(ख) विद्युत वितरण प्रणाली नेटवर्क के सभी पहलुओं, वितरण केन्द्रों एवं संबम्द्ध सब-स्टेशन एवं अन्य विभिन्न बोल्टेज लाइन्स, केबुल, वायर, एकुमुलेटर, प्लांट, मोटर, मीटर, एपारेटस, सब-ट्रान्समिशन से संम्बद्ध कम्प्यूटर और सामग्री, वितरण, विद्युत ऊर्जा आपूर्ति, अनुषंगी सेवाओं, टेलि कम्युनिकेशन और टेलेमीटरिंग उपकरणों सहित, के लिए प्लान, विकास, अर्जन, स्थापना, संविदा, बिछाना, खड़ा करना, किराये पर लेना, पट्‌टा, क्रय, बिक्री, संचालन, चालू रखना, प्रबंध, अनुरक्षण, बढ़ाना, परिवर्त्तन, आधुनिकीकरण, विद्युत वितरण प्रणाली संबंधी कार्य करना एवं इस्तेमाल करना।

(ग) उत्पादन कंपनियों, ट्रेडिंग कंपनियों, अन्य वितरण कंपनियों, केन्द्रीय और राज्य उत्पादन प्राधिकारों, विभागों या कंपनियों, सोसाइटी, अन्य राज्यों, युटीलिटिज, स्वतंत्र पावर उत्पादकों और अन्य व्यक्तियों के साथ विद्युत की बिक्री या खरीद के लिए निविदा, निर्णय एवं पावर खरीद एकरारनामा और अन्य एकरारनामा करना।

(घ) लाइसेंस प्राप्त क्षेत्र में ग्रामीण विद्युतीकरण स्कीमों को हाथ में लेना। (ङ) होल्डिंग कंपनी द्वारा सौंपे गए कोई अन्य कार्य।

ख. नॉर्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लिमिटेड के कृत्य एवं कर्त्तव्य ।-नॉर्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लिमिटेड के कृत्यों एवं कर्त्तव्यों, एतद्‌ अधीन मूल रूप से कंपनी के पर्षद सीमानियम एवं पर्षद अन्र्तनियम के प्रावधानों यथाविरचित अथवा समय-समय पर यथापरिवर्तित, के अनुसार निर्दिष्ट होंगे। उत्तर बिहार क्षेत्र में नॉर्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लिमिटेड के मुख्य कृत्य एवं कर्त्तव्य इस प्रकार हैं :-

(क) विद्युत अधिनियम, 2003 और/या रेगुलेटर के निर्देशों के आलोक में सभी उपभोक्ताओं को बोल्टाज, व्यवस्था, आपूर्ति, हृीलिंग, खरीद, बिक्री, आयात, निर्यात और विद्युत व्यापार के निरपेक्ष संपन्न करना, वितरण में खुला पहुँच प्रारम्भ करना।

(ख) विद्युत वितरण प्रणाली नेटवर्क के सभी पहलुओं, वितरण केन्द्रों एवं संबम्द्ध सब-स्टेशन एवं अन्य विभिन्न बोल्टेज लाइन्स, केबुल, वायर, एकुमुलेटर, प्लांट, मोटर, मीटर, एपारेटस, सब-ट्रान्समिशन से संम्बद्ध कम्प्यूटर और सामग्री, वितरण, विद्युत ऊर्जा आपूर्ति, अनुषंगी सेवाओं, टेलि कम्युनिकेशन और टेलेमीटरिंग उपकरणों सहित, के लिए प्लान, विकास, अर्जन, स्थापना, संविदा, बिछाना, खड़ा करना, किराये पर लेना, पट्‌टा, क्रय, बिक्री, संचालन, चालू रखना, प्रबंध, अनुरक्षण, बढ़ाना, परिवर्त्तन, आधुनिकीकरण, विद्युत वितरण प्रणाली संबंधी कार्य करना एवं इस्तेमाल करना।

(ग) उत्पादन कंपनियों, ट्रेडिंग कंपनियों, अन्य वितरण कंपनियों, केन्द्रीय और राज्य उत्पादन प्राधिकारों, विभागों या कंपनियों, सोसाइटी, अन्य राज्यों, युटीलिटिज, स्वतंत्र पावर उत्पादकों और अन्य व्यक्तियों के साथ विद्युत की बिक्री या खरीद के लिए निविदा, निर्णय एवं पावर खरीद एकरारनामा और अन्य एकरारनामा करना।

(घ) लाइसेंस प्राप्त क्षेत्र में ग्रामीण विद्युतीकरण स्कीमों को हाथ में लेना। (ङ) होल्डिंग कंपनी द्वारा सौंपे गए कोई अन्य कार्य।19 (cid:18)बहार गजट (असाधारण), 1 नव+बर 2012 अनुसूची "घ" होल्डिंग उपक्रम

भाग-I

होल्डिंग उपक्रम में बोर्ड के सभी अधिकारों, बाध्यताएँ, आकस्मिकताएं और कार्यवाहियों सहित सभी परिसंपत्तियाँ, दायित्वों शामिल होंगे जिनका उत्पादन, वितरण और संचरण क्रिया-कलापों/ प्रमण्डलाें/कंपनियों से संबंध नहीं है/के नहीं है तथा अन्यथा अनुसूची "क", "ख" और "ग" में शामिल नहीं हैं और वे सामन्य स्वरूप के हैं तथा बोर्ड के विद्युत क्रिया-कलापों में व्यवहृत हैं किन्तु निम्न में सीमित नहीं हैं :-

i. सहायक कंपनियों में निवेश।-बिहार स्टेट पावर जेनरेशन कंपनी लि0, बिहार स्टेट पावर ट्रान्समिशन कंपनी लि0, साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 और नॉर्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 में किए गए (इस स्कीम की अनुसूची "क", "ख" एवं "ग" में यथा उपबंधित अन्तरितियों के अपने-अपने तुलन-पत्रों में यथाप्रदर्शित) इक्विटी निवेश को धारण करना।

ii. सामान्य परिसंपत्तियाँ ।-सहायक कंपनियों में निवेशों, कार्यालय स्थान, भवन, भूमि अधिकार सहित और इस अनुसूची में अन्यत्र न आई सभी अन्य परिसंपत्तियाँ जिनका प्रभावी तिथि को होल्डिंग उपक्रमों के क्रिया-कलापों के लिए सर्वाधिक कब्जे में हों और इस्तेमाल में हों।

पटना स्थित बोर्ड के मुख्यालय भवन, साथ ही सभी स्वतंत्र एवं अकेला विश्रामगृहों, जो बोर्ड के किसी उप-स्टेशन/अधिष्ठापन के भाग नहीं है और जो अन्यथा अनुसूची "क", "ख" और "ग" में शामिल नहीं हैं। iii. विविध :-

(क) संविदा, एकरारनामा, हित और व्यवस्था, उस सीमा तक जो सामान्य क्रिया-कलापों से संयुक्त और सम्बद्ध है और उत्पादन, संचरण और वितरण उपक्रमों एवं उपर्युक्त कंडिका I और II में निर्दिष्ट परिसंपत्तियाँ से असंबद्ध हो।

(ख) आकस्मिक दायित्वों, उस सीमा तक जो सामान्य क्रिया-कलापों से संयुक्त और सम्बद्ध है और उत्पादन, संचरण और वितरण उपक्रमों एवं उपर्युक्त कंडिका I और II में निर्दिष्ट परिसंपत्तियाँ से असंबद्ध हो।

(ग) कार्यवाहियांं, उस सीमा तक जो सामान्य क्रिया-कलापों से संयुक्त और सम्बद्ध है और उत्पादन, संचरण और वितरण उपक्रमों एवं उपर्युक्त कंडिका I और II में निर्दिष्ट परिसंपत्तियाँ से असंबद्ध हो।

iv. सामान्य ।-उपर्युक्त उल्लिखित अन्तरण के विचारण में, होल्डिंग कंपनी (बिहार स्टेट पावर (होल्डिंग) कंपनी लि0) को अन्तरित बोर्ड के होल्डिंग उपक्रम की परिसम्पत्तियों और दायित्वों के हिसाब में लेने के बाद राज्य सरकार के नाम, अथवा अन्यथा राज्य सरकार जैसा निदेश करे, इक्विटी शेयर निर्गत करेगी।20 (cid:18)बहार गजट (असाधारण), 1 नवम ्बर 2012 अनुसूची "घ" होल्डिंग उपक्रम

भाग-II बिहार स्टेट पावर (होल्डिंग) कंपनी लिमिटेड में निहित कुल परिसंपत्तियाँ एवं दायित्व

नोट -

भाग-III

बिहार स्टेट पावर (होल्डिंग) कम्पनी लि0 के मुख्य कृत्य एवं कर्त्तव्य ।-बिहार स्टेट पावर (होल्डिंग) कम्पनी लि0 के कृत्यों एवं कर्त्तव्यों, एतद्‌ अधीन मूल रूप से कंपनी के पर्षद सीमानियम एवं पर्षद अन्र्तनियम के प्रावधानों यथाविरचित अथवा समय-समय पर यथापरिवर्तित, के अनुसार निर्दिष्ट होंगे।

(क) बिहार स्टेट पावर (होल्डिंग) कम्पनी लि0, बिहार स्टेट पावर जेनरेशन कंपनी लि0, बिहार स्टेट पावर ट्रान्समिशन कंपनी लि0, नॉर्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 और साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 (इसके आगे उत्तराधिकारी हस्ती के रूप में निर्दिष्ट) की होल्डिंग कंपनी होगी, जिसमें विद्युत अधिनियम, 2003 के भाग XIII (बोर्ड का पुनर्गठन) के उपबंधों और इसके बारे में निर्गत संकल्पों, परिपत्रों, अधिसूचना या अध्यादेशें के अधीन बोर्ड की मान्यता के बारे में बिहार सरकार के निर्णय के अनुसार बिहार राज्य विद्युत बोर्ड (बोर्ड) की परिसंपत्तियाँ, परिसंपत्तियों में हित, अधिकारों एवं दायित्वों, निहित होंगे।

(ख) कंपनी मुख्यतः निवेश कंपनी होगी और विद्युत के क्षेत्र में कंपनियेां में निवेश करेगी। ये कंपनियाँ विद्युत उत्पादन, संचरण, वितरण और ट्रेडिंग अथवा कोई अथवा इन सभी कारोबार में लगी होगी।

(ग) होल्डिंग कपनी बिहार स्टेट पावर जेनरेशन कंपनी लि0, बिहार स्टेट पावर ट्रान्समिशन कंपनी लि0, नॉर्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 और साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 के बीच समन्वय क्रिया-कलाप स्थापित करेगी, साथ ही ऊपर उल्लिखित सहायक कंपनियों के सुचारू रूप से कार्य करने के लिए नकद/निधि प्रबंधन का भी।

(घ) होल्डिंग कंपनी बिहार स्टेट पावर जेनरेशन कंपनी लि0, बिहार स्टेट पावर ट्रान्समिशन कंपनी लि0, नॉर्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 और साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 के बीच विवादों का निपटारा करेगी।

(ङ) होल्डिंग कंपनी अन्तरण स्कीम के अंतिम निर्णय होने तक बिहार स्टेट पावर जेनरेशन कंपनी लि0, बिहार स्टेट पावर ट्रान्समिशन कंपनी लि0, नॉर्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 और साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 को सभी आवश्यक समर्थन प्रदान करेगी।

(च) होल्डिंग कंपनी द्वारा किए गए संचालन खर्चे यथा प्रशासनिक एवं सामान्य खर्चे, विधिक और परामर्श फीस आदि बिहार स्टेट पावर जेनरेशन कंपनी लि0, बिहार स्टेट पावर ट्रान्समिशन कंपनी लि0, नॉर्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 और साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 के बीच उनके अपने-अपने इक्विटी के अनुपात में बांटे जाएंगे।

(छ) अन्तरण स्कीम के अधीन बोर्ड के कार्मिकों को समाविष्ट करने और स्कीम में सहायक कंपनियों में आगे उनके स्थानान्तरण एवं नई व्यवस्था होने की अधिसूचना होने तक और उत्तराधिकारी कंपनियाँ में समुचित संगठनात्मक संरचना स्थापित करना ।

(ज) मास्टर ट्रस्ट का गठन जो कि कर्मचारियों और पेंशनधारियों के सेवान्त लाभों के प्रबंधन और प्रभावी तिथि को पृथक लेखों के अधीन बोर्ड के कर्मचारियों के लिए मौजूद ट्रस्ट/निधि में उपलब्ध राशि का प्रबंध करना। जो कि मास्टर ट्रस्ट के गठन पर मास्टर ट्रस्ट को अंतरित किया जाएगा।

(झ) निम्नलिखित के संबंध में सहायक कंपनियों के बारे में होल्डिंग कंपनी सभी विषयों को हाथ में लेगी :

(cid:1) विद्युत अधिनियम, 2003 के उपबंधों के अध्यधीन बिजली की खरीद, खरीद करने, आयात करने, निर्यात करने और व्यापार करने का कारोबार और अन्य प्लांटों द्वारा उत्पन्न विद्युत पावर की आपूर्ति संचरण कंपनियों, वितरण कंपनियों, व्यापार कंपनियों, अन्य उत्पादन कंपनियों और अन्य व्यक्तियों को करना तथा इसके संबंध में केन्द्रीय एवं राज्य उत्पादन प्राधिकारों, विभागों या कंपनियों, स्वतंत्र पावर उत्पादकों एवं अन्य व्यक्तियों के साथ एकरारनामा निष्पादित करना। (cid:1) अन्तरण स्कीम के कारण उत्तराधिकारी कंपनियों के बीच किसी प्रकार का विवाद, परिसंपत्तियों एवं दायित्वों आदि के बंटवारे सहित विवाद का समाधान करना।

(cid:1) पूर्ववर्ती बिहार राज्य विद्युत बोर्ड का उत्तरवर्ती बी0एस0ई0बी0 और जे0एस0ई0बी0 के बीच विभाजन से संबंधित विवादित परिसंपत्तियों और दायित्वों और साथ ही अनुसूचियों में गैर शामिल सीमा तक परिसंपत्तियों और दायित्वों, यदि कोई।

(cid:1) सहायक कंपनियों के लिए संगठनात्मक संरचना तैयार करना और अधिसूचित करना। (cid:1) कोई अन्य मामले, जो उत्तराधिकारी हस्तियों के सुचारू कार्यचालन के लिए होल्डिंग कंपनी को उचित मालूम पड़े।

अनुसूची "ङ"

राज्य सरकार

अनुसूची "क", "ख", "ग" और "घ" के गैर-भाग के सभी अवशिष्ट परिसंपत्तियाँ और दायित्व राज्य सरकार में निहित रहेंगे। तथापि, राज्य सरकार का बकाया ऋण और उस पर बोर्ड से प्राप्त होनेवाला ब्याज, बोर्ड और राज्य सरकार के बीच लंबित अंतिम सामंजन तक, राज्य सरकार के पुस्तकों में बोर्ड से प्राप्त होनेवाले के रूप में प्रदर्शित किया जाना जारी रहेगा।23 (cid:18)बहार गजट (असाधारण), 1 नव+बर 2012 अनुसूची "च"

बिहार राज्य विद्युत बोर्ड का पुनर्गठन

एवं

कार्मिकों का स्थानान्तरण

1. पूर्ववर्त्ती बिहार राज्य का पुनर्गठन बिहार पुनर्गठन अधिनियम, 2000 (अधि, सं0 30, 2000) के अनुसार किया गया और एक नया झारखण्ड राज्य पूर्ववर्त्ती बिहार राज्य से विधिवत्‌ अलग कर बनाया गया है। तदनुसार, ऊर्जा मंत्रालय, भारत सरकार ने, बिहार पुनर्गठन अधिनियम, 2000 की धारा 62 की उप धारा (3) द्वारा प्रदत्त शक्ति की दृष्टि से, औपचारिक रूप से पूर्ववर्त्ती बिहार राज्य विद्युत बोर्ड (बी0एस0ई0बी0) के विघटन और बिहार और झारखण्ड राज्यों के उत्तराधिकारी विद्युत बोर्डों के बीच इनकी परिसंपत्तियों, अधिकारों और दायित्वों के संविभाजन के संबंध में दिनांक 4 नवम्बर, 2004 को एक अधिसूचना निर्गत की।

2. विद्युत अधिनियम, 2003 की अधिनियमिति के बाद, बिहार सरकार से अपेक्षा है कि विद्युत अधिनियम, 2003 की अपेक्षाओं के अनुसार पावर क्षेत्र सुधारों द्वारा थोपी गई चुनौतियों को पूरा करने एवं दक्षता और कारगर उपाय को बढ़ाने की दिशा में उत्तराधिकारी निगमित हस्तियों के बीच बिहार राज्य विद्युत बोर्ड को विखंडित कर दें। 3. उपर्युक्त दृष्टिकोण से, ऊर्जा विभाग, बिहार सरकार, अपने संकल्प संख्या 3056 दिनांक 2 अगस्त, 2006 (ऊर्जा विभाग, बिहार सरकार की संकल्प संख्या 218, दिनांक 31 जनवरी, 2006 और 733 दिनांक 3 मार्च, 2006 के साथ पठित) संकल्प संख्या 3698 दिनांक 18 अगस्त, 2011 द्वारा यथा संशोधित, द्वारा बिहार राज्य विद्युत बोर्ड के पुनर्गठन की दृष्टि से निम्नलिखित परिणामस्वरूप निगमित हस्तियों को बनाने का निर्णय लिया है :- कम्पनी का नाम प्रस्तावित कम्पनी का नाम

4. उपर यथा उल्लिखित दो वितरण कम्पनियोें का गठन सात क्षेत्र के कार्यालयों के पुनर्अभिस्थापन पर आधारित है। पुनर्अभिस्थापन अंचलों के पुर्नवर्गीकरण पर आधारित है। इस प्रकार अंचल स्तर से और नीचे में मौजूदा प्रणाली में कोई परिवर्त्तन नहीं है। मौजूदा सात क्षेत्रों में 16 अंचल शामिल हैं जिन्हें नीचे में तालिका बद्ध के रूप में दिखाया गया है :-

5. चार क्षेत्रीय कार्यालयों अर्थात पेसू, पटना केन्द्रीय, मगध और भागलपुर को एक कम्पनी अर्थात साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 के रूप में पुर्नवर्गित किया गया है, पेसू (पूर्वी), पेसू (पश्चिमी), पटना, आरा, नालन्दा, गया, रोहतास, भागलपुर और मुंगेर मिलाकर साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 का गठन किया गया। तीन क्षेत्रीय कार्यालय, अर्थात तिरहुत, मिथिला और कोशी क्षेत्रों को अन्य कम्पनी अर्थात साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 बनाने के लिए संयुक्त किया गया है। तदनुसार मुजफ्फरपुर, छपरा, मोतिहारी, दरभंगा, समस्तीपुर, सहरसा और पूर्णिया अंचलों को नार्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 के अन्तर्गत स्वतः संयुक्त किया गया है।24 (cid:18)बहार गजट (असाधारण), 1 नवम ्बर 2012 इन अंचलों से अलग, सात पोल कारखाना और सात टी0आर0डब्यू0 (ट्रान्सफारमर मरम्मती वर्कशॉप) हैं, जो वितरण प्रणाली को समर्थन सेवाएं प्रदान करते हैं। तथापि, मौजूदा परम्परा के साथ, पोल कारखाना और ट्रान्सफारमर मरम्मती वर्कशॉप मुख्यालय को सीधे रिपोर्ट करते हैं और वे प्रत्यक्ष रूप से वितरण प्रणाली के भाग नहीं हैं। मौजूदा ट्रान्सफारमर मरम्मती वर्कशॉप और पोल कारखाना को संबद्ध क्षेत्राधिकार में डिसकॉम के लिए आवंटित किया गया है। वितरण कंपनियों के अंतिम आकार के लिए तालिकाबद्ध फारम में दिखाया गया है। क्रमांक वितरण कम्पनी अंचल और अन्य स्थापना

6. मौजूदा संचरण प्रणाली के मामले में, दो क्षेत्रीय कार्यालय हैं, पटना और मुजफ्फरपुर, पटना क्षेत्र के अधीन, चार अंचल है, यथा पटना, बिहारशरीफ, गया और डेहरी-ऑन-सोन, मुजफ्फरपुर के अधीन, तीन अंचल हैं, यथा मुजफ्फरपुर, पूर्णिया और भागलपुर। इन सभी चार अंचलों में दो-दो की संख्या में प्रमण्डल हैं। मुजफ्फरपुर अंचल के मामले में, चार की संख्या मेें प्रमण्डल हैं और पूर्णिया और भागलपुर अंचलों के मामले में प्रत्येक में दो। क्षेत्रों, अंचलों और प्रमण्डलों का ब्यौरा तालिकाबद्ध फारम में दिया गया है।

7. चूकि एक संचरण कम्पनी है, इसलिए मौजूदा प्रणाली के सम्पूर्ण संचरण परिसंपत्तियाँ नई कम्पनी में अन्तरित कर दी गई है।

8. उत्पादन कम्पनी फिलहाल केवल एक पावर प्लांट बी0टी0पी0एस0 से कार्य सम्पादित करती है। चूंकि कोई और पावर प्लांट नहीं है। तथापि, उत्पादन कम्पनी नया पावर प्लांट के निर्माण में लगी है अथवा पावर प्लांट लगाने के लिए आई0पी0पी0एस0 को प्रोत्साहित कर रही है।

9. होल्डिंग कम्पनी का प्राथमिक कार्य शेयर धारण करना, एकीकृत नीति, योजना तैयार करना और निधि प्रबंधन। उससे भिन्न, कोई बड़ा कार्य होल्डिंग कम्पनी को नहीं है।

प्रत्येक कम्पनी के कृत्य और कर्त्तव्य अन्तरण स्कीम की अनुसूची "क", "ख", "ग" एवं "घ" के भाग III में दिए गए हैं।

10. अब अन्तरण की प्रभावी तिथि को, कार्मिकों का स्थानान्तरण निम्नलिखित प्रक्रिया के माध्यम किया जाएगा :

बरौनी थर्मल पावर प्लांट (बी0टी0पी0एस0) के कर्मचारियों को "जैसा है जहाँ है" आधार पर बिहार स्टेट पावर जेनरेशन कम्पनी लि0 आवंटित किया जाएगा।

संचरण क्षेत्र पटना एवं मुजफ्फरपुर के कर्मचारियों को "जैसा है जहाँ है" आधार पर बिहार स्टेट पावर ट्रान्समिशन कंपनी लि0 आवंटित किया जाएगा।

तिरहुत, मिथिला और कोशी वितरण क्षेत्र और उनके वितरण अंचलों के कर्मचारियों को "जैसा है जहाँ है" आधार पर नार्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 आवंटित किया जाएगा।

भागलपुर, मगध, पटना केन्द्रीय, और पेसू वितरण क्षेत्र के और उनके वितरण अंचलों के कर्मचारियों को "जैसा है जहाँ है" आधार पर साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 आवंटित किया जाएगा।

ट्रान्सफारमर मरम्मती वर्कशॉप पटना, गया और भागलपुर के कर्मचारियों को "जैसा है जहाँ है" आधार पर साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 आवंटित किया जाएगा।

ट्रान्सफारमर मरम्मती वर्कशॉप मुजफ्फरपुर, सहरसा और दरभंगा केे कर्मचारियों को "जैसा है जहाँ है" आधार पर नार्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 आवंटित किया जाएगा।

पटना, आरा, वारूण और दण्डीबाग के पोल कारखानों के कर्मचारियों को "जैसा है जहाँ है" आधार पर साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 आवंटित किया जाएगा।

कटिहार, माधोपुर और खबरा के पोल कारखानों के कर्मचारियों को "जैसा है जहाँ है" आधार पर नार्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 आवंटित किया जाएगा।

मुख्यालय में कार्यरत कर्मियों, जो संचरण कंपनी, वितरण कंपनी, उत्पादन कंपनी हेतु कार्यरत एवं उस सीमा तक, पहचान बनाए हुए हैं संबंधित कंपनियों में स्थानान्तरित होंगेे। सामान्य सेवा के अन्य कर्मचारी चार (4) कंपनियों अर्थात बिहार स्टेट पावर ट्रान्समिशन कंपनी लि0, बिहार स्टेट पावर जेनरेशन कंपनी लि0, साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 और नार्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 के बीच आवंटित किए जाएंगे।

11. सामान्य सेवाओं यथा लेखा, भण्डार एवं खरीद, निगरानी, आई0टी0, सिविल, प्रशासन आदि में कार्यरत कर्मचारियों को विवादों के समाधान हेतु विशेष रूप से गठित एक समिति अर्थात विवाद समाधान समिति द्वारा चार (4) कंपनियों में आवंटित किए जाएंगे जिसमें सहायक कंपनियों के प्रभारी निदेशक /प्रबंध निदेशक रहेंगे तथा और होल्डिंग कंपनी के अध्यक्ष उस समिति के अध्यक्ष होंगे। किसी खास कंपनी में कर्मचारियों को स्थानान्तरित करने के किसी विवाद के लिए कर्मचारियों को अभ्यावेदन करने की अनुमति प्रदान की जाएगी। समिति का निर्णय अंतिम एवं बाध्यकारी होगा।26 (cid:18)बहार गजट (असाधारण), 1 नवम ्बर 2012 अनुसूची "च" बिहार राज्य विद्युत बोर्ड का पुनर्गठन एवं कार्मिकों का स्थानान्तरण भाग - II

कार्यालयों के अन्तरण के लिए व्यवस्था ।-बिहार राज्य विद्युत बोर्ड (बि0एस0ई0बी0) के कार्यालय/क्षेत्र/अंचल/प्रमण्डल और उनकी अपनी-अपनी इकाइयाँ, साथ ही पद एवं कार्मिक, यथास्थिति, स्थानान्तरण की प्रभावी तिथि को नीचे तालिका में यथाप्रदर्शित नियत किए गए हैं। कार्मिक अन्तरण स्कीम की शर्त्त संख्या -6 के अनुसार बिहार स्टेट पावर जेनरेशन कंपनी लि0 (जेनको), बिहार स्टेट पावर ट्रान्समिशन कंपनी लि0(ट्रान्सको), साउथ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 और नार्थ बिहार पावर डिस्ट्रीब्यूशन कंपनी लि0 (डिसकॉम्स) में स्थानान्तरित नियत होंगे।

3. सामान्य सेवाएं

मुख्यालय में जांच प्रमण्डल, प्रशिक्षण विभाग और निगमित मुख्यालय में सभी विभाग, जैसे

• सामान्य प्रशासन • लेखा एवं विा • सूचना एवं प्रौद्योगिकी • भण्डार एवं खरीद • संचरण/वितरण/उत्पादन • कार्मिक • प्रचार • विधिक • निगरानी एवं सुरक्षा • वाणिज्यिक • योजना • सिविल अभियंत्रण • संचरण (ओ0 एण्ड एम0) • ग्रामीण विद्युतीकरण

"सामान्य सेवाएंँ" गठित होंगी, जो अपनी-अपनी कंपनियों में कर्मचारियों के आवंटन संबंधी आगामी स्थानान्तरण अधिसूचनाएं निर्गत होने तक, अन्तर्काल-अवधि के दौरान सभी उत्तराधिकारी हस्तियों को सेवाएं जारी रखेंगी।28 (cid:18)बहार गजट (असाधारण), 1 नवम ्बर 2012 The 30th October 2012

THE BIHAR STATE ELECTRICITY REFORMS TRANSFER SCHEME, 2012 No. प्र0/बोर्ड पुर्न0 सं0-31/2008 (खंड-1)-4893-17—In exercise of the powers conferred by section 131, 133 and other applicable provisions of the Electricity Act, 2003, the Government of Bihar hereby makes the following Scheme for providing and giving effect to the transfer of properties, interests, rights, assets, liabilities, obligations, proceedings and personnel of Bihar State Electricity Board to the Transferees and for matters incidental and ancillary thereto.

1. Short Title, Extent and Commencement: –

1.1 This Scheme may be called the Bihar State Electricity Reforms Transfer Scheme, 2012.

1.2 The Scheme shall extend to the whole of the State of Bihar including properties, interests, rights, assets, liabilities, obligations, proceedings and personnel of Bihar State Electricity Board outside the State.

1.3 The Scheme shall come into force with effect from 01.11.2012.

2. Definitions – In the Scheme, unless the context otherwise requires :–

(a) "Act" means the Electricity Act, 2003 (36 of 2003) and any subsequent amendments thereto;

(b) "Assets" means all assets & properties including power systems, plant, machinery, land, building, offices, stores, furniture, fixtures, vehicles, residential quarters and guest houses and amenities and installations pertaining and attached thereto and other movable and immovable assets, cash in hand, cash at bank, investments, book debts - corporeal and incorporeal, tangible and intangible assets, benefits, licenses, consents, authorities, registration, patents, trade marks and powers of every kind, nature and description whatsoever, privileges, liberties, easements, advantages, benefits and approvals, contracts, deeds, schemes, bonds, agreements and other instruments and interest of whatever nature and wherever situated and including the contingent assets, which may arise in regard to dealings before the effective date of transfer in respect of the specified Undertakings;

(c) "Board" means Bihar State Electricity Board originally constituted under Section 5 of the Electricity (Supply) Act, 1948 (54 of 1948) and reconstituted under section 62 of The Bihar Reorganisation Act 2000;

(d) "Company" means a company incorporated under the Companies Act, 1956. (e) "South Bihar Power Distribution Company Limited", "North Bihar Power Distribution Company Limited", collectively mean the Distribution Companies, to which the Distribution Undertakings of the Board are to be transferred in accordance with this Scheme;

(f) "Bihar State Power Generation Company Limited" means the Generating Company to which the Generating Undertakings of the Board are to be transferred in accordance with this Scheme;

(g) "Bihar State Power Transmission Company Limited" means the Transmission Company to which the Transmission Undertakings of the Board are to be transferred in accordance with this Scheme;

(h) "Bihar State Power (Holding) Company Limited" means the Company that will own all shares of newly incorporated reorganized four companies i.e. Bihar State Power Generation Company Limited, Bihar State Power Transmission Company Limited, South Bihar Power Distribution Company Limited, and North Bihar Power Distribution Company Limited;

(i) "Effective Date" means the date notified by the State Govt. at para 1.3 above for effecting transfer of different Undertakings or properties, interest, rights, assets and liabilities, proceedings or personnel of the Board forming part of the Undertakings, to the relevant Transferee, in accordance with the Act and this Scheme;

(j) "Liabilities" include all liabilities, debts, duties, obligations and other out- standings including statutory liabilities and Government levies of whatever nature and contingent liabilities which may arise in regard to the dealings before the29 (cid:18)बहार गजट (असाधारण), 1 नव+बर 2012 effective date of the transfer in respect of the Undertakings, (defined hereinafter) transferred under this scheme.

(k) "Personnel" means workmen, employees, staff and officers of the Board by whatever name called and includes trainees, if any, for the recruitment in the Board and those on deputation from the Board to other organizations or institutions, but shall exclude personnel on deputation from other organizations or institutions to the Board;

(l) "Proceedings" means the proceedings of whatever nature including suits appeals, complaints, petitions, applications, conciliatory, arbitration whether civil or criminal or otherwise, in which Board is one of the parties;

(m) "Schedules" means the Schedules appended to this Scheme; (n) "State" means the State of Bihar. (o) "State Government" means the Government of Bihar. (p) "Transferee" means Bihar State Power (Holding) Company Limited, Bihar State Power Generation Company Limited, Bihar State Power Transmission Company Limited, South Bihar Power Distribution Company Limited, North Bihar Power Distribution Company Limited, as the case may be.

(q) "Undertaking (s)" mean the functions, business and a block or blocks of properties, interest, rights, assets, liabilities, obligations, proceedings and personnel to the extent and in the manner specified as a part of the undertakings of the Board and such other properties, interests, rights, assets, liabilities, obligations and proceedings and wherever the context so admits shall include the Personnel as specified in this Scheme relevant to the functions;

(r) Words and expressions which are used in the Scheme and also defined in the Act but not specifically defined in this Scheme shall have the same meaning as assigned to them in the Act. 3. Classification of Undertakings of the Board:–

3.1 The undertakings of the Board are classified in the Following Schedules:

(a) Transmission Undertakings as set out in Schedule 'A'; (b) Generation Undertakings as set out in Schedule 'B'; (c) Distribution Undertakings as set out in Schedule 'C'; (d) Holding Undertaking as set out in Schedule 'D'; (e) Residual assets and liabilities as set out in Schedule 'E'; (f) Transfer of Personnel as set out in Schedule 'F';

3.2 If the assets of the Undertakings under sub-clause 3.1 above are subject to security documents or arrangements in favour of third parties for any financial assistance or obligations taken by the Board and the liabilities in respect thereof are to be classified in different Undertakings, the State Government, may by order to be issued for the said purpose, provide for the apportionment of the liabilities secured by such properties, assets and rights between the different Undertakings and upon such apportionment the security shall be applicable to the extent of apportioned liability.

4. Transfer of Assets, Liabilities etc. to the State :–

4.1 On and from the effective date, the assets and all interests, rights and liabilities of the Board as specified in such of the Schedules 'A' to 'E', as per the decision of the State Government, shall stand transferred to and vest in the State Government for the purposes of further transfers under this Scheme without any further act or thing to be done by the State Government or Board or any person, subject to the terms and conditions specified in the Act and this Scheme.

4.2 The assets and liabilities specified in Schedule – 'E' shall not form part of the assets and liabilities to be transferred to the proposed successor companies as classified in Schedules – 'A' to 'D' but shall form part of residuary assets and liabilities to be retained by the State Government. However, outstanding State Govt. Loans and interest thereon receivable from board will continue to be shown as recoverable from board in the books of State Govt., pending final adjustment between board30 (cid:18)बहार गजट (असाधारण), 1 नवम ्बर 2012 and State Govt.

4.3 Nothing in sub-clause 4.1 above shall apply to rights, responsibilities, liabilities and obligations in respect of the personnel and personnel related matters including statutory dues such as salary, wages, gratuity, pension, provident fund, compensation, terminal and retirement benefits and the same shall be dealt with in the manner provided under Clause 6 of this Scheme.

5. Transfer of Undertaking by the State :–

5.1 The functions, business and Undertakings forming part of Transmission Undertakings as set out in Schedule 'A' hereto shall stand transferred to and vest in Bihar State Power Transmission Company Limited on and from the effective date, without any further act or thing to be done by the State Government or Board or any person, subject to the terms and conditions specified in the Act and this Scheme.

5.2 The functions, business and Undertakings forming part of Generation Undertakings as set out in Schedule 'B' shall stand transferred to and vest in Bihar State Power Generation Company Limited on and from from the effective date, without any further act or thing to be done by the State Government or Board or any person, subject to the terms and conditions specified in the Act and this Scheme.

5.3 The functions, business and Undertakings forming part of Distribution Undertakings as set out in Schedule 'C' shall stand transferred to and vest in South Bihar Power Distribution Company Limited, North Bihar Power Distribution Company Limited on and from the effective date, without any further act or thing to be done by the State Government or Board or any person, subject to the terms and conditions specified in the Act and this Scheme 5.4 The function, business and undertakings forming part of Holding Undertakings as set out in Schedule 'D' shall stand transferred to and vest in Bihar State Power (Holding) Company Limited on and from the effective date, without any further act or thing to be done by the State Government or Board or any person, subject to the terms and conditions specified in the Act and this Scheme.

5.5 On such transfer and vesting of the functions, business and Undertakings in terms of sub-clauses 5.1 to 5.4 above and except as otherwise provided, the respective Transferee, shall be responsible for all functions, contracts, rights, deeds, schemes, bonds, agreements, proceedings and other instruments of whatever nature relating to the respective Undertakings transferred to it to which the Board was a party, subsisting or having effect on the date of the transfer, and the same shall remain in force and effect against or in favour of the respective Transferee and may be enforced effectively as if the respective Transferee had been a party thereto instead of the Board.

5.6 As consideration for the transfer and vesting of the Undertakings as specified in this Scheme, the relevant Transferee shall have the financials and opening balance sheet and shall issue shares and / or/ other instruments as the State Government may notify by order (as specified in Part II of Schedule A to D respectively). 5.7 The State Government may, by an order to be issued for the purpose, amend, vary, modify, add, delete or otherwise change the terms and conditions specified in the Schedules at any time during the provisional period mentioned in Clause 9 of this Scheme.

5.8 The transfer value of the Assets & Liabilities forming part of the Schedules A, B, C & D of the respective Transferee have been taken at Book Values. However the land assets will be revalued on the basis of Govt. values as on the effective date and other fixed assets consisting of Buildings, Equipments and Machinery will be valued at their depreciated book value. The revaluation of the fixed assets will be completed before the notification of the final transfer scheme but in no case later than the first Annual General Meeting of the respective successor company. The impact of revaluation will be reflected in the Equity Contribution of the State Govt.

6. Transfer of Personnel :–

6.1 The transfer of personnel shall be subject to the terms and conditions contained in section 133 and other applicable provisions of the Act.

6.2 The personnel of the Board, involved in Distribution, Generation, Transmission and Common Services including at the Head Office, on the effective date, will stand transferred to the holding company.

6.3 Subject to sub-clause 6.2, the personnel on the effective date shall stand further transferred from Holding Company as under: -

i) All the personnel working with the Transmission function and activities of the Board shall be deemed to be transferred to Bihar State Power Transmission Company Limited.

ii) All the personnel working with the Generation function and activities of the Board shall be deemed to be transferred to Bihar State Power Generation Company Limited.

iii) All the personnel working with the Distribution function and activities of the Board shall be deemed to be transferred to South Bihar Power Distribution Company Limited and North Bihar Power Distribution Company Limited.

6.4 The detailed scheme and terms and conditions for transfer of group of employees in Transmission, Generation, Distribution and common services is given in Schedule-F.

6.5 On such transfer and subject to the provisions of the Act and other provisions of this Scheme the personnel shall form a part of the services of the Transmission, Generation and Distribution companies, as the case may be, but their rank, scale of pay and inter-se seniority as existing in the Board on the effective date shall be maintained in the holding company and the retirement benefits and other facilities shall in no way be reduced than the one existing in the Board on the effective date.

6.6 Notwithstanding the provisional nature of transfer of personnel to Holding Company and further transfer to Transmission, Generation and Distribution companies, as per para 6.2 and 6.3 above, the personnel shall discharge the duties and functions as may be assigned to them from time to time by Transmission, Generation and Distribution companies, as the case may be and the Transmission, Generation and Distribution companies shall have the power to exercise all administrative and disciplinary control over such personnel transferred to them as per this Scheme.

6.7 The transfer of personnel shall be subject to the following conditions, namely, - (a) That the personnel shall be governed by the Rules and Regulations framed

by the Board existing on the effective date.

(b) The terms and conditions of the services applicable to personnel on the effective date shall not in anyway be less favourable than those applicable to them immediately before the said effective date. Accordingly the salary, allowances and other pecuniary benefits including terminal benefits applicable on the effective date shall be protected and shall not be adversely changed;

(c) All such personnel shall have continuity of service in all respects; (d) All benefits of service accrued before the said effective date shall be fully recognised and taken into account for all purposes including the payment of terminal benefits;

(e) To any orders that may be passed by the Courts in the proceedings pending on the said effective date in regard to seniority or other matters concerning the service conditions of the Personnel;

(f) Subject to this Scheme, the personnel shall cease to be in the service of the Board and shall not assert or claim any benefit of service not covered in the scheme.

6.8 Subject to the Act and this Scheme, the Holding Company shall be entitled to frame regulations governing the conditions of personnel transferred to the subsidiary companies under this Scheme and till such time the existing/ (as suggested for modification) service rules/regulations of the Board shall apply mutatis-mutandis.

6.9 Subject to para 6.7, in respect of all statutory and other schemes and employment related matters including the provident fund, gratuity fund, pension, leave encashment and any other Superannuation fund or any other special fund created or existing for the benefit of the personnel, the Holding Company shall stand substituted for the Board for all purposes and all the rights, powers and obligations of the Board in relation to any and all such matters shall become those of the Holding Company and the services of the personnel shall be treated as having been continuous for the purpose of the application of this sub- clause.

6.10 The Holding Company shall, in consultation with the Bihar State Power (Holding) Company Limited, Bihar State Power Generation Company Limited, Bihar State Power Transmission Company Limited, South Bihar Power Distribution Company Limited and North Bihar Power Distribution Company Limited, finalize the transfer to and permanent absorption of the Personnel in the subsidiary companies taking into account the suitability, ability and experience of the personnel, number and nature of the vacancies and other relevant factors and issue appropriate orders for such permanent absorption within the provisional period of transfer of the Undertakings specified in Clause 9 of this Scheme.

6.11 For the purpose of sub-clause 6.10 above the Holding Company may constitute a Committee as specified in Schedule-F of this scheme to (a) receive representations from the Personnel who may raise grievances in regard to their transfer and absorption in the subsidiary companies in terms of Schedule-F and (b) to make recommendation on such transfer and absorption, within such time as State Government may specify for the purpose.

6.12 The Holding Company shall take a decision on the transfer and permanent absorption of the Personnel in the subsidiary companies after considering the recommendation of the Committee appointed for the purpose and shall issue orders for such transfer and permanent absorption of the Personnel.

6.13 Upon the finalization and issue of orders in terms of the sub-clause 6.10 above, the personnel shall form part of the services of the subsidiary company concerned, in the post, scale of pay or seniority in accordance with the orders that may be issued for this purpose, without any further act, deed or thing to be done by the State Government or the Holding Company or the subsidiary company or the Personnel or any other person.

6.14 The liability in respect of existing pensioners of the Board (based on actuarial valuation as on 31.03.2011) shall be the liability of the State Government. Further the liability, as assessed on actuarial valuation, in respect of the retiral dues of the existing employees, as on the effective date, to the extent they are unfunded shall also be the liability of the State Govt. As per actuarial valuation carried out by registered actuary, the net present value of the total terminal benefit liabilities is Rs.4613 Crores (discounted at 8% per annum) out of which total unfunded liability is approximately Rs. 4438 Crores as on 31.03.2011.

6.15 The unfunded liabilities accumulated in respect of terminal benefits of the employees, covered under State Govt.'s policies and directions, will be borne by the State Govt. The unfunded liability upto the cut off date will be treated as33 (cid:18)बहार गजट (असाधारण), 1 नव+बर 2012 covered under State Govt. policies and directions. The energy department will obtain the detailed statement in respect thereof from the Board/holding Company and will submit after due analysis for decision of the State Govt. and thereafter on this point the transfer scheme will be considered final. The above unfunded terminal benefit liability will be determined on yearly basis by the actuary considering the impact of inflation, pay revisions etc. After the effective date, the liability on account of service in the subsequent periods shall be borne by the respective successor companies. The disbursal of terminal benefits will be through a master trust administered by the holding company. The contribution from the State Govt. will be paid in advance in two installments every year i.e. by 31st May and 30th November and the successor companies will be contributing on monthly basis by 7th of the following month. The State Govt. and the transferees shall be jointly and severally liable for payments arising thereon till such notification, establishment of master trust and proper funding.

6.16 For the purpose of this clause 6, the term:-

(i) "Existing Pensioner" means all the personnel eligible for the pension as on the effective date of the transfer from the Board and shall include family members of the personnel as per the applicable scheme, and

(ii) "Terminal Benefits" means the gratuity, pension, dearness allowance and other applicable relief, medical benefit, and other applicable benefits including the right to have the appropriate revisions in the above benefits consistent with the practice that were prevalent in the Board.

6.17 All proceedings including disciplinary proceedings pending against the personnel prior to the effective date of the transfer of the personnel from the Board to the Transferee or from such Transferee to another Transferee, as the case may be, or which may relate to misconduct, lapses or acts of commission or omission committed before the effective date of the transfer, shall not abate and may be continued by the relevant Transferee consistent with the applicable service rules.

6.18 The personnel transferred to the Transferees, shall be deemed to have entered into an agreement with the Transferee concerned to repay loans, advances and other sums due and perform obligations undertaken by them to the Board which remain outstanding as on the effective date of the transfer for the benefit of the Transferee in the same manner on the same terms and conditions as contained in the arrangement with the Board.

6.19 Nothing contained in this Scheme shall apply to personnel of the State Government or other organisation on deputation to Board as on the effective date but such personnel shall continue on deputation to the concerned Transferee(s) to whose services they are assigned on "as-is-where-is" basis till further orders of the Transferee.

6.20 The officers and the employees of the board after the restructuring shall have continuity of service. Their service conditions will not be inferior to the present service conditions and in case the transferee companies do not fulfill any service condition, the State Govt. guarantees and shall ensure through holding company continuance of those benefits. However these provisions will not be applicable to the new employees appointed in the transferee companies after the effective date of restructuring.

7. Rights and obligations of third parties restricted: — Upon the transfer being effected in accordance with the Act and this Scheme, the rights and obligations of all persons shall be restricted to the Transferee to whom they are assigned to and notwithstanding anything contained in any deed, documents, instruments, agreements or arrangements which such person has with the Board, the person shall not claim any right or interest against the State Government or the Board or any other Transferee, except the transferee to whom it is assigned.

8. Pending suits, Proceedings, etc.:-

8.1 All Proceedings of whatever nature by or against the Board pending on the effective date shall not abate or discontinue or otherwise in any way prejudicial be affected by reason of the transfer under this Scheme and the proceedings shall be continued, prosecuted and enforced by or against the Transferee to whom the same are assigned in accordance with this Scheme and orders issued there under.

8.2 The proceedings covered under sub-clause 8.1 above shall be continued in the same manner and to the same extent as it would or might have been continued, prosecuted and enforced by or against the Board if the transfers specified in this Scheme had not been made.

9. Classifications and transfer of property, rights, assets, liabilities and proceedings to be provisional in the first instance :–

9.1 The classification and transfer of Undertakings including personnel under this Scheme, unless otherwise specified in any order made by the State Government, shall be provisional for a period of one year from the effective date.

9.2 At any time within a period of one year from the effective date, the State Government may, by order to be notified, amend, vary, modify, add, reduce, delete or otherwise change terms and conditions of the transfer including items included in the transfer, and transfer such properties, interests, rights, assets, liabilities, personnel and proceedings and forming part of an Undertaking of one Transferee to that of any other Transferee or the Board or to the State Government in such manner and on such terms and conditions as the State Government may consider appropriate.

9.3 On the expiry of the period of one year from the effective date and subject to any directions given by the State Government, the transfer of undertakings, properties, interests, rights, assets, liabilities, personnel and proceedings made in accordance with, this Scheme shall become final.

10. Transfer by operation of law :– The transfer under this Scheme shall operate and be effective pursuant to action of the State Government by publishing this Scheme and Orders issued in terms of this Scheme and without any further act, deed or thing to be done by the State Government, Board, Transferees or any other person, subject to the terms and conditions of this Scheme.

11. Decision of State Government to be final :–

11.1 If any doubt, dispute, difference or issue shall arise in regard to the transfers under this Scheme subject to the provisions of the Act, the decision of State Government thereon shall be final and binding on all parties.

11.2 The State Government may, by order publish in the Official Gazette, amend this Scheme and make such provisions, not inconsistent with the provisions of the Act, as may appear to be necessary for removing the difficulties arising in implementing the transfers under this Scheme.

12. Exemption of Duty :– Exemption from all types of taxes, duties, levies of State Govt. and local bodies arising out of transfer and implementation thereof under this transfer scheme will be considered separately by the State Govt. as per the requirement.

SCHEDULE- 'A' TRANSMISSION UNDERTAKING

PART I

The transmission undertaking shall comprise of all Assets, Liabilities and proceedings including the following but not limited to them, belonging to the Bihar State Electricity Board, concerning the transmission of electricity: -

I. TRANSMISSION ASSETS.—All the transmission lines having the capacity to carry electricity at voltages of above 33kV on double circuit/single circuit on double circuit towers with Grid sub-stations of various capacities with all associated and related equipment, including step-up, step- down transformers, circuit breakers, switchgear sets in sub-stations, metering arrangements and other protective devices with power-line communication system, allied control rooms, load dispatch center, lands (including right of way), buildings, roads and other auxiliary assets spread over within and outside the territory of the State including such assets under construction and assets acquired, transferred or rights of which were vested with the Board by transfer, sale, lease or otherwise, but excluding such constructions or installations lawfully owned and operated by others.

In addition to the above, the outgoing bays connected to Grid Sub-stations which are integral part of the transformation, shall be part of the transmission system and they shall not form part of the distribution undertakings notwithstanding anything contained in any other schedule.

II. GENERAL ASSETS.—The following, if they exclusively or primarily pertain to the above mentioned transmission systems properties or projects or activities related to such transmission systems, properties or projects:

(a) Special tools and equipment, material handling equipment, earth movers, bulldozers, concrete mixtures, cranes, trailers, heavy and light vehicles, furniture, fixtures, office equipment, air conditioners, refrigerators, computers and signal systems, spares, consumables, raw materials, lands and civil works installations including roads, buildings, staff quarters, rest houses, properties and structures and their associated buildings, schools, dispensaries, testing laboratories and equipment, training centers, workshops, works in progress, machinery and equipment sent for repairs, scraps and obsolete.

(b) All independent and stand-alone Rest houses, which are not part of any substations/installations of the Board but established as a part of transmission project of voltage class above 33 kV.

(c) The office establishment, buildings, lands and all other assets not covered elsewhere in this schedule, which is predominantly occupied, used for the activities of Transmission Undertakings as on the effective date.

III. MISCELLANEOUS :- (a) Contracts, agreements, interest and arrangements to the extent they are associated with or related to transmission activities or to the Undertakings or Assets referred to in Para I and II above.

(b) Loans, secured and unsecured, current liabilities and other liabilities, to the extent they are associated with or related to transmission activities or to the Undertakings or assets referred to in to in Para I and II above and Part II of Schedule A.

(c) Cash & bank balances, Other current assets, other assets, to the extent they are associated with or related to transmission activities or to the Undertakings or assets referred to in to in Para I and II above and Part II of Schedule A.

(d) Contingent liabilities to the extent they are recognised and are associated with or related to transmission activities or to the Undertaking or Assets referred to in Para I and II above.

(e) Proceedings to the extent they are associated with or related to transmission activities or to the Undertaking or Assets referred to in Para I and II above.

(f) The transfer value of the assets and liabilities hereunder is based on the book value of the assets and liabilities on the effective date.

IV. GENERAL:- (a) The assets and liabilities of the Transmission Undertakings shall vest in Bihar State Power Transmission Company Limited.

(b) In consideration of the transfer mentioned above, the Transmission Company (Bihar State Power Transmission Company Limited) shall issue equity shares in favour of the Bihar State Power Holding Company Limited after taking into account the assets and liabilities of Transmission Undertaking of the Board transferred to Transmission Company.

SCHEDULE 'A' TRANSMISSION UNDERTAKING

PART II Aggregate Assets and Liabilities vested in Bihar State Power Transmission Company Limited

Notes:—1. The above opening balance sheet has been drawn on a provisional basis based on the Balance Sheet of the Board as on March 31st, 2011. The amounts mentioned under various heads are subject to validation, verification, and updation and these shall be completed during the provisional period mentioned in Clause 9 of the Transfer Scheme.

SCHEDULE 'A' TRANSMISSION UNDERTAKING

PART III

Functions and Duties of Bihar State Power Transmission Company Limited The functions and duties of Bihar State Power Transmission Company Limited will be detailed per the clauses of the Memorandum of Association and Articles of Association of the Company framed thereunder as originally framed or as altered from time to time.

Main functions and duties of Bihar State Power Transmission Company Limited:

(a) The Company shall be primarily in the business of transmission of electricity and it shall be vested with the transmission assets, interest in property, rights and liabilities of the Bihar State Electricity Board (The "Board") necessary for the business of transmission, as per decision of the Government of Bihar to reorganize the Board under the provisions of Part-XIII (Reorganization of Board) of the Electricity Act, 2003 (and the transfer schemes notified thereunder) and the resolutions, circulars, ordinances and notifications issued in this regard. The company shall act as Transmission License under the Provisions of Section 14 of the Electricity Act, 2003 and the company shall also act as State Transmission Utility if notified by the State Government under the provisions of Section 39 of Electricity Act, 2003.

(b) To undertake planning and coordination activities in regard to intra-State Transmission, works connected with the intra-State Transmission in the State of Bihar, to introduce open access in transmission on payment of transmission charges and such other functions as may be assigned to the company by law or otherwise by Government or Government Authority concerning the operation of the Power System and to ensure development of an efficient, coordinated and economical system of intra-State Transmission lines for smooth flow of electricity from a generating station to load centers and to provide non-discriminatory open access to its transmission system as per the provisions of the Electricity Act, 2003.

(c) To plan, acquire, develop, establish, construct, take over, erect, lay, operate, run, manage, hire, lease, buy, lease, buy, sell, maintain, enlarge, alter, work and use, renovate, modernize, electrical transmission lines and / or net works through various voltage lines and associated sub-stations, including cables, wires, accumulators plants, motors, meters, apparatus, computers and materials connected with transmission, ancillary services, telecommunication and tele-metering equipment.

(d) Load dispatch function.

(e) CRITL function.

(f) Any other function as assigned by the holding company.

SCHEDULE 'B' GENERATION UNDERTAKING

PART I

The Generation Undertaking shall comprise of the Assets, Liabilities and proceedings, including the following but not limited to them, belonging to Bihar State Electricity Board, concerning the Generation of electricity: -

I. GENERATION ASSETS.—Barauni Thermal Power Station (BTPS) 320 MW generating station with seven generating units and with all associated and related equipment such as generators, turbines, boilers, condensers, electrostatic precipitators, controls and instrumentation, Railway Sidings, coal handling system, ash handling system, ash pond, raw water supply and treatment system, DM water plant, secondary fuel oil storage facilities and its handling system, switch yard including step up transformers, service transformers, auxiliary unit transformers, circuit breakers, HT and LT Switchgears, control and protection system, overhead cranes, chimney, Stores, spare parts, consumables, raw materials etc. and capital works in progress in respect of ongoing projects and investments in joint ventures for construction of power projects.

II. GENERAL ASSETS.—The following, if they exclusively or primarily pertain to the generating stations or projects referred to in Para I above or activities related to such generating stations or projects:

(a) Special tools and equipment, material handling equipment, earth movers, bulldozers, concrete mixtures, cranes, trailers, heavy and light vehicles, furniture, fixtures, office equipment, air conditioners, refrigerators, computers and signal systems, spares, consumables, raw materials, lands and civil works installations including water intake channel, barrages, canals roads, buildings, staff quarters, rest houses, properties and structures and their associated buildings, schools, dispensaries, testing laboratories and equipment, training centres, workshops, works in progress, machinery and equipment sent for repairs, scraps and obsolete.

(b) All independent and stand-alone Rest houses, which are not part of any substations/ installations of the Board.

(c) The office, establishment and other buildings and lands, not covered elsewhere in this schedule, which are predominantly occupied/used for the activities of Generation Undertakings as on the effective date.

III. MISCELLANEOUS

(a) Contracts, agreements, interest and arrangements to the extent they are associated with or related to Generation activities or to the Undertakings or Assets referred to in Para I above.

(b) In consideration of the transfer mentioned above, the Generation Company (Bihar State Power Generation Company Limited) shall issue equity shares in favour of the Bihar State Power (Holding) Company Limited after taking into account the assets and liabilities of Generation Undertaking of the Board transferred to Generation Company.

SCHEDULE 'B" GENERATION UNDERTAKING

PART III Functions and Duties of Bihar State Power Generation Company Limited

The functions and duties of the Bihar State Power Generation Company Limited will be detailed as per the clauses of the Memorandum of Association and Articles of Association of the Company framed there under as originally framed or as altered from time to time.

Main functions and duties of Bihar State Power Generation Company Limited are –

a. To acquire, establish, construct, take over, erect, lay, operate, run, manage, hire, lease, buy, sell, maintain, enlarge, alter, renovate, modernize, work and use Electric generating stations, projects associated lines and all things connected thereto for the purpose of generation and distribution of power including power stations, civil works distribution centres, cables, wires, lines, accumulators, plant, motors, meters, apparatus materials and things connected with the production, generation use, storage, measurement and transmission lines connected therewith.

b. To carry on the business, if so required, of purchasing, Imposing, exposing producing, trading manufacturing or otherwise dealing in Electric power and coordinate, aid and advise on the activities of other companies and concerns including subsidiaries, associates, affiliates engaged in the generation, distribution or trading of power on all matters concerning the operation and maintenance of Electric generating stations, associate lines and in the production, generation, use, storage and measurement, distribution and supply of electric power.

c. To acquire, establish, construct, take over, erect, lay, operate, run, manage, hire, lease, buy, sell, maintain, enlarge, alter, renovate, modernize, work and use electrical sub- transmission lines and / or net work through, high voltage, medium voltage and low voltage line and associated sub-stations, including distribution centres, cables, wires, accumulators plants, motors, meters, apparatus, computers and materials, distribution, ancillary services, supply of electrical energy, telecommunication and tele-metering equipment in the State of Bihar and elsewhere. To coordinate, aid and advise on the activities of other companies and concerns, including subsidiaries, associates and affiliates engaged in the generation, transmission and distribution of electricity, on all matters concerning the construction, operation and maintenance of generating stations and associated facilities.

d. To explore, prospect, develop, exploit, operate, administer; manage, control, equip, pay or contribute to the expenses of, maintain and improve mine reserves, mines both open cast and underground; quarries and operate, administer and manage beneficiation, mineral dressing concentration, and refining plants, and to construct, maintain and improve the works and conveniences of all kinds related to these operations and for that purpose to take on lease, in exchange, under amalgamation, transfer, license, concession contract and to purchase or otherwise acquire all forms of conventional and/ or non-conventional Sources of energy including coal, lignite and other mines, deposits of gas and hydro carbons, and their derivatives from any person or persons, corporation, company, Government(s) or local body, for the attainment of the main objects of the Company and including entering into agreements with bodies like Coal India Ltd., Railways etc. for procuring fuels and transportation to its various sites and settle any matter/dispute which may be pending as on the effective date.

e. To enter into joint ventures for construction of power projects. f. Any other function as assigned by the holding company.

SCHEDULE 'C' DISTRIBUTION UNDERTAKINGS

PART I

The Distribution Undertaking shall comprise generally of all the Assets, Liabilities and proceedings, including the following but not limited to them, belonging to the Board, concerning the distribution of electricity in the State of Bihar: -

I. Distribution Assets.—All 33 kV, 11kv, LT (Single phase 2 wire to 3 phase 4 wire) lines (with overhead lines, Aerial Bunched cables on different types of supports and underground cables) with various sizes of conductors and 33 kV sub-stations and step up/step down power transformers and distribution transformers, breakers, capacitor banks, protective and metering devices and control rooms, boosters, wireless systems, testing laboratories, SCADA and AMR systems, lands (including right of way), buildings, roads, diesel generating sets or other conventional and non-conventional generating units, service connections and installations inside consumer's premises, street lighting and signal systems owned by or leased to the Board but excluding fittings, fixtures and installations owned, by private persons or local authorities, including any of the above assets under construction as on effective date.

II. General Assets:—The following, if they exclusively or primarily pertain to the above mentioned distribution systems, Properties or projects or activities related to such distribution systems, properties or projects:

(a) Special tools and equipment, material handling equipment, earth movers, buldozers, concrete mixtures, cranes, trailers, heavy and light vehicles, furniture, fixtures, office equipment, air conditioners, compressors, refrigerators, computers and signal systems, spares, consumable raw materials, lands and civil works installations including roads, buildings, staff quarters, rest houses, properties and structures and their associated buildings, schools, dispensaries, testing laboratories and equipment, training centres, workshops, works in progress, machinery and equipment sent for repairs, scraps and obsolete.

(b) All independent and stand-alone Rest houses, which are not part of any substations/installations of the Board.

(c) The office establishment, buildings, lands and all other assets not covered elsewhere in this schedule, which is predominantly occupied, used for the activities of Distribution Undertakings as on the effective date.

III. Miscellaneous: (a) Contracts, agreements, interest and arrangements including power purchase agreements to the extent they are associated with or related to distribution activities or to the Undertakings or assets referred to in Para I and II above.

(b) Loans, secured and unsecured, current liabilities and other liabilities, to the extent they are associated with or related to Distribution activities or to the Undertakings or assets referred to in to in Para I and II above and Part II of Schedule C.

(c) Cash & bank balances, Other current assets, other assets, to the extent they are associated with or related to Distribution activities or to the Undertakings or assets referred to in to in Para I and II above and Part II of Schedule C.

(d) Amount recoverable as on effective date from all the State Govt./ Semi State Govt. Institutions on account of DPS will not be transferred to the new distribution companies and the same will be adjusted against the loans and interest thereon payable by BSEB to the State Govt.

(e) Contingent liabilities to the extent they are recognized and are associated with or related to distribution activities or to the Undertakings or Assets referred to in Para I and II above.

(f) Proceedings to the extent they are associated with or related to distribution activities or to the Undertakings or Assets referred to in Para I and II above.

(g) The transfer value of the assets and liabilities hereunder is based on the book value of the assets and liabilities on the effective date.

IV. General:- (a) The assets of the Distribution Undertaking in the area of supply in the State of Bihar shall vest in two Distribution Companies, namely, South Bihar Power Distribution Company Limited and North Bihar Power Distribution Company Limited on the basis of location of assets in respective jurisdiction of distribution companies.

(b) In consideration of the transfer mentioned above, the Distribution Companies (South Bihar Power Distribution Company Limited and North Bihar Power Distribution Company Limited) shall issue equity shares in favour of the Bihar State Power (Holding) Company Limited after taking into account the assets and liabilities of Distribution Undertakings of the Board transferred to Distribution Companies.

SCHEDULE 'C' DISTRIBUTION UNDERTAKINGS

PART II

This part of Schedule 'C' separately provides for the aggregate assets and liabilities of each of the Distribution Companies (South Bihar Power Distribution Company Limited and North Bihar Power Distribution Company Limited).

A. AGGREGATE ASSETS AND LIABILITIES OF SOUTH BIHAR POWER

Notes:—1. The above opening balance sheet has been drawn on a provisional basis based on the Balance Sheet of the Board as on March 31st, 2011. The amounts mentioned under various heads are subject to validation, verification, updation and truing up and these shall be completed during the provisional period mentioned in Clause 9 of the Transfer Scheme.

2- The shares to the extent of the value of the share capital mentioned above shall be issued to the Bihar State Power (Holding) Company Limited at par as on the effective date.

B. AGGREGATE ASSETS AND LIABILITIES OF NORTH BIHAR POWER DISTRIBUTION COMPANY LIMITED

1. The above opening balance sheet has been drawn on a provisional basis based on the Balance Sheet of the Board as on March 31st, 2011. The amounts mentioned under various heads are subject to validation, verification, updation and truing up and these shall be completed during the provisional period mentioned in Clause 9 of the Transfer Scheme.

2. The shares to the extent of the value of the share capital mentioned above shall be issued to the Bihar State Power (Holding) Company Limited at par as on the effective date.

SCHEDULE ' C ' DISTRIBUTION UNDERTAKINGS

PART III

This part of Schedule 'C' separately provides for the Functions & Duties of each of the Distribution Companies (South Bihar Power Distribution Company Limited and North Bihar Power Distribution Company Limited).

A. Functions and Duties of South Bihar Power Distribution Company Limited

The functions and duties of South Bihar Power Distribution Company Limited will be detailed as per the clauses of the Memorandum of Association and Articles of Association of the Company framed thereunder as originally framed or as altered from time to time.

Main functions and duties of South Bihar Power Distribution Company Limited in the South Bihar area are:-

(a) To undertake the activities of distribution to all consumers irrespective of the voltage, provision, supply, wheeling, purchase, sale, import, export and trading of electricity, introduce open access in distribution as per the Electricity Act 2003 and/or the directions of the regulator.

(b) To plan, develop, acquire, establish, construct, erect, lay, hire, lease, buy, sell, operate, run, manage, maintain, enlarge, alter, renovate, modernize, work and use a power distribution system network in all its aspects including amongst others various voltage lines and associated sub -stations, including distribution centres, cables, wires, accumulators, plants, motors, meters, apparatus, computers and materials connected with sub -transmission, distribution, supply of electrical energy, ancillary services, telecommunication and telemetering equipments.

(c) To tender, finalise and execute Power Purchase Agreements and other agreements for sale or purchase of electricity with generating companies, trading companies, other distribution companies, Central and State generating authorities, departments or companies, societies, other States, utilities, Independent Power Producers and other Persons.

(d) To undertake Rural Electrification schemes in the licensed area. (e) Any other function as assigned by the holding company.

B. Functions and Duties of North Bihar Power Distribution Company Limited

The functions and duties of North Bihar Power Distribution Company Limited will be detailed as per the clauses of the Memorandum of Association and Articles of Association of the Company framed thereunder as originally framed or as altered from time to time.

Main functions and duties of North Bihar Power Distribution Company Limited, in the north Bihar Area are :-

(a) To undertake the activities of distribution to all consumers irrespective of the voltage, provision, supply, wheeling, purchase, sale, import, export and trading of electricity, introduce open access in distribution as per the Electricity Act 2003 and/or the directions of the regulator.

SCHEDULE ' D ' HOLDING UNDERTAKING

PART I

The Holding Undertaking shall comprise of all the Assets, Liabilities including all rights, obligations, contingencies and proceedings belonging to the Board which do not concern/ belong to Generation, Distribution and Transmission activities/divisions/companies and not otherwise included in Schedule "A", "B" and "C" and which are common in nature and used in the electricity activities of the Board including but not limited to the following:-

I. Investment in Subsidiary Companies.—To hold the equity investments (as shown in respective Balance Sheets of Transferees as provided in Schedule A, B & C of this Scheme) made in Bihar State Power Generation Company Limited, Bihar State Power Transmission Company Limited, South Bihar Power Distribution Company Limited and North Bihar Power Distribution Company Limited.

II. General Assets.—The office establishment, buildings, lands together with land rights, investments in subsidiary companies and all other assets not covered elsewhere in this schedule, which are predominantly occupied used for the activities of Holding Undertakings as on the effective date.

Head Office building of the Board at Patna including all independent and stand-alone Rest houses, which are not parts of any substations/installations of the Board and not otherwise included in Schedule "A", "B" and "C".

III. Miscellaneous :—

(a) Contracts, agreements, interest and arrangements to the extent they are associated with or related to the common activities or not associated with Generation, Transmission and Distribution Undertakings or assets referred to in Para I and II above.

(b) Contingent liabilities to the extent they are recognized and are associated with or related to common activities or not associated with Generation, Transmission and Distribution activities or Assets referred to in Para I and II above.

(c) Proceedings to the extent they are associated with or related to common activities or not associated with Generation, Transmission and Distribution activities or Assets referred to in Para I and II above.

IV. General.—In consideration of the transfer mentioned above, the Holding Company (Bihar State Power Holding Company Limited) shall issue equity shares in favour of the State Government or otherwise as the State Government may direct after taking into account the assets and liabilities of holding Undertaking of the Board transferred to Holding Company.

SCHEDULE ' D ' HOLDING UNDERTAKING

Notes: 1. The above opening balance sheet has been drawn on a provisional basis based on the Balance Sheet of the Board as on March 31st, 2011. PART III

Functions and Duties of Bihar State Power (Holding) Company Limited

The functions and duties of Bihar State Power Holding Company Limited will be detailed as per the clauses of the Memorandum of Association and Articles of Association of the Company framed thereunder as originally framed or as altered from time to time.

Main functions and duties of the Bihar State Power (Holding) Company Limited are:

(a) The Bihar State Power (Holding) Company Limited (Holding Company) shall be the holding company of the Bihar State Power Generation Company Limited, Bihar State Power Transmission Company Limited, North Bihar Power Distribution Company Limited and South Bihar Power Distribution Company Limited, (hereinafter referred to as "Successor Entities"), vested with the assets, interest in property, rights and liabilities of Bihar State Electricity Board ("The Board") as per the Governments of Bihar's decision to reorganize the Board under the provisions of Part – XIII (Re-organisation of Board) of the Electricity Act 2003 (and the notified transfer schemes) and the resolutions, circulars, notification or ordinances issued in this regard.

(b) This Company shall be primarily an investment company and shall invest in companies in the field of electricity. These companies may be engaged in the business of generation, transmission, distribution and trading of electricity or any or all of these activities

(c) The Holding Company shall undertake coordination activities between Bihar State Power Generation Company Limited, Bihar State Power Transmission Company Limited, North Bihar Power Distribution Company Limited and South Bihar Power Distribution Company Limited, including cash/fund management for smooth functioning of the above mentioned subsidiary companies.

(d) The Holding Company shall handle all the disputes between Bihar State Power Generation Company Limited, Bihar State Power Transmission Company Limited, North Bihar Power Distribution Company Limited and South Bihar Power Distribution Company Limited.

(e) The Holding Company shall provide all the necessary support to Bihar State Power Generation Company Limited, Bihar State Power Transmission Company Limited, North Bihar Power Distribution Company Limited and South Bihar Power Distribution Company Limited till the finalization of the transfer scheme.

(f) Operating expenses incurred by the Holding Company like administration & general expenses legal and consulting fees etc. would be shared by the Bihar State Power Generation Company Limited, Bihar State Power Transmission Company Limited, North Bihar Power Distribution Company Limited and South Bihar Power Distribution Company Limited, in the ratio of their respective equity.

(cid:18)बहार गजट (असाधारण), 1 नवम ्बर 2012 (g) To absorb the personnel of Board under the transfer scheme and their further transfer to the subsidiary companies as in the scheme, till the new arrangements for absorption in the successor companies are notified and the successor companies have established the proper organization structure.

(h) To administer the master trust for managing the terminal benefits of the employees and pensioners and any amounts available in the existing Trusts/funds for the employees of the board under separate accounts on the effective date, which would stand transferred to such master trust on its formation.

(i) Holding Company shall handle all issues relating to the subsidiary companies in respect of: - (cid:2) Business of purchasing, importing, exporting and trading of power subject to the provisions of Electricity Act, 2003 and to supply electric power generated by other plants to transmission companies, distribution companies, trading companies, other generation companies and other Persons, and in this regard execute agreements with Central and State generating authorities, departments or companies, Independent Power Producers and other Persons.

(cid:2) Resolution of any dispute amongst the successor companies on account of the transfer scheme including on the apportionment of assets and liabilities etc.

(cid:2) The disputed assets and liabilities in respect to division of erstwhile BSEB into BSEB and JSEB and also the assets and liabilities to the extent not included in schedules, if any.

(cid:2) To prepare and notify the organization structure for the subsidiary companies.

(cid:2) Any other issues which the Holding Company deemed fit for the smooth operations of the successor entities.

SCHEDULE "E"

STATE GOVERNMENT

All residual assets and liabilities not part of Schedule "A", "B", "C" and "D" shall remain vested with the State Government. However, outstanding State Govt. Loans and interest thereon receivable from board will continue to be shown as recoverable from board in the books of State Govt., pending final adjustment between board and State Govt.

SCHEDULE "F" REORGANISATION OF BSEB & TRANSFER OF PERSONNEL Part I

1. The erstwhile State of Bihar was reorganized as per the Bihar Reorganisation Act, 2000 (Act no. 30 of 2000) and a new State of Jharkhand was carved out of the erstwhile State of Bihar. Consequently, Ministry of Power (MoP), Government of India (GoI), in view of the power conferred by sub-section (3) of section 62 of the Bihar Reorganisation Act, 2000, issued a notification dated November 4, 2004 in respect of dissolution of the erstwhile BSEB and apportionment of its assets, rights and liabilities between the successor Electricity Boards of the States of Bihar and Jharkhand.

2. After the enactment of the Electricity Act 2003, the Government of Bihar is required to unbundle the BSEB into successor corporate entities towards meeting the challenges imposed by the power sector reforms and to enhance the efficiency and effectiveness as per the requirements of the Electricity Act 2003.

3. In view of the above, the Energy Department, Government of Bihar (GoB) vide its Resolution No. 3056 dated August 2, 2006 (read with Energy Department, GoB's resolutions no. 218 dated January 31, 2006 and 733 dated March 3, 2006 ) as amended by Resolution No. 3698 dated August 18, 2011 has decided to form the following resultant corporate entities in view of reorganisation of BSEB:

4. Constitution of two distribution companies as mentioned above is based on reorientation of seven area offices. Reorientation is based on regrouping of circles. As such from circle level and below there is no change from the existing system. In the existing seven areas include 16 circles, which are shown in a tabular form below:

5. The four area offices i.e. PESU, Patna central, Magadh and Bhagalpur have been regrouped to form one company, i.e. South Bihar Power Distribution Company Limited. PESU (East), PESU (West), Patna, Ara, Nalanda, Gaya, Rohtas, Bhagalpur and Munger constitutes the South Bihar Power Distribution Company Limited. The three area offices i.e.Tirhut, Mithila and Kosi Areas are combined to form another company, i.e. North Bihar Power Distribution Company Limited. Consequently Muzaffrapur, Chapra, Motihari, Darbhanga, Samasthipur, Saharsa and Purnea Circles are automatically combined within the company North Bihar Power Distribution Company Limited.

Apart from these circles there are seven pole factories and seven TRWs (Transformer Repair Workshops) which provide the support services to the distribution system. However, with the existing practice, Head of the pole factory and transformer repair workshop report directly to Head-Quarter and they are not directly a part of the distribution system. The existing TRWs and pole factories have been allocated to the Discom in the respective jurisdiction. The final shape of the distribution companies is shown in a tabular form.

6. In case of existing transmission system, there are two area offices; Patna and Muzaffarpur. Under Patna area, there are four circles namely Patna, Biharsharif, Gaya and Dehri-on-son. Under Muzaffarpur, there are three circles namely Mazaffarpur, Purnia and Bhagalpur. All of these four circles have two numbers of divisions. In case of Muzaffarpur circle, there are four number of divisions and two each in case of Purnia and Bhagalpur circles. Detail of areas, circles and divisions are shown in a tabular form.

7. Since there is one transmission company therefore the entire transmission assets of the existing system have been transferred to the new company.

8. The generating company at present deals with only one power plant BTPS since there is no other power plant. However, the generating company is engaged in the construction of new power plants or encouraging IPPS to install power plants.

9. Holding company's function is primarily to hold the shares, integrated policy and planning and funds management. Apart from that there is no major function of the holding company.

The functions and duties of each of the companies are given in Part III of the Schedules A, B, C & D of the Transfer Scheme.

10. Now on the effective date of Transfer, the transfer of personnel shall be done through following procedure:

The employees of Barauni Thermal Power Plant (BTPS) shall be allocated on "as is-where-is" basis to BIHAR STATE POWER GENERATION COMPANY LIMITED. The employees of Transmission Area Patna and Muzaffarpur shall be allocated on "as is-where- is" basis to BIHAR STATE POWER TRANSMISSION COMPANY LIMITED. The employees of Distribution Area Tirhut, Mithila and Kosi and distribution circles therein shall be allocated on "as is-where-is" basis to NORTH BIHAR POWER DISTRIBUTION COMPANY LIMITED. The employees of Distribution Area Bhagalpur, Magadh, Patna Central and PESU and distribution circles therein shall be allocated on "as is-where-is" basis to SOUTH BIHAR52 (cid:18)बहार गजट (असाधारण), 1 नवम ्बर 2012 POWER DISTRIBUTION COMPANY LIMITED.

The employees of TRW Patna, Gaya and Bhagalpur shall be allocated on "as is-where-is" basis to SOUTH BIHAR POWER DISTRIBUTION COMPANY LIMITED. The employees of TRW Muzaffarpur, Saharsa, Katihar and Darbhanga shall be allocated on "as is-where-is" basis to NORTH BIHAR POWER DISTRIBUTION COMPANY LIMITED. The employees of Pole factories of Patna, Ara Barun and Dandibagh shall be allocated on "as is-where-is" basis to SOUTH BIHAR POWER DISTRIBUTION COMPANY LIMITED. The employees of Pole factories of Katihar, Madhopur and Khabra shall be allocated on "as is- where-is" basis to NORTH BIHAR POWER DISTRIBUTION COMPANY LIMITED. The employees working in Head-Quarter to the extent they are identified and working for Transmission Co., distribution Co(s), Generation Co. shall stand transferred to the respective companies. The other employees in common services shall be allocated between four (4) companies i.e. BIHAR STATE POWER TRANSMISSION COMPANY LIMITED, BIHAR STATE POWER GENERATION COMPANY LIMITED, SOUTH BIHAR POWER DISTRIBUTION COMPANY LIMITED AND NORTH BIHAR POWER DISTRIBUTION COMPANY LIMITED.

11. The employees working in common services like accounts, stores and purchase, vigilance, IT, Civil, Administration etc. shall be allocated to the four (4) companies by a Committee specially constituted for resolving the disputes i.e. Dispute Resolution Committee, consisting of the director incharge/managing director of the subsidiary companies and the chairman of the holding company shall be the chairman of the committee. The employees will be allowed to make a representation to any dispute regarding their transfer to a particular company. The decision of the committee will be final and binding.

SCHEDULE "F" REORGANISATION OF BSEB & TRANSFER OF PERSONNEL Part II

1. ARRANGEMENTS FOR THE TRANSFER OF OFFICES:—Offices/Regions/Circles /Divisions etc. of the Bihar State Electricity Board (BSEB) and their respective units including posts and personnel as the case may be on the effective date of transfer are assigned as shown in the table below. Personnel shall stand transferred according to Clause No. 6 of the Transfer Scheme, to Bihar State Power Generation Company Limited (Genco), Bihar State Power Transmission Company Limited (Transco), South Bihar Power Distribution Company Limited, and North Bihar Power Distribution Company Limited (Discoms).

2. COMMON SERVICES

The Testing Divisions, Training Department at Head-Quarter and all the Departments at the Corporate Head Office like –

shall constitute 'Common Services' which shall continue to provide services to all successor entities during the Interregnum period, until issue of further transfer notifications allocating the employees to respective companies.
