भारतीय निर्यात- आयात बैंक (संशोधन ) सामान्य विनियमावली, 2003
सं. एलईजी-95 ( 378 ) .- भारतीय निर्यात-आयात बैंक अधिनियम , 1981 ( 1981 का 28 ) की धारा 39 की उप धारा ( 1 ) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए भारतीय निर्यात - आयात बैंक का निदेशक मण्डल , भारतीय निर्यात- आयात बैंक की सामान्य विनियमावली 1982 में निम्न संशोधन करने के लिए केन्द्र सरकार की पूर्वानुमति से एतदद्वारा निम्न विनियमावली बनाता हैं; नामतः -
1. संक्षिप्त नाम और प्रारंभ ( 1 ) इन विनियमों को भारतीय निर्यात- आयात बैंक ( संशोधन) सामान्यविनियमावली , 2003 कहां जाएगा ।
(2 ) ये सरकार के राजपत्र में प्रकाशन की तारीख से लागू होगी ।
2. भारतीय निर्यात-आयात बैंक की सामान्य विनियमावली , 1982 में -
(क) विनियमन 4 के उप-विनियम (i ) के लिए निम्नलिखित उप-विनियम प्रतिस्थापित
किया जाएगाः-
बैंक की प्रबंधन समिति होगी , जिसमें अध्यक्ष प्रबंध निदेशक तथा बोर्ड द्वारा

[PART III-SEC .4] नामित अधिकतम 7 निदेशक होंगे और यह समिति ऐसे अधिकारों का उपयोग करेगी जो ऐसी विनियमावली द्वारा निर्धारित होगी जिसका गठन मण्डल द्वारा किया गया है अथवा इसके मण्डल द्वारा प्रत्यायोजित हैं अथवा इसके अधीन किसी विनियमावली के अधीन हैं सिवाय ऐसे मामलों को छोड़कर जिन्हें बोर्ड ने इस अधिनियम के अधीन विशिष्ट रूप से आरक्षित रखा है । "
(ख ) विनियम 10 में उप- विनियम (ii) के स्थान पर निम्नलिखित उप- विनियम प्रतिस्थापित किए जाएंगे , नामतः -
" (ii) अध्यक्ष , यदि वह पूर्ण कालिक निदेशक या प्रबंध निदेशक है तो वह ऐसी शक्तियों का प्रयोग करेगा जो मंडल द्वारा निर्मित विनियमावली द्वारा निर्धारित अथवा अध्यक्ष अथवा प्रबंध निदेशक एक्ज़िम बैंक द्वारा अपेक्षित गए उपबंध को कार्यों को प्रत्यायोजित की गई हैं ।
सभी ऐसे कार्यों को करने के लिए प्रदान की गई हैं सिवाय उस सीमा को छोड़कर जहाँ ऊपर उल्लेख किया गया है और वह अधिकारियों और अन्य कर्मचारियों को ड्यूटी कार्यों का आबंटन कर सके तथा एक्ज़िम बैंक के अन्य अधिकारियों को शक्तियों को या तो अलग-अलग संयुक्त रूप से मुख्तारनामा अथवा सामान्य अथवा विशेष आदेश देने के मार्फत, शक्तियों का प्रत्यायोजन कर सकने के लिए भी प्राधिकृत है । इन शक्तियों के अंतर्गत सहायता की मंजूरी तथा संवितरण वचन-पत्रों , स्टॉक- रसीदें , स्टॉक , डिबेंचरों , शेयरों प्रतिभूतियों का पृष्ठांकन और अंतरण तथा माल पर हक के विलेख जो एक्जिम बैंक के नाम पर है अथवा उसके नाम पर धारित है या एक्ज़िम बैंक द्वारा धारित है , तथा एक्ज़िम बैंक के वर्तमान और प्राधिकृत कारोबार से संबंधित विनियमः पत्र और अन्य लिखतों को तैयार करना , स्वीकार करना और पृष्ठांकन करना तथा ऐसे कारोबार से संबंधित अथवा आनुषंगिक अन्य सभी लेखों रसीदों और विलेखों पर हस्ताक्षर करना शामिल है परन्तु शक्तियाँ इन तक ही सीमित नहीं होगी । " प्रमाणित किया जाता है कि सरकार ने निम्नलिखित का अनुमोदन दिया है-
1 ) उपर्युक्त संशोधन पत्र सं . फाइल सं . 14 ( 14) 95- आइ एफ I (पी टी) दिनांकित 12 मई , 2003 केअनुसार । भारत का राजपत्र असाधारण

2) मुख्य विनियमन पत्र सं. फाइल सं. 14 ( 18 )/76/ आइ एफ 1 दिनांकित 24 जुलाई , 1987 के अनुसार ।
3 ) विनियमन 14 और अनुसूचियों में संशोधन पत्र सं. फाइल सं. 14 ( 19 ) / आइ एफ - I / 89 दिनांकित 30 मार्च 1989 के अनुसार ।
4) विनियम 8 में संशोधन-पत्र सं. 26/2/2000 बी ओ 1 दिनांकित 9 मई , 2000 के अनुसार ।
5) विनियमन 3 , 5 और 7 में संशोधन पत्र सं . 14 ( 14) / 95 आइ एफ - I (V.II) दिनांकित 16 जनवरी , 2001 के अनुसार ।

Export- Import Bank of India (Amendment) General Regulations, 2003
No. LEG-95 (378 ). In exercise of the powers conferred by Sub-section( 1) of Section 39 of the Export-Import Bank of India Act , 1981 (28 of 1981 ) , the Board of Directors of Export- Import Bank of India, with the previous approval of the Central Government , hereby makes the following regulations , further to amend the Export - Import Bank of India General Regulations , 1982 , namely : -
1. Short title and commencement Import Bank of India (Amendment) General Regulations, 2003 . (1) These Regulations may be called the Export- They shall come into force from the date of their publication in the Official (2) Gazette.
2. In the Export- Import Bank of India General Regulations, 1982, -
(a) In regulation 4, for sub- regulation ( i) , the following sub- regulation shall be substituted, namely: -
" ( i) There shall be a Management Committee which shall consist of the Chairman, Managing Director and not more than 7 Directors of the Board to be nominated by the Board and it shall exercise such powers as may be prescribed by regulations made by the Board or delegated to it by the Board except any such matters as are specifically reserved to the Board under the Act or any regulations made thereunder ."
(b) In regulation 10 , for sub- regulation (ii) , the following sub- regulation shall be substituted, namely : -
"(ii) The Chairman if he is the whole- time Director or the Managing Director shall exercise such powers as may be prescribed by regulations made THE GAZETTE OF INDIA : EXTRAORDINARY
[PART III-SEC. 4] by the Board or delegated to the Chairman or the Managing Director by the Board to do all the things required to be done by the Exim Bank except to the extent provided hereinabove and is also authorised to allocate duties to officers and other employees and to delegate powers to other officers of Exim Bank either severally or jointly for various purposes through grant of powers of Attorney or by general or special order or otherwise . These powers may include, but shall not be limited to , sanction and disbursement of assistance, endorsement and transfer of promissory notes , stock - receipts , stocks , debentures , shares , securities and documents of title to goods , standing in the name of or held in the name of or held by Exim Bank, and to draw, accept and endorse bills of exchange and other instruments in the current and authorised business of Exim Bank and to sign all other accounts , receipts and documents connected with or incidental to such business ."

1) The above amendments vide letter F.No.14/ 14/ 95 - IF- I (Pt) dated May 12, 2003 .
2) Principal Regulation - vide letter F.No.14( 18)/76/IF.I dated July 24, 1987 .
3) Amendments in Regulation 14 and Schedules vide letter F.No.14( 19 )/IF.I/89 dated March 30, 1989 .
4) Amendments in Regulation 8 - vide letter No.26/2/ 2000-B.O- 1 dated May 9, 2000 .
5) Amendments in Regulations 3 , 5 & 7 vide letter No.14 ( 14)/95-IF.I (V.II) dated January 16 , 2001 .

भारतीय निर्यात- आयात बैंक ( संशोधन ) सामान्य विनियमावली, 2003
सं. एलईजी-95 ( 379 ) .- भारतीय निर्यात- आयात बैंक अधिनियम , 1981 ( 1981 का 28 ) की धारा 39 की उप- धारा ( 1 ) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए भारतीय निर्यात - आयात बैंक का निदेशक मण्डल , भारतीय निर्यात- आयात बैंक की सामान्य विनियमावली 1982 में निम्न संशोधन करने के लिए केन्द्र सरकार की पूर्वानुमति से एतदद्वारा निम्न विनियमावली बनाता हैं; नामतः -
1. संक्षिप्त नाम और प्रारंभ- ( 1 ) इन विनियमों को भारतीय निर्यात- आयात बैंक ( संशोधन) सामान्य विनियमावली , 2003 कहा जाएगा ।
(2) यह विनियमावली सरकार के राजपत्र में प्रकाशन की तारीख से लागू होगी । [ भाग III- खण्ड 4 ]

2. भारतीय निर्यात-आयात बैंक की सामान्य विनियमावली , 1982 में -
(क) विनियम 6 के उप- विनियम ( 1 ) के परंतुक के लिए निम्न परंतुक प्रतिस्थापित किया जाएगा: -
"परंतु किसी मिदेशक या सदस्य के लिए यह आवश्यक नहीं होगा कि वह इस प्रकार की किसी संविदा या व्यवस्था जो कंपनी अधिनियम, 1956 के अंतर्गत किसी कंपनी या विदेशी कंपनी के साथ की गई है , में किसी ऐसी संविदा या प्रस्तावित व्यवस्था में जहाँ सरोकार अथवा हितबद्धता केवल इस बात तक सीमित है कि उनकी शेयरधारिता ऐसी कंपनी की शेयरपूंजी में एक सौ ( 100 ) ईक्विटी शेयरों से अधिक नहीं" के लिए अपना सरोकार अथवा हितबद्धता बताये । "
(ख) विनियम 6 के उप-विनियमन (4) के स्थान पर निम्न उप विनियम प्रतिस्थापित होंगे - "(4) मंडल का कोई निदेशक या प्रबंधन समिति का कोई सदस्य , निदेशक अथवा सदस्य के रूप में , इनमें से जैसी भी स्थिति हो एक्ज़िम बैंक द्वारा या एक्जिम बैंक की ओर से की गई या की जाने वाली किसी संविदा या व्यवस्था में परिचर्चा या मतदान में किसी भी रूप में हिस्सा नहीं लेगा , यदि वह किसी तरह प्रत्यक्ष या अप्रत्यक्ष रूप से ऐसी संविदा या व्यवस्था में लगा हो अथवा उसमें हितबद्ध है तो उसकी उपस्थिति ऐसी चर्चा या वोट के समय कोरम बनाने के लिए नहीं मानी जाएगी , और यदि वह मतदान कस्ता है तो उसका मत अवैध समझा जाएगा;
परंतु यह कि यहाँ अंतर्निहित कुछ भी कंपनी अधिनियम , 1956 के अर्थ के अंतर्गत अथवा उस अधिनियम के अंतर्गत किसी प्राइवेट कंपनी, जो किकिसी ऐसी पब्लिक कंपनी की सहायक कंपनी है । जिसमें निदेशक का निजी हित है , के साथ निष्पादित की गई अथवा की जानेवाली संविदा अथवा व्यवस्था के संबंध में इसलिए लागू नहीं होगा कि:
i) एक्ज़िम बैंक द्वारा निदेशक के रूप में नामित किये जाने पर उनके ऐसी कंपनी के निदेशक बनने पर अथवा
ii) उसके सदस्य होने पर जो ऐसी कंपनी की शेयर पूँजी में से एक सौ ( 100) ईक्विटी शेयर से अधिक नहीं रखता है । "

1 ) उपर्युक्त संशोधनों का पत्र सं. फाइल सं . 14 (14) 95- आइ एफ 1 ( खण्ड II ) दिनांकित 14 अक्तूबर , 2003 के अनुसार।
2) मुख्य विनियम पत्र सं. फाइल सं . 14 ( 18)/76/ आइ एफ. I दिनांक 24 जुलाई , 1987 3) विनियमन 14 और अनुसूचियों में संशोधन पत्र सं. फाइल सं. 14 ( 19 ) / आइ एफ. 1 / 89 दिनांकित 30 मार्च 1989 के अनुसार ।
4) विनियम 8 में संशोधन पत्र सं . 26/2/2000- बी.ओ 1 दिनांकित 9 मई , 2000 के अनुसार 5) विनियमन 3 , 5 एवं 7 में संशोधन पत्र सं. 14 ( 14) / 95 आइ एफ . I (V.II) दिनांकित 16 जनवरी , 2001 के अनुसार ।

Export- Import Bank of India ( Amendment) General Regulations , 2003
No. LEG- 95(379 ).- In exercise of the powers conferred by sub- section( 1 ) of Section 39 of the Export- Import Bank of India Act, 1981 (28 of 1981 ) , the Board of Directors of Export -Import Bank of India with the previous approval of the Central Government , hereby makes the following regulations , further to amend the Export - Import Bank of India General Regulations , 1982, namely: -
1 . Short title and commencement ( 1 ) These Regulations may be called the Export- Import Bank of India (Amendment) General Regulations , 2003 .
(2) Gazette . They shall come into force from the date of their publication in the Official 2. Inthe Export-Import Bank of India General Regulations, 1982 , -
(a) In regulation 6, for sub- regulation ( 1 ), for the proviso , the following proviso shall be substituted, namely :-
"Provided that it shall not be necessary for a director or member to disclose his concern or interest in any such contract or arrangement proposed to be entered into with a company or a foreign company within the meaning of the Companies Act , 1956, where the concern or interest consists only in his holding not more than one hundred ( 100) equity shares in the share capital of such company."

(b) In regulation 6, for sub- regulation (4) , the following sub- regulation shall be substituted, namely : -
"(4) No director of the Board and no member of the Management Committee shall as a director or member, as the case may be, take any part in the discussion of or vote on any contract or arrangement entered into or to be entered into by or on behalf of the Exim Bank, if he is in anyway, whether directly or indirectly, concerned or interested in such contract or arrangement ; nor shall his presence count for the purpose of forming a quorum at the time of such discussion or vote ; and if he does vote, his vote shall be void;
Provided that nothing herein contained shall apply to any contract or arrangement entered into or to be entered into with a public company within the meaning of the Companies Act, 1956, or a private company within the meaning of that Act which is a subsidiary of any such public company in which the interest of the Director consists solely:
i) in his being a director of such company, having been nominated as such director by the Exim Bank, or
ⅱ) inhis being a member holding not more than one hundred (100) equity shares in the share capital of such company."
