एसबीडी क्र. 09/09-10--एतद्वारा सर्वसाधारण को सूचित किया जाता है कि भारतीय स्टेट बैंक ( समनुषंगी बैंक ) अधिनियम 1959 की धारा 25 , उप- धारा ( 1 ) के खंड ( घ ) के अनुसार भारतीय रिज़र्व बैंक के साथ विचार विमर्श के बाद भारतीय स्टेट बैंक श्री अश्वनी कुमार गुप्ता, 85 ग्रीन पार्क, कूल रोड, जालन्धर, को स्टेट बैंक ऑफ पटियाला के निदेशक पद पर दिनांक 9 अक्तूबर 2009 से 8 अक्तूबर 2012 ( दोनों दिन सम्मिलित ) तक के लिए नामित करता है ।

अधिनियम की धारा 3 की उप धारा ( 2 बी ) की खंड ( सी) के परंतुक में प्रदत्त शक्तियों के अनुरूप उनके द्वारा संरचित दिशानिर्देशों के अनुसार निश्चित की जाएगी । मुंबई-400021 , दिनांक 8 अक्तूबर 2009
( 4) बैंक प्रस्ताव की अंतिम रूप देने से पहले भारतीय रिजर्व बैंक के दृष्टिकोण का ध्यान रखेगा और प्रस्ताव भारतीय रिजर्व बैंक की प्रस्तुत करेगा ।
सं. एसएमआर/02--बैंककारी कंपनी ( उपक्रमों का अर्जन और अंतरण ) अधिनियम, 1970 (1970 का 5 ) की धारा 19 द्वारा प्रदत्त शक्तियों के प्रयोग में यूनियन बैंक ऑफ इंडिया के निदेशक मंडल ने भारतीय रिजर्व बैंक से परामर्श और केन्द्र शासन की पूर्व मंजूरी के बाद यूनियन बैंक ऑफ इंडिया (शेयर्स और बैठक ) 1998 विनियमन 20 अक्तूबर, 2003 तक यथासंशोधित , में निम्नलिखित संशोधन किए जाना प्रस्तावित किया है , अर्थात्:--
(5) तत्पश्चात्अंतिम प्रस्ताव केन्द्र सरकार की उसकी मंजूरी के लिए प्रस्तुत किया जाएगा और केन्द्र सरकार द्वारा उन निबंधनों व शर्तों के अधीन स्वीकृति दी जाएगी , जिन्हें वह उचितसमझे ।
( 6 ) बैंक केन्द्र सरकार की स्वीकृति के अनुसार पूंजी उगाहेगा। 1. लघु शीर्षक और प्रारंभ ( 1 ) ये विनियमन यूनियन बैंक ऑफ इंडिया (शेयर्स और बैठक ) संशोधन विनियमन, 2009 कहलाएंगे (2 ) ये सरकारी राजपत्र में प्रकाशन की तारीख से प्रभावी होंगे ;
फुट नोट: -- मूल विनियम भारत के राजपत्र ( भाग III, धारा 4 ) में अधिसूचना क्र. 53 दिनांक 08.05.2000 और उसके बाद के संशोधन अधिसूचना क्र. 45 दिनांक 08.11.2003 के द्वारा प्रकाशित किए गए थे ।
2. विनियमन 2 और 4 के संशोधन यूनियन बैंक ऑफ इंडिया ( शेयर्स और बैठक ) विनियमन, 1998, 20 अक्तूबर, 2003 तक यथासंशोधित में:
मोनिका कालिया कम्पनी सचिव ( i ) विनियमन 2 में, खंड (पी ) के लिए निम्नलिखित खंड प्रतिस्थापित किया जाएगा , अर्थात्--

कर्मचारी भविष्य निधि संगठन नई दिल्ली-110066, दिनांक 23 सितम्बर 2009 " (पी ) इसमें प्रयुक्त शब्द और अभिव्यक्तियां जो इन विनियमों में परिभाषित नहीं है किन्तु अधिनियम या योजनाओं, या प्रतिभूति और विनिमय बोर्ड ऑफ इंडिया द्वारा जारी दिशानिर्देशों और अधिनियम की धारा 3 की उप- घारा ( 2बी ) के खंड ( सी ) के परंतुक अधीन भारतीय रिजर्व बैंक की प्रदत्त अधिकारों के अधीन संरचित दिशानिर्देशों अधिनियम या योजना या प्रतिभूति और विनिमय बोर्ड ऑफ इंडिया द्वारा जारी दिशानिर्देशों या भारतीय रिजर्व बैंक द्वारा संरचित दिशानिर्देशों में परिभाषित है और अधिनियम की धारा 3 की उप- धारा ( 2बी ) के खंड ( सी ) के परंतुक अधीन भारतीय रिजर्व बैंक की प्रदत्त अधिकारों के अधीन संरचित दिशानिर्देशों अधिनियम या योजना या प्रतिभूति और विनिमय बोर्ड ऑफ इंडिया द्वारा जारी दिशानिर्देशों या भारतीय रिजर्व बैंक द्वारा संरचित, जैसा भी मामला हो , में दिए गए समान अर्थ रखेगा "
सं. ई- III/10 (2 )/09 /एमएच/बीएएन-कर्मचारी भविष्य निधि एवं प्रकीर्ण उपबंध अधिनियम, 1952 की धारा 17 की उपधारा ( 4 ) के खंड (अ ) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए, में के. चन्द्रमौलि, केन्द्रीय भविष्य निधि आयुक्त एतद्वारा कर्मचारी भविष्य निधि एवं प्रकीर्ण उपबंध अधिनियम, 1952 की धारा 17 की उपधारा ( 1 ) के खंड ( अ ) के अंतर्गत अधिसूचना संख्या ई -102( 19 ) ई/ए दिनांक 17.10.1957 द्वारा मैसर्स सैचुरी टैक्सटाइल एंड इंडस्ट्रीज लिमिटेड एमएच/बीएएन/96 जिसका पंजीकृत कार्यालय सैंचुरी भवन, डॉ. एनी बेसन्ट रोड, वर्ली , मुम्बई-400025 में स्थित है, मेरे समक्ष प्रस्तुत जानकारी के अनुसार, पर्याप्त कारणों से जो मैं उचित समझता हूं को प्रदत्त छूट दिनांक 30.09.2008 से समाप्त करता हूं ।
के. चन्द्रमौलि ( ii ) विनियमन 4 के पश्चात् निम्नलिखित विनियम सम्मिलित किया जाएगा, यथा--
केन्द्रीय भविष्य निधि आयुक्त " 4ए( 1 ) बैंक इक्विटी शेयर या अधिमान्य शेयर के सार्वजनिक निर्गम या अधिमान्य आबंटन या निजी स्थापन द्वारा पूंजी जुटा सकता है ।

(2 ) बैंक , प्रतिभूति और विनिमय बोर्ड ऑफ इंडिया के पूंजी जुटाने से संबंधित दिशानिर्देशों , नियमों या विनियमों के अनुसार पूंजी जुटाने के प्रस्ताव तैयार करेगा ।
सं. क.म.नि/रा .कार्या/अ.के. आ ( त. नाडु एवं केरल )/मि.सं . के.आर. /02/2009 दिनांक 23.09.2009 जहां अनुसूची-1 में उल्लिखित नियोक्ताओं ने जिसमें इसके पश्चात् उक्त स्थापना कहां गया है ( कर्मचारी भविष्य निधि और प्रकीर्ण उपबंध अधिनियम, 1952 ) 1952 की19 की धारा 17 की उप धारा 2 ( क ) के अंतर्गत छूट के विस्तार के लिए आवेदन किया है । जिसे इसमें इसके पश्चात् उक्त अधिनियम कहां गया है ।
चूंकि केन्द्रीय भविष्य निधि आयुक्त इस बात से संतुष्ट है कि उक्त स्थापना के कर्मचारी कोई अलग अंशदान या प्रीमियम की अदायगी (3) अधिमान्य शेयरों के सार्वजनिक निर्गम या अधिमान्य आबंटन यानिजी स्थापन के माध्यम से पूंजी एकत्रित करने के लिए, इस प्रकार के अधिमान्य शेयरों ( शाश्वत या अप्रतिदेय या प्रतिदेय ) की प्रत्येक श्रेणी की संख्या और इस प्रकार बैंक द्वारा जारी किए जाने वाले शेयरों की निबंधन और शर्तें, भारतीय रिजर्व बैंक की भाग III- खण्ड 4]

किएबिना जीवन बीमा के रूप में भारतीय जीवन बीमा निगम की सामूहिक बीमा स्कीम का लाभ उठा रहा है जो कि ऐसे कर्मचारी के लिए कर्मचारी निक्षेप सहबद्ध बीमा स्कीम, 1976 के अंतर्गत स्वीकार्य लाभों से अधिक अनुकूल है ( जिसे इसमें इसके पश्चात स्कीम कहा गया है ) । अतः उक्त अधिनियम की धारा 17 की उप धारा 2 ( क ) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए तथा श्रम मंत्रालय भारत सरकार/केन्द्रीय सरकार/ केन्द्रीय भविष्य निधि आयुक्त की संलग्न अनुसूची- II की निर्धारित शर्तों के रहते हुए केन्द्रीय भविष्य निधि आयुक्त ने उक्त स्कीम के सभी उपबंधों के संचालन से प्रत्येक उक्त स्थापना को आगे तीन वर्षों की अवधि के लिए छूट प्रदान कर दी है ( जैसा कि संलग्न अनुसूची एक में उनके नाम के सामने दर्शाया गया है ) ।
सं. क.म.नि/रा.कार्या/अ. के.आ (त. नाडु एवं केरल ) /मि.स. के.आर. /02/2009--जहां अनुसूची -1 में उल्लिखित नियोक्ताओं ने ( जिसमें इसके पश्चात उक्त स्थापना कहां गया है ) कर्मचारी भविष्य निधि और प्रकीर्ण उपबंध अधिनियम , 1952 ( 1952 की 19) की धारा 17 की उप धारा 2(क ) के अंतर्गत छूट के विस्तार के लिए आवेदन किया है । जिसे इसमें इसके पश्चात उक्त अधिनियम कहां गया है ।
चूंकि केन्द्रीय भविष्य निधि आयुक्त इस बात से संतुष्ट है कि उक्त स्थापना के कर्मचारी कोई अलग अंशदान या प्रीमियम की अदायगी किए बिना जीवन बीमा के रूप में भारतीय जीवन बीमा निगम की सामूहिक बीमा स्कीम का लाभ उठा रहा है जो कि ऐसे कर्मचारी के लिए कर्मचारी निक्षेप सहबद्ध बीमा स्कीम, 1976 के अंतर्गत स्वीकार्य लाभों से अधिक अनुकूल है (जिसे इसमें इसके पश्चात योजना कहा गया है ) । अतः उक्त अधिनियम की धारा 17 की उप धारा 2 ( क) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए तथा इसके साथ संलग्न अनुसूची में उल्लिखित शर्तों के अनुसार केन्द्रीय भविष्य निधि आयुक्त ने प्रत्येक के सामने उल्लिखित पिछली तारीख से प्रभावी तिथि से उक्त स्थापना को क्षेत्रीय भविष्य निधि आयुक्त, चेन्नै ने स्कीम की धारा 28 ( 7 ) के अंतर्गत ढील प्रदान की है, तीन वर्ष की अवधि के लिए संचालन को छूट प्रदान कर दी गयी है ।
अनुसूची- II
1. उक्त स्थापना के संबंध में प्रत्येक नियोक्ता ( जिसे इसके पश्चात नियोक्ता कहा गया ) केन्द्रीय भविष्य निधि आयुक्त द्वारा समय- समय पर निर्दिष्ट ऐसी विवरणियों संबंधित क्षेत्रीय भविष्य निधि आयुक्त को भेजेंगे तथा ऐसी राशि रखेंगे तथा निरीक्षण के लिए ऐसी सुविधाएँ प्रदान करेंगे ।
2. नियोक्ता केन्द्रीय सरकार द्वारा उक्त अधिनियम की धारा 17 की उप धारा ( 2क ) के खण्ड ( क ) के अंतर्गत समय- समय पर निर्दिष्ट ऐसे निरीक्षण प्रभार प्रत्येक माह की समाप्ति के 15 दिन के भीतर भुगतान करेंगे ।
3. लेखाओं का रखरखाव , रिटर्न प्रस्तुत करना, बीमा किस्तों का भुगतान, लेखाओं का अंतरण निरीक्षण प्रभार के भुगतान सहित सामूहिक बीमा योजना में सम्मिलित प्रशासन संबंधी सभी व्ययों कोनियोक्ता द्वारा वहन किया जाएगा ।
4. नियोक्ता केन्द्रीय सरकार केन्द्रीय भविष्य निधि आयुक्त द्वारा अनुमोदित तथा यथासंशोधित एवं अधिकांश कर्मचारियों की भाषा
8913 में उसके प्रमुख बातों के अनुवाद सहित सामूहिक बीमा योजना के नियमों की प्रति स्थापना के सूचना पटल पर प्रदर्शित करेंगे । 5. यदि कोई कर्मचारी जो कर्मचारी भविष्य निधि या उक्त अधिनियम के अंतर्गत छूट प्राप्त स्थापना की भविष्य निधि के पहले से ही सदस्य है और उनकी स्थापना में नियोजित किया जाता है नियोक्ता उन्हें तत्काल सामूहिक बीमा योजना का सदस्य बनाकर भारतीय जीवन बीमा निगम को उसकी आवश्यक किश्त का भुगतान करेंगे ।
6. यदि उक्त योजना के अधीन कर्मचारियों को उपलब्ध लाभों में वृद्धि की जाती है तो नियोक्ता अपने कर्मचारियों को सामूहिक बीमा योजना के अंतर्गत उपलब्ध लाभों में वृद्धि की व्यवस्था करेंगेजिसमें उक्तयोजना के अंतर्गत स्वीकार्य लाभों से भी सामूहिक बीमा योजना के अंतर्गत उपलब्ध लाभ अधिक अनुकूल होंगे । 7. सामूहिक बीमा योजना में निहित किसी बात के होते हुए भी यदि कर्मचारी की मृत्यु हो जाने पर योजना के अंतर्गत देय राशि कर्मचारियों को उक्त योजना के अंतर्गत व्याप्त करने पर देय राशि से कम हो तो नियोक्ता, शेष भुगतान राशि कर्मचारी के नामिती (यों) विधिक वारिस ( सों ) को हरजाने के रूम में भुगतान करेंगे । 8. संबंधित क्षेत्रीय भविष्य निधि आयुक्त के पूर्व अनुमोदन के बिना सामूहिक बीमा योजना के प्रावधानों में कोई संशोधन नहीं किया जाएगा तथा जहां किसी भी संशोधन से कर्मचारी के पक्ष में कोई प्रतिकूल प्रभाव पड़ने की संभावना हो तो क्षेत्रीय भविष्य निधि आयुक्त अपना अनुमोदन देने से पूर्व कर्मचारियों को उनका दृष्टिकोण समझाने का यथोचित अवसर देंगे ।
9. अतः किसी किसी कारणवश उक्त स्थापना के नियोक्ता भारतीय जीवन बीमा निगम के सामूहिक बीमा योजना के, जिसको उक्त स्थापना द्वारा पहले से अपनाया गया है , के अधीन नहीं रहते और योजना के अंतर्गत दिए जाने वाले लाभों को किसी भी तरह से कम किए जाने पर छूट को रद्द किया जा सकता है । 10. यदि बिना किसी कारण के भारतीय जीवन बीमा द्वारा नियत तिथि के भीतर नियोक्ता बीमा किस्त आदि का भुगतान न कर सके तथा पॉलिसी समाप्त की जाए तो छूट को रद्द किया जा सकता है ।.
11. यदि नियोक्ता द्वारा बीमा किस्त के भुगतान में चूक होने पर मृत सदस्य जो उक्त योजना के अंतर्गत व्याप्त किया जा सकता था परन्तु छूट देने के कारण उसके नामिति ( यों ) , विधिक वारिस (सों) को बीमा लाभों के भुगतान का दायित्व नियोक्ता का होगा । 12. सामूहिक बीमा योजना के अंतर्गत व्याप्त सदस्य की मृत्यु होने पर भारतीय जीवन बीमा निगम मृत सदस्य के नामिती ( यों ) तथा विधिक वारिस ( सौं ) जो बीमाकृत राशि के हकदार हैं को उस राशिको तथा किसी भी हाल में सभी प्रकार से पूर्ण दावों के प्राप्त होने के एक माह के भीतर शीघ्र भुगतान सुनिश्चित करें ।

No. SMR/02-In exercise of powers conferred by section 19 of the Banking Companies (Acquisition And Transfer of Undertakings ) Act, 1970 (5 of 1970) , the Board of Directors ofUnion Bank of India after consultation with the Reserve Bank of India and with the previous sanction of the Central Government propose to make the following amendments to the Union Bank of India (Shares and Meetings) Regulations , 1998 , as amended upto 20th October, 2003 , namely :---
1. Short title and commencements ( 1 ) These Regulations may be called the Union Bank of India (Shares and Meetings ) Amendment Regulations, 2009.
(2) They shall come into force on the date of their publication in the Official Gazette.
2. Amendments of Regulations 2 and 4. In the Union Bank of India ( Shares and Meetings ) Regulations , 1998 , as amended upto 20th October , 2003-
( 1 ) in regulation 2, for clause ( p ) , the following clause shall be substituted, namely -
"(p)The words and expressions used herein and not defined in these Regulations but defined in the Act or Schemes , or guidelines issued by the Securities and Exchange Board of India , and the guidelines framed by the Reserve Bank in pursuant to the powers conferred on it under the proviso to clause ( c ) of sub- section (2B ) of section 3 of the Act shall have same meaning respectively assigned to them in the Act or the Scheme or the guidelines issued by the Securities and Exchange Board of India or framed by the Reserve Bank, as the case may be " ;
(ii) after regulation 4, the following regulation shall be inserted , namely-
"4A (1 ) The bank may raise capital by public issue or preferential allotment or private placement of Equity Shares or Preference Shares .
(2) The Bank shall formulate a proposal to raise capital in accordance with the guidelines , rules or regulations of the Securities and Exchange Board of India , relating to raising of such capital .
(3) For raising capital by public issue or preferential allotment or private placement of Preference Shares , the extent of issue of each class of such Preference Shares ( whether perpetual or irredeemable [PART III- SEC . 4 THE GAZETTE OF INDIA, OCTOBER 31 , 2009 ( KARTIKA 9, 1931 )

or redeemable ) and the terms and conditions subject to which each class of such Preference Shares that may be issued by the Bank shall be determined in accordance with the guidelines framed by the Reserve Bank in pursuant to the provisions contained in the proviso to clause( c) of subsection (2B ) of section 3 of the Act.
(4) The Bank shall submit the proposal to the Reserve Bank and take into account the views of the Reserve Bank before finalizing the proposal .
(5) The final proposal shall thereafter be submitted to the Central Governmentfor its sanction and the Central Government may grant sanction subject to such terms and conditions as it may deem fit .
(6) The Bank shall raise capital in accordance with the sanction of the Central Government . "
Foot Note : The Principal Regulation was , published in the Gazette of India vide Notification No. 53 ( Part III , Section 4) dated 08.05.2000 and subsequent amendments published in the Gazette of india vide Notification No.45 dated 08.11.2003 .

Whereas the employers of the establishment mentioned in Schedule - 1 ( Hereinafter referred to as the said establishment) haveapplied for exemption under Sub Section 2(A) of Section 17 of the EPF & MP Act , 1952 ( 19 of 1952) hereinafter referred to as the said Act.
And whereas the Central Provident Fund Commissioner is satisfied that the employees of the said establishments are without making any separate contribution or payment of premium in enjoyment of benefits under theGroup Insurance Scheme of the respective Life Insurance Corporation of India in the nature of Life Insurance which are more favourable to such employees than the benefits admissible under the Employees Deposit Linked Insurance Scheme, 19765 ( hereinafter referred to as the said Scheme) .
Now, therefore, in exercise of the power conferred by Sub-Section 2(A) of Section 17 of the said Act in continuation of Govt. Of India , the Ministry of Labour/C.P.F.C Notification No. and dated shown against the name of each of the said establishment from the conditions specified in Schedule- Il annexed hereto the Central Provident Fund Commissioner hereby exempt each of the said establishment from the operation of all the provisions of the said Scheme & further period of 3 years as indicated in attached Schedule -1 against their names .

SCHEDULE- II
1. The employer in relation to each of the said establishment (hereinafter referred to as the employer) shall submit such returns to theRegional P.F. Commissioner concerned and maintain such amount and provide such facilities for inspection , as the Central P.F. Commissioner may direct from time to time.
2. The employer shall pay such inspection charges as the Central Govt . May from time to time, direct under clause (A) Sub - Section (2A) of Section 17 of the said Act, within 15 days from the close of every month.
3. All expenses involved in the administration of the Group Insurance Scheme, including maintenance of account , submission of returns , payment of insurance premia , transfer accounts , payment of inspection charges etc., shail be borne by the employer.
4. The employer shall display on the Notice Board of the establishment, copy of the rules of the Group Insurance Scheme as approved by the Central Government/ Central Provident Fund Commissioner as and whenamended alongwith translation of salient feature thereof in the language of the majority of the employees.
5. Where as an employee , who is already a member of the Employees Provident Fund or the Provident Fund of an establishment exempted under the said Act, is employed in his establishment the employer shall immediately admit him as a member of the Group Insurance Scheme and pay necessary premium in respect of him to the respective Life Insurance Corporation of India .
6. The employer shall arrange to enhance the benefits avallable to the employees under the Group insurance Scheme appropriately if the benefits available to the employees under said scheme are enhanced so that the benefits available under Group Insurance Scheme are more favourable to the employees than the benefits admissible under the said Scheme.
7. Notwithstanding anything contained the Group Insurance Scheme, if onthe death of an employee the amounts payable under the Scheme be less than the amount that would be payable had the employees been covered under the said Scheme, the employer shall pay the difference to the nominee( s) legal heir( s) of the employees as compensation.
8. No amendment of the provisions of the Group Insurance Scheme shall be made without the prior approval of the Regional Provident Fund Commissioner concerned and where any amendment is likely to effect adversely the interest of the employees his approval , give a reasonable opportunity to the employees to explain point of view.

9. Therefore any reason the employer of the said establishment do not remain covered under the Group Insurance Scheme of the respective LifeInsurance Corporation of India as a ready adopted by the said establishment, for the benefits to the employees under this scheme are reduced in any manner, the exemption shall be liable to be cancelled.
10. Where for any reason , the employer fails to pay the premium etc. , within the due date, as fixed by the respective Life Insurance Corporation of India , and the policy is allowed to lapse, the exemption shall be liable to be cancelled.
11. In case of default, if any made by the employer in payment of premium the responsibility for payment of assurance benefits to the nominee( s) legal heir (s) of deceased member who would have been covered under the said Scheme but for grant of this exemption shall be that of the employer .
12. Upon the death of the member covered under the Group Insurance Scheme, the respective Life Insurance Corporation of India shall ensure prompt payment of the sum assured to the nominee( s ) and Legal Heir( s) of the deceased member entitled for it and in any case within one month from the receipt of claims complete in all respect .
