New Delhi , the 3rd December 1969
S.O. 4911.- Whereas the Central Government had , in exercise of the powers con- ferred by sub - section ( 1 ) of section 8 of the Securities Contracts ( Regulation ) Act 1956 ( 42 of 1956 ) , made on the 23rd day of May , 1969 an order directing the Calcutta Stock Exchange Association Limited (hereinafter referred to as the Exchange ) to make , within a period of six months from the date of that order , the amendments specified in that order , in its Articles of Association ,
And whereas the Exchange has failed to comply with the said order within the time specified therein ;
Now, therefore , in exercise of the powers conferred by sub - section ( 2 ) of section 8 of the Securities Contracts ( Regulation ) Act , 1956 , the Central Government hereby makes the following amendments in the Articles of Association of the Exchange , being the amendments which were proposed in the said order namely ...
In the Articles of Association of the Exchange. -
(1 ) in Article 16,-
(a) in the first paragraph , for the first sentence beginning with the words "The membership deposit " and ending with the words " membership is founded" , the following shall be substituted , namely: -
"The membership deposit to be furnished by a member shall be in the form of deposit of cash or deposit of securities of the listed companies ap- proved by the Committee or cash deposit receipt of a scheduled bank in the name of the Association or in such other form as the Committee may, with the previous approval of the Central Government decide

from time to time , provided that a member who has already furnish- ed the membership deposit by way of surrender of life insurance policies shall not be required to make , so long as the surrender value of such life insurance policies does not fall below twenty thousand rupees , fresh membership deposit ; provided further that shares of the Calcutta Stock Exchange Association Limited shall continue to be accepted as membership deposit from an existing member but ,ut , any shortfall between the market value of such shares and the prescribed membership deposit shall be made good by further deposit of cash , or approved securities of listed companies or cash deposit receipts of scheduled banks" ;
(b) the following Explanation shall be added at the end , namely : - "Explanation : -For the purpose of this Article , ' existing member ' means the member of the Exchange as on the 8th October , 1968. " ;
( ii ) after Article 82A , the following Article shall be inserted , namely :-
" 82B . The Committee shall , subject to the previous approval of the Central Government appoint a person as whole- time Executive Director and fix the terms and conditions of his appointment . If the person ap- pointed is a member of the Association , he shall resign such member- ship forthwith . The whole - time Executive Director shall be ex - officio member of the Committee and of every Sub- committee appointed by the Committee . He shall not , while holding the said office , be sub- ject to retirement and shall not be liable to dismissal or removal from his office without the previous approval of the Central Govern- ment . He shall not , during his incumbency , engage himself in any business directly or indirectly" .

सांविधिक प्रावेश 4911:- चूंकि केन्द्रीय सरकार ने प्रतिभूति संविदा ( विनियमन ) अधि- नियम, 1956 ( 1956 का 42 वां ) की धारा 8 को उपधारा ( 1 ) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए , 23 मई , 1969 को कलकत्ता स्टाक एक्सचेंज एसोसिएशन लिमिटेड को ( जिसे यहां आगे एक्सचेंज कहा गया है ) एक आदेश दिया था, जिसमें उसे अपनी अन्तनियमावली में आदेश के दिनांक से छः महीने के भीतर, उस आदेशानुसार संशोधन करने के लिए कहा गया था;
और चूंकि एक्सचेंज ने आदेश में निर्दिष्ट समय में उक्त आदेश का पालन नहीं किया है ;
इसलिए अब , प्रतिभूति संविदा ( विनियमन ) अधिनियम , 1956 की धारा 8 की उप धारा 2 द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए केन्द्रीय सरकार एतद्वारा एक्सचेंज की अन्तनियमा- वली में निम्नलिखित संशोधन करती है जो कि उक्त आदेश में प्रस्तावित किए गए थे , अर्थात्ः-
एक्सचेंज की अन्तनियमावली में
( ) अन्तनियम 16 में--
(क) पहले पैराग्राफ में " सदस्यता निक्षेप " ( मेम्बरशिप डिपोजिट ) से शुरू होने बाले और " सदस्यता आधारित है" ( मेम्बरशिप इज फाउंडेड ) शब्दों पर समाप्त होने बाले पहले वाक्य के स्थान पर निम्नलिखित बाक्य रखा जाएगा , अर्थात
" किसी सदस्य द्वारा दिया जाने वाला सदस्यता निक्षेप नकद निक्षेप या समिति द्वारा अनुमोदित सूचीबद्ध कम्पनियों के प्रतिभूति-निक्षेप या एसोसियेशन के नाम THE GAZEITE OF INDIA EXTRAORDINARY

किसी अनुसूचित बैंक में नकद निक्षेग की रसीद के रूप में या ऐसे किसी अन्य रूप में होगा जो समिति केन्द्रीय सरकार के पूर्वानुमोदन से समय -समय पर निश्चित करे परन्तु शर्त यह है कि जिस सदस्य ने जीवन बीमा की पालिसियों के समर्पण ( सरेंडर ) के जरिये पहले से ही सदस्यता निक्षेप देरखा हो उससे , जब तक कि इस प्रकार की जीवन बीमा पालिसियों का समर्पण- मूल्य 20 हजार रुपये से कम न हो जाए, नया सदस्यता- निक्षेप देने के लिए नहीं कहा जाएगा ; इसके अलावा यह शर्त भी है कि कलकत्ता स्टाक एक्सचेंज एसोभियेशन लिमिटेड के शेयर किसी वर्तमान सदस्य से सदस्यता- निक्षेप के रूप में स्वीकार किये जाते रहेंगे परन्तु यदि इस प्रकारके शेयरों के बाजार मूल्य और निर्धारित सदस्यता निक्षेप में कोई कमी होगी मो वह और नकष निक्षेप, या सूचीबद्ध कम्पनियों की श्रनुमोदित प्रतिभूतियों, या अनुसूचित बकों की नक़द-निक्षेप की रसीदों द्वारा पूरी की जाएगी ;
(ख) अंत में निम्नलिखित स्पष्टीकरण जोड़ा जाएगा , अर्थाम्:-
"स्पष्टीकरण:-इस नियम के प्रयोजन के लिए 'वर्तमान सदस्य' का तात्पर्य उस सदस्य से है जो 8 अक्तूबर 1968 को एक्सचेंज का सदस्य था "
( II ) अन्तनियम 82 क के बाद , निम्नलिखित अन्तनियम जोड़ा जाएगा , अर्थात्ः-
" 82 ख-समिति, केन्द्रीय सरकार से पूर्वानुमोदन लेकर , किसी व्यक्ति को पूर्ण- कालिक कार्यकारी निदेशिक नियुक्त करेगी और उसकी नियुक्ति की शम तय करेगी । यदि नियुक्त व्यक्ति एसोसियेशन का सदस्य हो तो वह उस सदस्यता से तत्काल त्यागपत्र दे देगा । पूर्णकालिक कार्यकारी निदेशक , समिति का और समिति द्वारा नियुक्त प्रत्येक उप- समिति का पदेन सदस्य होगा । जब तक वह उक्त पद पर रहेगा उसे केन्द्रीय सरकार के पूर्वानुमोदन के बिना सेवा निवृत नही किया जाएगा और न ही उसे अपने पद में वर्साम्त किया या हटाया जा सकेगा । वह अपने कार्यकाल के दौरान प्रत्यक्षतः या परोक्ष रूप से कोई भी व्यवसाय नहीं करेगा ।
