New Delhi , the 1st February 1977
G.8 R. 50 ( E ) . In exercise of the powers conferred by sub - clause ( ii ) of Clause ( a) of sub - section ( 7 ) of Section 58A of the Companies Act , 1956 ( 1 of 1956 ) , the Central Government , after consultation with the Reserve Bank of India, hereby specifies the followingving companies as the companies to which no provision of Section 58A of the Companies Act , 1956 shall , for the purposes of that sub - clause , apply , namely-
( a ) a company which is a small scale industrial unit with paid- up capital and free reserves not exceeding three lakhs of rupeesees in the aggregate, and which invites or accepts deposits from not more than fifty persons ;
or (b ) a company which is a small scale industrial unit which invites accepts deposits , and whose outstanding deposits at any time do not exceed the aggregate of its paid - up capital and free reserves .

Explanation - For the purposes of this notification .
(1) in arriving at the aggregate of the paid - up capital and free reserves , Explanation 2 to Rule 3 of the Companies ( Acceptance of Depo- sits ) Rules , 1975 ( hereafter referred to as the said rules ) shall apply :
( 11 ) "deposit " has the same meaning as in clause ( b ) of rule 2 of the said rules ,
( 111) " free reserves " has the same meaning as in clause ( d ) of rule 2 of the said rules ;
( 1v) " small scale industrial unit " means any industrial undertaking registered with the Directorate of Industries or Small Scale Indus- tries, as the case may be , of the State Government, in respect of which the investment in plant and machinery is not in excess of ten lakhs of rupees in value .

सा० का ० नि० 50 ( श्र ) -केन्द्रीय सरकार, कम्पनी श्रधिनियम , 1956 ( 1956 का 1 ) की धारा 58 क की उपधारा ( 7 ) के खण्ड ( क ) के उपखण्ड ( ii ) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए भारतीय रिजर्व बैंक के साथ परामर्श करने के पश्चात् निम्न- लिखित कम्पनियो को ऐसी कम्पनी के रूप में विनिर्दिष्ट करती है जिस पर कम्पनी अधि- नियम, 1956 की धारर 58 क का कोई उपबंध , उस उपखण्ड के प्रयोजनार्थ , लागू नहीं होता, अर्थात्
(क ) कम्पनी जो ऐसी लघु उद्योग एकक के जिसकी समादत्त पूंजी और मुक्त भारक्षिति कुल मिलाकर 3 लाख रुपए से अनधिक है और जो पचास से अनधिक व्यक्तियों से निक्षेप आमंत्रित या प्रतिग्रहीत करती है:
समादत्त (ख ) कम्पनी जो ऐसी लघु उद्योग एकक है जो निक्षेप भ्रामत्रित या प्रति- ग्रहीत करती है और जिसका बकाया निक्षेप उसकी कुल पूजी और मुक्त आरक्षिति से किसी समय अधिक नही होती ।
स्पष्टीकरण-इस अधिसूचना के प्रयोजन के लिए
(i ) समादत्त पूजी और मुक्त श्ररक्षिति का योग निकालने में कम्पनी ( निक्षेपों का प्रतिग्रहण ) नियम , 1975 ( इसे इसके पश्चात् उक्त नियम कहा गया है ) के नियम 3 का स्पष्टोकरण 2 लाग होगा .
( ii ) 'निक्षेप ' का वही अर्थ है जो उसे उक्त नियम के नियम 2 के खण्ड (ख ) में दिया गया है ।
( iii ) 'मुक्त भारक्षिति ' का वही अर्थ है जो उसे उक्त नियम के नियम 2 के खण्ड (ध ) में दिया गया है ।

( iv) " लघु औद्योगिक एकक" से अभिप्रेत है ऐसा कोई उपक्रम जो, यथा- स्थिति , राज्य सरकार के उद्योग या लघु उद्योग निदेशालय में रजिस्ट्रीकृत है तथा जिसके प्लान्ट और मशीनरी की बाबत व्यय मूल्य में दस लाख रुपए से अधिक नही है ।
