का० आ० 69(अ) / 18 / 3 वि० वि ० अ/ 77 केन्द्रीय सरकार ने, उद्योग ( विकाम और विनियमन) अधिनियम, 1951 ( 1951 वा 65 ) की धारा 1 ९ कक के माथ पठिन भा००१ तक के अधीन जारी दिये गये भारत सरकार के उद्योग मंत्रालय (ओच्या गक विकास विभाग) के आदेश म ० का ० ग्रा० 613 (श्र) / 18 चक/ 18 कक/ ३- वि ० क्रि ० थ/ 716 , तारीख 15 सितम्बर , 1976 द्वारा इण्डस्ट्रियन कम्ट्रक्णन वा पारेशन आफ इडिया लिमिटेड , कलकत्ता को मैसर्स बगाल पॉटर्र ज लिमिटेड , कलकत्ता जो 15 , टाग्रारोड और 3 , पगलाउगा रोड , कलकत्ता स्थित दो औद्यागिक उपक्रमो का स्वामी है ( जिसे इसमें इसके पश्चात् उक्त औद्योगिक उपक्रम कहा गया है ) , का प्रबन्ध उसमे विनिदिष्ट भर्वाध के लिये ग्रहण करने के लिये प्राधिकृत किया है ,
अत , अब, केन्द्रीय सरकार , उक्त अधिनियम की धारा 15 उ ० की उपधारा ( 2 ) द्वारा प्रदत्त शक्तियो का प्रयोग करते हुए, इससे उपाबद्ध अनुसूची में ऐसे अपवादो, निर्बन्धनो और परिसीमाओं को ििनद्दिष्ट करती है जिनके अधीन रहते हुए कम्पनी अधिनियम, 1956 ( 1956 का 1 ) उक्त श्रौद्योगिक उपक्रमो को उमी रीति से लागू होता रहेगा जैसे वह धारा । कक के साथ पठिन धारा 18 चक के अधीन आदेश जारी किये जाने के पूर्व उमे लागू होता था ।

धारा 166
इरा बाग के उपग्रन्ध उक्त औद्योगिक उप- क्रमो का लागू नही होगा । किन्तु यह श्रपनी कानूनी विवर्णणया और तुलन पत्र कनियो के रजिस्ट्रार के पान फाइल करेगी । यह छूट कम्पनो अधिनियम , 1956 को धारा 159 ( 1) के उपबन्धो को प्रमाणित नही करेगी ।

इस धारा के उपबन्ध उक्त श्रौद्योगिक उप- क्रमो का लागू न होगा, बातें कि लेखा परीक्षक केन्द्रीय सरकार द्वारा नियुक्तकियाजाय ।

New Delhi , the 6th February, 1978 .
S.O. 69 (E) /18E/IDRA/78.-Whereas by the Order of the Government of India in the Ministry of Industry (Department of Industrial Development ) No. S.O. 613 ( E) /18FA/IDRA/ 76 dated the 15th September , 1976, issued under section 18FA read with section 18AA of the Industries ( Development and Regulation) Act , 1951 ( 65 of 1951 ) , the Central Government has authorised the Industrial Reconstruction Corporation of India Limited, Calcutta , to take over the management of Messrs . Bengal Potteries Limited, Calcutta , owning two industrial un- dertakings at 45, Tangra Road and at 3 , Pagladanga Road , Calcutta (hereinafter referred to as the said industrial under- takings) for the period specified therein;
Now, therefore, in exercise of the powers conferred by sub- section ( 2) of section 18E of the said Act , the Central Govern- ment hereby specifies , in the Schedule annexed hereto the excep- tions, restrictions and limitations subject to which the Com- panies Act , 1956 ( 1 of 1956) shall continue to apply to the said industrial undertakings in the same manner as it applied thereto before the issue of the Order under section 18FA read with sec- tion 18AA .

Exceptions , restrictions and limitations sub- ject to which the provisions mentioned in column (1) shall apply to the undertakings

Section 166
Provision of this section shall not apply to the said industrial undertakings . These shall , however , file their statutory returns and balance sheets with the Re- gistrar of Companics . The exemption will not affect the provisions of section 159(1) of the Companies Act , 1956 .
Section 210( 1 ) Provision of this sub - section shall not apply to the said industrial undertakings . These shall , however , file their statutory returns and balance sheets with the Registrar of Companics . The cxemp- tion will not affect the provisions of section 159 ( 1 ) of the Companies Act , 1956.
Section 214
Provision of this section shall not apply to the said industrial undertakings .

फा० ओ०70( श्र) / 18 एए ०/ आई डी० आर० ५०/77:- केन्द्रीय सरकार का, उस दस्तावेजी साक्ष्य के आधार पर , जो उसके कब्जे में है, यह समाधान हो गया है कि मैसर्स कोटायम डैक्सटाइल्स लिमिटेड, कोटा- यम , केरल नामक श्रौद्योगिक उपक्रम तीन माम मे अधिक की अवधि के लिये बन्द करा दिया गया है और इम प्रकार की बन्दी संबंधित अनुसूचित उद्योग , श्रर्थात् सूती वस्त्र उद्योग के हित के प्रतिकूल है और उक्त श्रौद्योगिक उपक्रम की स्वामी कम्पनो की वित्तीय दशा तथा ऐसे उपक्रम के संयंत्र और मशीनरी की दशा ऐसी है कि उपक्रम का पुनः चालू करना संभव है तथा उसका इस प्रकार से चालू किया जाना लोकहित में आवश्यक है ;
श्रतः प्रब, उधोग ( विकास और विनियमन) अधिनियम, 1951 ( 1951 का 65) की धारा 18 कक को उपधारा ( 1 ) के खंड ( ख) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए , केन्द्रीय सरकार, केरल स्टेट टेक्सटाइल कारपोरेशन लिमिटेड को ( जिसे इसमें इसके पश्चात् प्राधिकृत व्यक्ति कहा गया है ) , उक्त समस्त श्रौद्योगिक उपक्रम का प्रबन्ध निम्नलिखित शर्तों और निबन्धनों के अधीन रहते हुए, ग्रहण करने के लिये प्राधिकृत करती है, अर्थात्ः--
( 1 ) प्राधिकृत व्यक्ति , केन्द्रीय सरकार द्वारा समय -समय पर जारी किये गये सभी निवेशों का पालन करेगा ।
( 2 ) प्राधिकृत व्यक्ति इस आदेश के राजपत्र में प्रकाशन की तारीख से पांच वर्ष की अवधि तक पद धारण करेगा ।
( 3) केन्द्रोय सरकार, यदि वह ऐसा करना श्रावश्यक समझे तो, प्राधिकृत व्यक्ति की नियुक्ति को उक्त श्रवधि से पूर्व पर्यवसित कर सकती है ।
2. यह भ्रादेश, राजपत्त्र में प्रकाशन की तारीख से प्रारम्भ होकर पाच वर्ष की अवधि तक, प्रभावी रहेगा ।

S.O. 70(E) / 18AA/ IDRA/ 78 . Whereas the Central Govern- ment is satisfied from the documentary evidence in its possession that the industrial undertaking known as Messrs . Kottayam Textiles Limited , Kottayam , Kerala, has been closed for a period exceeding three months and such closure is pre- judicial to the concerned scheduled industry , namely , cotton textile industry, and that the financial condition of the com- pany owning the industrial undertaking and the condition of the plant and machinery of such undertaking are such that it is possible to re - start the undertaking and such restarting is necessary in the interests of the general public ;

Now, therefore , in exercise of the powers conferred by clause (b ) of sub - section ( 1 ) of section 18AA of the Industries (Development and Regulation) Act, 1951 (65 of 1951) , the Central Government hereby authorises the Kerala State Textile Corporation Limited ( hereinafter referred to as the authorised person) to take over the management of the whole of the said industrial undertaking , subject to the following terms and con- ditions , namely :-
(1) The authorised person shall comply with all directions issued from time to time by the Central Government .
(2) The authorised person shall hold office for a period of five years from the date of publication of this Order in the Official Gazette .
(3) The Central Government may terminate the apoint- ment of the authorised person earlier , if it considers it necessary to do so .
2. This Order shall have effect for a period of five years commencing from the date of its publication in the Official Gazette.
