सा० फा० ति० 278 (अ) केन्द्रीय सरकार पब्लिक , सेक्टर लोह और इस्पात कम्पनी ( पुनर्गठन ) और प्रर्कीण उपबंध अधिनियम, 1978 (1978 का 16) की धारा 27 की उपधारा ( 1 ) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए, एकीकृन कम्पनी, अर्थात्, स्टील अथारिटी आफ इंडिया लि० के, जो कम्पनी अधिनियम 1956 ( 1956 का 1) के अधीन बनाई गई और रजिस्ट्रीकृत कम्पनी है और जिसका रजिस्ट्रीकृत कार्यालय नई दिल्ली के संघ राज्य क्षेत्र में है, संगम ज्ञापन निम्नलिखित संशोधन करती है ।
उक्त संगम ज्ञापन में , खण्ड III में ,
(क) " क. मुख्य उद्देश्य, जिसकी प्राप्ति के लिए कम्पनी अपने निगमन के पश्चात् प्रयत्नशील रहेगी" शीर्ष के अधीन
(i) उप खण्ड 1 , 2 , 3 और 4 को उप-खण्ड 4,5,6 और 7 के रूप में पुनः संख्यांकित किया जाएगा और इस प्रकार पुनः संख्याकित उप- खण्ड 4 से पहले निम्नलिखित उप-खण्ड अन्तः स्थापित किए जाएंगे , अर्थात्:-
" 1. भारत में और अन्यत्र, -
( i ) लौह व्यापारियों, लोह मास्टरों , इस्पात निर्माताभों और लोह संपरिवर्तकों के रूप में सभी क्वालिटियों, श्रेणियों, प्रकारों और किस्मों के लोह और इस्स्पात के ;

( ii ) फेरोसिलिकम , फेरो-क्रोम और/ या लोह और इस्पात के बने सभी उत्पादकों, कोफकारी कोयले , मैंगनीज , फेरो -मैंगनीज , चूनाएम, दुर्गलनीयों , लोह अयस्कों और अन्य मिश्र धातुओं के ;
( iii) खनकों, प्रशालकों, लोह ढलैयाओं के रूप में सभी संबंधित शाखाओं के ,
(iv) स्टेनलेस इस्पान, मिलिकन इस्पात , विशेष इस्पात, मृवु इस्पात के और संबद्ध उत्पादकों, अग्मिसह मिट्टी, डोलोमाइट, चूभारम, दुर्गलनीयों, लोह अयस्क, बाक्साइट, सीमेंट, रसायनों, उर्वरकों खादों, आसवनियों, रंजक बनाने और श्रौद्योगिक और भनौ- द्योगिक गैस, जूता ज्वालकों, प्रस्तर आखनन, सभी संबंधित शाखाओं में कंक्रीट विनिर्माण के और अन्य संबद्ध निवेश या अन्य सामग्रियों के ,
विनिर्माण, पूर्वेक्षण , उन्नयन, प्रचालन, क्रय, विक्रय, आयात , नियति , खरीवारी का अथवा उसनें अन्यथा ब्यौहार करने का व्यवसाय या कारबार करना और उस प्रयोजनार्थ सभी संयंत्रों, बानों, स्थापनों , संकर्मों , भादि का सन्निर्माण करना, उन्हें स्थापित करना, प्रचालित करमा, उनका प्रबंध करना और उन्हें बनाए रखना ।
2. लोह और अलोह धातुकर्मीय उद्यमों, रासायनिक और प्रोटो रासायनिक उध्यमों, उर्वरक संयंत्रों, सीमेंट संयंत्रों, दुर्गलनीय संयंत्रों, नियंत्रण भौर/ या अनुसंधान प्रयोजनों के लिए प्रयोगशालाओं, जल संकमाँ, गैस संकमाँ, वाहित मल परित्याग संयंत्रों ऊष्मीय और जलीय विद्युत शक्ति केन्द्रों, वैद्युत जनिजों, प्रेषण भौर विवरण तथा सभी प्रकार के अन्य श्रौद्योगिक परियोजनानों के विकास के लिए इंजीनियरी और संबंधित तकनीकी और परामर्शी सेवाभों के अभिकत्यन , स्थापन, व्यवस्था, बनाए रखने के

लिए भपेक्षित परामर्शी मेवाएं करना तथा उस प्रयोजनार्थ साध्यता रिपोर्ट ब्यौरेवार परियोजना रिपोर्ट तैयार करना और तैयार करवाना, बाजार का अध्ययन करना, प्रौद्योगिक-आर्थिक अन्वेषण करना, सभी प्रकार का सर्वेक्षण करना, स्थल चयन करना बुनियादी और संसाधन इंजीनियरी की योजना बनाना तथा विनिर्देश और दस्तावेज तैयार करना, मूल्यांकन और क्रय सहायता , ब्यौरेवार अभिकल्पना और कार्यकरण रेखा जिन्न देना, कर्म- शाला निरीक्षण, सन्निर्माण शीघ्र पूरा करना, पर्यवेक्षण , परियोजना प्रबंध बालू करना, प्रचालन और अनुरक्षण, कार्मिकों का प्रशिक्षण पूर्व और पश्चीय प्रचालन संबंधों परामर्णी और इसी प्रकार की कोई अन्य सेवाएं करना ।
3. लौह और इस्पात संकर्मों उत्पादों भौर सहायक संयंत्रों फोक भट्टियों, बुलाई घरों दुर्नेस , भट्ठों उर्वरक संयंत्रों , दुर्गलनीय संकर्मों कारखानों, रेलों, ट्राम मागौँ, रज्जु मागों, पगडण्डियों, सड़कों, हवाई अड्डों, डाकों, बन्दरगाहों , पोत घाटों, बांधरोकौं , बंधारों, जलाशयों, तटबंधों, नहों, सिचाई, बिजली घरों , घाटों, प्रेषण लाइनों, भूमि, उद्धर, सुधार, वाहित मल , जल- निकास , सफाई , जल, गैस, विद्युत प्रकाश दूरभाषिक और विद्युत प्रदाय संकर्मों और होटलों, गृहों, बाजारों, भवनों, प्राइवेट या पब्लिक भौर सभी अन्य सकौँ संविधाओं, जो भी हों का सम्निर्माण , निष्पादन , पूर्ति उनमें सुधार, विकास , उनका प्रबंध , या उन पर नियंत्रण तथा सामान्यतः उनकी सभी विभिन्न शाखाओं में राजगीरों ठेकेदारों , इंजीनियरों , वास्तविदों, आगणकों और अभिकल्पकों का कारबार करना और सिविल इंजीनियरी, यांत्रिक इंजीनियरी , वैद्युप्त इंजीनियरी , निर्माण इंजीनियरी , जल प्रदाय भादि के लिए संविदा के अाधार पर संकर्मों का जिम्मा लेना तथा ऐसे संकर्मों के लिए निविदा वेना और उक्त क्षेत्रों में परामर्शी सेवा करना, साधारण लेखा, सामग्री प्रबंध , भौद्योगिक इंजीनियरी तथा अन्य प्रबंध संबंधी सेवाएं करना ;
( ii ) उप-खण्ड 5 का लोप किया जाएगा ;
( iii ) उप -सखण्ड 6 , 7 , 8 और 9 को उप-खण्ड 8, 9, 10 और 11 के रूप में पुनः संख्याकित किया जाएगा ;
(ख) "ख-मुख्य उद्देश्यों की पूर्ति के लिए भानुषंगिक या सहायक उद्देश्य" शीर्षक के अधीन-
(i) उप-खण्ड 10 से 28 तक ( जिसमें ये दोनों खण्ड भी सम्मिलित हैं ) को उप-खण्ड 12 से 30 तक के रूप में पुनः संख्याकित किया जाएगा;
( ii) इस प्रकार पुनः संख्यांकित उप -खण्ड 30 के पश्चात् निम्नलिखित उप-खण्ड प्रन्तः स्थापित किए जाएंगे, अर्थात्:--
" 31. निम्नलिखित का संगठन और जिम्मा लेना, अर्थात्:-
(क) भारत या संसार के किसी भाग से या उस को निर्यात और आयात ;
( ख) भारत में या संसार के किसी भाग में क्रय, भंडारण , विक्रय, वितरण और वहन;
(ग) वस्तु-विनियम या उस के कारबार से , जिसमें क्रय और विक्रय अन्तवेलित है, संबंध ;
(घ ) या तो भारत में या संसार के किसी भन्य भाग में नए बाजारों का या प्रवायकर्ताओं का विकास;
( ङ) भारत में या संसार के किसी भाग में , किसी सरकारी , अर्ज सरकारी या स्वायत्त निकाय या प्राइवेट या पब्लिक सैक्टर में किसी संगठन की ओर से निर्यात और भ्रायात के लिए अभि- कर्ताओं , कमीशन अभिकर्ताओं, बलामों, मध्यस्यों के रूप में निम्नलिखित का क्रय- विक्रय करना , अर्थात्: -

(i ) कत्या लोहा, शिलिका सचिों,
( ii) इस्पात शिलिकाएं , अंश परिमज्जित और परिसज्जित इस्पात और मुटु इस्पात , विशेष और मिश्र धातु इस्पात स्टेनलेस इस्पात , सिलिकन इस्पात और सभी प्रकार और वर्णन के इस्पात में सभी प्रवर्गों और क्वालिटियों के के सम्बद्ध उत्पाद;
(iii) इस्पात तार, पाइप और नलिकाएं , बीप्त छड़ें , धातु विनिर्माण और संविरचनाएं , संरचनात्मक संधिरचनाएं , यंत्र, औजार , संयंत्र , मशीनरी और सभी प्रकार और वर्णस के उपस्कर ;
( iv) लोहे और इस्पात तथा मिश्र धातु इस्पात की सभी प्रकार की कलाई;
( v) सभी श्रेणियों और रूपों में लोह स्क्रैप और इस्पात स्क्रैप,
(vi ) लोह अयस्क, मैंगनीज अयस्क, कौयला, कोक , चूनाश्म , सीमेंट , उर्वरक , औव्योगिक और अन-औद्योगिक गैस और सभी वर्णन के अन्य रासायन ;
(vii ) फेरो मैंगनीज , फेरोसिलिकन, फेरो -क्रोम और अन्य मिश्र धातुएं ;
(viii ) बेन्जीन, टातूईन, नैपथलीम , ऐन्ध्रसीन और सभी वर्णनों और प्रकारों के अन्य रासायन ;
(ix) भलोह धातुएं , उत्पाद, साम्द्र , बस्तुएं माल और सभी वर्णन और प्रकारों के पण्य;
(x) सभी प्रकारों और वर्णन के पैलेट , दुर्गलमीया और इलैक्ट्रोड, और
(xi) सभी प्रकारों और वर्णन की मशीनें, संयंत्र , औजार और पूजें।
32. कोई ऐसा व्यवसायिक या भव्य कारबार करना , जिसके बारे में कम्पनी को यह प्रतीत हो कि वह उक्त बातों के संबंध में सुबिधापूर्वक किया जा सकता है या जिसे कम्पनी की किसी सम्पत्ति या अधिकारों के मूल्य में बुद्धि करने या उसे लाभकारी बनाने के लिए प्रत्यक्ष या अप्रत्यक्ष रूप में परिकलित किया जा सकता है ।
33. काष्ठ व्यापारियों , उत्पादकों , आरा मशीन के स्वामियों तथा फर्नीचर और लकड़ी के सभी प्रकार के उत्पादों के निर्माताओं के रूप में कारबार करता ।
34. सभी या किसी ऐसे कारबार की करना जिसे भू-कम्पनियां और कोलोनाइजर अपनी सभी विभिन्न शाखाओं में प्रायिक रूप से करते हैं और विशिष्ट रूप से जल निस्कासन, सफाई, सड़कों के निर्माण द्वारा या अन्यथा किसी सम्पत्ति का ले भ्राउट करना , उसमें सुधार करना, परिवर्तन करना और उसका विकास करना तथा उस मम्पत्ति पर किसी भी प्रकार के भवनों या संकों को खड़ा करना, मन्निर्मित करना, गिराना, उनमें परिवर्तन करना या उन्हें फिर से खड़ा करने , बनाने और सनिमित करणे , गिराने उनमें परिवर्तन करने या उन्हें फिर से बनाने में सहायता करना ।
35. मुद्रकों, अश्ममुद्रकों और जिल्वसाजों का कारबार करना ।
36. सभी किस्मों के संयंत्र और मशीनरी , बैगनों , चल स्टाक साधित , औजारों , बरतनों, पदार्थों , सामग्रियों और वस्तुओं का, जो किसी ऐसे कार- बार को करने के लिए भ्रावश्यक या सुविधाजनक है जिसे कम्पनी करने के लिए प्राधिकृत है या जिनमें ऐसे व्यक्तियों द्वारा प्राक्षिक रूप से ब्यौहार किया जाता है जो ऐसे कारवार में लगे हुए हैं , विनिर्माण, क्रय, विक्रय, विनिमय , संस्थापन, कार्यकरण , परिवर्तन, सुधार , बलाना, बाजार के लिए तैयारी , श्रायात या निर्यात और उनमें अन्यथा व्यवहार करता ।

*37. सभी शाखाओं में श्रायुध भावि विनिर्माताओं का कारबार करना, और विशिष्ट रूप से बन्धूकों, तोप गाड़ियों, टारपीडों, टैंको, बक्सरबन्द गाडियों और अन्य यानों , मशीनगनों , राइफलों और छोटे आयुधों तथा सभी वर्णन की युद्ध-सामग्री , आयुधावि , श्रायुधों , अस्त्रों, गोला-बारूद, विस्फोटकों और युद्ध सामग्रियों और उनके सभी संघटक भागों, फालतू पुर्जी, उपस्कर और उनके उपसाधमों या उनके संबंध में उपयोग किए जाने के लिए माधित्रों का विनिर्माण, विक्रय , अनुरक्षण , उनकी मरम्मत और उन में व्यवहार करना ।
38. समनुषंगियों या अन्य को धन या सम्पत्ति उधार देना और ऐसे निबन्धों पर , जो निदेशक आवश्यक समझे , माल के भात्र। प्रदायों और भविष्य में की जाने वाली सेवाओ , मद्दे धन अग्रिम देना तथा कम्पनी के धन का ऐसी रीति से विनिधान करना जो निदेशक ठीक समझे और उसका विक्रय, अन्तरण या संव्यत्रहार करना ।
39. कम्पनी के उन्नयन, गठन, रजिस्ट्रीकरण और संस्थापन के और उसके आनयंगिक सभी खर्चों , प्रभारों और व्ययों का मदाय करना और उमकी पूर्णा को पूरोधृत करना तथा कम्पनी की पूंजी या कम्पनी के किर्मी डिबेंबर स्टाक या अन्य प्रतिभूतियों की व्यवस्था करने में या व्यवस्था करने के लिए सहायता करने मे या व्यवस्था करने के लिए प्रत्याभूति देने में या उसके कारबार के संचालन में अथवा कम्पनी में किमी सम्पत्ति या कारबार को सन्निविस्ट करने में या किर्मः अन्य ऐसे कारण के लिए जो कम्पनी उचित समझे , दी गई गा दी जाने वाली सेवाओं के लिए किसी व्यक्ति, व्यक्तियों या कम्पनी को ( नकद या अन्य प्रास्नियों द्वारा या पूर्णतः या अंशतः संदल शेयरों के भावंटन द्वाग या इम कम्पनी या किसी अन्य कम्पनी के शेयरों , डिबेंचरों , डिवेंचर-स्टाको या प्रतिभूतियों पर मांग या विकल्प द्वारा या किसी अन्य रीति से , जाहे कम्पनी की पूंजी या लाभों में से या अभ्यथा ) पारिश्रमिक देना या वान देना ।
40. कम्पमी की सभी या किसी सम्पत्ति का विक्रय करना, उसे भाड़े पर बेना , उसका व्ययन करना या उससे संबंधित अधिकारों का अनु- वान ।
41. किसी एसे पट्टे या पट्टों में जौ कंपनो को दिए या समनु- देशित किए जा सकें या कम्पनी द्वारा श्रन्यया प्रजित किए जा सकें, अंतविष्ट या उन के द्वारा आारक्षित सभी भागों का संवाय करने का भौर तभी प्रसंविदाओं , शता और करारों के पालन और प्रनुपालन का बचन देना ।
42. विनिभय पत्रों, बचनपक्षों और अन्य परक्राम्य लिखतों को तैयार करता , स्वीकार करना और परक्रामण करना ।
43. कम्पनी द्वारा जिन किन्हीं सम्पत्तियों , अधिकारों या विशेषा- धिकारों के लिए कम्पनी के शेयरों के रूप में या भागतः शेयरों में मौर भागतः नकदो के रूप में या अन्यथा संदाय करना ।
44. किमो हत्यता के या किमी प्राधिकरण के सर्वोच्च नगरपालिक स्थानीय या अन्यथा या किसी व्यक्ति के , चाहे वह जो भी हो और चाहे निगमित हो या अनिगमित , वचनपत्रों , बंधपक्षों, डिबेंचरों, डिवेंचर स्टाफ , संविदानों, बंधकों, प्रभारों , बाध्यताओं , लिखितों और प्रतिभूतियों द्वारा , चाहे वे भप्रतिभूत हैं या प्रतिभूत या उनके अधीन अथवा उनकी बाबत वेय धन की प्रश्याभूति वेना और साधारणतया, किन्हीं संविदाओं या बाध्यताओं के पालन के लिए प्रत्याभूति देना या प्रतिभू होना ।
45. कम्पनी की किसी ऐसी सम्पत्ति को, जिसे राष्ट्रीय , सार्वजनिक या लोक हित का समझा जाए , स्वैच्छिक रूप से प्रतिफल सहित या रहित या मूल्य के लिए किसी राष्ट्रीय न्यास, लोक निकाय संग्रहालय, निगम या प्राधिकरण या उनमें से किसी या जनता के किन्हीं ग्यासियों को अर्पित करना, देना या अन्यथा व्ययन करना ।
46. किसी ऐसी कंपनी या ऐमी कंपनियों में विलयन , उनका भजन, ग्रहण समामेलन , जिनके उद्देश्य पूर्णतः या भागतः इस कंपनी के उद्देश्यों के समान हैं । किसी ऐसी कंपनी का, जिसका संवर्धन वांछनीय समझा जाए, संवर्धन या सर्वर्धन में सहमत होमा ।
47. प्रतियोगिताएं स्थापित करना , पुरस्कारों, इनामों और प्रीमियम की प्रस्थापना करना और वेना, तथा कंपनी के किन्हीं सदस्यों या ग्राहकों के लिए या कंपनी द्वारा अथवा उसकी ओर से जारी किए गये किन्हीं कूपनों या टिकटों के धारकों के लिए ऐसे चल सम्पत्ति , सुविधाओं, फायदों, प्रसुविधानों या विशेष विशेषाधिकारों की व्यवस्था करना और प्रवान करना या सुरक्षित करना, जो समीचीन प्रतीत हों और भानुग्राहिक रूप से या अन्यथा और साधारणतया कम्पनी के उत्पादों को शातब्य बनाने और उनके विक्रय को बढ़ावा देने के ऐसे उपायों को अपनाना, जो समीचीन प्रतीत हों तथा उसके उत्पादों को भारत में या अन्यत्र प्रदर्शनियां लगाने में सहायता करना ।
48. व्यवसाय , वाणिज्य और उद्योग से संबंधित घांकड़े और अन्य सूचना संग्रह करना तथा परिचालित करना ।
49. चल या जल पर या उसमें या बायु में उपयोग के लिए किसी या प्रत्येक वर्णन के यानों या जलयानों का क्रय करना , चार्टर करना, भाड़े पर लेना , निर्माण करना या अन्यथा अर्जन करना और सभी प्रकार के माल के वहन के लिए उन्हें नियोजित करना , लैस करना और उधार पर देना तथा ऐसे यानों, जलयामों या उनके किसी पुर्जे को, जब में कंपनी के कार बार के लिए अपेक्षित न हो, बुलाई की ऐसी वरों पर और ऐसे निबंधनों पर, जो कंपनी के लिए लाभदायक समझे जाएं त्याग देना, भाड़े पर देना और उसका व्यापार करना ।
50. किसी ऐसी सम्पत्ति, मनुज्ञप्ति, रियायत , ऐसे अधिकारों या विशेषाधिकारों को , जिन्हें कंपनी अपने कारबार के प्रयोजनार्थ आवश्यक या सुविधाजनक समझे, पूर्ण रूप से या सशर्त, अकेले ही या अन्य लोगों के साथ संयुक्ततः या अन्यथा क्रय करना , पट्ट पर लेना या विनिमय में या समामेलन के अधीन मजित करना; और सड़कों, नहरों, जलमार्गों , घाटों, बांधों, भरण तटों, घट्टों, शेडों, अवतरण स्थानों , गैरेजों, समुद्री तथा थल यातायात के लिए सभी प्रकार की वास-सुविधाभों, जलमार्गो , भूमि , भवनों, पाइपलाइनों, कलाई घरों, इंजनों, मशीनरी और साधिनों, विद्युत संक्रमों, जल अधिकारों , मार्ग पट्टे पर देना, किसी भी वर्णत या प्रकार के विशेषाधिकार या अधिकार, और अन्य सुविधाओं का , जिनकी गणना प्रत्यक्षतः या अप्रत्यक्षतः कंपनी के हितों को बढ़ावा देने में की जाती हीं का निर्माण, विनिर्माण, अनुरक्षण कार्यकरण, उनको भाड़े पर लेना, धारण करना , सुधार करना, बदलना, प्रबन्ध करना, भाड़े पर वेना , विक्रय करना, व्ययन करना या विनिमय करता , निष्पावन करना या नियंत्रण करना; और उनके निर्माण, सुधार, अनुरक्षण , कार्यकरण , प्रबन्ध, निष्पावन या नियंत्रण करने में हाथ बंटाना, भनुदान देना या अन्यथा सहायता बेना या उसमें भाग लेना ।
51. निम्नलिखित सभी या उनमें से किन्हीं संक्रियाों , कायों या बातों का सम्पादन या उनको करना: --
(1 ) रेस्तरां, विश्राम कक्षों, उपाहार स्थानों, अल्पाहार गृष्ठों भौर होटलों की स्थापना, अनुरक्षण , प्रबन्ध भौर उनका प्रचालन तथा जनरल प्रोविजन मर्चेन्टों , अनुज्ञप्त भक्ष्य विक्रेतामों भौर तम्बाकू क्रेतायों का कारवार चलाना ।
( 2) किसी विशिष्ट व्यवसाय या कारवार से या व्यवसाय या वाणिज्य से, साधारणतः जिसके अंतर्गत कोई संगम संस्था या निधि भी है किसी रूप में संबद्ध किसी संगम, संस्था या निधि के स्थापन, अनुरक्षण , या विस्तार की और खूबंत ऋणों, हड़तालों, समुच्चयों, अग्नि, दुर्घटना शरा या अन्यथा नुकसानी के विरुद्ध मास्टरों , स्वामियों और नियोजकों के हितों की रक्षा के लिए, या कंपनी या कारबार में उनके किन्हीं पूर्ववर्तियों द्वारा किसी भी समय नियुक्त किन्हीं लिपिकों, 510

कर्मकारों या अन्य व्यक्तियों या उनके कुटुम्बों या श्राश्रितों, चाहे वे अन्य व्यक्तियों या व्यक्तियों के वर्गों में सब हैं या नहीं फौर विशेष रूप से मित्र, महकारी भौर अन्य सोमा- यटियों, वाचनालयों , पुस्तकालयों , शैक्षिक और पूर्त संस्थाओं, भोजन मौर ममौरंजन कक्षों पूजा के स्थानों विद्यालयों और चिकि- प्सालयों में कमी की आस्तिओं को लगाना और उन्हें उपदान, पेंशभ तथा भत्ते वेमा और किसी भी प्रयोजन के लिए सार्व- अनकि या स्थानीय अभिदायों द्वारा एकत्र की गई किन्हीं निधियों में श्रभिदाय करना ।
( 3 ) किसी ऐसे संगम , निकाय या आन्दोलन की वन से या अम्यथा सहायता करना, जिसका उद्देश्य श्रौद्योगिक या श्रमिकों से संबंधित समस्यायों या कठिनाइयों को हल करना, उनमें समझौता कराना या उनसे मुक्ति विलाना या उद्योग या व्यवसाय का भौर उद्योग व्यवसाय और वाणिज्य में लगे वृत्तिकों का संवर्धन करना है ।
(4) किसी राष्ट्रीय स्मारक निधि या किसी पूर्त प्रयोजन के लिए गठित किसी अन्य निधि और राष्ट्रीय हित के किसी अन्य प्रयोजन के लिए संदान करना ।
( 5 ) साधारण विद्युत शक्ति एवं प्रवाय कम्पनी तथा गैस संकर्म कम्पनी सभी संबंधित शाखामों में उनके कारभार को जलाना, और सभी प्रावश्यक विद्युत स्टशनों, कबलों , तारों , लाइनों , संचयकों, लैम्पों और संकों का निर्माण , बिछाता, स्थापन, लगाना, भौर संपन्न करना, तथा लाइट , शहरों , नगरों , गलियों, डाकों, बाजारों , थियेटरो , भवनों, सार्वजनिक और प्राइवेट स्थानों के लिए विद्युत और गैस का उत्पादन, संचयन , वितरण भौर प्रधाय करना ।
( 6 ) किन्हीं ऐसे म्यासों को लेना और निष्पादित करना , जिनका लिया जाना भानुप्रहिक रूप में था अन्यथा , कम्पनी को फायदा पहुंचाने वाला प्रतीत हो ।
( 7 ) कम्पनी की सम्पत्ति के बीमाकर्ताथों या निम्नांककों के रूप में, पूर्णतः या भागतः और अकेले ही या अन्य व्यक्ति या व्यक्तियों या निकाय या निकायों के साथ , कार्य करता तथा कम्पनी की पूर्ण सम्पत्ति का या उसके किसी भाग का, पूर्णतः या भागतः वायित्व या उसकी मावत नुकसान से कम्पनी की संरक्षा करने और ख्यातिपूर्ति करने के लिए , पूर्णतः मा भागतः बीमा करना तथा पारस्परिक सिद्धान्त के अनुसार या अभ्यथा बीमा करना और संरक्षा करना तथा क्षतिपूर्ति करना और कम्पनी के समुद्री जोखिम तथा दायित्व को पूर्णतः या भागतः निम्मांककों के रूप में स्वीकार करना ।
(8 ) कम्पनी के कारवार के संबंध में भारतीय और विदेशी विशेषज्ञों, परार्माणयों, आदि को मियोजित करना तथा संदाय करता ।
( 9 ) कम्पनी के प्रयोजनों के लिए लाभप्रव या समीचीन या सुविधाजनक या अंगीकार करने योग्य किन्हीं संक्रियानों या निर्माणों या भवनों के ऐसे निर्माण , धनुरक्षण , सुधार, प्रबंध , कार्यकरण, नियंत्रण , या पर्यवेक्षण में सहायक होना या अभिवाय करना या अम्यथा सहायता करता या भाग लेना, जो अन्य व्यक्तियों द्वारा विनिर्मित हों या उनके हों, या उन पर अन्य व्यक्तियों द्वारा कार्य किया गया हो या अन्य व्यक्तियों के नियंत्रण या पर्यवेक्षणाधीभ हों, तथा ऐसे व्यक्तियों और कम्पनियों की, जो कम्पनी के साथ -साथ किसी उपक्रम में उत्तरदायी या उससे संबंद्ध या उसमें हितबद्ध हों , अर्थ -सहायता करना या उन्हें अन्यथा सहायता देना।

= (10) किसी देश की विधि के अधीन कम्पनी का रजिस्ट्रीकरण, निगमन या माम्यता उपाप्त करना और उसकी व्यवस्था करना, कम्पनी के अभिकरणों की नियुक्ति करना और कम्पनी के कारबार को किसी अपनिवेश , अधिक्षेन या विदेश में चलाने के लिए सभी आवश्यक कार्य करना, ऐसे भधि- नियमों और विधियों को अधिनियमित करवाने के प्रयोजनार्थ या ऐसी डिक्रियों , हितों , अधिकारों , घौर विशेषाधिकारों को अभिप्राप्त करने के लिए , जो कम्पनी के हित साधक हैं, अकेले ही या अन्य व्यक्तियों के माथ संयुक्ततः विधान- मण्डल , प्राधिकरणों , स्थानीय , नगरपालिक और अन्य निकायों ब्रिटिश, उपनिवेशी या विदेशी निकायों को याचिका देना या ऐसी याचिकाओं और संत्र्यवहारों का विरोध करना, जिनके द्वारा कम्पनी के हितों पर प्रतिकूल प्रभाव पड़ना संभव है , तथा ऐसे कदम उठाना जो कम्पनी को संसार के किसी भाग में ऐसे अधिकार और विशेषाधिकार बेमे के लिए आवश्यक हों जो समान प्रकृति की स्थानीय कम्प नियों या भागीदारी की प्राप्त होते हैं ।
( 11) परिसमापन की दशा में कम्पनी की किसी सम्पत्ति को या कम्पनी की किसी सम्पत्ति के विक्रय या व्ययम से प्राप्त किन्हीं श्रागमों को धन के रूप में सवस्यों में इस पार्त के अधीन रहते हुए वितरित करना कि ऐसा कोई वितरण, जिससे पंजी में कभी कारित होती हो, तलब तक नहीं किया आएगा जब तक कि उसके लिए विधि द्वारा उस समय अपेक्षित मंजूरी ( यदि कोई हो ) प्राप्त न हो जाए ।
( 12) कम्पनी के लाभ या ऑस्तियों में से, परोपकारी , पूर्त , राष्ट्रीय या अन्य संस्थानों या सार्वजनिक प्रकृति के उद्देश्यों, परिधीय ग्रामों के विकास , ग्राम विकास स्कीमों के लिए या ऐसे उद्देश्यों के लिए जिनका परिक्षेत्र या संक्रियाधों की प्रकृति के कारण या अन्धवा कम्पनी से समर्थन या सहायता प्राप्त करने की बाबत कोई मैतिक या अन्य वाया बनता है, समर्पण , प्रस्तुतीकरण अभिदाय करना या उस बाबत जिम्मा लेना, भंवा वेना या अन्यथा सहायता करना ।"

G.S.R. 278 (E) . In exercise of the powers conferred by sub-section ( 1 ) of section 27 of the Public Sector Iron and Steel Companies ( Restructuring ) and Miscellaneous Provi- sions Act, 1978 ( 16 of 1978 ) , the Central Government here- by makes the following amendments in the memorandum of Association of the Integral Company, that is , the Steel Authority of India Limited , a company formed and registered under the Companies Act , 1956, ( 1 of 1956 ) , having its registered office in the Union Territory of New Delhi .
In the said Memorasdum of Association, in clause 111 , ( a) Under the heading " A. Main objects tobe pursued by Company on its incorporation : " ,- the Compan
(1) sub -clauses 1 , 2, 3 and 4 shall be senumbered as sub-clauses 4, 5 , 6 and 7 and before sub -clause 4 , as so renumbered , the following sub-clauses shall be inserted, namely
" 1. To carry on in India and clsewhere the trade or busi- ness of manufacturing, prospecting , raising , operating , buying , selling , importing , exporting , purchasing or otherwise deal- ing- 511

(i) in iron and steel of all qualities , grades types and kinds as iron mongers , iron masters , steel makers and steel convertors ;
( ii) in ferro - silicon , ferro- chrome and / or all products made of iron and steel , coking coal , manganese , ferro -manganese , limestone , refractories , iron ore and other aloys ;
(iii) as miners , smelters , iron founders in all respective branches ;
and (iv) in stainless steel , silicon steel , special steel , mild steel and in allied products , fire-clay, dolemite , limestone , refractories , iron ore , bauxite , cement , chemicals , fertilizers , manures , distilleries , dye making industrial and non - industrial gas , lime burners , stone quarring, concrete manufacturing in all respective branches , and other allied input or other materials , and for that purpose to construct , install , operate , manage and maintain all plants mines , establish- ments , works , etc.
2. To do consultancy services requiredto design , establish. provide, maintain and perform engineering and related tech- nical and consultancy services for the development of ferrous and non -ferrous , metallurgical enterprises , chemical and petro - chemical enterprises, fertilizer plants , cement plants, refractory plants , laboratories for control and / or research pur- poses, water works , gas works , sewage disposal plants , ther- mal and hydro - electric power stations , electrical generators , transmission and distribution and alf other types of industrial projects; and for that purpose to prepare and get prepared feasibility reports , detailed project reports , market studies , techno-economic investigations , survey of all types , site selec- tion, planning basic and process engineering , preparing speci- fications and documents , tender evaluation and purchase assis- tance, detailed design and working drawing , shop inspection, expediting construction, supervision , project management, commissioning , operation and maintenance , training of per- sonnel , pre and post operation consultancy and any such other services,
3. To construct , execute , carry out , improve , develop, manage or control iron and steel works and bye -products and ancillary plants , fertilizer plants , coke ovens , foundries , fur- naces, brick killins , refractory works factories railways , tram- ways , ropeways , runways , roads , aerodroms , docks , har- bours , piers , wharfs , dams barrages , weirs , reserviors , em- bankments, canals , irrigation , power houses , transmission es, recalamation , improvement , sewage , drainge , sanitary , water, gas , electriclight, telephonic and power supply works and hotels , houses , markets and bujldings, private or public, and all other works , conveniences whatsoever , and generally to carry on the business of builders , contractors , engineers , architects , estimators , and designers in all their respective branches and to undertake works on contract basis for civil engineering , mechanical engineering electrical engineering , erection engineering , water supply , etc. and to tender for such works, and to undertake consultancy services in the above fields, general accounting , material management , industrial engineering and other management services etc." ;
(ii ) sub -clause 5 shall be omitted;
( iii) sub - clauses 6, 7 , 8 and 9 hall be renumbered as sub- clauses 8 , 9 , 10 and 11 ;
(b) under the heading " B. Objects incidental on ancillary to the attainment of the main objects : " ,-
( i ) sub - clauses 10 to 28 ( both inclusive ) shall be renum- bered as sub- clauses 12 to 30 :
( ii ) after sub- clause 30, as so renumbered , the following sub - clauses shall be inserted , namely :-
" 31. To organise and undertake- (a) exports and imports from and to India or any part of the world :
(b) Purchase , stock , sale, distribution and transport In India or any part of the world ;
(c) any link on barter or harter business involving pur- chase and sales ;
(d) development of new markets or suppliers cither in India or anywhere else in the world;
(c) selling or purchase as agents , commission agents , brokers , intermediaries for exports and imports for any Government , semi - Government or autonomous body or any organisation in the private or public sector in India or any part of the world of the following :--
(i ) Pig Iron, Ingot Moulds ;
( ii ) Steel Ingots , semifinished and finished steel and allied products in all categories and qualities , in mild steel , special and alloy steels , stainless steels , silicon steels and steels of all types and descriptions .
( iii) Steel wires , pipes and tubes , bright bars , metal manufactures and fabrications , structural fabrica- tions, machine tools , plant , machinery and equip- ment of all types and descriptions ;
(iv) Iron and Stcel castings and alloy steels castings ofall types ;
(v) Iron Scrap and Steel Scrap in all grades and forms ;
( vi ) Iron Ore , Manganese Ore , coal coke , lime-stone, cement, fertilizer , industrial and non -industrial gases, and other chemicals of all descriptions ;
(vii ) Ferro Manganese , ferro silicon , ferro chrome and other alloys .
( viii ) Benzene , toluene , napthalene , anthracene and other chemicals of all descriptions and types .
( ix) Non -ferrous metals , products , concentrates , arti- cles , goods, and commodities of all descriptions and types .
(x) Pellets, refractories and electrodes of all types and descriptions; and
(xi) Machineries plants , tools and parts of all types and descriptions .
32. To carry on any other business , whether trading or otherwise which may seen to the company capable of being conveniently carried on in connection with the above or cal- culated directly or indirectly to enhance the value of or render profitable any of the property or rights of the com- pany .
33. To carry on business as timber merchants , and growers . saw mill properietors and makers of furniture and wood products of all kinds .
34. To carry on all or any of the business usually carried on by Land Companies and colonisers in all their several branches , and in particular to lay out, improve , alter and Jevelop by draining cleaning , road -making or otherwise any property, and thereon to erect , construct , pulf down , alter or rebuild, assist in erecting and constructing , pulling down , altering or rebuilding any buildings or works whatsoever .
35. To carry on the business of printers , lithographers and binders .
36. To manufacture , buy , sell , exchange , instal , work , alter, improve . manipulate , prepare for market , import or export and otherwise deal in all kinds of plant and machinery , wagons , rolling stock , apparatus tools , utensils , substances , materials and things , necessary or convenient for carrying on any of the business which the Company is authorised to carry on or which is usually dealt in by persons engaged in such business .
37. To carry on the business of armament manufacturers in all its branches and in particular to manufacture , sell , maintain , repair and deal in guns , gun-carriages , torpedoes , tanks, armoured cars and other vehicles , machine guns , rifles and small arms and all descriptions of ordance , armament , arms weapons , ammunition , explosives and munitions of war and all component parts , spare parts equipment thereof and accessories thereto or apparatus for use in connection there- with.
38. To lend money or property to the subsidiaries and others and to make advances of money against future supply of goods and services on such terms as the Directors may consider necessary and to invest money of the Company in such manner as the Directors may think fit and to sell , trans- fer or deal with the same .
39. To pay all the costs, charges and expenses of and incidental to the promotion , formation , registration and esta- blishment of the Company and the issue of its capital and 512

to remunerate or make donations to (by cash or other assets or by the allotment of fully or partly paid shares or by a call or option on shares , debentures , debenture - stocks or securi- ties of this or any other company or in any other manner , whether out of the company's capital or profits or otherwise) any person, persons or company for services rendered or to be rendered in placing or assisting to place or guaranteeing the placing of any of the shares in the company's capital or any debenture stock or other securities of the company or in the conduct of its business or in introducing any property or business to the Company or for any other reason which the Company may think proper.
40. To sell , let , dispose of or grant rights over all or any property of the Company .
41. To undertake payment of all rents and performance and observance of all covenants , conditions and agreements contained in or reserved by any lease or leases which may be granted or assigned to or may be otherwise acquired by the Company .
42. To draw , accept and negotiate bills of exchanges , pro- missory notes and other negotiable instruments .
43. To pay for any properties , rights or privileges acquired by the Company, either in shares of the Company , or partly in shares and partly in cash or otherwise .

To guarantce the payment of money unsecured secured by or payable under or in respect of promissory notes, bonds, debentures , debenture stock, contracts , mortgages , charges , obligations, instruments and securities of any com- pany or of any authority , supreme , municipal , local or other- wise or of any person whomsoever , whether incorporated or not incorporated and generally to guarantee or become sure- ties for the performance of any contracts or obligations .
45. To dedicate , present or otherwise dispose of either voluntarily with or without consideration or for value , any property of the company deemed to be of national , public or local interest , to any national trust , public body , museum , corporation, or authority or any trustees for or on behalf of any of the same or of the public .
46. To merge, acquire , take over , amalgamate with any Company or Companies having objects altogether or in part similar to those of this Company, to promote or concur in the promotion of any Company, the promotion of which shall be considered desirable .
47. To establish competitions, andto offer and grant prizes , rewards and premiums , and to provide for and furnish or secure to any members or customers of the Company , orto the holders of any coupons or tickets issued by or for the Company and chattels , conviences , advantages benefits or special privileges which may seem expedient , and either gra- tuitously or otherwise and generally to adopt such means of making known the products of the Company and pushing the sale thereof as may seem expedient and to hold and assist in holding exhibition in India or elsewhere of its products .
48. To collect and circulate statistics and other informa- tion relating to trade , commerce and industry .
49. To purchase , charter , hire, build or otherwise acquire vehicles and vessels of any or every sort of description for use on or under land or water or in the air and to employ, equip and loan the same for the carriage of merchandise of all kinds and to let out, to hire and to trade with any such vehicles , vessels or any part thereof when not required for the Company's business at such rates or freight and on such terms as may be considered advantageous to the Company .
50. To purchase , take on lease or acquire in exchange or under amalgamation , absolutely or conditionally , solely or jointly with others or otherwise any property , licence , con- cession, rights or privileges which the company may think necessary or convenient for the purpose of its business , and make, construct , maintain , work , hire , hold improve , alter , manage , let , sell , dispose or exchange, carry out or control roads , canals, water- courses , ferres , piers . wharves quays, sheds , landing places , garages , accommodation of all kinds for sea and land traffic , water- ways , lands , buildings , pipe- lines , foundries , engines , machinery and apparatus , electric works , water rights , way leaves , privileges or right of any description or kind and other conveniences which may be calculated directly or indirectly to advance the Company's interests; and to contribute to , subsidise or otherwise aasist or take part in the construction , improvement , maintenance, working, management, carrying out or control thereof.
51. To perform or do all or any of the following opera- tions acts or things :-
(i ) To establish, maintain , manage and operate restau- rants , refreshment rooms buffets , cafeterias and hotels and to carry on the business of general pro- vision merchants , licensed victuallers and tobacco- nists.
( ii) To apply the assets of the Company in any way In or towards the establishment , maintenance or ex- tension of any association, institution or fund in any way connected with any particular trade or business or with trade or commerce generally including any association , institution or fund for the protection of the interests of masters , owners and employers against loss by bad debts , strikes , combinations , fire , accident or otherwise or for the benefit of any clerks, workmen or others at any time employed by the Company or any of its predecessors in busi- ness or their families or dependents and whether or not common with other persons or classes of per- sons and in particular of friendly, cooperative and other societies , readingrooms , libereries , education- af and charitable institutions , dining and recreation rooms , places of worship , schools and hospitals and to grant gratuities , pensions and allowances and to contribute to any funds raised by public or local subscriptions for any purpose whatsoever .
( iii) To aid pecuniarily or otherwise , any association , body or movement having for an object the solu- tion, settlement or surmounting of the industrial or labour problems or troubles or the promotion of industry or trade , and professions engaged in indus try trade and commerce .
(iv) To make donations to any national memorial fund or any other fund constituted for a charitable pur- pose, and for any other purpose of national interest .
(v) To carry on the business of a General Electric Power and Supply Company and gas - works Company ir all their respective branches , and to construct , lay down, establish , fix and carry out alf necessary power stations , cables , wires , lines, accumulator lamps and works and to generate , accumulate , dis tribute, and supply electricity and gas to light cities, towns, streets , docks , markets , theatres , buildings, and places both public and private .
(vt) To undertake and execute any trusts , the undertak- ing of which may seem to benefit the Company cither gratuitously or otherwise .
(vii ) To act as Insures or Underwriters of the property of the Company either wholly or partially, and either solely or together with another or other person or per- sons or body or bodies , and to insure the whole or any part or the property of the Company either fully, or partially, to protect and indemnify the Company from liability, or loss in respect thereof, either fully or partially, and, also to insure and protect and indemnify cither on mutual principle or otherwise, and to accept the whole or any part of the marine risk and liability of the Company as underwriters .
( viii ) To employ and pay experts , Indian and foreign consultants , etc. , in connection with the business of the Company .
or ( ix) To subsidise or contribute to or otherwise assist in or to take part in the construction , maintenance , improvement , management , working , control superintendence of any operations or works or buildings useful or expedient or convenient or ado- ptable for the purposes of the Company which may be constructed by or may belong or worked by or be under the control or superintendence of others and to subsidise or otherwise assist any persons or companies responsible for or concerned or interest- ed in any undertaking in conjunction with the Com- pany .

(x) To procure and arrange for registration, incorpora- tion or recognition of the Company in or under the law of any country , to appoint agencies to the Com- pany and do all acts necessary for carrying on in any colony, dominion or foreign country the business of the Company, to petition either singly or jointly with others to legislature , authorities , local , muni- cipal and other bodies , British , Colonial or foreign , for the purpose of getting enacted acts and laws or for obtaining decrees , interests , rights and privileges that are conducive to the interest of the Company or to protest against such petitions and transactions as are likely to be prejudicial to the interests of the Company and to take such steps as may be neces- sary to give the Company the rights and privileges in any part of the world as are possessed by local companies or partnership of a similar nature.

(xi) In the event of winding up to distribute among the members in specie any property of the Company or any proceeds of sale , or disposal , of any property of the Company provided no distribution amount- ing to reduction of capital be made except with the sanction ( if any ) for the time being required by law.
(xli ) To dedicate , present , subscribe or undertake , contribute or otherwise aid out of the profit assets of the Company benevolent, charitable , na- tional or other institutions or objects of a public character , development of peripheral villages , rural development schemes , or which have any moral or other claims to support or aid by the Company by reason of the locality or nature of its operation or otherwise . "
