पहा ०आ० 788 (अ) . केन्द्रीय सरकार ने भारत सरकार के भूतपूर्व भौद्योगिक विकास मंत्नालय के प्रदेश सं० का० प्रा ० 520 ( अ) / 18 कक / आई डी आरए/ 74 , तारीख 6 सितम्बर, 1974 द्वारा जो श्रादेश सं ० का० प्रा ० 134 (अ ) 18 फक / आई डी भार ए / 79 , तारीख 13 मार्च , 1979 द्वारा यथा संशोधित है जिसे इसमें इमके पश्चात उक्त आवेण कहा गया है) भचिव, दग्ण और बन्द उद्योग विभाग पश्चिमी बंगाल सरकार को, जिन्हें अब सचिव, श्रौद्योगिक पुनर्गठन विभाग , पश्चिमी बंगाल सरकार को, कहा जाता है (जिन्हें इसमें इसके पश्वात उपन प्राधिकृत व्यक्ति कहा गया है ) मैसर्स इंडिया मेल्टिंग एण्ड फाटन मिल्स लिमिटेड , सीरमपुर, पश्चिर्मः बगाल ( जिये इसमें इसके पश्चात उक्त श्रौद्योगिक उपक्रम कहा गया है ) का प्रवन्ध 6 सितम्बर , 1974 से पाच वर्ग की अवधि के लिए ग्रहण करने के लिए प्राधिकृत किया था ।
भोर केंन्द्रीय सरकार ने ममय -भमय पर निदेश दिये ये कि उक्न भावेण 5 मार्च , 1983 तक की और उपाधि के लिए जिसमें बहू तारख भी सम्मिलित है, प्रभावी रहेगा ,
अत्त: अब केन्द्रीय सरकार, उद्योग ( विकास और विनियमन) प्रादेश 1951 ( 1951 का 65 ) की धारा 188० की उपधारा ( 2 ) द्वारा प्रश्वस्त शक्तियों का प्रयोग करते हुए इसने उपाथद्ध अनुसूची में वे अपघाव, निर्वग्धन और परिसीमाएं विनिर्दिष्ट करती है जिनके अधीन रहते हुए कम्पनी अधिनियम, 1956 ( 1956 का 1) उक्त प्रौद्योगिक उपक्रम को उमी रीति से लागू होता रहेगा जैसे कि बह उक्त अधिनियम की धारा 18 कक के अधीन आवेश जारी किए जाने से पूर्व लागू था ।

अपवाद, निर्मन्धन भौर परिसीमाएं जिनके अधीम रहते हुए स्तम्भ (i) में वर्णित उपबन्ध उक्त प्रौद्योगिक उपक्रम को लागू होंगे ।

इस धारा के उपबन्ध, তদল प्रौद्योगिक उपक्रम को लागू नहीं होंगे । किन्तु वह अपनी कानूनी विवरणिया भीर तुलनपत्र तैयार करेगा भौर नियत अवधि के भीतर कम्पनी रजिस्ट्रार के पास फाईल फरेगा । इस छूट से कम्पमः पधिनियम, 1956 की 159 (1 ) के उपबन्धो प्रभाव नहीं पड़ेगा । प्रर
धारा 169
इस धारा के उपबन्ध, प्रौद्योगिक उपक्रम को लागू नहीं होंगे ।

बाय 210( 1)
इस धारा के उपबन्ध उक्त मौद्योगिक उपक्रम को लागू नहीं होंगे । किन्तु वह अपनी कानूनी विवरणियां भौर तुलनपत्न तैयार करेगा और नियत भवधि के भीतर कम्पनी रजिस्ट्रार के पास फाइल करेगा । इस छूट से कम्पनी अधिनियम 1956 की धारा 159 ( 1 ) के उपबन्धों पर प्रभाव नहीं पड़ेगा ।
बारां 217
इस धारा के उपबन्ध उक्त श्रौद्योगिक उपक्रम को लागू नहीं होंगे ।
धारा 224
इस धारा के उपबन्ध उक्स श्रौद्योगिक उपक्रम को इस शर्त के अधीन रहते हुए लागू नहीं होगे कि जिस विभाग के प्रशासनिक नियंत्रण के अधीन वह कम्पनी है। उसमें केंद्रीय सरकार द्वारा लेखा परीक्षक नियुक्त किया जाएगा ।
बारा 225
इस द्वारा के उपबन्ध उक्त प्रौद्योगिक उपक्रम को इस शर्त के अधीन रहते हुए लागू नहीं होंगे कि जिस विभाग के प्रशासनिक निर्माण के अधीन वह कम्पनी हैं, उसमे केंन्द्रीय सरकार द्वारा लेखा परीक्षक नियुक्त किया जाएगा ।
धारा 293
इस धारा के उपबन्ध उक्त प्रौद्योगिक उपक्रम को इस शर्त के अधीन रहते हुए लागू नहीं होंगे कि जहां अंशधारकों का अनुमोदन अपेक्षित हो, वहा यह जिस विभाग के अधीन वह कम्पनी है , उसके द्वारा विया जाएगा ।
बारा 294
इस धारा के उपबन्ध उक्त भौद्योगिक उपक्रम को इस शर्त के अधीन रहते हुए लागू नहीं होंगे कि जहा अंशधारकों का अनुमोदन अपेक्षित हो, वहा वह जिस विभाग के अधीन यह कम्पनी है , उसके द्वारा दिया जाएगा ।
सभी बलामों में छूट की अवधि, तब समाप्त हो जाएगी जब उद्योग (विकास और विनियमन) अधिनियम, 1951 ( 1951 का 65) के उपवल्मों के अधीन केन्द्रीय सरकार द्वारा कम्पनी का प्रबन्ध समाप्त हो बाता है ।

ORDER
New Delhi , the 9th November , 1982
S.O. 788 (E) . Whereas , by the Order of the Government of India in the late Ministry of Industrial Development No. S.O. 529 (E)/ 18AA/ IDRA/ 74, dated the 6th September , 1974, as modified by the Order No. S.O. 134( E )/ 18AA/IDRA/ 79 , dated the 13th March , 1979 ( hereinafter referred to as the said Order), the Central Government had authorised the Secretary , Closed and Sick Industries Department , Government of West Bengal now called Secretary , Industrial Reconstruction Depart- ment, Government of West Bengal (hereinafter referred to as the sald authorised person) to take over the management of M/ s . India Belting and Cotton Mills Limited , Serampore, West Bengal ( hereinafter referred to as the said industrial undertaking) for a period of five years from the 6th September , 1974 .
And, whoreas , the Central Government had issued directions from time to time for continuance of the said Order for a further period upto and inclusive of the 5th March , 1983 :
Now, therefore, in exercise of the powers conferred by sub- section (2) of section 18E of the Industries (Development and Regulation) Act, 1951 (65 of 1951 ) , the Central Government hereby specifies in the Schedule annexed hereto the exceptions , restrictions and limitations subject to which the Companies Act ,1956 ( 1 of 1956) shall continue to apply to the said industrial undertaking in the same manner as it applied thereto before the issue of the Order under section 18AA of the said Act .

Section 166
Provisions of this section shall not apply to the said industrial undertaking . It shall ,however , prepare and filed its statu- tory returns and balance sheets with the Registrar of Companies within the stipn- lated period. The exemption will not affect the provisions of section 159(1 ) of the Companies Act , 1956 .
Section 169
Provisions of this section shall not apply to the said industrial undertaking .
Section 210(1) Provisions of this sub - section shall not apply tothe said industrial undertaking. It shall , however, prepare and file its statutory returns and balance sheets with the Regis- trar of Companies within the stipulated period . The exemption will not affect the provisions of section 159 (1 ) of the Com- panies Act , 1956 .
Section 217
Provision of this section shall not apply to the said industrial undertaking.
Section 224
Provisions of this section shall not apply to the said industrial undertaking subject to the condition that the autitor shall be appointed by the Central Govern- 3

Section 225
Provision of this section shall not apply to the said industrial undertaking subject to the condition that the auditor shall be appointed by the Central Government , in the Department under whose admini- strative control the company may be .
Section 293
Provisions of this section shall not apply to the said industrial undertaking , subject to the condition that where approval of the shareholders is required the same shall be accorded by the Department under whose control the company may be .

The period of exemption in all cases will terminate when the Company ceases to be managed by the Central Government under the provisions of the Industries (Dovelopment & Regula- tion) Act, 1951 (65 of 1951)
