का०आ० 385 (अ) . पिछले कुछ वर्षों से देश में, सरकार द्वारा मान्यताप्राप्त स्टॉक एक्सचेंज कार्य कर रहे हैं । इस समय देण में 13 मान्यताप्राप्त स्टाक एक्सचेंज कार्यरम हैं । भांत्रष्य में कुछ और स्टाक एक्सचेंजी की मान्यता दिए जाने की गंभावना है । हाल ही में कुछ समय से पूंजी के नए निर्गमों तथा माध्यमिक बाजार के कार्य प्रवमेन छोनों में भारी वृद्धि होने के कारण स्टाक एक्सचेंजों का महत्व यः गया है । स्टाक एक्सचेंज नई तथा विस्तार परियोजनाओं के वित्त पोषण के लिए औद्योगिक प्रतिभूतियों में निवेश के लिए जनता की मजनों को जुटाने में महत्वपूर्ण भूमिका अदा करते हैं । स्टाक एक्सचेंजों के कार्यचालन रो प्राप्त हुए अनुभव को देखते हुए सरकार ने स्टाक एक्सचेंजों के कार्यचालन पर व्यापक पुनर्विचार करने तथा इस मामले में मरकार को सिफारिश करने के लिए एक उच्च अधिकार प्राप्न मिति स्थापित करने का निर्णय किया है ।
ममिनि के विचारार्थ विषय इम प्रकार होगे:--
( i ) वेण की विस्सीय प्रणाली के अभिन्न अग के रूप में, स्टाक एक्सचेंजों के मामान्य कार्यचालन की जांभ करना;
( ii ) स्टाक एक्सचेंजो के सदस्यों द्वारा निवेगकों को दी जाने वाली समस्त सेवाओं में सुधार करने के उपायों का सुझाव देना तथा लघु निवेशकों, विशेष रूप से अर्धणहरी तथा ग्रामीण क्षेत्रों में निवेशकों को औद्योगिक प्रतिभूतियों में निवेश के लिए प्रोत्साहित करने के उपायों का मुझाव देना ताकि उत्पादक के निवेशकों के लिए पूंगी की अधिक मात्रा को जुटाया जा सके ।
( iii) स्टाक एक्सचेंजों के संगठन तथा प्रबन्ध की वर्तमान पद्धति की जांच करता जिससे इसके आधार को व्यापक बनाया जा सके ताकि इसमे सभी संबंधित हितों के प्रनिनिविश्व का समावेश किया जा सके तथा संगठनों के एक समान स्वरूप के संबंध में मुझाव देना;
(iv) स्टाक के सेन देनों के संबंध में प्रवृत्त वर्तमान प्रक्रिया तथा प्रलेखों की जांच करना ताकि इन्हें सरल बनाया जा सके नया कार्य में होने वाली देरी को कम से कम किया जा गफे ;
( v) स्टाक एक्सचेंजों की सदस्यता की वर्तमान पद्धति की जांच करना नाकि सदस्यता में सावधिक वृद्धि करता आभान हो जाए नथा स्टाक एक्सचेंजों में एजेंटों की पद्धति का विकास किया जा महे ;
(vi) प्रतिभूतियों में व्यापार के संबंध में वर्तमान उप विधियों तथा विनियमों की जांच करना तथा ऐिसे ढंग पर स्टाक एक्सचेंजों के कार्थ चामन की मुनिश्चित व्यवस्था किए जाने के उद्देश्य से उपायों का सुझाव देना ताकि उनके कार्य में बार-बार आने वाले सक्रटों से कोई अड़चन पैदा न हो नथा वे प्रतिभूतयों को ओर अधिक मात्रा में कुशलतापूर्वक संभाल सकें ;
(vii ) म्टाक एक्सचेंजों में प्रतिभूतियों को सूचीबद्ध करने तथा स्टाक एक्सचेंजों तथा कंपनियों के बोष निष्पन्न किए जाने वाले सूजीकारक (लिस्टिंग ) करारों के संबंध में नियमों तथा विनियमों की वर्तमान व्यवस्था की जांच करनाः

(viii ) पूंजी के सार्वजनिक निर्गम की लागत को कम से कम करने के उपायों का सुझाव देना ;
( ix) निवेशकों तथा सदस्यों के हितों की रक्षा करने के लिए स्टाफ एक्सचेंजों के सदस्यों के लिए आचार संहिता के संबंध में सुझाव देना तथा ग्राहक सुरक्षा निधि की स्थापना करने तथा सदस्यों के बीमे के लिए मार्ग- निर्देशों का सुझाव देना;
(x) स्टाक एक्सचेंजों के लिए जमीन तथा भवनों आदि के श्रनिग निर्माण के तरीकों का सुझाव देना तथा इसके वित्त पोषण की रीति के संबंध में भी सुझाव देना ;
(xi ) स्टाक एक्सचेंजों के क्रियाकलापों के अग्रेतर विकास के लिए किसी अन्य मामलों पर सुझाव देना जो कि उपर्युक्त (i ) से (x ) तक की मदों के विषय से संगत है ।

MINISTRY OF FINANCE (Department of Economic Affairs) New Delhi , the 17th May , 1984 NOTIFICATION
S.O. 385 (E) : Stock Exchanges recognised by the Government have been functioning in the country during the past several years . At present , there are 13 recognised Stock Exchanges functioning in the country. A few more Stock Exchanges are likely to be recognised in the near future . The importance of Stock Exchanges has increased in the recent past on account of the substantial increase both in new issues of capital and operations in the secondary market The Stock Exchanges play an important role in the mobilisation of savings of the public for investment in industrial securities for financing new and expan- sion projects . In the light of the experience gained in the working of Stock Exchanges , Government have decided to set up a High Powered Committee to make a comprehensive review of the functioning of the Stock Exchanges and to make recommendations to the Government in the matter.
2. The terms of reference of the Committee will be as follows :
(i) to examine the general functioning of the Stock Exchanges as an integral part of the financial system of the country ;
(ii) to suggest measures to improve overall service to the investors by the members of Stock Exchanges , and to suggest measures to encourage small investors particularly in semi - urban and rural areas to invest in industrial securities with a view to mop up larger volume of capital for productive investments ;
(iii) to look into the existing system of organi- sation and management of Stock Exchanges with a view to broad-base it so as to make it representative of all concerned interests, and to suggest a uniform model of organisations ;
(iv) to examine the existing proceedurs and docu- mentation relating to stock transactions with a view to simplification and minimising delays;
(v) to look into the existing system of membership of Stock Exchanges with a view to facilitate periodic increase in membership and to evolve a system of agents of Stock Exchanges ;

(vi) to look into the existing system of Bye- laws and Regulations of Stock Exchanges relating to trading in securities and to suggest measures with a view to ensure smooth functioning of Stock Exchanges so that they are not disrupted by recurrent crises and that they are able to efficiently handle a much larger volume of securities .
(vii) to examine the existing system of Rules and Regulations relating to listing of securitics in Stock Exchanges and the listing agreement between com- panies and Stock Exchanges ;
(viii) to suggest measures to minimise the cost of public issue of capital;
(ix) to suggest a Code of Conduct for members of Stock Exchanges to safeguard the interests of investors and the members and to suggest guidelines for creation of a customers protection fund and insurance of members ;
(x) to suggest methods for acquisition/construction of the premises for Stock Exchanges and the manner ofits financing ;
(xi) to make suggestions on any other matter which Is relevant to (i) to (x) above for further dovelopment of Stock Exchange activities .
