सं(cid:201)या-533--दु(cid:467)नया म(cid:581) (cid:163)ान आधा(cid:464)रत अथ(cid:91)(cid:229)यव(cid:232)था और (cid:163)ान आधा(cid:464)रत समाज बनाना (cid:163)ान के उभरते युग म(cid:581) लोग(cid:585) के अि(cid:232)त(cid:215)व और (cid:874)वकास क(cid:551) कु ं जी है | (cid:875)डिजटल (cid:874)वभाजन को पाटने, (cid:871)श(cid:162)ा म(cid:581) सूचना (cid:292)ौ(cid:622)यो(cid:876)गक(cid:551) को साव(cid:91)भौ(cid:871)मक बनाने और एक(cid:551)कृ त करने और 21 वीं सद(cid:547) के (cid:163)ान समाज और (cid:163)ान-आधा(cid:464)रत अथ(cid:91)(cid:229)यव(cid:232)था के उभरते लोकाचार के अनु(cid:510)प (cid:871)श(cid:162)ा शासन और सशि(cid:200)तकरण म(cid:581) नए (cid:292)(cid:467)तमान (cid:232)था(cid:874)पत करने के उ(cid:423)े(cid:230)य को बेहतर ढंग से पूरा करने हेतु झारख(cid:214)ड सरकार एक Corporation बनाने हेतु कृ त-संकि(cid:227)पत है|

(cid:874)व(cid:465)दत है (cid:873)क Maharastra Knowledge Corporation Ltd. (MKCL) क(cid:551) (cid:232)थापना उ(cid:205)च एवं तकनीक(cid:551) (cid:871)श(cid:162)ा (cid:874)वभाग, महारा(cid:231)(cid:282) सरकार के (cid:622)वारा क(cid:224)पनी अ(cid:876)ध(cid:467)नयम, 1956 के तहत 20 अग(cid:232)त, 2001 म(cid:581) एक पि(cid:222)लक (cid:871)ल(cid:871)मटेड कं पनी के (cid:510)प म(cid:581) (cid:292)ारं(cid:871)भक इि(cid:200)वट(cid:547) भागीदार(cid:547) के साथ महारा(cid:231)(cid:282) सरकार और 10 रा(cid:207)य (cid:874)व(cid:230)व(cid:874)व(cid:622)यालय(cid:585) के साथ संयु(cid:200)त (cid:510)प से क(cid:551) गई थी | महारा(cid:231)(cid:282) के (cid:274)ामीण एवं अध(cid:91)शहर(cid:547) (cid:162)े(cid:287)(cid:585) म(cid:581) digital courses के मा(cid:218)यम से MKCL (cid:622)वारा करोड़(cid:585) अ(cid:223)य(cid:876)थ(cid:91)य(cid:585) को (cid:292)(cid:871)श(cid:879)(cid:162)त (cid:873)कया गया है, काला(cid:219)तर म(cid:581) कई अ(cid:219)य (cid:162)े(cid:287)(cid:585) यथा यू(cid:467)नव(cid:871)स(cid:91)ट(cid:547) के digitalization, सरकार(cid:547) काय(cid:91)(cid:272)म(cid:585) के digitalization म(cid:581) भी उ(cid:227)लेखनीय काय(cid:91) (cid:873)कया जा रहा है| MKCL के सहयोग से उड़ीसा, ह(cid:464)रयाणा एवं राज(cid:232)थान म(cid:581) भी similar pattern पर knowledge corporations का (cid:467)नमा(cid:91)ण (cid:873)कया गया है | उपरो(cid:200)त सभी रा(cid:207)य म(cid:581) बहुत ह(cid:547) कम paid up capital से इन corporations का (cid:467)नमा(cid:91)ण हु आ है एवं अपने self-sustaining model से आम नाग(cid:464)रक(cid:585) को लाभ पहु ँचाने के साथ-साथ उपरो(cid:200)त सभी corporations लाभ म(cid:581) है और सरकार को बेहतर dividends (cid:292)दान कर रहे ह(cid:583)|

2. अत: झारख(cid:214)ड सरकार (cid:622)वारा Jharkhand Knowledge Corporation Ltd. (JKCL) का (cid:467)नमा(cid:91)ण सूचना (cid:292)ौ(cid:622)यो(cid:876)गक(cid:551) एवं ई-गवन(cid:591)स (cid:874)वभाग, झारख(cid:214)ड सरकार Maharastra Knowledge Corporation Ltd.(MKCL) एवं Universities of Jharkhand के साथ संयु(cid:200)त (cid:510)प से कं पनी अ(cid:876)ध(cid:467)नयम, 2013 के तहत (cid:873)कये जाने का (cid:467)नण(cid:91)य (cid:871)लया गया है| सूचना (cid:292)ौ(cid:622)यो(cid:876)गक(cid:551) एवं ई-गवन(cid:591)स (cid:874)वभाग, झारख(cid:214)ड सरकार MKCL और झारख(cid:214)ड के रा(cid:207)य (cid:874)व(cid:230)व(cid:874)व(cid:622)यालय(cid:585) क(cid:551) (cid:465)ह(cid:232)सेदार(cid:547) (cid:272)मश: 45%, 15% और 40% होगी|

3. रा(cid:207)य म(cid:581) झारख(cid:214)ड नॉलेज कारपोरेशन (cid:871)ल(cid:871)मटेड का गठन (cid:467)न(cid:224)नवत (cid:873)कया जायेगा :-

3.1 नाम एवं (cid:467)नबं(cid:876)धत काया(cid:91)लय158 झारख(cid:214)ड गजट (साधारण), 14 जून, 2023 3.1.1 क(cid:224)पनी का नाम झारख(cid:214)ड नॉलेज कारपोरेशन (cid:871)ल(cid:871)मटेड होगा |

3.1.2 क(cid:224)पनी का (cid:467)नबं(cid:876)धत काया(cid:91)लय झारख(cid:214)ड रा(cid:207)य म(cid:581) होगा|

3.2 झारख(cid:214)ड नॉलेज कारपोरेशन (cid:871)ल(cid:871)मटेड का (cid:467)नबंधन Companies Act, 2013 के तहत ् (cid:873)कया जायेगा| 3.3 झारख(cid:214)ड नॉलेज कारपोरेशन (cid:871)ल(cid:871)मटेड के गठन का मु(cid:201)य उ(cid:423)े(cid:230)य भू(cid:871)मका एवं अ(cid:876)धकार (cid:467)न(cid:224)नवत ह(cid:585)गे:-

(a) The objects to be pursued by the Company on its incorporation specified in Clause III (a) of MoA

are :-

1. Proliferation and implementation of Education, Governance and Empowerment programs, technologies, products, solutions and services;

2. Education and Skill Development;

3. Information Technology ("IT") and IT-Enabled Services;

4. Child care and development;

5. Governance and Empowerment;

6. Social and Economic Welfare;

7. Broadcasting and Dissemination of Knowledge, information;

8. Marketing and Brand Promotion;

9. Intellectual Property;

10. Research and Development;

11. Infrastructure Development and Management;

12. Others : i. To enter into partnership or any arrangement or agreement with any Governments, Universities, Multiversity, Authorities, Municipal, Local or otherwise or any person or company or any of them for sharing profits, union of interests, exchanging of shares, joint venture, reciprocal concession or cooperation and engage in any business or transactions which the Company is authorized to carry on and to obtain from such Government, Authority, person or company any rights, licenses, privileges, charters, contracts and concessions which the Company may think it desirable to obtain and to carry out, exercise and comply therewith, and to oppose any proceedings or applications which may seem calculated directly or indirectly prejudice the interests of the Company.

ii. To establish, maintain, conduct, provide, or make available services of every kind including commercial, statistical, financial, accountancy, medical, legal, management, educational, engineering, environmental, data processing, communication and other technological social or other services.

iii. To provide personnel requirement services and to carry on business of consultants and providing management services including but not limited to personnel recruitment services covering all categories of employees for any type of organization and to incur auxiliary and incidental expenses.

iv. To carry on in India or anywhere in the world, all or any of the above objects as Innovators, Change-makers, Designers, Developers, Knowledge Partners, Implementation Partners, Fast-track Enablers, Integration Partners, Business Process Re-Engineering Partners, Business Partners, Consultants, Buyers,, Sellers, Licensors, Licensees, Contractors, Agents, Hirers, Importers, Exporters, Remodelers, Over-haulers, Installers, Repairers, Representatives, Assemblers,159 झारख(cid:214)ड गजट (साधारण), बुधवार, 14 जून, 2023 Manufacturers, Processors, Dealers, Retailers, Distributors, Stockiest and service providers as principals, agents, contractors or otherwise deal in products, technologies, solutions and services.

v. To undertake Corporate Social Responsibility ('CSR') activities in terms of the provisions of the Companies Act, 2013 [including any amendment(s) thereto or any re-enactment(s) thereof] and Rules, Regulations made thereunder or in such other manner as the Company deems fit.

(b) Matters which are necessary for furtherance of the objects specified in Clause III(b) of MoA

1. Business Enabling and Support Services; 2. Corporate Matters;

3. Infrastructure Development and Management;

4. Accounts and Finance; 5. Human Resources Development;

6. Others : i. To do all any of the above things and all such other things as are incidental or may be thought conducive to the attainment of the objects mentioned in Part (a) of the Objects Clause or any of them in any part of the world and as principals, agents, contractors, trustee or otherwise and by or through trustees, agents or otherwise and either alone or in conjunction, collaboration with others.

ii. The liability of the members is limited. (A) The minimum paid up Capital for this Company will be Rs. 2,00,00,000/- (Rs. Two Crores Only).

(B) The Authorized Share Capital of the Company is Rs. 5,00,00,000/- (Rs. Five Crores Only) divided into 50,00,000 (Fifty Lakh) Equity shares of Rs. 10/- (Rs. Ten Only) each with rights, privileges or conditions as provided by the Articles of Association of the Company for the time being.

4. पू ँजी- झारख(cid:214)ड नॉलेज कारपोरेशन (cid:871)ल(cid:871)मटेड क(cid:551) (cid:219)यूनतम अ(cid:876)धकृ त पू ँजी 2,00,00,000/- (दो करोड़) होगी जो (cid:873)क (cid:510)पये 10 (cid:292)(cid:467)त शेयर के साथ 20 लाख शेयर(cid:585) म(cid:581) (cid:874)वभािजत क(cid:551) जायेगी|

4.1 अंशधारक (Shareholder)- झारख(cid:214)ड नॉलेज कारपोरेशन (cid:871)ल(cid:871)मटेड के अंशधारक (cid:467)न(cid:224)नवत ह(cid:585)गे :-

5. (cid:467)नदेशक मंडल (Board of Directors) - झारख(cid:214)ड नॉलेज कारपोरेशन (cid:871)ल(cid:871)मटेड के (cid:467)नदेशक मंडल (cid:467)न(cid:224)नवत ह(cid:585)गे :-

5.1 अ(cid:218)य(cid:162) (Chairman) - झारख(cid:214)ड नॉलेज कारपोरेशन (cid:871)ल(cid:871)मटेड के (cid:467)नदेशक मंडल के (cid:292)थम अ(cid:218)य(cid:162) अपर मु(cid:201)य स(cid:876)चव / (cid:292)धान स(cid:876)चव / स(cid:876)चव, सूचना (cid:292)ौ(cid:622)यो(cid:876)गक(cid:551) एवं ई-गवन(cid:591)स (cid:874)वभाग पांच वष(cid:91) के (cid:871)लए ह(cid:585)गे| इसके प(cid:230)चात (cid:467)नदेशक मंडल (cid:622)वारा अ(cid:218)य(cid:162) का चयन (cid:873)कया जा सके गा|

5.2 (cid:292)बंध (cid:467)नदेशक (Managing Director) - झारख(cid:214)ड नॉलेज कारपोरेशन (cid:871)ल(cid:871)मटेड के (cid:292)बंध (cid:467)नदेशक के पद पर (cid:292)थम (cid:467)नयुि(cid:200)त MKCL (cid:622)वारा पाँच वष(cid:607) के (cid:871)लए क(cid:551) जायेगी। इसके प(cid:230)चात ् (cid:292)बंध (cid:467)नदेशक क(cid:551) (cid:467)नयुि(cid:200)त (cid:467)नदेशक मंडल (cid:622)वारा क(cid:551) जा सके गी।

6. झारख(cid:214)ड नॉलेज कारपोरेशन (cid:871)ल(cid:871)मटेड (cid:622)वारा संपा(cid:465)दत (cid:873)कये जाने वाले काय(cid:607) म(cid:581) (cid:873)कसी (cid:292)कार का (cid:874)ववाद उ(cid:215)प(cid:219)न होने पर इसका (cid:467)नपटारा झारख(cid:214)ड उ(cid:205)च (cid:219)यायालय, राँची म(cid:581) (cid:873)कया जायेगा।
